HomeMy WebLinkAboutContract 58978-A1CSC No. 58978-A1 FIRST AMENDMENT TO CITY SECRETARY CONTRACT NUMBER 58978 A NON-EXCLUSIVE CONTRACTOR SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH AND GOODWILL INDUSTRIES OF FORT WORTH, INC. This First Amendment to City Secretary Contract Number 58970 is entered into by and between the City of Fort Worth ("City"), a home -rule municipal corporation of the State of Texas, and GOODWILL INDUSTRIES OF FORT WORTH, INC. ("Contractor"), a Texas nonprofit corporation. City and Contractor are referred to herein individually as a "party" and collectively as the "parties." WHEREAS, the City and Contractor entered into a Non-exclusive Contractor Services Agreement for Contractor to provide City with temporary animal technician services for the City's Animal Care and Control Centers, City Secretary Contract Number 58970 ("Agreement"). WHEREAS, on September 12, 2023, through the approval of M&C 23-0751, the City Council authorized an amendment to the Agreement to increase the total maximum compensation to $1,125,000.00; and WHEREAS, City and Contractor desire to amend the Agreement to reflect the increase in the total maximum compensation in the Agreement; NOW THEREFORE, City and Contractor acting herein by and through their duly authorized representatives agree to amend the Agreement as follows: 1. Section 3 of the Agreement is amended in its entirety to be read as follows: 3. Compensation. City will pay Contractor in accordance with the provisions of this Agreement, including Exhibit "B," which is attached hereto and incorporated herein for all purposes. Contractor understands and agrees that the City will award non- exclusive agreements to multiple bidders for services outlined in City of Fort Worth Bid Solicitation ITB No. 23-0007 which is attached hereto as Exhibit C, and incorporated herein for all purposes. Contractor further understands that the aggregate amount of all contracts awarded to multiple contractors under ITB No. 23-0007 shall be an amount not to exceed ONE MILLION ONE HUNDRED TWENTY-FIVE THOUSAND Dollars ($1,125,000.00) for the initial term, and the City makes no promise or guarantee of the total amount of work that will be assigned to Contractor under this Agreement. Contractor will not perform any additional services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City will not be liable for any additional expenses of Contractor not specified by this Agreement unless City first approves such expenses in writing. DISCUSSION: On February 14, 2023, City Council approved Mayor and Council Communication (M&C) 22-0069 with Goodwill Industries of Fort Worth, Inc and Presbyterian Night Shelter of Tarrant County, Inc for animal technicians. The agreements are used to provide animal care tasks and shelter upkeep to maintain a clean and disease -free environment for impounded animals. The Code Compliance Department relies upon the help of temporary workers to help complete daily shelter operations. In order to continue paying for these services and allow the filling of positions with temporary staff as needed, Code Compliance is requesting an increase in contractual authority. Without the assistance of temporary animal shelter technicians from the selected vendors to supplement shelter staffing needs, it will be difficult for Code Compliance to effectively operate the animal shelters in a way that promotes a healthy and safe environment for impounded animals. Animal shelter technicians are key for Code's ability to increase the number of adoptions and preventive care options available, while also reducing shelter disease transmission and euthanasia rates. The purpose of this M&C is to authorize an amendment to the non-exclusive purchase agreement for animal shelter technician services to increase the annual amount by $225,000.00 for a new contract amount of $1,125,000.00 for the initial term and remaining renewals. Funding is budgeted in the Other Contractual Services account of the Code Compliance Department's rollup within the General Fund. AGREEMENT TERMS - The current term of this Agreement will expire on February 14, 2024. DIVERSITY AND INCLUSION (DVIN) - A waiver of the goal for Business Equity subcontracting requirement is approved by the DVIN-BE, in accordance with the Business Equity Ordinance, because the purchase of goods or services is from sources where subcontracting or supplier opportunities are negligible. RENEWAL TERMS: The contract may be renewed for up to four successive one-year terms at the City's option.
