WITNESSETH WHEREAS, 7'exas Go�ernment Code, Chapter 791, auth�rizes the formulation of interlocal cooperation agreements betrnreen and amang locaf governrrtents; and WHERFAS, Texas Go�ernment Code, §791.011 pro�ides that a locai government may contract with anoiher local go�ernmer�t to perform governmental functions and services, and §789.003(3)(H} defines waste disposal as a governmental function and service; and fnterlocal Agreement - Household Hazardous Waste Program f'age 3 of 21 WH�REAS, Texas Governrr�ent Cod�, §791.Q25 proWi�es that a Iocaf government may agrae with another local go�ernment to purchase services; and WHEREAS, �art Wor�h and Part�cipating City desirs to enter into an interlocal agre�m�nt whereby Fort Worth will purchase the services of a waste disposa{lrecycFing firm or firms and will adminis#er a household F�azardous waste collection pragram; and WHEREAS, Fort Worth and �articipating Giiy rnutuafly desire to be subject ta the prouisions of Texas Government Code, Chapter 791, also known as th� Inferlocal Cooperation Act. NOW THEREFORE, it is agreed as follows: 1. D�F�NITIONS A. Unless a provision in this Agreement explicitly s#ates otherwise, the fol�ou�ring terms and phrases, as used in this Agreement, shall ha�e the meanings hereina#ter designated. Act of God means an act occasioned by the direct, immediate, and exclusive o{�eration of the forces o# nature, uncantrolled or �aninfluenced by the power of humans and without human intervention. Bifl o'f Ladinq lists the contents of the rnobile coafection unit. En�iron�nental Collection Center fECCi means the City af Fort Worth Envirar�merttal Managemer�i Departmen# faciiity located at 6400 Bridge Street, Fort Worth, Texas, which is to be used by Fort Worth for the aggregatian of hausehold hazardous wastes that ha�e been brought to tne facilify by participating cities' haus�hofds for subsequent recyclir�g, disposaf, andlor reuse. En�iranmental damaa�s means all claims, juc�gments, damages, losses, penalties, fines, liabifities {including strict lia�ility}, encumbrances, liens, casts, and expenses of investigaiion and defense flf any claim, whether or nat such claim is u�timately defeated, and of any gaocf faith se#tlernen# or judgment, of whatever kind or r�ature, contingent or otherwise, matured ar un-matured, foreseeable or unforeseeable, including without limitaiion reasonable attorney's fees and disbursements and consuatant's fees, any of which are incurred subsequent io the execution of this Agreement as a result of the handling, collection, transpartatian, storage, disposal, treatment, recoWery, and/ar reuse of waste pursuant to this Agreement, or the existence of a violafion of environmental requirements pertaining to same, anc! including withaut limitation: (a) Damages far personal injury and death, or "rnjury to pro�erty or natural resources; (b) Fees incurred for the services of attorrieys, consultants, co�tractors, experts, laboratories and aIl oti�er costs incurred in connection wifh #he investigation or rernediatian of such wastes or v�olatian of environmental requirements including, but not iimited to, the preparation of any feasibility studies or reports or the �erformance of any cfeanup, remediation, removal, response, abaternent, con#ainment, closure, restoration or monifaring work requirec� by any federal, state ar lacaf go�ernmenial agency or political subdivision, or otherwise expended in connection with the existence of such wastes or �iolations of Inierfocal Agreement — FEousehold Hazardous Waste Prograrn Page 4 oF 21 enviranmenial requiremer�ts, anc! including without limitation any aftorney's fees, costs and expens�s incurred in enforcing this Agreement or collecting any sums due hereunder; and (c) Liability to any third person or governme�ta! agency to indemnify such person or agency for costs expended in connection with the itams referencad in subparagraph (b} herein. �n�ironmenta[ reauirements means all applicable present artd fut�re statutes, regulations, rules, ordinances, codes, licenses, permits, orders, approvals, plans, authorizations, concessions, franchises, and similar items, af all gove�nmenfal agencies, departmenfs, commissions, i�oarc�s, bureaus, or ins#rumentali#ies af the United States, states, and political subdi�isions thereof ancf a[i applicabEe judicial, adminis#rative, and regulatory decrees, judgmenis, and orders relating ta #he pratection of human health or the environment, including without limitation: (a} All requirements, including but not limited to those pertaining to reporting, licens�ng, permittirtg, investigation, ar�d remedia#ion of emissions, discharges, releases, or threatened releases of hazardous rrtaterials, pollutants, contaminants, or hazardaus or toxic substances, materiafs, flr wastes whether solid, liquid, or gaseaus in nature, i�to the air, surface water, groundwater, starm water, or land, or relating to #h� manufacture, pracessing, distribution, use, treatment, starage, disposal, transport, or handling flf po�lutants, con#aminants, or hazardous or toxic substances, rnaterials, ar was#es, whether so(id, liquid, ar gaseous in nature; and (b) All requirements pertaining to the protectian of the healti� and safety of employees or the public. Force maieure means decrees of ar restraints by a go�er�mental instrurnentality oti�er than #he Pa�ties, acts of God, work stoppages due to labor disputes or strikes, failure af Fort Workh's co�ttractor{s) ta pertorm pursuan# to their agreements with Fort Worth for the conduct af the collection af hausehold hazardous waste, fires, explosions, epidemics, iloods, extreme weather, riots, war, rebellion, and sabotage. Household hazardaus waste fHHWI means any solid waste generated in a househofd by a consumer which, except for the exclusion provided for in 40 CFR § 261.4(b)(1), would be classified as a hazardous waste under 40 CFR Part 261. Manifest means the uniform hazardous waste manifest form(s) that must accompany shipments of municipal hazardaus waste or Class 1 industrial solid waste. Mo�ils collection e�ent mearts a household hazardous waste collection event by Participa#ing City utilizing a mobile collection unit. Mobile Collection Unit lMCUI means a non-self-prop�lled vehicle used for the perindic �oflection of household hazardat�s waste by Participating City, aff-site of the ECC, which is transporfed to the �CC to dispose af the i�ousehold hazardous waste collected at the mobile collectian event. Mobile Callectian Uni#s owned by Fart Worth are designed to hoid the hazardous waste of approximate�y 50 to 75 househafds, Interlocaf Agreemenk — Household Hazardous Waste Program Page 5 of 21 Particioatinct Citv means the municipality which has entered into this agreement with the City af F'ort Worth. Participatina Entities, when used in the plural, means F'ort Worth, Partici�ating City, a�d aN other entities which have entered into ir�terlocal agre�m�nts with Fort Wo�fh for the ECC household hazardoUs waste collection program. Person means an individual, corporatian, organization, governmen#, or gorrernmental subdivision ar agency, business trust, pa�tnership, assaciation, or any other legaf enti#y. Waste has khe same meaning as "solid waste'" as that term is defrned in Texas Health and 5afety Cade �361.003, and including hazardous substances. B. Un�ess a provision in this Agreemen# explicit[y states otherwise, the following abbreviatians, as used in this Agreement, snaA ha�e the meartings hereinafter designated. CERCI.A - Comprehensive Enrrironmental Respar�se, Compensation, and Liability Act, its amendments, associated case law, and s#aie caunierparts. CPR � cardiopulmanary resuscitation. DOT - United States Department af Transpartation. ECC — Fart Worth �n�ironmental Coflection Center. EPA- United States Environmental Protectipn Agency. HAZCAT - hazardous categor9zatian. NAZWOPER - hazardous waste operations and emergency response and the training, certification, and legal requirerr3ents assocEated therewith. HM - hazardous m�terials. HNW - household hazardous was#e. MCU - Mobile Collection Unit. TC�Q — 7exas Commission an Environmentai Quality. 2. PURPOSE The purpase of ihis ir�terlocai agreemen# (hereafter "Agreerrient") is the pro�ision of services by Fart Worth ta Participa#ing City whereby, subject to the terms and conditions specified E�efow, Fort Worth wili administer and super�ise a reginna! househald hazardous waste colfec#ion program, which wifl be a�ailable ta househoids within Participating City as described herein. TERM This Agre�ment shafl be effective fram October 1, 2010 or the date the last party has signed this Agreerr�ent, whichever is later, through September 30, 2Q11 however #he duties and responsi}�ilities af the Part�es for events which occurred during ihe term of the contract shall survive. If Partieipating City has mobile colfectio� events sci�eduled duri�g the months of October through December 2Q11 and this Agreemeni has not been renewed by the end af the regular term, this agreemerrt shall be �xtended on a month to month basis until the mobile col[ection events have been completed or cancelled by Participa#ing Ci#y. 4. S�RVICES OF FORT WORTH Fort Worth agrees to pe�Form the following s�rvices for Participating City in c�nnection with the ECC hausehold hazardous waste callection program: A. F'ort Warth wi�l adminis#er a regional househofd hazardous waste collection pragram. This program will include the operation of th� En�ironmentaf Collection C�nter, which will accept far disposal andlor recycling household hazardous waste from househalds located within Participating City. Fort Wortf� shall not accept compressed flammable gas cor�tainers; radioactive materials; explosives or �otentially shock sensiti�e materials; biolagiGal, etivlogic, or infectious �na#erials; wastes fro�n businesses; oe any other wastes that Fort Worth has determined are unacceptable. B. Fort Worth will employ or retain personnel to provide th� services necessary to perform �ort Workh"s obligafians in this Agreement. C. Fort Worth will enter into a contract{s} wit� a waste disposal/recycling firm{s) for the Y�andling, coflection, transpartation, storage, disposal, treatment, recor►ery, andlor reuse of household hazardous waste that is collected at #he �CC or during mobile collection events. �. Fort Worth will, if requested in writing by Participating City, pro�ide Participating City with copies of waste rnanifests far shipments af waste fram the �CC. E. Fort Worth will, if requested in writing by Participating Ci#y, provide Participafing Ci#y a monthfy report of the Participati�g City's households who dispased of hous�hald hazardous waste at t�e En�ironmental Collection Center or a mobile coliection svent, F, Fort Worth wi�l issue a report and an in�oice at the end of each quarter detailing the number of Participating Ciiy's households that dispased of i�ousehold hazardous waste at #he EnviranmentaE Colfection Cen#er or at mabife collectian euents. G. Fart Worth will act under this Agreement in accordance with all applicahle state and federaE laws. H. Mobile Collection E�ents Participating City may schedule a mobile collection event to be operated by Fflrt Worth personnel using one of Fort Worth's MCUs or conduct their own mobile colfection events Interlocal Agreemen# — Household Hazardous Waste Program f'age 7 of 21 using either Participating City's MCII or Fort Worth's Reserve h/iCU (as available). Staie regulations require notification to the 7'exas Commission on En�ironmental Quality (TC�Q) at least 45 days prior ta eonducting the event. 1. Fart Warth Operated E�ents: If Participatir�g City would like to schedule a moi��fe collectiort event with the Fort Warth Mobife Cofleciion Unit, Participating City shall contact the �CC as soon as possible for a Eist af available dates. The #ime and locatian shall be agreeable to both �arties. Participating City may schedule one moi�ile collection event each contract year. �ort Warth will file notifcation af the event with TCEQ as requirec� by 30 TAC §335.4Q3. (a) 5cf�eduling E�ents F'ort Worth will begin scheduling mobile colEection events for the 20'� 1 calendar year on January 4, 2011. To ensure proper natification to TCEQ, events must be scheduled at least sixty (fi0) days ah�ad of the praposed date. Participating City acknowledges that Fort Worth contracts with other municipalities and that Fort Worth will be accommodati�g each Participating City's request an a first come �irs# served basis. Therefore, Participating City acknowledges that its choser� date to schedufe a mobile collection e�ent may be reserved by another ci#y and Participating City will har�e to then choose another da#e. Participafing City will, in no even#, be entiiled to any damages or reco�ery of any costs, except as provided herein. (b} �ocaiion ff Participating City chooses to hold the Mobile Collectian Event on pri�ate property, Participating City shall obtain a signed waiver from the owner of the property sixty (60) days prior to the e�ent. The wai�er shall be in the form of Exhibit B or similar form appro�e�! by Fort Worth, The signed wai�er must be sent to Fort Wort#� sixty (6Q) days befare the Mobile Coliection Event. If the signed waiver is nat sent to �art Worth sixty (60) days before the Mabile Collectian E�ent, Fort Worth will not send the Fort Worth Mabile Collecfion Unit to the event and Pa�kicipating City wil�, in no event, be entitled to any damages or recovery of ar�y costs, exce�t as pro�ided herein. All events must be held an an impervious surFace. (c) At the Mobile Collection Event, Participating City acknowledges and agrees that Fark Wor#h shall accept household hazardous waste from the first 50 hausehofds that show proof of residen�y at #he Mabile Collection Event. After the first 50 households, Fort Worth will determin� in its sale discre#ian how much more waste it can accept for proper transport back to th� ECC. If more households arrive at the event than �ort Worth can accept, Participating City will in no event be entitled to any damages or recavery ofi any costs, except as pro�ided herein. (d) Due to the lack of s#orage space at the ECC, Participating City acknowledges and agrees that if it requests the Fort Wo�fi� Mobile Collection Unit at a mabile coflection event, a Participating Cify's MCU shall �ot afso be at the ev�nt. Interlocal Agreerr�ent -- Ffousehold Hazardous Waste Program Page 8 of 21 {e) Fo�t Worth, in its soie discretion, wil� defermine whe#her to send the Fort Worth Mobil� Collection Unit #o F'articipating City's Collection Event during ad�erse weather, the threat of adverse weather, or other hazardous condifions including but not limited to slee#, snow, rain, mist or hail. In the e�ent Fort Warth determines not to send the Fort Worfh Mabile Collection Unit, Fort Worth shali atiempt to notify persons listed hereirr as an "Operationai Contact" by tf�e Participating City and shall attempt ta send a Fort Worth employes to the Participafing Ci#y's e�ent to tel[ any residents that come to dispose of househnld hazardous waste that the Fori Warth Mobile Colfection Unit will nat be coming to the e�ent, but the resident ean go to the ECC to dispose of the waste. A map with directions to the ECC aiso will be pro�ided. 2. Parkicipating City Mobile Coflectifln Unit: (a) Fork Worth agrees to accept household hazardous waste from mobile collection avents conducted by Participating City using Participating City's MCl] in acc�rdance with the terms of this Agreement. (b) Fflrt Worth agrees ta restock the items it removes from Participating City's MCU, however, �'ort Worth sY�all only restock items listed in Exhibit "A", attached and ir�corporated herein as if set forth. 3 Loan of the Reserve Mobile Callection Unit The reserve MCU is a specially d�signed and equipped thirty-six (36) foat gooseneck box-trailer and one (�) tan �aickup awned by Fort Worth. Participating City may reqUest fhe loan of Fort Worth's Reserve MCU free of charge far use in a Household Hazardous Waste coilection event when available. Participating City may use the Reserve MCU to transpor# HHW to Fart Worth's �CC or another collection ce�ter that may IawfuRly receive HHW. Participating City sf�all prorride Fort Wa�th with a written request, facsimife or e-mail at least sixiy (�0) days prior to th� e�ent da#e for which the request is made. Fort Warth shall have sole determination whether the Reserve MCU is a�ailable for use by Partici�a#ing City and shalf notify Participating City as soon as is reasonably practicabfe of such decision. Fort Worth shall not participate in nar be responsible for any park of the Participating City's HHW Coilection ��ent unless and except by writ#en mutuai agreement. (a) Fort Warth shall disclose any known problerr�s the Reserve MCU may have in p�rfarming the tasks necessary far the HHW Collection E�ent. Prior to iss�tance of the Reserve MCtJ, a pr�-trip inspectian far potential maintenance prablems will be �reformed Eay Fort Worth. Also, both parties wilE compEete a pre-trip aesthetic ass�ssment. Participating City shall be responsible for all cerkifications and insurance nece�sary far the proper operaiion oi the Reserve MCU. (b) �articipafiing City agr��s fo maintain and return the Reserve MCU ir� as goocf cortdition as it was in when Participating Ci#y took possession for Interlocal Agreement -- Hovsehold Hazardous Waste F'rogram Page 9 af 21 use. Participating Cify shall return the Reserve MCU to For# Worth in a timely manner and as mutually agreed upon. {c} Participating City shal! be responsi�le for all property damage, personal injury or death caused by Participating City's employees, volunteers, contractors, ar agents and arising out of the use of the Reserve MCLI during the term of this Agreerr�ent. {d) It is expressly understood and agreed that, in the execution of this Agreemer�t, neither of the parties wai�es, nar shall be deemed hereby to waive, any immunity or de�ense that would oth�rwise �e available to it agains# claims arising in the exercise of governmental powers and functions. By entering into this Agreement the parties do not intend to create any obligations, expressed or implied, ather than those sei �otth herein and this Agreement shall not create any rights in pariies no# signatories hereto. 5. DUTIES OF PARTICIPATING CITY Participating Gi#y agrees to perForm the following duties in connection with the househalc� hazardous waste collection program: A. Participating City will designate one of its employees, and another as an alternat�, io act as �ts househafd hazardous waste coliection Operational Contact to interact with Fort Worth as designated on the signature page ta this contract. B. �articipating City will coordinate and fund ail pragram advertising targeted to its own eitizens, as it deems necessary. Such advertising s�afl include the type of wastes that wiif i�e accepted a# the ECC, the requirement of proof of residency, and weather cancellatian information. C. Participating Ciiy shall notify its residents of the ECC hours of operatian and dates it is clos�d as prorrided in Section 9"The En�ironmental Collection Center Haurs of 4peratian." D. Participating City may choase to utilize a �oucher system far its residents in order for #hem to bring HHW io t�e ECC. If Participating City chooses to use such a system, it shall designaie so h�r�in and incl�de a copy of #he official voucher. fn addition, if a citizen from a Partic�pating City that utilizes a �aucher system comes ta the ECC ar a mobile collection �vent without a voucher, Participating City acknowaedges and agrees that Fort Worth will not accept the housahold hazardous waste until Parkicipat`rng Cifiy authoriz�s the acceptance in writing. E. Participating Cify may subrnit a written rec�uest for a monthly report listing the number af its city's households that have dispased of household hazardous waste at the ECC or a mobile collec#ian euent. F. Participating City shall provide #raffic contro� and signage for the mabile callection event, and shall pfovide personnel to assist �ort Worth with the offioading of material, surveys, and screening of persons dropping ofF household hazardot�s waste. Prior to the event, Int�rlocal Agreement �- Househald Hazardous Waste Program Page 10 of 21 the parties shall agree upon the details of the traffic control, signag�, and personnel assistance. G. ff a Participating City resicfent presents waste that was collected from mui#iple hauseholds, �art Worth reserves the right to charge the P�rticipating Ci#y based on the total number of households from which the waste originat�d e�en if the resident has only one �oucher. H. Participating City shall provide a m�ans for disposing of solid waste (e.g. boxes, trash, containers) on site during a mobile coflection event. Mobile Collectian Events usina Participatinq Citv's MCU or Reserve MCU Participating City is responsible for proper notificatian to TCEQ as required by 30 TAC §335.403. 2. F'articipating City shaEi advis� the ECC at least 72 haurs in adva�ce of its rnobile collectian euents. Participating City shall collect only HHW cluring a mobile collectian event. Wastes from comm�rciaE, agricuftural, and indusfrEal saurces shall not be accepted. Participating City shall not accept compressed flammable gas containers; radioactive materials; expiosives or potentially shack sensitive materials; •biological, eiiologic, or infectious materials; or any oiher wastes that For# Worth has determi�ed are unacceptable. 3. fn accordance with the latest �oT requirements, Participating City's MCU operators will properly categorize, pac�Cage, rrtark, lafo�l, and load into the MCU, a�l tinrastes rece�ved at the mobile colEection euent. Recyclable �roducts (used oil, U5ECI oil fifters, latex paint, recyclable anti-freeze, lead-acid batteries, and fluorescent lights) will be segregated into containe�-s fa� recyclabfes. 4. Aft�r accepting wastes, Participating City`s MCU operators shall thoroughly check each container for proper labeling and identificatian. if a container is prop�riy identified, th� rrrat�riai wifl be segregated according to hazard class and prepared for pacl�aging. If a cantainer does not �a�e acEequa#e labeling to permit identification, the MCU operators shall then attempt to identify #he material from its physical characteristics using HAZCAT analysis and from information pro�ided by the household pr�ser�ting the waste. 5. The Participating City`s MCU opera#ors shali package ali hazardaus materials in accordance with United States Department of Transpartation (DOT) requiremenis, United States �n�ironmental Protection Agency (EPA) requirements, and ail other applicable federal and state requirements. After afl the wastes have been properly identified and segrega#ed, the MCU operators will reexarr�ine the wastes for compatibility, list th�m fln th� container content sheets, and pack thern into drums. Oi!-based paints and latex paints shall be bulked separatefy in 55-gallon drums, or if the paint is !eft in its container, ihe paint can be packed in a lined cubic yard bax, and pacEced and labeled according to federal and sta#e regufatio�s. Participating City shall not transport waste ihat is no# HHW to the ECC. Participating City agrees to make its own arrartgements to dispose af any non-HNW waste collected at the e�ent. fnterlocal Ag�eement — Nousehold Hazardous Waste Program Page 11 of 21 E. Priar to transporting the HHW from the co[lection event site, ParticipatEng Ci#y's MCU opera#ors shall complete a BilE of Lading, a�d shall keep the 8ill of Lading in #he cab of the truck hauEing the MCU during transporkatio� of the HHW to the ECC. Participating City shall require that a minimum of one copy of the latest North American Emergency Response Guidebook be kepf within the cab of the truck. Fort Wor�h shall take possession of fhe MCU frorn Participating City after the MCU has been properly parked for unloading in accordance with Fort Worth's ins#ructions and all required documents ha�e been delivered to the ECC manager or his designee at ihe �CC. Fart Worth shall, within a reasonable amaunt of time, unioad the HHW from the Partici�ating City's MCU and sto�e the unit at the ECC. R1GHT TD REFUS� WAST'� Participating City agr��s that Fork Wa�th s�ail ha�e the right to refuse to accept waste at the ECC from Participating City or Participating City's resident, if in the reasonable judgment of Fort Worth: A. The waste is not household hazardous waste; B. The wasie fails to meet other established criteria established by this Agreement, Qr that have been established by Fork Worth subsequent to the execution of the Agreement; C. The indi�idual does not ha�e s�fficienf identification to estabfish that helshe is in fact a resident of Participating City; D. Participating City has implemented a vaucher system far its residents ta dispose of waste, and the individual does not ha�e a valid �oucher; or �.
