COMMiJNITY �'ACLLITIES AGREEMENT
THE STATE OF TEXA5 § City Secretary
COiJNTY OF TARRANT § Contract No.
WHEREAS, the undersigned Developer ("Develop�r") clesires to make certain
specific irnprovem��tts as described below and on the exhibiis attacl�ed hereto
("Improvemenis") related to a prajeci generally described as QuikTrip #954 ("Project")
within the City of Fort Worth, Texas ("City"j; and
WHEREAS, the City has no obligation to parti.cipate in. the cost o� the
Improvements or Praj ect; and
WHEREAS, any fizture City participation in this CFA is subj�ct to th� availability
of City funds and approval by the Fort Worth City Council and shall be rnemarialized as an
amendment to this Agreemeni; and
WI�EREAS, the Developer and the City desire to enter into this Conamunity
Facilitzes Agxee3rzzent {"GFA" ox "Agreezarxent") zn ca�azaectzon with tl�e Impzavements and tk3.e
Proj ect.
NOW, THEREFORE, For and in consideration of the covenants and
conditians contained herein, the Ciiy and t�ae Develaper do hereby agiree as fallaws:
Ge�erai Requiremen�s
A. Th� Policy for the Tnstallation of Community Facilities ("Policy") dated March
2001, approved by the City CQuncil of the Gity of Fort Worth, as amended, is
hereby incorporated into this Agreement as if copied herein verbatim.
De�eloper agrees to compiy with all provisions of said Policy in the
perfarznance of its dutzes ax�d obligations hexeu�zdex and to cause alI
eontractors hired by Developer to comply vvith the Policy in conn�ction �ovith
the work performed by said contractors.
B. Developer shall provide financial security in conformance wi�h paragraph 6,
Sectian II, of the Policy and recognizes that there shall be no reduction in the
collateral uzitil ihe Pxoject ha� bee;n co��npleted azad the City has offcially
accepted the Improvements. Developer acicnawl�dge� that the said
acceptance process rec{uires the Developer's contractor(s) to submit an

affidavit of bills paid signed hy its contractor and consent of surety signed
by its surety to ensure the contractor has paid any sub-contractor� and
suppliers in full. Additionally, the contractor must alsa provide zn writing
that the contractor has been paid in full by Developer for all the services
provided under their cas�tract.
C. Developer agrees to cause the canstructian of the Improve�nents contem�alated
by this Agreement and thai said construction shall be comple�ed in a good and
workmanlike manner and izx accoxdax�ce with all City standards and the City-
approved construction plans, speczficatians and cast estimates pravided for the
Project and the exhibits attached hereto.

E. The Developer shall award all con#racts for the construction of �he
Impravements iu� accordance with Section II, paragxaph 7 of ihe Po�icy and ihe
contracts shall l�e administered zn canfoatma.nce with paragraph S, Section II, of
the Policy.
�. Far aIl Improv�ments ineluded in this Agre�ment for v�rhich the Developex
awards construction contraci{s}, Developer agrees io tlle following:
i. To em�loy a consiruct�on contractor who is approved by the director of the
departme�t having jurisdiction over the infrastructure to be constructed,
said contractor to meet City's requirements for being prequalif ed, ins�red,
lice�sed and ba�ded to do work in public streets andJor to perform
water/waste water constructzon as the case zn.ay be.
ii. To require its cantractor to furnish to the Citp a payment a�d pex�'armaaxce
bond in �he names of the Criy and the Developer fnr nne hunclred percent
(100%} of the contract price of the Irnprove�nents, and a mainienance bond
in the name of the City for one hundred percent {100%) of the contract price
of the Impxovemenis valid for a period of two (2} years fro� the date of
final acceptance insuring t�e mainten.ax�ce and repair of the cozzs�ucted
infrastruature during the term of the maintenance bonc�. All bonds ta be
furnished before work is cornmenc�d a.nd to me�t the requirements of
Chapter 2253, Texas Government Goda.

iii. To require the ctintractor(s) it hires to perform the construction work
contemplai�d herein to provic�e insurance equal to or in e�cess o�' the
amounts required by the C'rty's standard specifications and contract
documents for developer-awarded infrastructure constrizction cantracts.
The City shall be named as additional insured on all insurance required by
said documents and sanne will be evidenced on the Certificate of Insurance
(ACORD ar pfher state-appraved foz�m) supplied by fihe confiractor's
insurance provider arid bound i� �h� canstruction contract boak.
iv. To require its contractor to give at least 4$ hours' advance notice of inten�
to cammence canstruciion to fihe City's G�nstru�tion Services Division so
that City inspection gersonnel will be available; to require ihe contractor to
al.low the ca�structian to be subject to inspectian at any and aIl tunes by
Cify inspecl�aa� �orces, to nat ianstall ox relocate any sanitary sewer, 5�DI1T1
drain, or water pipe unl�ss a responsible City inspector is present at�d gzves
his consent to proceed, and to make such laboratory tests o�' materials being
used as may be required by the City.
v. To require its coniractar to have fully executad contract documents
submitted to the City in order to �chedule a Pre-�Consiruction Meeting. The
submittai shouId oacur no Iess than 10 working days pri�r to the desired
date of the meeting. No constructiora will cozx�xnence without' a City-issued
Notice to Proceed to the Develape;r's con�ractox.
vi. Ta dalay connections of bui�dings to service lines of sewer and water mains
construct�c� under this AgreEment until said sewer and water mains and
service lines have been completed �o the satisfaetion of the Wat�r
Department.
G. Develaper shall provide, at its expense, all engineering drawings and
docume�ts necessaary to consixuc� fihe improvements under this Agreemeni.
H. Developer shall cause the instailation ar adjustment af the required utilities to
ser�v� the development ar to construct the Improvements cantemplated herein.
�. City shall not be respon�ible for any cosis that rnay be ineurred by Developer in
the relocaiion of any utilities that are or may be in conflic� with any of the
coz�nmuxuty �acilities �a be installed hareurzder.

d. Developer hereby reIea�es and a.grees to iva.de�nnify, defend and hoId the
City harmless f�r any 'rnadequacies in the preliminary plans, specifications
and cvst estimaies supplied by the Developer inr this Agreement.
K. Develaper agrees to pro�ide, at its expense, all necessary rights of way and
easernents aCrpSS property owz�ed by Developer and required £or the
construction o� the currEnt and futc�re itnprovemen�s provided for by this
Agreement.
L. The Developer fur�her covenan�s and agrees �o, and by these presen�s
does hereby, fully indemnify, hold harmless and defend the C�ty, its
officers, agents and employees from all suits, actions or claims oi any
character, whether real ar asserted, brought for or on account of any
injmrxes or damages sustained by any persons (including death) ar to any
property, resultiGug from or in coanectiou with the coastruction, design,
performance or camp�etion of any wark to be perfot-med by said
Developer, his contractors, subcantractors, officers, agents or employees,
or in con�equence of any failure to properly safeguard the work, or on
accoun� of any act, intentional or otherwise, ne�lect or misconduct ai said
DEVELOPER, his contractors, sub-contractars, of�icers, a�ents or
emplayees, wlaethe� o� not such iniuries, death or darnages are caused, in
whole or in part, bv the alleged r�eglige�ece of tl:e Citv ofFort Worth, its
officers. �ervants, ar emnlavees
M. De�velaper will fnrther require its con�ractars ta indemnify, de�end and
hoId harmless the Cif,y, its officers, agents and employees frpm and agair�st
any and all claims, suits or causes of action af any nature �cvhatsoever,
whether real or asserted, brought for or on aceaunt of any injuries or
d�mages to persans or property, including death, re�ulting from, or in any
way connected with, the canstruc#ion of fhe infrastructure contemplated
herein, whetlie� vr not such iniu�ies, det�th ar daxnages a�e caused, i�z
r�hole o� in �nar�t, by the alleged rxegligence of tlze Citv ofFnrt Worth, iis
af�cers, ser�varats, or emulovees. � Further, Developer � will require its
contracfors to indemnify, and hoid harmless the Ciiy for any losses,
dazaages, casts or e�penses suffered by the City or caused as a resuIt of said

contractor's �ailure to connplete the work and �onstruct the improvements
in a�ood and warkmanlike manner, frae fram deiects, in conformance witl�
the Policy, and in accordance with all plans and specifcatians.
N. Upon connpletzon of aIl work associated with the construction of ihe
Improvements, Developer will a,ssign to the City a non-exclusive right to
enforce the cantracts entered intn by the Developex with its cantractor alon�
with an assignment of all �warranties given by the co�.tz�actor, w�iether express or
unplied. Furthcr, Developer agrees ihat all contracts wi�ii any contractar sha11
include provisions granting to the City the righi to enforce such contracts as an
expxess intended. third party beneficiary of such contracts.
O. Inspection ar�.d z�rnatexial tes�in.g fees are required as follows:
i. Dev�eloper sha11 pay ir� cas� watex and wastewater inspection fees and
material testing fees equal ta tv�a pexcent (2%) �ox a total of 4% of the
developer's share of ihe total construciian cost as stated in the construc�o�
coniract.
ii. DeveIoper shall pay in cash paving and stortn drain inspection fees equal to
four percent (4%) and material testing fees equal to t�o percent (2%) for a
tatal of b°/a of tha developer's shaxe of the total construction cost as stated in
the const�uction contract.
iii. Dev�lop�r shall pa� in cash �he tatal cost af siareetlights ar if the city is not
installing ib� streetlights, inspection fees equaI ta four percent (4%) of the
developer's share of the sireeiligl�t constructinr� cost as stated in the
consiruction con�ract.
iv. Develo�aer shall pay in cash the total cost of street signs.
P. COMPLETION VVITHIN 2 YEAR�
i. Developer shall carnplete the Improvements within two (2) years,
provided, however, i� const�ruu.ction of the Improvements has �tarted within
the two year period, the develaper may request that the GFA be extended
far one additional year.
� ii�. Nothing contained� herein is intiended� �o limit the Develaper's
obligations under the Policy, this A�reement, its fiunancial guarantee, its
agreemen� with its contractor or ather related agreements.

iii. The City may utilize the Developer's financzaI guairantee subm�itted foz this
Agreement to caus� the compleiion of t3�e construction of the Improvements
if at the end of two (2) years from the date of this Agreement (and any
extension period) the Improvements have not been compleied and accepted.
iv. The City may utilize the Develaper's firiancial guarantec to c�.use the
campletion of the const�ruction o�the Improv'ements or to cause the payment
of costs £or constructian of same be�o�e the expzration ai two {2} years i�'
the Developer breaches this Agreem�nt, becornes insolvent or fails to pay
cosfs of consiruction and the iinancial guazante� is not a Completian
Agreement. If the financial guarantea is a Com�aletion Agreement and the
Develo�er's contractors andJor suppliers are not paid for the cQsts of
supplies andJor con.structian, �e contractars andlor suppliers may put a lien
upon the pxoperty whzch is t�e subject of tk�e Ca�xi.pletion A�reenr�ent.
