WHEREAS, the undersigned Developer ("Developex") desires to make certain
specific i_mprovement� as described below and on. the e�hibits attached hereto
("Improvements"} relaied to a project generally described as CARRINGTON ADDITION
REPLAT {"Project") within ihe City of Fort Worth, Texas {"City"); ari.d
WHEREAS, the City has no obligation to participate in the cost of the
Improvements or Projeei; a�d
WHEREAS, any future City partieipatian in this CFA is subject to the availability
o� City fimds and approval by th� Fort Worth City Council and sha.11 be memorialized as an
amendment to this Agreement; and
WHEREAS, the DeveXopex and the City desire to enter into this Community
Facilities Agreeme�at ("C�A" or "Agreement") in connection with the Tmprovements and the
Proj ect.
NOW, THERERORE, For and in cansideration of fhe covenan�s and
conditions contai�►ed herein, the City and the Developer do hereby agrae as follows:
General Requirements
A. The Policy far the Installation of Camrnu�nity Facilities {"PoIicy°`) dated March
2001, approved by the City Council of the Crty of Fort Warkh, as amended, is
hereby� incorparated into this Agreement as i� copied herein. verhatun.
Developer agrees to compiy with alI pravisions of said Policy in �the
performance of its duties and obligations hexeun.der az�d to cause all
contractors hired by Develaper to comply with the Policy in conneetion with
the work performed by sai.d contaracioxs.
B. Developerr shall pravide �"inancial seaurity in conformance with paragraph 6,
Section II, af the Policy and xecogni�es that there shall be na reduction in the
collateral until the P�roject has been completed and the City has afficially :. ___
accepted the Zmpravements. D�v�loper acknowledges t�-�����i���q�,�
acceptazace pracess requires the D�veloper's contractor(s) t�����h���'���

af£'�.davit of bills paxd signed by its contractor and consent of surety signed
by its surety to ensure the cant�actor has paid any sub-contractors and
suppli.ers in full. Additionally, the contractor rnust also provide in writing
that the contractor has been pa.ic� in full by Developer far all ihe ser`rices
provided under theix contxact.
C. Develaper agrees to cause the cpnsfructian of the Improvements contemplated
by this Agreement and that said constructio� shall be completed in a good and
workmanlike mannex and in accoxdan.ce wi.�i all City standards a.nd the City-
approved construction p1ans, specifica�ians and cost estimates providecl far th�
Project and the exhibits attached hereto.

E. The Developer shall award aiY contracts for the construction of the
Improvem�nts in aceardance with Section II, paragraph 7 0� the Policy and the
contz�acts shall be administared in conformance with paragraph $, Section II, of
the Pnlicy.
F. For all Improvemen.ts included in this Agreement for which the De�eloper
awards cons�ruction contract(s), Developer agrees to ihe following:
i. Ta employ a construction canixactor wha is approved by the director of the
department having jurisdxctian aver the infrasttucture to be constructed,
said contractar to rneet Cif�y''s requirements for l�eing prequaliiied, insured,
licensed ary.d bonded fo do work in public streets and/ar to perforrn
water/waste water constzuction as the case may be.
ii. To requare its conixactar to furni.sh to the City a paytnent and performance
band in the narr�es of the City atid the DE�veloper for one hundred percent
(100%) of the cantract price of the Improvements, and a maintenance bond
in the name of fhe City �ar one hundred percen� (100%) of the contract price
of the �mprovements valid for a period of two (2} years from the date of
final acceptance insuring the rnaintenance and re�air of the eonsinicted
infrastructu�re during tl�e term of the rnaintenance lao�d. All bands to be
furnished be�ore wark is cotninenced and to mee� the requirements of
Ck�apter 2253, Texas Governznent Code.

izi. To xequire the cantz�actor(s) it hires ta perform the construction work
contemplated herein to provide �nsurance equal to or in excess of the
amaunts required by� the City's standard specifications a.nd contract
documents for developer-awarded infrastructure construction contracts.
T�.e Cxty shall be named as additianaX insured an all insurance requi�red by
said documents and same will be evidenced on the Certificate of Insurance
{ACORD ar other state-approved forn�) supplzed by the cantractor's
insu.rance provider and baund in the constructzon con�ract baok.
iv. To require its contractor to gi�+e at least 48 hours' advance notice of mtent
to commence construction to the City's Construction �ervices Div'i�ion sa
that City inspeciion personnei �vill be available; to require the contractor to
allow the consiruction to be subjec� to inspection at any anc� all times by
City inspeetion forces, to not install or relocate any sanitary sewer, storm
drain, or watex pipe uniess a responsible City inspector is present and gives
his cansent ta proceed, and to make such labaratory tests of materials being
used as may be required by the City.
v. To require its con1ractor to har�e fully executed contract docu�nEnts
submit�ed to the Gity in order to schedule a Pre-Canstructian M�eting. The
snb�nittal should occux no less than 10 working days priar ta the desired
date of the meeting. No construct�on will commence wi�haut a City-issued
Notice ta Proceed to the Develaper's cantractor.
vi. To delay conz�ections of buildings to service lines of sew�r and water mains
coz�structed un.der this Agreernent until said sewer and water mains and
sezvice liz�es have been compl�ted to th� satisfaction of the Watez
Departmen.t.
G. Develapex shall pro�vide, at its e�pcnse, all engin�ering drawings and
docume�.ts �ecessary to construct the improvements under this Agreemant.
H. Developer shall caus� ihe installation or adjustment of the required utilities to
sezve the development or to construct t1�e Impravements conternplated herein.
Z. CiYy shall not be responsible for any costs that may be incurred by Developer in
tk�.e xelacation of any utilities that axe or may be in conflict with a.�ny of �he
cammunity facilities to be installed hereunder.

J. Developer hereby releases and agree� to indemnify, defend and hold �he
Cit�y harmles� for any inadequacies in the preliminary plans, specifications
and cos� estimates supplied by the Derveloper for tl�is Agreement.
K. Developer agrees to provide, a� its expense, all neces�ary rights of way and
easemenis across property owned by Developer and required for the
canstruction of the current and future improvements provided for by this
Agr�ement.
L. Tk�e Developer �urt�.er covenants and ag�rees ta, and by these presents
does hereby, fully indemnify� hold ha�naless and defend the Cxty, �its
officers, a�ents and emp�oyees frona aIl suit�, ac�ians or elaims of any
character, whetl�er real or asserted, braught for or on account vf an.y
injuries or damages sustained by any persans (incluain� death) or to any
property, resulting from or in connect�on with the construction, design,
performance or completion of any work to be performed by said
Developer, his contractors, subcontractors, of#icers, a�ents or employees,
or iun conseqnence of any failure to properly safe�u�rd the work, or on
account af any act, inte�tional or othervv�se, neglect or misconduct of said
DEVELQPER, h'rs con�ractors, sub-contractors, officers, agents or
employees, whether� ar nat suclt inlu�ies, death or damages are cttused, in
whole o� in �at�t, by ihe alle�ed negrigence of'the Cit`tr of Fort Warth, its
of�cers, servar�ts, or ernplovees.
M. Dcveloper will frxrther require its cantractars to inde�nnify, defend and
k�old harmless tke Citiy, its officers, agents and employees from and against
any and all claim�, suits or causes of action of any nature whatsoever,
whether real or asse�rted, brau�ht for or on account of any injuries or
damages to persons or property, including death, resul�ing from, or in any
way connec�ed with, the construction of the infrastrucfure canfeYnplated
herein, whether or not �uch iniur�ies, death or dama�es are caused, in
whale nr in part, bv the alCe�ed ne�li�ence af the Citv af Fort Warth, its
ofrcer�, servants. or etnplovees. Further, Develvper will require its
confractors to indemn�ify, and hold harmless the City for any losses,
dama�es, costs or ex�enses suffered by the City or caused as a r�sult of said

contractor's failure to complete the work and construct thc impravements
in a good and workmanlikc manncr, frce from defects, in conformance with
the Poliey, and in accordance with all plans and specifications.
N. Upon completion of al� work assaciated with xhe construction of the
Improvemen�s, Developer vvill assign to the City a non-exclusive rzght to
enforce tk�e cantracts entered into by the Developer �th its cantractor along
with an assignment of all warranties given by the cont�ractor, whether express ox
impliec�. Further, Developer agrees that ali contracts with aa�y cantractox sha�l.
ine�ude provisions �anting tv the Ci�y the right to enforce such cantracts as ati
express intended third party beneficiary of such c�ntraets.
O. Inspec�ion and maierial tes�ing fees are required as follows:
i. Developer shall pay in cash water and wastewater inspection fees and
rnaterial testing fe�s equal to two percent {2%) for a total of 4% of the
developer's sl�are Qf the total eonstruction cost as stated in the construction
cont�ract.
ii. Develaper shall pay in cash paving and stortn drain inspection fees equal to
four perce�t (�%) and material testing fees equal ta twa percent (2%} far a
total of 6% of the developer's share o£ the tatal construction cost as stated in
the construction cantract.
iii. Developer shall pay in cash the tatal cost o� streetlights ar if the city is not
installing the streetlig�.ts, inspectio� £ees equal ta faur percent (4%} of the
�.eveloper's share o� Y}ae streetlight construction cost as stat�d in the
const,�uctioz� conbract.
i�. Develo�ex shall pa� in cash the tot�l cost of street signs.
P. COMPLETION WITHIN 2 YEARS
i. Developer shall camplete tke ImprovEments within two (2) years,
provided, however, i� construction of th� Tmprovement� has started witnin
the two year period, the dev�loper may reques� that the CFA be extended
for one additianal year.
ii. Nothing eontained �ereiw is iva.tended to limit the Developer's
obligafians nnder the Policy, t�is Agreement, its fiinancial guaran�ee, its
agreement witk� it� cnntractor o� othe� related agreements.

iii. The City may utilize the Developer's financial guarantee suhmitted �'or this
Agre�ment to cause the campletion of'the construction o�the Tmprovements
i� at the end of two (2) yeaxs fram the date of thi.s Agz�eement (and any
e�tension period) t�ie Improvements have �at been campleted and accept�d.
iv. The Ciiy may utili�e the Developex's financial gua�rax�tee to cause the
campletian of tk�e coz�tz�ction of tb.e Improvements ox to cause the pay.ment
af costs for canstruction of same before the expiration of twa (2) yea�rs i�
t�ie Developer breaches ihis Agreement, becornes insolvent ar fails to pay
cvsts of construction and the financial guarantee is not a Completion
Agreement. If the financial guarantee is a Campletion Agreement and #he
Developer}s contractors andlor suppliers are not paid for the cos�s of
supplies and/or construction, ihe cantractors andlor suppliers may put a lien
upon the property which is tl�e subject of the Completion Agr�ement.
