ThEs contract is entered into by the City of Fork Worth, Texas, a municipal
corporation situated in Tarrant, Den#on ar�d Wise Counties, Texas, hereinafter cafled
"City, and 5tane Core Films, Inc. a Texas carporation, hereinafter called "Contractor,"
�oth par�ies acting hereir� by and through their duly authorized representati�es:

ir� accordance with the highest professional standards, Cantractor agrees to
pro�ide the services of film commercial produc�ion Specifically, City hereby
engages Contractor ta jointly organize, schedule, shoot, p�acess, transfer 35mm
film, off-line, and deliver fiwo thirty second (:30) spots titled Harmful House
( Commercial ). One will be an English �ersion, and fhe other will be a Spanish
version. This will include one 12�hour work�ay for crew, and ail producfion and
pastproduc#ion per storyboards through delivery ofi the final edited masters.

Con#ractor shall provide delivery af the final edited masters no later than
November 19, 2002.
3. �omoen�afion.
b. The amount to be paid to Contractor for all services performed hereunder
shall be $59,876, hereinafter "Contractor's Fee."' Payment shall be made according
to fhe following schedu�e: 20% upon execution of the agreement, with the remainder

payable �pon receipt by City of �he edited masters. The Cantractor s Fee s�all include
al{ expenses incurred by Contractor in the accomplishment of all work lis#ed above
under Section One, Scape of Services. The Contractor MUST obtain Fort Worth City
Cauncil authorization IN ADVANCE fior any and all charges beyond the sum of
$24,999. It is understood that fhis Contract contemplates the provision o� full and
compiete praduction services for this project, including any and all nec�ssar�r
changes ar contingencies to complete the wor�C as outlined abo�e in Section One,
Scope of Service, for the fee described above.
4. �afia.
7he City shall retain ownership of all data compiled, analyses performed and
reports drafted by the Contractor in his or her ftalfillmenf of the terms af this Corttract.
5. Terminafion.
a. City may term�nate this Contract at any time for any cause by notice in wrifing
to Cantracfor. Upon the receipt of such notice, Contraetor shall immediately
discontin�e ali services and work and the placing of all orders or the enterir�g into of
contracts for all supplies, assistance, facilit�es and m�terials in connection with the
performance of this Gontracf, ar�d shall proceed to cancel promptly all existing
contracts insofar as they are chargeable to this Con�ract. If the City terminates this
Gontract under this Section 5.a., the City shall pay Contract�r for services actually
performed in accordance herewith prior to sueh termination, less s�ch payments as
ha�e beer� previously mad�, in accordance with a final statement submitted by
Contractor documenting the performance of such work.

and records of such subcontrac�or involving transac#ions to the subcontract, and
further that City shall have access during rtormal working hours to all subcontractor
faciliti�s and shall be provided adequate and appropr�ate warkspace in order to
canduct audits in compliance with the provisions of this paragraph. City shall gi�e
subcontractor reasonable ad�ance no�ice of intend�d audits.
11. Prohibition of r4ssianmenfi.
Neither party hereto shall assign, suble# or transfer its interesf herein withou� the
prior wrif#en consent of the other pa�ty, and any attempted assignment, sublease or
transfer ofi all or any part hereaf without s�ch prior written consent shall be void.
�! 2. �hoice �f Law;l�enue.
This Contract s�all be construed ir� accordance with the internal law of the State of
Texas.
Should any action, whether real or asserted, at law or in equity, arise out of the t�rms of
fihis Contract; venue for said actian shaf! be in Tarrant County, Texas.

Core Fi�ms for t�e productian o# a television comm�rcial on lead based paint safety for #F�e Ha�sing
Department for a cost not to �xceed $59,876.
DISCUS510N:
TF�e Housing Department will us� this contract to produce a television commercial, warning citizens of
� the dangers of lead �ased paint. Th� thirty-second cammercial will air on loca� tele�ision stations. Th�
Housing Departmen� has receive� a grant fram the #edera� government ta prad�ce this commercial.
The script and diractar's .services for this commercial wili �e danated fio the Cify at no cost. Th�
scriptwriter and directar of the commercial are associated solely with Stane Core Films.
MIWBE - A waiver af the goal for M/WBE subcontracting requirements was req�ested by the
P�rchasing Divisian and appro�ed by tF�e MIWBE �ffice hecause the purchase af setvices is from a
source wi�ere subcontraciing or supplier opportunities are neglfgi�le. �
