THIS contract ("Contract") is made and enteted in�o by and between the City of �'oxt Warth ("City"),
whnse address is 10�0 T�ackxzxorton St., Fort Waxth Texas 76102, acting by and through T.M. Higgins, its
d�ly authorized Assistant City Manager, and Catholic Charities Diocese of Fart Worth ("Contractor"),
whase address is 2701 BuFchill Road Foxt Worth, Texas 76105, acting hp and thtough Ms. Heathez
I�eynolds, its duly authorized CEO. (5ometimes City and Contractox are refeYred to �ndividually as a
"Paxry" and coliectively as the "Patries".)
WH�REiiS, City has received grant moni�;s from the United States Depaxtment o:E Housing and
Urban Development ("HUD"} under the AIDS Housing Opportunity Act, as amended, (42 USC 12901 et
seq.} far utilization in connection with the Hausing Qpportunities for Persons with AIDS ("HOPWA"}
program, Grant No. TXH-09-FD02, Far Ye�r 2D09-2Q10;
WHERE.AS, the objective of he HOPWA program is to address the needs of eligible pexsons
associated with rhe challenge oE living urit'h HN/AIDS and their families;
WHERF�AS, City has been designated by HUD to service Tarrant, Johnson, Hood anc� Parkex
Counries through HOPWA; �
WHER.EAS, City citizens, the Community Developmenti Council, and the City Council have
dete�mined that HOPWA pxograms are needed by the City's 1ow and moc�exate-incom� citizens with
documented HN/AIDS status and their fam'tlies ns defined in 24 CFR 574.3{2}.
N�W, THEREFORE, THIS AGREEMENT FURTHER WI'INESSETH:

o� preventing hornelessness q£ law-income pexsons with HN/AIDS and thei� fatr�il.ies undex the
pxogxam natne Lady Hogan Project ("Ptogxam"), for the term �une 1, 2i709 to May 31, 201fl.
Contractof agrees to ensuxe the confidentialitp nf the name of any Program paxiicipant assisted
under the Program and any ather inEoxmation regaYduig individuals xeceiving assistance.
Cont�actor will pxovide the services and acrivzties as set Eorth in Exhibit A�Program Sum�ary in
accordance with Exhibit B�Program Serrvices Schedule.
Caz�tractor agrees to abide by the HOPWA Regulations, 24 CFR 2A� 574 �et .req.} and will utilize
HOPWA funds to benefit low income individuals with docutnented HIV/AIDS status and theix
families. Contxactor agrees to conduct an annuai assessment of the housing assistance and assu�re
rhe adequate prowision of the s�pportive setvices desc�ibed in 24 CRR. 574.30Q (b)(7) to Pxogram
paxticipants ass�sted with housing under hhis Coz�txact. No fee except rent shall be chatged of any
Program participant EoY any housia�g or services provided with funds fram this Conrract.
Contractor will comply with 24 CFIt 574.310(e) rega.rrding any texm.inatton of assistance.
ContracCot agxees to maintain full documenta�.on supporttng fulfillment af these requirements in
its files. All such documentation shall be furnished to City upot� xequest if necessary fflr City to
fulfiIl its obligat�ons nnder its Fedetal grant. If this documentation is not maintained and fittnished
to City on rec�uest, City m�y exerca�se all temedies �vailable undex this Contract, includir�g the xzght
to withhold payment to Contractor on this Contract ox any otl�er cor��act with C:ontxactor, a�
terminate this Contract as ciescribed herein. �

d. Cit`y will'monitor and evaluate Contractot's performance using the goals and perfoxmance standaxds
requiYed iti this Contxact. Substandaxd pexfoYnnar�ce as determined by City monitoYing, including
nancompliance with any applicable xegulatiton of the U.S. Department of Hausit7g and LTrban
Development, will consritute non-compliance with this Contract. If acrion to correct such
substandaxd petformance is not taken by Contractor within a reasonable period of time aEtez being
r�otihed it� w�txt�.g by City, procedures to suspend or terminate the Conttact will be initiated.
e. If applicable, Cantxactox shall comply and assist City in complyitig urith the pravfsions of 24 CFR
574.G30 xegardirtg displacement, xeloca�ion and real pxoperty acquis�tion; uniform admitustrative
xequirements and cost principies; emplopment and contraciing oppartu�ities; use of debazred,
suspended, ox ineligi.�le co:�tractats o�e subrecipiezzts; eligi.bility testrictions fo� c�xtain resident
aliens; conflict of interest, and othex requixements
f. Contractor agrees to take reasonable steps to ensuxe meaningful access to rhe pxogram and
associated activities by Iimited English proficient persott.
2. Com�iemsation and Methad af Payment
a. City will disbutse HOPWA Year 200�-2D10 funds ("HC�PWA Funds") in an amount up to SIYT`Y
�'�UR THOUSAND SLX HUNDRED FIFTY TWO AND N�/100 DOLLARS ($G4,b52) ta
Contractox on a xeimbu�sement of expenses basis. HOPWA Funds may be used to assist all �'oxms
of housing designed to prevent homelessness including emexgency housing, shared housing
axrangements, apartments, single room (SRO) occupancy dwellings, community residences, and
supportzve housang sexvyices suck� as case tx�axzag�m.ent, in aecordance with 24 CFR 574.3Q0.
Contractor s�all nat use any HOPWA Funds For any pxohibited �.ctivities as set �oxth in 24 CFR
574. Contractor is acting as a Pxoject Sponsor for the purposes of th'ts Contract in carrying out the
agxeed-upon eligible activities. as set :Eo�th in Exhibit A Program Sumrnary.
b. T'aymen� will be pxocessed by City following zeceipt ftozn Cantractot o£ the £allowing monthly
financial documents: (1} Atta.chment I- Request For Funds, (2) Attachment II-Detail Statement of
.Costs, and (3) Attachment III-Expenditures Woxl�sheet. Payment hy City to Contractox sha]1
rec�uire campletion of all City foxms and copies af adequate supporting docu�zentation verifying
eligibil'tty of expenses as well as, whexe a�plicable, eligibility oF Pxogram participants.
Reianbursemez�t for the payment of eligible expenses shali be made aga'tnsti the budget speci.fted in
Exhibit C�ProgTarn Operating Budget arid iti accordance with performaz�ce specified in Exhibit
B-Program Services Schedule. City will not disbuxse funds for expenditures that occurred pr.ior
to the begi�uung date ot the terFn of this Contract.
c. Cnntractoz agrees to utilize all dis'bucsed HOPWA Fuuds £ox th� benefit of the Pxogxatn. Contractor
a�xees that all funds will he e�ended in accordance with Exhibit C-Program Operating Budget.
Contractor may not sncrease ox decsease line-item amounts fn the appxoved HOPWA Funds
portion of Exhibit C-P�ograrn Operating Budget without City's prior written approval.
Cat�tractor acknawledges and agrees that any HOPWA Funcis not used in accoxdance with the
HOPWA Regulations and terms o£ this Cantract must �e xepaid to City.
d. It is understoad that the tatal cost for operation of this Progxam is $4G5,535 and that Contractor
will obtain fxom othex sources the xetnainuig funds in excess of the HOPWA Funds as detailed in
Exhibit C-P�ogram Operating Budget. Contractor will notifp City pxompdy of any additional
funds zt teceives £or op�xa�ion of the Prog�am, and City xeserves the z�ight ta ame�d E�hibit C�
Program Operating Budget in such iristances to ensure compliance with HUD regulations
gavetning cost allocation.
e. Contractor ag�ees to keep a]I HOi'WA Funds on hand in interest bearing accaut�ts. Al� interest
earned shall b� teported ta City otz a manthly basis, at the sarz�e time as submission o£ the manthIy
xepott Eollowing the end pf the Contraet moath during wh'tch the intexest was earned. Interest in an
amou�t of $25.00 or less pex month may be used fo� authorized Progxam exgenses. These amaunts
musk be repoxted o;n t��.e tnonthly &na�cial statezrzents is.led pucsuant to this Cantract. Interest
earnec� �a, excess af $25.00 pex rrtonth is subject to remietance ta City as,diYected by City.

f. Contractor will not commingle HOPWA Funds with any other funds in any mannex ihat would
pYevent City ftcom readily identifying expendituYes for operation of the Progxam.
3. Uniforrn Adminastrative Requirements and Pragram Munagement .Stan�tards
a. Financial Manag�:tzzent
i. Accounting Standards
The Contractox agxees to coinply �trich OMB Circular A-110, "Uru£�rm Adt�unisrxative
Requixeznents for Gxants and Agreements with Institutions oF Higher Educat'ton, Hospitals and
other Non-Profit Organizations", and agYees to adhexe to the accounting �Yinciples and
procedures xequired therein, utilzze adequate intex�al. ca�ttols, and maintau� necessary source
documentation �ox all costs incuxxed.
u. Cost Principles
Co�zttactor shall ad.ini�ustex the PPogram in confoxmance with OMB CircuIar A-122, "Cost
Principles for Nan-Profit Oxgani,zations" and attachments and revisians thereto, regarding
principles f�r detexmiiutig eligible and allocable costs £ax the P�cogram.
b. Documentation and Recoxd Keeping
i. Requ.i�e�ent
Contractor shall maintain aIl re�oxds pe�ti�eui ta the activities to be funded under this Conttact
xequixed in 24 CFR � 574.530. In addition, ContYactor agrees to keep recoxds to full.y dacument
all. expetzdituxes chaxged to the H�PWA portion of the Program, including xecaxds
documenting the eligibility nf Progzam paxticipa�ts as rnore particularly described herein. The
documentation must support the amounts chaxged to the Program, the eligibility of the Progzam
pa�ttzcipants, and demonstrate that the expenditures we�e appropriate to the stated goals of the
Progxam and allowable and/or elig�ble under applicable F�dera.l, state and City guidelines.
ii. Record Reteniion
{1) All xecoxds pertaitung ta Pxogratn shall be retained for fout (4} years fnllocvYng the
kermination of this Cantract. Co:atractox znay destroy PYogram Yecoxds at the end of this
four (4) yeax pexiod if no outstanding audit finding exists.
(2) Co�tracto� will retain any Pragram loan records unpl four (4} yeats a£t�r the expi�at'tos� of
any l.oan.
iii. Real Prope�t�r Recards
Contractox shall maintain reai property inventor�r recoxds that cleariy identify proper�ies
purchased, improved, or sold. Pxoperties �etained shall meet eligibility crite�ia and shall cozz£oxm
to the requirements of 24 CFR � 574.G34.
iv. Claseouts
Contractox`s obligation to City shall not end r�tii all eloseout requiurements are completed,
Activities during this closeo�t period shall include, but are not limited to: �zza�g final
payments, cizsposing v£ Prograzu assets (in�cluding the xetuxn of aII unused materials, equipment,
uns�ent cash advances, Program incame balances, az�d accounts receivable to City}, and
determining the custodianship of records an� verification of campliance with xecoxd xeteution
r�quixements.
v. Audits and Inspections
(1) City, HUD, and the Uruted States Cornptroller Genexal, ox tbei:t tespective �epresentatives,
shall have access to any books, documents, records and �apers relating to the ape�ations nf
Contractax undez this Corztxact for the purpose of audit, examination, exception and
ttanscription at all of �onrxactor's affices at aU zeason.able hoi2ts.
{2) AlI non-federal entities that expend $500,000 or rn�re in Federal £unds within one (1) year,
tegardless of the source of the Fe�e�al awaxd, must s�bmit to City an as�nuaJ. auciit
prepared in accordance with 24 CFR Sect�ons � 570.�02-570.503 generally, (kt�owrx as a
Single Audit), with specific �eference to OMB Circulars (with attachments) A-I22, "Cost
Principles for Non-Pxaf�t Otganizat'tons", and 1�-133, "Audits oF 5tates, Local
Governments, and Non-Profit Orgatuzatians", as appxopriate. The audit may cover either

� Contractor's fiscal year during which this Contract is in fotce or cover the pezi.od o� this
Contract. The audit must be pxepared by an independent cextified pubJ�c accountant, be
completed within nine (9) months followitxg the end of rhe perind being audited and be
submitted to City withir.► thirty (3q} days of its campletion. Contractot's audit certificatian
is attached hereto as Exhibit D- Audr# Cettification Form. The Audit Cextification
Form must be submitted to City within sixty (GO) days of the end of the pexiod being
audited (Contractar's fiscal year). Costs of preparation of this audzt �nay be an allnwable
�xpend'ttute o£ H�PWA Funds i.n azi axnount propoxtional to that o£ the HOPWA Func�s
used in Confsactor's total agency operating budget. Non-profit en�ities that expend Iess
than $500,000 a yeax in Federal funds are exempt from Federal audit requiretnents fox that
year, but records must be availahle for xeview or audit by appropriate offic�als of the
F�dexal agency, City, and General Accounting Office {"GAO").
(3) All non-fedexa! entit€es acting as a Subtecipient far City grant func�s rhat expend less than
$500,000 in any Fedexal funds within one yeax shall �xovide City �vith a copy o� any othe�
Et�aancial audi.t ar audited firiancial staten�ents prepared during the contract term, if
available.
(4) City Yesexves the �ight to pexform an audit af Contxactar's agency operations and finances
at anp time during the term of this Contract, if City determines that such audtt is necessasy
fax City's compliance with QMB Citculax A-133. Contractor agxees to allow access to a1l
relevant books, records and Fnaterials. If such audit reveals a questioned practice oz
expendituYe, such questions must be tesolved wit�vn th.ixty (3a) days aftex noiice to
Contractot. .I£ questions are not resolved within this pe�iod, City tesexves the right to
withho�d fuxther fund'uig undex this Cantract and/oz any othex contract(s) wi�h Contracior.
(5) If as a xesult of any audit it is de�ermined that Contractar has misused, misapp�ied or
misappropriated all or any part of the HOPWA Funds, Contractor agrees to reimburse the
Ci�r the amount of such monies so misused, misapplied or misappropriated, plus the
amaunt of an� sanctian, penalty or other cha�rge levied agai�nst Czty because of such
misuse, misapplication or misa�pxopria�ion.
�4. Aej�o��ing Procedures
a. Financi�al Reports
Contractor will suhmit tn City an a zxxonChly basis: (1) Attachment 1-Request for N'unds, {2)
Attachment II-Detailed Statement of Costs, (3} A�tachment IIZ-Expenrlitures Woxksheet, as
applicable, for expenses incuxred For services and activities accompl'tshed by Contractor in
pe�formance af thzs Coz�txact. Actual cash receipts for claimed expendttuxes must be provided at
the t'tme the xequest fox funds is pxesented. The reports m�st be sigued by a duly authoxized agent
of the Contractor and submitted by the 15th of �he month follawi�g the manth being reported.
City is under no ob�igation to disburse funds for expenditu�es that accurred prior to the f�st day
af �he month for wl�ich the xepart is submitted.
b. Pxogress Reports
Contractor will submit to City on a monthly basis as applicable ta Pragrat�: {1) Attachment Na-

the term of rhis Contract.

Coatractor shall comply with City policy concernitag the puxchase of equipment and shall
maantai.n ir�ventory teco�ds a£ all non-expendable pexsonal propexty, as defsned �y su�h policy,
pxocured with funds provided under this Contract.
ii. OMB StandaYds
Contxacxaz shall pzocu�e all materials, pxope�ty, or services in accordance with the requixeznents
of 24 CFR Part $4, Pracurement Skandards and Pxaperty Standazds
d. Program Participant Recaxds
i. Contractor will keep ox cause to be kept an accurate tecord of all acrions taken and all HOPWA
Funds expended, with sauxee c�ocutz�ents, ix� pex£ox�nnance of th'ts Contract. Such records shall
be kept for the kime periad mandated b�r tihe HOPWA Regulations and this Contract.
u. Cantractor will obtain and keep on file and furnish to City on Yequest rhe following information
and/or docuinentation on each Ptograr� pariicipant served by the Program demonstrating such
participant's eligibility fox sexvices pzovided:
a. 1'articipant's name, documented HIV/AIDS status, addxess, annual income level or other
basis fox determining income eligibility, and famsly size af partic.�pant's household.
b. Source documentation used Eor income verification including but nat Iimited to pay check
stubs, Eood stamp awaxd Iettexs, income tax retuYns, SSI award lettexs, letters awarcling
unemployment benefits, W2s and the ]ike.
c. Necessaxy c�ocutnentation to support expendikures r�lated to Tenant-Based Rental
Assisantance ('I'BRA}, and/or 5hoxt-Term Rent, Mortgage, and Utility Assistance,
includitag curxent, app�icable Faix Matket Rent (FMR), urility allowances, enfoxceable lease
ag�eements, ho�sing inspectians, ar�d other zequi�e:nnents set forth in 24 CFR 574 related to
specific activities administered.
d. City shall have the final determinatian, in its sole discxetion, as to whethex sor�rce
documentation used fox income verification is adequate.

Cantxact.

of the Program. ContractoY agxees to obtairi City approval prior to purchase olE pxoperty a�d
Contractox agrees to notify City upon receipt of property so that it may be properly tagged and
invento�ied. Tide to such pxopexty will be vested in City, and Contractor wiil deliver all such
propexty to �ity for disposition at City's sole discretian at the tert�ninati.on of the Progxam.

If the work to be performed un�ex this Cont�act is on a pxoject assisted undex a progxam
providing direct Fedexal £�snas�.cial assistazice f�om HUD, Section 3 of 24 CFR 135.3$ ("Sect'ton 3")

B. The Paxties ro tliis canttact agree to complp with HUD's regulations in 24 CFR P�xt 135,
which znrzplement Section 3. As eviden�ed by the,�r execution of this contract, the Parties to
th'ts contract certify that they are undex no contractua,l or nthe� impeditzxent that would pre�rent
them from complyiug with the Part 135 regulations.
C. The contractar agrees to send ta each labox oxganization or representatiwe oF warliers wzth
�crhich the contxactar has a colleci��e bargaining agreement ox athex u�n.detstar�ding, i�f any, a
notice advising the Iabor organization or workers' xepresentative of rhe contractor's
comm'ttments undex th'ts.seeti.ozx 3 clause, and will post copies of the notice in conspicuous
places at the work site v�rhere both emplo�ees and applicanis £or txain'tng azad exnployment
positions can see the notice. Tlie notice shaIl descrihe the Section 3 preference, shall set Eorth
mi.i�imum number and job tit�es su�aject to hire, availahility of apprenticeship and trainixig
positions, the qualifications for each; and the name and Iocation oE the person(s) taking
applications fax each o£ the positions; an� the anticipated date the work shall begin�.
D. The cantractor agrees to include this section 3 clause in evezy subcontract subject �a
cc�rnpltance with regulations in 24 CFR Part 135, and agrees to take appropriate action, as
provi.ded ian an app�cable pzoviszan of the sc�bcontraet or in this Section 3 clause, upan a
finding khat the s�bcontractor is in violatian af the tegulations in 24 CFR Part 135. Tkte
. contxactor will not subcontract u�ith any subeonrratt�r where the contractoz kzas noace or
knowledge that the subcontractot has been found in violat�on of d�e regvlations in 24 CFR
Part 135,
E. The eo:ntracto� will cettify that azay vacant employment positions, including trainiiag positians,
that axe filled (1} aFter the cantractox is selected hut before the contract is executed, and (2)

Conttactox, and thei� tespective successors, assigns and subcontYactors, �ailure to fulfill these
r�quiremenks s�all subject Contractor and its subcantracto�s, and theiY respective successors and
assigns, to rhose sanctions specified by the Gzant Agxee�tzaent thxough which Federal assistance is•
provided and to sucl� sanctions as are specified by 24 CFR Part 135.
c. Othex Laws
Contractiat covenants and agxees that its officers, meml�exs, agents, employees, Program
participants and subcontractors shall ahide hy and corrxply with all othex laws, Fedexal, state and
local, relevant to the peYfo�mance of this Contract, including all applicable City ordinances, rules
and xegulatzo�s ar�d the AIDS Housing �pporturuty Act, as amended, (42 USC f 29Q1 et seq.) and
the H�PWA Regulations, as amended, (24 CFR Part 574 et seq.). Co:�tractoY further p�omises and
agrees that it has read, and is fatniliax with, the terms and cpnditions af ihe Hausi:txg Opportunities
£ot Petsans with Aids progxam, and the HOPWA Regulattons, under which HOPWA Funds are
granted and that it wi�l fully c�mply with them. It is agYeed and understood that, if City notifies
Cantractor af any such violation on the patt of Contxactor ox an� of its afficers, members, agenrs,
employees, Prog�axn. paxtzcipaz�ts ox subcontractoxs, then Contractox shall unxned'tately desist fr�m
and caxrect such v�olation,
7, Nondiscrimanation
a. Contractox will not unlawfiilly disr.r;m;nate against any person or petsorzs because af sex, race,

hexeunder during his or her tenute or for or�e yeax thereafter, shall have any intexest, ditect or
izxdixect, in any contract ox subcontract, ox �lze pxaceeds thereof, for wofk to be pex£ozxned

10. Non �i.rsignment
Na assignment ox delegarion of du�ies under this Con�ract by Contractaz shall be ef£ective withc�ut
City's prior vsrritten appxoval. If such assignment occurs, Contractar shall ensure rhat all requirements
of this Contract are enforced and mainta'sned by any such SubcontractoY or Assignee by means of a
currentJ.y esecuted written agreeznenC covering the Contract Terrns, a copy of which shall be made
available to City.
11. Independent Contractar

servant or employee oE City. Contractor shall have exelusive controi of, and the exclusive right to

same, and shall be salely responsible for the acts and omissions of its officexs, tnem.bers, agents,
sei�rants, employees, subcontractoxs, Program parti.cipants, licensees ox invz�ee. The doctttine of
xespondent superior shall not apply as between City and Contractox, itts o�ficers, mem�ers, agents,
sexvants, emplopees, subcontractors, Progratn patticzpants, licensees or in,vitees, 1nd nothing heiein
shall be construed as creating a partnersl�ip or jaint enterprise betareen Cit}x and Contractor. It is

caveririg all risks incident to or ia connectinn with the execution, performance, attempted
performance or nonperfox�ance a£ this Contract. The amounts af such insurance shall
not be less than the maximum liability that can be imposed on City unde�r the Xaws of the
State of Texas. Cont�actot understands and agrees that such insurance amounts may be
revised upward at City's opraion a�d that Contracto� shall revise such arnounts within thirty
(30) days followsng nv�ice ta Contractor of such xeqrxirenr�ents.
d. Contractor will subrnit documentation to City that it has abtained insurance covetage and
has executed bonds as requuiared in this cantract within thirty (30} days of the execution of
this Contract and p�ior to payment of a�y xnonies hereundex.
e. .Anp failure on part of the City to tequest certificate(s) af insutance shall not be canstrued as
a waiver of such requixernent at as a waiver of the ins�xrance requirements themselves.
Insurets of Contractar insu�ance policies shall be �.censed to do busit�ess �is� t�e State of
Texas by the Department of Insurance ar be otherwise eligible and authorized to business
�in the state o£ Texas. Insurers shall be acceptable to City insofa� as their financial strength
and sotvency and each such company shall have a cur,rcnt minimum A.M. Best �ey Rating
Guide xating of A: VII at other equivalent insurance industa.y staxa.dard xating unless
otherwise appraved by City. Deductible limits on insurance policies shall not exceed $5,000
pe� occurrence unless otherwise apptaved by City.

that exceed those specified herein shall prevail.
g. Cantracto� shall agtee to require its subcanttactvrs to xnaintain appEicable insura�ce
co�erages, limits, and otheY requi�ements as thoae speci�ied herein; and, Conuactor shall
require its subcontractors to pravide Cont�actor with certificate(s) of insurance

Upon ider�tificatio� o£ possi.ble breaches of contract, and priox to exerczsing its Termination
Rights �ndex this Conttiact, City may elect ta exexcise any of the following Remedies: a) issuance of
a warnuig lettex indicating that further �ailure �a corrzply with appli.cable requiteznents will xesult in
serious sanction and giving the Subrecipient a Iimited time to carrect �he deficie�cy; b) plac:ing
conditions upon aysrard of future g�ants; c) dt�ecting the 5ul�recipient to stap incuning costs until
the deficiency is cozxected and the correction is verified; d) xequir�ig repayment of pYeviausly
Xeimbutsed gra:at funds; or �) t�ducing in the amount of future grant awards or d'tsallowing of
future awaxds to the Contractor.
15. Ter�ninataon
a. In addi�.on to, and not in substitution fox, r�ther pravisians of this Cont�act regaxding the provision
of public serv�ces with HOPWA Funds, �uxsuant to the AIDS Hausing Opportunity Act, as
amended, (42 USC 129p1 et.req.} the HOPWA Regulations , it is expresslp understood and agreed by
and between rhe Par�ies tha� this Conrract is �rholly co;tkditioned upon the actual �eceipt b� City of
Federa� HOPWA Year 2fl09-2010 funds; that all monies distributed to Contractox hereunder s�all
be exclusively £xom Fedexal rxaonies xeceived under said g�ant and not from any othex monies of
City; and that i£ suc� funds under Cit�r's grant are not tirz�ely £oxthcoming, in w�ole or in part, City
map, at its sole discretton, terminate this Contract and City shall not lae lia}ale £ar payzne�t fot az�y
woxk ot servi.ces perEormed by ContYactor unc�er ox in connection with this Contract.
b. Cit�r may terminate this Cc�ntract whenevex such termination is determined to be in City's best

c. The Parties acknowledge that H�PW.I� Funds paid hereundex are intended to provtde only partial

funds included in the Operating Budget are not fo�thcoming to Contracto� dwttt�g the Cantract

d. HO�'WA Funds pxovided hexeuzxdez may not be used as co]lateYal fox loans to Contractor to defray
agency operation e�enses, and any a�tempted use o£ HOPV�IA Funds for this puxpose will result in
term.ination of this Contract by Citp.
e. Texmination will be effected hy, written notice to ContractaY, specifying the port�ons a£ the Contract
affected anc� rhe effective date of termination, Upon Contxactor's receipt of such termination
notice, Conttactor will:

� Cease expenditures of HOPWA Fnnds, except as r�ecessaxy £ox completion of the pa�tions of

b. The provisions of this Contract are sev-erable, az�d, i.£ £or any reason a cla�se, sentence, paragxaph az
othe� part of this Contract shall be detexmined to be invalid by a coutt o� Federal ar state agencp,
board or catnrnission having jw�,sdiction ovex the subject matter thereof, such invali.dity shall not
affect other provisions which can be given effect without the invalid }�rovision.
c. City's failute to insist upon the performance of any term ar pxovzsion of this Contract or to exercise
any right hexeitz conferred shall not be con.strued as a waivex or relinquishment ta any extent of
City's right to assext ox fely upon any such te�m ax right on any future occasion.
d. Should any action, whethex Yeal oY asserted, at law or in equity, axise out of the execution,

SCOPE OF SERVICES
This Scape af Services is based on the proposal prepared and submitted by the Subrecipient through the City of Fort
Warth's annual Request far Proposal (RFP) process. The Subrecigient agrees to operate this Housing Opportunities For
Persons With AIDS (HQPWA) prvgram in a manner consistent with the program delivery stated in the approved
propasal. However, in the event of any conflict �etween the proposal and any provision contained, hecein, tlli5

Catholic Chatities Diocese of Fo�t Worth will provide HOPWA services to iowlmoderate incame (LMn persons living
with HIV/AIDS (PLWHA). The Lady Hogan Project program will include the follawing tasks and activiries; Short-
Term Rent, Mortgage, Utility (STRMU) assistance, Satpportive Servaces: case managernent, financial education
assistance and/or administratian. All services will be provided at 2701 Burchill Road, Fort Worth, Texas '16105 from
8:00 a.m. to 5;00 p.m., Monday — Friday.
The purpose of the pragram wili be to provide comprehensive family-centered case management, shorC-term housing
related assistance for rent, martgage andlor utilities and financial ec�ucation classes throu�h the Catholic Charities
St�bility Empowerment Program. The specifie o6jecti�es, gaals and lavel of ser�ices to be provided are listed below
along with the geagraphical locatian of clients served. AIl services will be pcovid�.d from throughout the year.
The HOPWA funds wi�l be used to pay for administrative services, supportive services, and total operating cost vvhich is
consi�tent witl� Exhibit C� Detailed Bud�et.

1'he revised Aciion Plan aAocated $1,043,688.00 in C�BG funds to public services acti�ities incfuding
child care, yout� and seniar services and other hausing related services that bene�it primarily law and
moderate income or disabled and disad�antaged populations. It also ailocated $865,754.00 in
HO�'WA funds to non-profik organ+zatians pro�iding h4usir�g and supparti�e serriices to persvr�s with
AIDS and awarded $2i9,757.00 in ESG funds to harneless services providers and local emergency
s�elters. Th� City's Community Development Council reviewed grant fund proposals and heard
presentations in public mee#ings and recommended grant awards as part of the Action Pfan
development process. Contracts wil� be executed with the agencies listed below anc! in accflrdance
with HUD recommendation, interdepartmental letters af agreement execu#ed by the respective
department heac€s will be used to gvvem all grant funded activities implemented by City departments.

Diocese o�Fort Worth ("Contxactar"} made and entered into City Secretaxy Contract No. 39341
(the "Contract");
WHEREAS, the Contract provided funding to Contractor pursuant to a grank received by
City frorn the United States Department of Housing and Urban Development ("HUD"} under the
AIDS Housing Opportunity Act, as ame�ded, (42 LTSC 12901 et seq.} for utilization in
connection with the Hausing Opportunities for Persons with AIDS ("HOPWA"} program, Grant
