Agree�ent shall mean tl�e authorizafiion issued to Company hereunder to use a portion of
fihe City Propezfiy in the location as set out in �xlaibit "A" far (i} ttie constz�zction,
installation, maintenance and repair of Campany's Pxpel�ne; (ii} �he use of such Pipeline
for the transpai�tation of Gas; and {iii) a�y other directly rela�ed uses of the City Property,
p�rsuant to and in accordance with this Agreement.
City Facility sha11 mean al� incidenfi.al undergz•ound and aboveground at�achments,
equipment and appurtenances, including, but not Iimited to manholes, manhole vents,
lateral line cannectians, valves, pipeiines, junction boxes, fre Iiydrants, meter vaults, lift
stations in, upon, unde�• and across a portion of the City Property.
City Properly shall m�an that property as Iir�zited to a��d desci7bed in Exhibit "A"'.
Co�mission shali mean the Railroad Commission of the State �f Texas or other
authority succeeding to the regulaiory powers of the Commission.

appro�i�mate tota.� distance oi 678.36 total feet and other faeility locations as apprav�d by
�he Director that are installed hy Company in the C�ty Property in accordance wi�h i:his
Agreement and pursuant to the rules and regulations as prozx�ulgated by the U.S.
Departm�nt af Transpartation, Offce of Pipeli�e 5afety, as set aut in the Code of Federal
Regulat�az�s, Section 192 as adopted and modiFied by the Texas Railroad Commission.
�. GRANT OF RIGHTS.
2.1. General Use af The City Pro�ertv for Provi�ion af Gas.
Subject to the terms and conditions set forth in this Agreernent aa�.d the City
Cha�-ter and ordinances, tha City hereby grants Company a license to (i} erect, eonstx�uct,
install and maintain the Pi�eline consisti�g in, ove�•, under, along and across the City
I'�opei�y at a depth nf �o less than 36" and (ii) transpari Gas through the partions of its
Pipeline in, ove�•, under, along and across Ciiy Property as depict�d in Exhibzt "A".
Company hereby acknowledges and agreas that this Agreement allaws only the
Spinics Brown Natural C�as Pipeline Agre�menC Page 2 of 19
t�ans�ortation of Gas tl�ro�gh the City and does n�t allow Company to distribute, sell or
otherwise provide Gas to any Customer.
2.2. Nonexclusive.
This Agreement and all rights granted to Cornpan� herein are s�rictly
nonexclusive. The City reserves the right to entex into and gzant otl�er aar�d future licenses
and other autharizations for use of the City Property to aiher Persons and entities in
accordance with applicable 1aw and as the City deems appropriata; pravided, however,
that as to the grant of subsequent licenses for us� o�the Cit�r Property that is solely wxtlain
the disc�•etioil of the City, if a di�pute arises as ta priority af the use af the City Property,
the City will resolve such dxspu�e in a rr�anner that does not result in unreasonable
inter�e�ence with Company's operation of the 1'ipeline for the purposes provided for
herein. This Agr�ement does not establish any prioriiy for tlie use of the City Property bq
Company or by any pres�nt or ful;ur� licensees ar ather pea.mit �oldexs. In the event of
any disput� as to the priority of u.se of the City Praperty, the first priority shall be io the
public generally, ihe second priority to the City in the performanc� of its various
functions, and there�fter, as betvveen Iicensees a�d oth�r permit holders, as determined by
the City in the exercise of its powe�s, including �khe palice pawer and othex powers
reserved to and conferred qn it by the State a� Te�as.
�.3. Other Pcrmits.
Tlus Agreement does not relieve Company o� az�.y obliga�ion to obiain perinits,
licenses and othex apprflval� �irazx� the City or other regulatory agency necessary for tlle
consi�uction, installation, maintenance or repair of Company's Pipeline or the
t�ansportation of Gas #hraugh such Pipeline.
2.4. Bonds.
Prior io ihe cornmencement of any const�uction work in the City Prope�-ty, that
r�quires a cut, opening or other exca�vation, Company shall delivex to the City bonds
executed by �. cozporate surety authorized to do business in the Sta�e of Texas and
acceptable to the City in the propartional amount of the cost of work under the
construction cantract or consh�uciion proaect thai wiIl be performed 'zn the City Properfy.
The bonds shall guarante� {i) satis�'actory cnmpliance by Campany •�vi�li all a�equixements,
te��s and conditions af tl�is Agreernent and (ii) full pa}m�ents to all persons, firms,
co�porations or other entities wit� whom Company has a direct relationship for the
performance of s�ch construction, maintenance or re�airs.
If any such const�u.ction, mainfenance and repaijr work is undex�taken by a
contractar of Cornpany, Company shall also require such contractor to deliver to
Coznpaz�y bo�ds executed by a coiporate snrety authorized to do business in the State of
Texas and acceptable to the City in the proportional anzouni of the cost of wo�•k under the
construct�on contract or const�uetion project tl�at �ill be p�rformed by the cantractor in
the City Property. The bonds sha11 guarantee (i) the faithful perfoimance and campletion

of all constxuction, mai�tenance or repair v,rorlc in accordance vvith th� contract betvveen
Company and the contractor and (ii) full payzx�ent for all wages foz Iabor and services and
o� all bills for �naterials, supplies and equipment used in the performance of ihat ao��hact.
Such bands shall name both the City and Cornpany as dual obIigees.
3. TERM
This Agreement shall become effective on the c�ate as of which both partie� have
executed it ("Effective Date") axkd sha11 expi�e at 11:59 P.M. CST twenty (2Q) y�ars from th�
lasi da#e of notarial acicnowledgemen� unless terminated earlier as pravided herein.

4.l . License Use Fee.
On or priar to the Effective Date, Carnpany sha.Il pay the City as carnpensatian
for its use of tke Ciiy Property for t�ae Term o� this Agteement the sutn ai� Thirty-Eigl�t
Thousand One Hundred and Fo�u Dollars ancl Fifty-Six Cents ($38,104.56} {��L'ecense
�'ee"). Campany hereby acicnowledges and agrees that the amount of ihis Lieense Fee
constitutes just and reasonable compensation to the City for Cornpany's Lise of the City
Property.
4.2. Otk�er Pavmenis.
In addition to the L'zcense Fee, Ca�npany shall pay the City ali sums wbich may be
due the City for properly taxes, Iicer�e fees, pex-�xxit fees, ax other ta�es, charges o�- fees
tr�at fll� Gity may from time to time impase on all other sirr�ilarly situated entities within
�he Czty.
4.3. Interest.
All sums not paid when due shall bear interest �.t the rate of ten �eicent {10%) �er
aru�um or the ma�imum amount allowed hy Iaw, whichever is less, computed mo�thly. If
such outstanding sums are paid with iniexest within thirty (30) daqs fallowing their
re�pective due dates, Company�'s fa.ilure to pay such surzis by their respective due dates
shall not, in and of itself, coristitute ar� Event of Default under Section 9 of this
Ag�•eezx�ent.
S. 1�E�ULATORY AUTHORY'�'Y OF TI� CITY.
Campany's prop���ty and operations hereunder shall be subject to such regulation by the
City as znay be reasonably necessary for the protection or benef t of the general public. Tn this
connection, Compa�y shall be subject Yo, governed by and slaall comply with all applicable
federal, state and local 1aw�, including alI ozdinan.ces, �ules and regulatians of the City, as same
may b� adopted and amended from time to time.

6. USE OF THE CITY PROPERTY.
6.1. Compliance wifh Laws, Ordinances, Rules and Re�ulations.
The City has tha right to control and regulate the use of the City Property and
other P�U�ic Right� tif Way, public places and other City-owned praperty and the spaces
above az�d beneath thexn. Com.paz�y sk�all comply with all applicable laws, ordinances,
ru�es and regulations, including, �ut not lir�ited to, Ciiy ordinances, rules and policies
related to construction permits, construction bands, p�rmissible hours of construction,
op�rations during peak tra�Fic hours, bas`rXcading re�uirements a�d any other canshuctian
rules or 1•egulations that zxzay be p�omu�gated from time to time.
G.�. No Undue B�rrden.
The Pipeline shall noi be erected, in.stalled, constructed, repaired, repIaced or
maintained in any manner th�t places an undue burden on the present or fiiture use of tlie
City Pro�erty by the City and the public. If the City reasonably determines that tlze
Pipeline does place an undu� burden on any par�ion of the City Property, Campany, at
Company's sole cast and expense aa�d within a xeasanable tizxxe pexiod specified by ihe
Czty, shall modify �he Pipeline or take other actions determined by the City to be in the
public interest to remove or aileviate ihe hurden.
6.3. 1Vlinizna� Ynter�'erence.
Prior to the undertalcing of any kind of const�uc�ion, installation, maintenance,
repairs or ather worl� that requires ttie excavation, lane closure or other physical use af
the City Property, Company shall, except far w�rk required to address an emergency,
provide at least fiwenty-four (24} haurs' advance wriiten notice fio the City and the owners
of property adjacent to the City Property tliat will be a�'fected. In the casc; of emergencics
Company shall pro�ide notice to the affected Iandowners within twenty-four (24} hours
a�er commencement of work, In addition, di,uing any sucb wark, Co�npany sk�aIl provide
canstructiQn a�nd maintenance sigr�s and su�'ficient baz�ricades at wa�k sites to pratect the
public. The use of traffic control devices shall be consistent with the standards and
�rovisions of Part VI of the Texas Manual on Unifo� Traffic CQntrol Devices.
Campany shall utilize appropriate warning Iights at all construction and maintenance
sites tivhere oz�e ar mare traffic Ianes are clased or obstzucted d�ring �itghttiz�.e conditions.
Company will take a11 reasanable planning to mi_nimize har-m to the City Property
ancl. sI7a11 cainpIy with conditions as set fortI1 below:
6.3.1. All canstruction actzvities wzll occw� autside of a�y �a.n.dfill cap area ax�d
perfor�ned in such a way that would be praiective of the landf ll area.

6.3.2 Construction within the City Property sha11 be perfarmed in such a way
that would prevent fihe migration of any fugitive land�'ill eznissions along the .utility
coi7•idor consiructed in th� City Praperty.
6.3.3 Company shall ha�e right from time to time ta cut underg�owth and other
obsi�uction on City Propei-ty. Compa.ny shall aisa have the ability ta remove any trees in
th� City Prop�rty tract �rith the written approval of tlie City.
6.3.4 Company shall fence the licens� tract and the valve site a�ea as described ir�
Exhibit B wiih six (6) foot high chain lir�k fencing v►�th tiiree (3) strand barbed wire to
match the �xisting fencing an Airport property.
6.3.5 As described in Exhibit B, Company shall provide one (1) sixteen (16) foot
wide gate on the west side of the valve site, ane (1) t.�aree (3) faot wide personnel gate at
the designated locatian at the north side of the valve site, and one {1) sia�teen (i6} foot
wide gate at the desigxxafied Ioca�ion at the south end in the airport perime�er �encing.
One (1) sixteen (16) foot wide gate shaIl be installed in the aitport perzmefie�• fencing on
fihe south side o� Abner Lee Raad Lo��s approved by th.e Di�ectar of Aviation or
designee sh�.11 be installed on each gate. Airpart personnel shall be supplied vvi�h
apprnpriate means o� access to the license agreernei�t tract at any time through the gates.
6.3.6 Appropriate erosion control meastu�es naust be iumplemented during
construction.
6.3.7 Company sha11 have the right to place permanent aba�ve gro�aaxd �acilities
on Ciiy Pro�erty as outlin�d in Exhi�it A.
6.3.8 Company shall pro�ride tempora�y security fencing around temporary
wark space to contain all worlt equipmen� and personnel within the worlcspace outlined in
Exhibii A and to prevent encroachment into secure AiLpart praperty.
6.3.9 Company shall nat use any enuiprnent higher ihan thirty {30) feet during
c�nstructian ox z�n.aintenance of the site. Abave gro�znd facilities may b� na higher than
six (6) feet abave the surface of the ground.
6.3.1 D Company sha1l provide 24 houz s notice to the Director of Aviation at the
City of Fort �orth prio� to access to the property and commencernent of constructian
and/or znaintenance. In the case of an emergency Company and City must camply with
requirements of Paragraph 6.10
6.4. "As-Buil�" Plans and Mans.
Compauy, at Company's sole cost and expense, shall provide the City with as-
built plans of all poi�tions of the Pipelin� ��cated in the City and tlle City's extraterritorial
�urisdiction and maps showing such Fipeline within nznety {90) ca�endar days following

the completion af suck� Pipelzne. Compa�y shal� supplp the textual documentaiion of
such as-built plans and maps in computer format as requested in writing by the City and
shall oiherwise fuIly cooperaie wiih the City in ensuring tha� the Fipeline is accurately
xeflected in the City°s rnapping system.
6.� Soecifications of the Pi�eline
The Comparzy shafl erect, zzastall, canst�uct, repair, replac� and maintain the
Pipeline and pursuant to the rules and regulatians promulgated by the U.S. Department of
Trarzsportation, Off'ice of Pipeline Safety, as set out in t�e Code of Federal Regulations
Title 49, Pa.rt 192, as adapted and modif�ed by the Texas Rail�oad Commission. The
Pipeline shall not exceed a sixteen {l6"} inch namina� diameter, h� placed ai a�.epih of
no less than 36 inches throughout the entire length of the Cifiy Property, however, if the
Pip�line within City Propei-ty will be erossing any existu3g City Facility, �e Pipeline
nr�ust cross the City Facility at a not less than a 70 degree angle and be buried at a
minimum of 60 inehes below ihe bottain nf �ie lowest City Faciliiy. Notwithstanding the
foregai�g statements, shouid Company require vaxyzng fram �he above requirements,
such variance s11all require City evaluation of the re�pective vaxiance to depth or
pzapased angle of crossing ta deterrnine the practicahility of such request. Furthermore,
if the Pipeline within the City Property crasses a 16-inch or greater water or sanitary
sewer facility, an emerge�cy respor�se plan zn.ust be included. Th� emergency response
plan shall be submitied to the City of Fort Wor�h Watex Depaztment priar to the
cornmencement of the installation of fhe Pipeline and shall establish written p�oceduxes
subject to the appraval of tb� City of Fort Worth Water Depa�-iment to minimize any
hazard res�lting to any City Facility.
6.6 14'Yarki�g of Pineline.
The Pipeline shail be znax�ed, in a manner that is acceptable to the Director and in
compliance with F'ederal Regulations, to show consp�cuausly Company's name and a
toll-free telephone ilurnber of Company t�at a Person may call for assistar�ce.
6.'�. Surface Excavatian.
The City shall have the right to coordina�e all excavatinn work in the CiYy
Property in a rr�anner that is consistent with and convenient for the implementation of the
City's prograzr� �or pxaperfy manag�m�nt in order to preserve the integrity af the City
Property.
6.�. Rel.ocation of Pipeline.
Within forry-five (45) calendar days following a written r�quest by the City,
Company, at Compan�'s sale cost and ex}�ense, shall prot�et, support, disconnect or
relocate to another portion of ihe City Property all or azxy portion of its Pip�lin� due i;a
st��et or other public excava�ion, construction, repair, graciing, regrading or tra�fic

conditions; the installation o� sewers, drai�.s, water pipes ox zx�.unicipa��y-owned fracilitzes
of any lcind; the vacation, conshuction or relocation of streets or any other type of
structure or impro�emen# of a public agency; any public worlc; or any other iype of
improvement necessary, in the City's sole discretion, for tbe public health, safefy or
welfare. If Company reasonably r�quires mox•e than �oxty-five (�S} days to coxnply with
the City's written request, it sha11 notify the director of ihe City's Department of
Engineering in writing and the City will worlc in good faifi.h with Company io negoiiate a
worZcable tirne frame.
6.9 Restoration of the Cit_y Property, Public Ri�hts-o� Wav and PubIic/Private
Pronertv.
Company, at Coznpany's sole cost and expense, and in a nr��nner app�roved by the
City, shall promptly restore any portion of the City Property, Public Rights of Way, other
City-owned property or other privately-owmed pioperty that are in any way disturbed or
damaged by the constructian, operation, maintenance ar r�moval of atiy of the Pipeline
-io, at Com�any's optiQn, as good oar bette� a conditian as such praperty was zn
immediately prior to the disturbance or damage. Company shall diligently commence
such restoration wi�hin thirty (30) calendar days following the da�e that Company firsi
became aware af the dis�urhance or damage ar, if the Pipeline is being removed, within
thirty (30) calendar days fgllawing such removal.
6.10. Emerseucies.
6.10.1. Work bv the City.
Far purposes of this Section 6.10.1, a public ernergency shall be any
coi�dition which, in the opinion of the of�icials specified herein, pases an
immedia�e threat to life, healtk� or property and zs caused by arxy natuxal. or man-
made disaster, including, but not limited to, storms, floods, fires, accidents,
explosion, water main brealcs and hazardous rnateriais spills. Tn the event of a
publxc emergency, the City shall l�ave the right to take whatever action is deemed
appropriate by the City Manager, Mayoz', Police Chief ar Fi�e Chie�, ar their
authorized representatives, including, but no� limited to, action that may result in
damage to the Pipeline, and Company hereby (i} relea�e� the City, its ofEicers,
agents, sei�vants, ernp�ayees and subcont�actors frorn liability or responsibility for
any Damages, as defined in Secrion 7.1, that �nay occur to tl�e Pipeline or that
Com�any may othez-wise incur as a x•esulfi of such a xesponse, and (ii} ag�-ees tha�
Company, at Campany's sole cost and expense, shail he responsible for �he repair,
relocation or reconst�uction of all or asiy of iis Pipeline that is affeeted by such
action of the City. In responding to a pnblic emergency, the City agrees to
conrzply with all lacai, state and federal laws, including any requirements to notify
the Texas One CaII Systencz, to the extant that they apply at the �izne �d uz�dex t�ie
circums�ances. In additian, if the City t:alces any actian that it believes will affect

the Pipeline, the City will notify Campany as sooz� as p�•acticable so that Company
may advise and work with the City vvith respect to such action.
6.14.�. Wnrk bv or on Sehalf o� Companv.
In the event af an ennergency direc�ly that involves that portion o� the
Pipeline lacaYed in �he City Pro�erty and necessi�af�s imn�ediate emergez�cy
response work on or r�pairs, Company may initiate th.e emexgenc� respanse work
or repairs ar take any action requixed under �he circumstances provided that
Comgany notifies the City as prom�tly as passible.
6.11. Remvval of Pipeline.
Upon the revocafion, tex-mination or expira�ion without extension or renewal o�
this Agre�rnent, Company's �•ight to use ihe City Properiy under this Agreezz�ent shall
cease arad Coznpar�y shall immediately discontinue flie transpartation of Gas in or tluough
the City. Within six (6) months following such revocation, tezmination or expuation and
if the City requests, Campaily, at Comparay's sole cost a�d expense, shall remove the
Pipeline from �e City Propez-ty (or cap the Pipeline, if consented to by the City), in
accardance with applicable laws and regulations. If Co�pany has not zezrzoved aIl of the
Pipeiine from the City Property, (or capped �ie Pipeline, if consenl:ed to by the City)
within six (6) months following revocatia�, texmination or expiration a� this Agreement,
the City may d�em anp parkion a� the Pipeline remaining in the City Property abandoned
and, at the Ciry's sale option, (i) take possession of and tifle to such praperty o� (ii} talce
any and all legal action necessary to compel Campany to �•e�nove such property;
provided, however, that Company rnay not abanc�on its facilities or discontinue its
s�ivices within t�e City without the approval of the Commission ar succe�so� agency or
any other regulatory autharity wii� such jurisdiction.

performed any necessary restoration work, in which case Company sha11 immediately

7.I. Liabilitv of Comnanv.
Company shall be liable and responsible far any and all damages, losses,

withaut lirnitation, fees, ciisbursernenis and reasonable expenses of attorneys, accountants

7.4. Defense o� Indemnitees.
In the event any actian, lawsuit oz otl�ez pxoceeding is braught aga�nst any
Indemnitee by reason of any matter for which the Indemnitees are indemnif ed hereundex,
the City shall give Company prompt written notice of the inak�ng of any claim or
cornmencement pf any sueh action, lavvsuit or other proceeding, and Company, at
Company's so�e cost and expense, shall xesist and defend the same with reasonabl�
participaiion by the Ciiy and wiih legal counsel selected by Co�npany and speci£�calIy
approved by the City. In such an event, Company shall no� admii liability in any matter
an behal� of an� Indemnitee without the advanc� written consent of the City.
$. INSU1tANCE.
Campany sha11 procure and maintain at all times, in full force and effect, a policy or
policies of insu�raz�ce to provide coverages as specified herein, naming th� City as an
additional insured and covering all public risks related to the use, occupancy, condition,
maintenance, �xistence or loeation of the Ciiy Property and the construction, installation,
apeXation, �n�intenance or condition of the Pipeline, including the transporta�ion of Gas
through t1�e �'ipeline. The insurance required hereunder may be met by a combination of
self-insurance, primary an.d excess policies.
8.1. Prima�ry Liability Insurance Cavera�e.

At the reasonable recommendation of the City's Risk Manager, the City may ai any

Campany agt•ees that wiihin tivrty (30} days of receipt of �wvritten notice from the City,
Company will implement all such revisioxa�s requested by the Ci.ty. The policy ox policies of
insuranc� shall be endorsed t� provide that no material changes in coverage, including, bui
not limited to, cancellation, termination, non-renewal or amendment, shall be made without
thirty (3Q) days' priar written notice to th� Cit�.
�.3. Underr�+riters and Certi�icates.
Company sha1l procure and maintain its inslu•ance with underwriters authorized to
do business in the State of Te�as and wha are accepfable to the City zn terms o� solvency
and finaneial strength. Witivn tlurty (30) days following adoption of this Agreeinent by the
City Caur�cil, Company shall fiunish the City with certificates of insurance signed by the
respective campanies as proof that ii has obtained �he types and amounts of ir�uranee
cQverage required hexein. Ir� additian, Company shall, an demand, provide the City with
evidence that i� has maintauied such coverage ix� fuil faxce axzd efFect.
8,4. ]Deductibles.
Deductible or self-i�5u.red retentian limits an anp line of caverage requi�ed herein
shall not exceed $I,000,00� in the annual aggrega#e un.�ess the liznit pex occu��ence, ox per
line of co�verage, or aggregate is otherwise approved by the City.
$.�. N�o Limi�ation of Liabilitv.
The ins�arance requirements set forth in this Secfiion 8 and any recovery by the City
of any sum by reason of any insurance policy required under this Agreernent shall in no way

9. DEFAULT$.
The occurrence at any time during the term af this Agreement of one or more of the
following events sha1l constitute an "Event of I2efault" under this Agreement:
9.1. Failure to Pav Lic�nse Fee.
An Even� of Default shall occur if Compa.ny fails to pay any License Fee on flr
before the respective due date.
9.�. Breach.
An Event of DefaL�It shall occur if Company �natexially breaches or violates any
af the terms, cavenants, representatior�s or wanaaities set forth in �his Agreement ar fails
to perfo�m. an.y obl.igation xequized by this Agreerr�ent.
4.3. Bankru�tcv, Ia�solvencv or Recei�ersbiA.
An Event of Defaul� shali occur if Campany {i) f 1es a voluntary petition in
bankt�upicy; (ii) is adjudicated insolvent; (iii) files any pe�ition or fails to contest any
pEili1D11 filed against it seeking any r�organization, arrangement, composition,
�eadjustment, liquidation, dissolutxon ar similar �•elie� far itsel� undex a.rry laws xelating to
banl�uptcy, inst�lvency or other relief far debtors; (iv) seeks, consents to or acquiesces in
ihe appointmeni of any t�rzstee, receiver, master, custodian or liquidator of Company, any
of Company's propei-ty or any revenues, issu�s, �arnings or pro�its th�reof; (v) makes an
assignment far the benefit o�' creditors; ar (vi) fails to pay Company's debts generally as
�hey become due.
9.4. Violations a� the Law.
An Event of Default shali oceur if Concxpazay viola�es ar�y existing ox future fedexal,
state or local laws or any existing or future ordinances, rules and reg�ations of the City.
10. UNCUREI) D�IFA�JI.TS ANI� REMED�S.
10.1. Notice oi Y?��ault and i)nnortunitv to Cure.
I� �.n Event of Default occurs on account af Company's failure to pay the License
ree in acc�ardanee �vith �ec�ian 9.1, such Event of Default shall be deemed an Uz�cured
Default and the Cit-y shall have tk�e right to ter3minat� this Agreement iz�nediately upon
pravision of writ�en notice to Company. If an Event of Default occurs far a reason other

than for failLu e to pay the License Fee, �e Czty shall provide Campany with written
notice a�d sha�l give Compaily the opportunity to cure such Event of Defaul�. For an
�vent of Default which can be eured by the immediate payment of money to the City,
Campany shall ha�e thirty (30) days from th� date it receiv�s written notice fro�n the City
to cure the Event of Def�.ulY. For any othex Event of De�ault, Co�rapaz�y �hall have sixty
{60) days fiom f.he date ifi receives writteii notice from the City to cure the Event of
DefauIt. If any Event of Default is not c�.ued within the time �eriod speciiied herein, s�Ych
�vent of Default s�all, without further notice from the City, became a� "Uncured
Default" and the Cify immediately rnay exercise the xemedies provided in Section 10.2.
10.�. Remedies for Uncured D+efaults.
Upan the occurrence a� an Uncured Default, �he City shall be en�itled to exercise,
at the same tin�e ot at difFerent times, any of the following remedies, all of which shall be
cuixiulative of and without limitation to any other rights or remedies th� City may hav�:
10.�.1�. Terxnina#ion o� A�reement.
Upon the occurrence of an Uncured Default, the City may terminate this
Agreemeni. Upon such termination, Company shall forfeit all rights granted to it
under this Agreem�nt, anc�, except as to Company's unperfar�ned abligations ar�1d
e�isiing lial�ilities as of tkxe date of terrnination, this Ag�eement shall
auiomatically be deemed null and void and shall have no further force or effect.
Company sha11 remain obligated to pay and the City sha11 retain the right to
receive License Fees and any other payments due up to the dafe nf teimination.
Campany shall r�nlave the Pipeline from azzd �estoxe the City Property as and
when requested by the City. The City's righi to terminate this Agreement under
this Section 10.2.1 daes not anc� shalI not be constnzed to consiitute any kind of
limitation on �he Cxty's right to terminat� this Agre�ment far ather reaso�.s as
provided by and in accordance with this Agreement; providec�, however, that
Company may not abandon the Pipeline vvithout the approval of the Commission
oi• successQr agency or other regulatary authority with jurisdiction, if such action
wifi.hout such approval is pr�ohibited at the time by applicable federal or sfate law
or regulation.
ID.2.�. I1e�a1 Action A�ainst Company.
Upon the occurrence of an Uncured Default, the City may caxnmence
against Campany an action at 1aw for inonetary damages oz in equity, for
injunciive relief oz speci�c pe�•forma.nce of any of the provisions of this
Agre�ment wluch, as a matter of equity, are specif�cally enforceable.

Company shall provide upon request copies to the City of all docurnents which
Company files with or sends to the Cammission conceriung ar related to its
transportation oi Gas through or other operatians in the City, including, but not limited
to, filings related to (i) tariffs; (ii) rules, r�gula�ions and policies requested, under
consideration or approved by the Cammission; and {iii) applications and any supporting
pre-filed testimany and exhibits filed by Company ar third parties an beha.l� af Campany,
on the same date as such filings are made witlz the Co�aission. In add'ztion, Cozx�.pany
shall provide the City upon request with copies of records, documents and other filings
that Cornpany is required to mai�tain or supply to the Commission under any applicable
state or feder� law, �ule ar xegulation cance�ning ar relafed to its transpar�ation af Gas
througl� or other operations in the City.
11.2. Lawsuits.
Compa.ny shall provide ihe City with copies of all pleadings in all lawsuits ta
vvhich Gompany is a party and that perta�n to the granting of this Agreement andlor the
firansportation of Gas ti�rough the City within thirty (30j days of Campany's receipt of
sarne.
l2. C011'IPA1�T4' A� INDEPENDENT C01�1TRACT�R.
It is expressly unde��toad a�zd agreed t�iat Campany shall aperate as an independent
coniracior as to a11 rights and privileges granted by this Ag�.•eernent, anc�. not as at� agent,
representa�ive or employee of the City. Company shall have the excl�asive right to control the
details af its business and otl�er operations necessary or appurtenant to fhe transportation of Gas in
accardance with the #enns and canditions af this Agreernellt, and shall be solely responsible For the
acts and omissions of i�s officers, agents, servants, ernployees, cont�actoz•s and subcon�actors.
Company acicnow�edges that the doctrine of r�espondeat superior sha11 not app�y as between the
City and Company, its off c�rs, agents, employ�es, contiactors and subcont�•actars. Company
fiirther agz�ees ihat nathi�g herei� shall be canstrued as �ie creation o� a pas�tn�ship or joint
enterprise between the City and Company.
13. ASSIGNNdENT PROHIBITED.
Company may not assign ox otkxerwise trans�er axzy oF irts rights ax obligaiions under this
Agreerne�t unless sp�cifically authorized in vvriting by the City, vtlhich authorization sh.all n.at be
unreasanably witllheld; ptovided, however, �hat Company may make such an assignrnent of its
xi�ts to an affiliated compan� witho�t the consent of Gity, provided, fihat upon such assig�nment,
Company shali notify City within sixty (60) days af' said assignment. An `af%liated company'
shall mean any parent, subsidia�ry a� szster compaxry oz ather Iegal entity tl�at contrals, is contrc�lled
by, or is under common control with Company. ror puiposes of this clause, `coz�t�•ol' �nearns direct
or indirect awnersllip of. fifty percent (54%) or more of the voting rights of the suhject entity.
Notwi�listanding such an assigiunent to an aff'iliated company, Company shall reinain liabl� to City

This Agreement shall be construed pursuant to and in accordance with the laws of the
United States af Arnerica and the State af Texas. If any action, whetner real ar asserted, at law ar in
equity, arise out of the terms of this Agreexne�t, Coznpany's transpoi�ta.tion of Gas or Company's use
af the Caty Property, venue for such action shall lie exc�usivel� in state courts lacated ia� Tat7ant

18. CON�ERENCES.
At the request of either the City ar Compaily, the City and Coznpar�y sha1l xneet at
reasonable times and upon reasonable notice to discuss axry aspect of this Agreefnent, Compan�'s
Pipeline, Company's ope�•at�ons i�n the City, Company's t�ansportation of Gas or Company's use of
the City Property.
19. SEVERABILITY.
If any provision of this Agreernent is held to be invalid, illegal ar unenforceable by a final
arder entered by a court of competent jurisdiction, the validity, legality and enforcea.bility of the
remaining provisions shall not in any waq be afifected ox iznpaired. Far purposes of this Agreement,
a Caurt order shall be final only to the extent that all availabie legal rights and remedies pertaining to
su�h order, including, without limitation all available appeals, l�a�e been e�austed. In such an
event, the City and Company agree tl�ai they shall amend ar have arnended this Ag�reexnient fo
cornply with such final ord�r entered by a court o� cnmpetent jurisdzc�ion.

It is recommended that the City Council amend the existing Undergraur�d Pipe�ine Easement and
authorize the execution of an adcEitional Underground Pipeline License Agreement with Texas
Midstream Gas Services, LLC, for a natural gas pipeline across City-owned property known as
Spinks Airport, in the amount of $38,104.56 for a term of 20 years.
�rscuss�o�:
The City has been approachad by representaiives af Texas Midstream Gas 5ervices, LLC,
requesting a license agreement for the installatian of a natural gas pipefine on the southernmost end
of Spinks Airport property. 7he propased alignment will allow for 678.36 linear feet of 16 inc�
diameter naturai gas pipeline wjthin a 20 f�ot wide license tract (0.216 acres, more or less) for a term
of 20 years. For initial constructian, temparary canstruction workspace �araflel, abutting and
contiguous ta the pipeline {0.811 acres, more or less) will be grant�d in the terms of fhe agreement.
An abo�e ground measuring and regulating facility site known as a �alve station will also be granted
as a part of this Agreement (0.129 acres, more or less).
T�xas Midstream Gas Serviees, LLC, Y�as agreed #a pay the City the siandard fee of $46.00 per linear
foot af pipeline and $6,9D0.00 for fihe use of fhe above graund facility an the tract far � term of 2Q
years for a tatal cost of $38,104.56, Re�enues received from this project will be administered in
accordance with the c�rreni City Council Palicy on Gas Well Revenues.
Texas Midstream Gas Sarvices, LLC, will be responsible for repairing and restorir�g any damage to
the license tract or surrounding property resulting from the construction of the pipefine and
aboveground measuring and regulating facility.
Texas Midstream Gas Services, LLC, is also rec�uesting the amendment of an existing underground
pi�eline easement on airport property to widen the easement by approximately fi�� f�et ta allow for
the placement of two pipelines within the expanded easement.
This pipeline also crosses Abner �ee Drive. A separate Mayor ar�d Cauncil Communicatian for the
street crossing pipeline license a�reement will be forwarded to Caunci! for approval.
The property is focated in COUNGL DISTRICT 8, Mapsco 119Y.
