COUNTY �F TARRANT § •
WHEREAS, the Fort Worth Metropolitan Blac� Chamber of Commerce pro��des
professional services to smal! minoriiy and women owned businesses; and
WHEREAS, the City of Fort Worth desires to contract with Fort Worth
Metropoli�an Blacl� Chamber af Commerce on a consulting basis to pro�ide such
prafessiona! services to small minority and women owned businesses and to Fort Vllorth
residents who are owners of #hese small business�s; and
WHEREAS, the Fork Worth Metropolitan Black Chamber of Cammerce has
affered to provide suct� professianal services on a consulting basis with the City to
citizens of the City af Fort Worth;
N�W, THEREFORE, THIS CONTRACT FURTHER WITNESSETH:
That far and in considera�ion of the mutua[ covenants, promises and agreements
contained herein, the City of Fort Worth ("Cifiy"), a home-rule municipal corporation
acti�g by and through Charles R. Boswe[I, its duly authorized Assistant City Manager,
and the Fort Worth Metropolitan Black Chamber of Commerce ("Contractor"), a non
profit Texas corporation acting �y and �hrough De�ayd Jennings, ifs duly authorized
CEO, do hereby covenant and agree as follows:
1.
Gontractor co�enants and a�rees fo provide business services in Fort Worth on a
consulting basis #a the citizens of Fort Worth. Such seruices are to be provided for a
p�riod beginning Octob�r 1, 20D2, and ending September 30, 2003; same more fully
described in Exf�ibits "A", "B" and "C" attache� hereto and incarpo�ated herein for all
purposes incident io this contract.

In consEderation of the seru�ices to be performed hereunder by Contractor, City
promises and agrees to pay Contractor $77,760 in two installments; the first installment
of $38,580, to be disbursed not more than 15 days after execution of the cantract; the
second instal�ment of $38,880, no la#er than April 1, 2a�3. Co�tractor wili submit
montf�ly reports [Attachments I, II, III, and Attachment IV] for services and acti�ifiies

a duly authorized agent of contractor and submitted by the 15t" of the month follawing
the mont� which is reported.
3.
Either party may cancel this contract upon thirty (30) days' notice in writir�g to the
ofiher party of such intent to terminate. In the e�ent of such t�rmination, City shal[
reimburse Contractor in the services perFormed up to the date of termination.
4.
Can#raGtor cavenants and agrees to fully cooperate with City in monitoring tY�e
effecti�eness of the services ta be perFormed under this agreement, and City shall ha�e
access at all reasonable hours to offices ar�d records of Contractor for the purpose of
such monitorir�g.
5.
Contractor shall operate here�nder as an incfependent confiractor and nofi as an
ofFicer, agent, servanfs, or emplayee of the City af Fort Worth. Contractor shall ha�e
exclusi�e control of and fhe excl�si�e right to con#rol the details of the services
perFormed �ereunder, and all persons perForming same, and shall be solely responsi�le
for the acts and omissions of its officers, agents, servants, employees, subcontractars
and program participants. The doctrine of respondeat superior shall not apply as
between the Cit�r and contractor, its officers, agents, servants, employees,
subeon#raciors, or pragram participants, and nothing herein shall be construed as
creating a par�nership or joinfi enterprise between City and Contractor. If is expressly
unders�ood and agreed that no officer, agent, empfoyee, or subcontracfor of Contractor
is in the paid service of the City of Fort Warth.

City shall in no way or under any circums#ance be responsi�le fior any� property
belonging to Contrac#or, ifis officers, agents, employees, or subcontractors or program
participants, which may be lost, stofen, desfroy�ed or in any way damaged; ar�d
Contractor hereby indemnifies and holds harmless the City, its officers, agents, and
employees, from and against any and all such claims or suits.

Contractor covenants and agrees to indemnify, hold harmless and defend, at its
own expense, the Cify, its officers, agents, servants, and employees, from an� ��air�st

death, to any and all persons of whatsoever kind or character, whether reai or asserted,
arising out of or in connection with the execution, perFormance, atfempted performance
or nonperformance of this contract and agreement, andlor the serrrices performed
hereunder, whether or not cause, in whale or in part, by al�ege� negligence of afficers,
agents, servants, or employees of the City of Fort Wor�h; and Confracfor hereby
assumes all I�abilify and respor�sib�lity of City, its officers, agents, servants and
employees, for any and all claims or suits of property loss or damage andlor personal
injury, including death, fio any and a�l persons, of whatsoever kind of character, whether
real or asserted, arising out of or in connection wit� the execufion, performance,
atiempted andlor the ser�ices perfarmed hereunder, whether or no� cause, in whole or
in part, by alleged negligence of ofFicers, agents, servants, or employees af City.
In the e�ent it is determined that Contractor has mi�usecl, mjsapplied or
misappropriated all or any part of #he f�nds pro�ided hereunder, Contracfar agrees to
indemnify, hold harmless and defend the City of Fort Worth, its officers, agents,
servants, and emplayees, from and against any and all claims or suits resulfiing fram
such misuse, misappGcatian or misappropriation.
8.
If Contractor, as a charitable or nonprofit organization, has or claims an immunity
or exemption {statutory or otherwise) from and agains# liabi[ity for damage or injury,
including death, to persons or proper�y, Con�ractor hereby expressly wai�es its rights to
plead defensively such immunity or exemption as against the City.
9.
Cont�actor shall no# assign or subcontract all or ar�y part of its righis, privileges or
duties under this contract without the priar written consent of City, and any attempted
assignment of subcontract of same without such prior written appro�al shall be �oid and
constitute a breach of this agreement.
'10.
Gontractor, its officers, agents, emplayees and subcontractors, shaCl abide by
and comply with all laws, f�deral, state and local, including al[ ordinances, rules and
re�ulations of the City of Fort Worth. It is agre�d and understood that, if City calls to the
attention of Contractor any such �iolation on the part of Contractnr or any o� its officers,
agents, employees or sul�contrac#ors, then Contractor shall imrn�e��i�t�y d��i�t '�r;��rt�nd
correc# such violation. - .

Contractor, in the execution, performance or attempted performance of this
contract �nd agreement, wil[ not discriminate against any person or persons because of
sex, race, religion, color or national origin, nor will Contractor permit its officers, agents,
employees, or subcontractors to engage in such discrimination.
This agreement is made and entered inta with referenc� specifically to Chapter
'�7, Article IlI, Division 3, of the City Code of the Ci#y of Fart Worth {"Discrimination in
Employmen# Practices"), and Contractor hereby covenants and agrees that Contractor,
its agents, employees and subcantractors ha�e fully complied wit� a{I provisions of
same and that no employees, or employee-applicant has been discriminated against by
the terms of such ordinance by �ither Contractor, its agents, employees ar
subcontractors.
12.
Contractor shall furnish a certificate of insurance as proof that it has secured and
paid for a policy of public lia�ilifiy insurance covering all public risks incEcient to or in
connection wi�h the execution, performance, attempted performance or nonperFormance
of this contrac# and agreement.
Such amounts shall be as follows.
Proper�y damage, per occurrence $'100,000
Bodily injury or death, per person $250,000
Bodily injury of death, per occurrence $50�,000
with the unt�erstanding and agreement Contractor that such insurance amounts shall be
revised upward at Cify's option an� the Contractor shall re�ise such amounts within
thirty {30) days following notice to Confiractors of such requirements.
Contractor further agrees tf�at it shall campiy with the Worlcer's . Compensation
Act of Texas and shall pro�ide sufFicient comper�sation insurance to protecf Contractor
ancf the City of Fort Worth from and against any and all Wor�er`s Compensation claims
arising from the work and services provided under this contract.
13.
In the event no funds or insufFicient funds are appropriated by the City in any
fiscal pe�iod any paymenfs hereunder, City will notify Consultant of such occurrence
and fhis Contract shall terminate on the last day of fihe fiscal pe�iod for which
appropriations were recei�ed withou# penalty or expense to City of ar�y�-k;nd-ti�h�ats�v€�,rr,

except as to the porkions af the payments herein agreed upon for which funds shall
have been apprapriafed.

This written inst�'ument constitutes the entire agreement by fihe parties hereto
concerning t�e work and services to be perfiormed here�nder, and any prior ar
contemporaneous, oral or written agreement, which purports to vary from the ferms
hereof sha11 be voEd.
15.
Should any action, whether real or asserted, at law or in �quity, arise ou# of the
execution, performance, attempted performance of this confract and agreemen#, �enue
for said action shall lie in Tarrant County, Texas.

RECOMMENDATION.
I� is recommended that the City Council:
1. Authorize the City Manager to execute a contraef with the Fart Workh Metropolitan Black Chamber
of Commerce in �he amount of $77,760; and
2. Au#�arize th� cantracf to begin October 1, 20Q2, and expire 5eptemher 30, 2003.
DISCUSSION:
During the FY2002-2003 budget process, the City Council apPraved contracfi�g with the Fort Wor�h
Metropoli�an Black Chamber of Commerce (Chamber) to continue pro�iding financial assistance and
outreach programs to minoritylwamen-owned business enter�rises {MNVBE) and small businesses
locafed in Forf Worth.
For several years, the Chamber has caunsel�d individuals with t�e planning of sma11 �usiness�s within
the Fort Worfih area. The Chamber assists clients with topics such as tax planning, employee-related
is�ues, marketing, and a number of ofher smafl business related issues. ln additian to this, the
Chamber pro�ides �rogram services such as business planning assistance, certificaiion assistanc�,
and business counseling.
