This COl�1SENT TO ASSIGN1VLEl�I'T QF CITY SECRETARY COI�ITRACT �TO.
9779, AS PREVIOUSLY AMENDED AND ASS�GI�TED ("Consent") is made and entered
inta by and between the CITY UF FORT WORTH, TEXAS {i�Lessor"), a home rule
muriicipal carporation organized under the laws of the State of T�xas; SAI�TDPIPER AYRPORT
�1�iN, �l'C. ("Assignor" or "Lessee"), a Texas corparation; and DO1�T E. HANSEI�T
("Assignee"), an individual.
The fallowing intraductary provisions are true and canrect and %rrn the basis af this
Consent: .
A. Lessor and D.E. Hansen previously entered into City Secretary Contract ("CSC"} No. 9779,
as amended by CSC No. 1SS13 and assign.eci to Lessee pursuant to CSC No. 18968 (the "Lease"}, a
lease of real property at Fort Warth Meacham International Auport {"Airport") generally knawn as
the South Fuel Farm, as' more specifically described and depicted in the Lease (the "Leased
Premises"), and a Iic�ns� to stare, dispense and sell a.ircraft fi�el at the Airport in accordance with
the terms and conditions of the Lease. The Lease is a public dacument on �le in Lessor's City
S�cretary's Office. .
B. Pursuant to CSC No. 18967, Lessor cansented tv the execution of a Deed of Trust
betw�en Lessee and Bank of the West under which Lessee. gava Bank of the West a lien on
Lessee's Ieasehold interest in the Leased Premises. �
C. Lessee now wishes to assign all of Lessee's right, #itle and interest in the Leased Premises
to Assignee; Assignee wishes to accept such as�ignment; and Lessor is willing ta c�nsent to such
assignnlent, ail on the terms and canditions set farth in this Consent.
� 1�OW, THEREFQRE, for gvod and valuable consideratian, the receipt and ad�quacy af
whzch are hsreby acknowledged, Lessor, Assignor and Assignee agree as follaws:
1. I.essor hereby consents to an assignrnent by Assignor to Assignee of all right, title and
interest in the Leased Premises granted to Lessee by the Lease {the "Assignment"), effectiv� as
of December 2U, 2002 ("Effective Date"). The 'Lease is incorporated herein by reference for aIl
purposes. The Assi�ment is attacned hereto as Exhibit `�A". '
2. Lessor does not adapt, rati�y ar apprave any of the particular pravisions af the
Assignment and does nat grant any right, privilege or use to Assignee which is different from or
more extensive than any right, grivilege or use granted to L�ssee by the Lease. In #he event of
any conflict between the Lease and the Assignment, the Lease shall control.

3. Lessor consents to the Assignment expressly upan the promise and covenant by
Assignee, and Assignee hereby promises and covenants to Lessor, that as of the Effecfive Date
Assignee will faithfully perfarm, as an independent contractor, all duties and obligations of
Lessee set forth in the Lease.
4. Assignor unders#ands and agrees that Assignor and Assignee will be jointly and several�y
liable to Lessar for (i) any duty or obligatian of Lessee that Lessee was required by the Lease to
nndertake or per%rm prior to the Effective Date and {ii) for any damages, including, but not
lixnited to, property loss, property damage and/or persanal injury off any kind, inc�uding death, to
the extent caused by Assignor, its officers, agents, servants, employees ar subcontractors.
�. A11 terms in this Cansent that are capitalized but not defined shall have �tlie rneanings
assigned to tham in the Agreement.

RECOMMENDATION:
It is recomrriended that the City Cauncil:
1. Authorize the City Manager to execute written consents to Assignment and Assumptian Agreements
between Sandpiper Airpor� Inn, ]nc. (5andpiper) and Dan E. Hansen, an individual, relating to all of
5andpiper's keasehold interests at Fort Worth Meacham Internatianal Airport {Airport) other than
Lease Site 1-S; and
2. Authorize the City Manager to execute written consents to the execution of Deed of Trust Liens by
Dan E. Hansen in farror of Summit National Bank of Fort Worth (Bank) on all leassholds at the
Airpart asscamed by Don E. Hansen.

Sandpi�er currently has se��n (7) I�ases in �ffeet for various parcels of reai praperty at the Airpari {City
Secretary Contract Nos. 818Q, 8181, 8892, 8938, 9779, 1 � 967 and 25212, all as may pre�iously have
been ame�ded andlor assigned). Sandpiper and Dan E. Hansen ha�e entered into assignmen� and
assumptian agreements under which Sandpiper has agreed ta assign all of its right, title and interests in
iis Airport [easeholds, as provided by the leases, other than Lease 5ite 9-S (which is go�erne� �y City
5ecretary Contract No. 252'i 2, as previausly amended), to Don E. Hansen, and Mr. Hansen has agreed
ta assume afl of Sandpip�r's duties and abligatians under thase leases.
�nce Mr. Hansen assumes the leases assigned by Sandpiper, he intends to refinance improvements
that have been constructe� on the affected [easeholds through a loan from the Bank. Consequentfy,
Mr. Hansen has requested the City's consent #o his execution of Deed of Trust Liens or� his leaseholds
in order for the BanCc to secure its loan to Mr. Hansen. The Deed of Trust Liens will grant �he Bank ihe
right to apera#e as ihe Less�� ar to secure another tenant in place.af Mr. Hansen, if appro��d by the
CEty Council, in the e�en# that Mr. Hansen defaults under the I�an or breaches any ofi his leases with
the City.
