AGREEMENT FOR FEDERAL AID PROJECTS
TFIIS AGREEMENT, made and entered into on the date hereinafter shawn as being fu11y execut�d, by
and between the State of Texas, acting Uy and through the Texas Department of Transportation,
hereinafter called the State, and the City of �ort Worth, hereinafter called the Municipali .ty, at�,d Tk�e
Burlingion Northern and Sania Fe Aailway Company, a corporata.on, hereinafter called the Railroad. �
WITNESSETH
WHEREAS, pursuant to the Highway �afety Act of 1973, the State is charged with �he responsibility of
prinritizing grade crossing safety improvements %r public highway-railroad g�-ade crossings in the State
of Texas using federal funds; and,
WHEREAS, Chapter 471 of the Texas Transportatian Code invests the Siate with certain povti+ers and
duties relating to highway-railroad grade crossings and ot�aer matters relating to railroads and the�r
operations; and,
WHEREAS, in ihe inierest of public safety, t}ae State, the Municipality, and the Railroad propose to
consolidate and closa existing redundant, nan-essential highway-railrflad grade crossing(s), and make
other operational or safety improvements to facilitate the el.izninaiion of safe�ty hazards at highvt+ay-
railrQad grade crossings at selected locations.
NOW, THEREFORE, in consideration of fhe premises and the mutual undertakings as her�in set forth,
ihe parties hereto agree a� follows.
AGREEMENT
Az•ticle 1. Seo�e of Work. The State, Municipaliiy and Railroad agree to the permanent closure and
�acation of existing railroad grade crossings, and to make other operational or safety irnprovements to
facilitate the clasure af said existing railraad gi•ade crossings, as shavcm nn the attached E�ibit A.
Article 2. Maximum Amount Payable. The State's maximum amourit payable under this contract sha11
not exceed the availability of appro�riated federal fiznds for the projeci for the fiscal year in which work
is perfor�ned. The State shall advise tlae Railroad and Municipality of t�►� availability of funds. In any
ev�nt, the State's m�imum amount payable to the Municipa�ity for the permanent closure of eaeh
existing la�ighway-railroad grade arossing shall not exceed $7,500 for each crossing closed, contingent on
th� Railroad providing matching funds equaI iv or exceeding the Staie's ca�� garkic�ipati��_

Article 3. Agreement Not a Waiver. The Railroad's agreennent to perfQrm the work included in Exhibit
A does not constitute a waiver by the Railroad to any rights of awnership currently vested in the Railroad.
Article 4. Plans, Specifications and Estimates, Tlae State shall prepare an Exhibit A listing the vvorlc to be
performed, and farward th.em to tl�e Railroad and Municipality for approval. The Municipality shall
furnish th� 5iate a detailed estimate vs+ith an itemized listing of material, including the numher af units
and unii cost. Tha State and Railroad sha11 review and approve the estimate. The State will prepare an
Exhibit B, Suinmary of Costs, as attaehed hereto an.d made a part hereof.
All traffic controi devices installed herein shall compiy with the l�.test edition of the Texas Manual on
Unifarm Traffic Control Devices for Streets and Highways.
Article 5. Performance of Work. The Municipality agrees to perforxn. the roadway work as shovcm on
E�►ibit A. `Tk�e RaiIroad is solely responsible for removal of the existing crossing surface and warning
de�+ices on Railroad righi-of-way and making any changes or alterations in the tracics, wu`e ].i�nes,
drainage, or otiler Railroad owned facilities Iocated in the crossing right of way and as shown, tir as
otherv�ise shown, on Exhibit A.
Article 6. Work Orders. Upan the Municipality's and/or Railroad's reques�, the State wilI issue a worlc
order to authorize the Munici�ality and/or Railroad to begin work at each loca�ion and vvill provide the
const�uction stalces and eleva�ions as required.
The Municipality and/ar Railroad shall hegin work within tvvo vveeics after recai�ing the work c�rder from
tbe State and shaIl proceed diiigenily to completion af the installation. If an emergency arises and the
Municipality and/or Railroad is unabie to begin work within two weelcs, the Municipality andlor l�ailroad
shall notify the Siate af the date worlc on the project shall begin. Costs incurred by the Municipality
and/or Railroad at the project site �v'ithout a warlc order are not eligible for reimbursement by the State.
Article 7. Suspensian of Work. If ihe Municipality and/or Railroad find it necessary to suspend work on
the projeet far any reasan, it sha11 notify the State of the date work was suspended and the date work on
the project is to be resumed. The Municipality and/or Railroad zx�.ust notify the State when work is
resurned.
Artic�e S. Materials, The Rai]road andlor Mun.icipality may purchase materials upon receipt of written
authority to asseinble materials from the �tate. All mai�rials assembled for this project must cornply with
the specifica�ians included in Exhibit A.
Azticle 9. Amendzaaents. No cY�anges, re�visions, amendments or a�terations in the terms of this
agreernent, includin� e�ibits and attachinents hereto, shaIl be rnade tuiless a written amendz�ent is
agreed to by �he State, Municipality, and Railroad.
ArticIe 10. Compliance wiih Laws. As applicab�e, the State, Municipality, and Railroad and all
contractors shall be required to comply with all federal a�d state laws, statutes, rules and regulal�ons,
together with all lawful 1oca1 ordinances, and the orders and decrees vf any courts or administrative
bodies ar tiribunals in any matter affecting the performance of this cont�act, including without lixnitatzon,
�,vorlcers' carnpensation laws, minimum and maximum salary and wage statutes and regulatiions,
nondiscrimination laws and regulations including 49 CFR 21 and 23 CFR 710.405 and Executive Order
112�4G, licensing laws and regulations and all x•elevant provisions af the Federal-Aid Policy Guide, issued
by the Federal Highway Adn�inistratian oi1 Decernber 9, 1991 and amendments thereto exeept as
rnodified b� the provisions herein, including requirements of 23 CFR G46 (Railroad-Highway Projects),

all ineluded herein by reference. The parties shall comply with any other requirert�ents or directives
included as Exhibit C, Related Dacunaents. No party to this contract will award arry cantract to any party
that has been debarred, sns�end�d, or is othervvise ineligible for par�icipation in federal assistance
programs under Executive Order 12549 "Debarment and Suspension". When required, the Municipality
antl/or Railraad will furnish ihe State with satisfactory proof of compliance therewitb. The parties to this
ag�-eement will cor�a�ply wit�a the Gost Principles stated in ths Federal Acquisition Regulations (F,AR Part
31) which require all project costs to be allowable, reasanable and allocable to the project, and wiih
Disadvantaged Business Enterprise Program requirements in 48 C�'R Part 23 which require that
rnrnoriiies will affirn�atively be provided reasonable opportunity to provide goods az�.d services for the
proj ect.
The Municipality agrees to enact and pass tlae necessary ordinance, order, or acl�mi�istratzve inst�ruznent
necessary to permit the permanent clasure and vacatian nf the highway-railroad grade crossing(s) as
listed on flle attached Exhibit B. Said ordinance, order, or administrative instrument shall be at�ached
hereto a,s Exhibit C, Related Documents.
Article 11. Payment. The State and Railroad agree to reimburse the Muniaipality in aceardance with fhe
cost participation as shawn in E�ibit B, Summa�y of Costs. The Railroad's cost participation sk�all be
directly billed by and paid to the Municipality. The State and Raiiroad will reimburse Y.he Municipality
no later than £orty-five days after receiving properly prepared invoices.
A. Basis of Payment. Reimbursement by the Staie �o the Municipality is based upon actual costs, not to
exceed $7,Sfl0 for each highway-railroad grade crossing closed, and in accardance with Article 2.
Maxin:�urn Amount Payable.
B. �'inal Billings. After a11 worlc has been completed in accordance with the specifications included in
E�ibit A, the Municipality shall notify the State in writing of the date all work was cor�plet�d.
Follnwing final inspection and certification of prnjeot completion by the State, the Municipality shall
submit a complete and final bill to the State within 120 days thereafter. The final bill shall refer to ihe
project number, project con�rol number {C-S-J}, specify the project location and include, itemized Iistings
of material, including the nurnber of units and unit cast and the total amount due the Municipality based
on the cost of the project, The State shall pay the Municipality within 45 days of receipt of the final bi31.
The Municipality shall submit only one �nal bill for reiml�ursement by the State. After final payrnent and
audit by the Siaie, no supplemental final biIl or reimbursement for any other costs shall be submitted by
the Municipality or Railroad for reirnbursement by the State,
Article 12. Records. The State, the Musiicipality, and the Railroad shall maintain bnoks, documents,
papers, aecouniing records, and other evidence pertaining to cosi,s incurred and work performed
hereunder and shall make such materials avaiIable at t�eir offices during the cantract period and for three
years froin the date of final payment. The records shall be made available to representatives from the
State or U. S. Departzxi.ent of Tz•az�.spoxtatian, including the Of£ice af In.spector General, for khe purpose af
making audits, inspections, transcriptibns, or excerpts.
Article 13. Maintenance. The 1Vlunicipality shall own and maintain any barricades, fences or other
facilities not located an Railroad right-of-way as installed, and in accordance with tk�.e project design as
shown in E�ibit A.
Article l�. Termination. This agreement is effective as of the last date of execution by t�ie Railroad, the
Municipality, and the Stake and shall cantinue in effect thereafter until terrz�.znated as pro�ided for in thzs
article. This agreement may be terminated in vvhole or in partl�y either the State, the Municipality, ar the

Railroad as follows:
A. By mut�al consent and agreernent of the parties heretn;
B. By the State for reasons af its own and not subject to the mUtUal consent of the Municipality and
Railroad, upon noi less than thirty days written notice to the Munieipality and Railroad;
C. By the Stat� if %deral funds are no longer available to fund the waming devices at tkze grade
crossings;
D. By� the Railroad if the grade crossings identi�'ied in Exhibit B cease io belong to it ar cease to operate
trains across the intersection;
E. By the State giving notice in writing to the Municipality and/or Railroad as a cansequezzce a£ failure
by the Municipaliiy andlor Railroad to perfarm the work authorized herein in accordance with the
terms, conditions, or xequired items of work, with proper allorvances being made far cireumstances
beyond the control of the Municipality and/or Railroad and after providing at least thixty days notice
for the Municipality and/or Railraad to remedy t�Ze noncompliance;
Should this agreement be terminated for any reason(s) specified al�ove, the Municipality sha11 compensate
the Railroad for tkze reasonable value of s�rvices and worlc satisfactorily perfarm�d up to the date of
terzx�ination, and in accordance with Article 10. Compliance with Laws.
Article i5. �ignatory Warranty. Each signatory to this agreeznent certifies that he has tl�e autharity to
enter into this agreeinent on behalf of Iazs organization.

1} Gity of Fort Worth to permanently clase and vacate the 4�' Street (DOT No. 020 SO4Ej at-grade crossing.
2) City of Fort Worth to vacate Terry Street located south of 4�' Street ta S�' Street (Spur 2$0}.
3} City of Fort Worth to install, own, and maintain approximately SQO feet of 6-foot Iugh fence along th� east sid� of
tracks beCween the 3`d Street Underpass (DOT No. Q2Q SOSL) and the Westbound Spur 280 Underpass {D4T Na. 020
502R). The fence shaIl be instal�ed at 15 %et from the centerline of railroad's Yard Lead Track.
4) City of Fort Worth t�" install, own, and nnaintain the appropriaCe (TXDOT-Approvedj barricades or end-of-road
[reatment on both Toadway approaches to the closed 4�' Street. On the east appraach, the barricade may be
incorporated into the fence. On the west approach, the barricade shall be placed along the east line oi Terry Street (at
least 4Q feet from xailroad's Main Track).
5) CiCy of Fort Worth to per%rm any other necessary safety impravements due to the 4� Street closure, as indicated in
th� detailed Cast Estin�te. •
6j BNSF to donate approximately I2,500 square feet of property on the �ast side of tracks to City of Fort Worth for a
non�ommercial park and recreation use. BNSF & CITY �F FORT WORTH TO k�ANDLE THE PROPERTY
DONATION UNDER SEPARATE DOCUMENTS.
7) BNSF to danate $32,500 to City af Fort Worth in �ansideration of the closure of 4'� Street.
