V1IHEREAS Ramey A�enue, �.P., called "Develope�", desires to make certain
impro�emenfs to Ramey Place Addition, an addition to fihe City of For� Worth, Texas;
and
WHEREAS, the said Developer has requested the Cify of Fort Worfh, a municipal
corparation of Tarrant and Denton Coun#ies, Texas, hereinafter called "City", to c4o
certain work in eonnection with said impro�ements;
NOW, THEREFORE, KN�W ALL BY THESE PRESENTS:
That said De�eloper, ac�ing I�er�in by and through ShefField Asset Managemen�
Compa�y, through Gary D. Sheffield, its General Partner, and the City, acting he�-ein by
and through Marc Ott, its duiy authorized Assistant Cify Manager, for and �n
consideration of the covenants and candifions contained herein, do hereby agree as

SECTION ONE
COMMUNITY FACILITIES AGR�EiV1ENT

A. The City agrees to permit the Developer to let a contract for, in accordance
with its accepted practices, ordinances, regulations, and the provisions of
#he Ci�y Charter, and subject to the req�airements of the City's Charter, and
subject to ihe requirements of the City's Pol9cies ar�d Reguia�ions for
Installat�an ofi Community Facilities, all as current at ihe time of installation:

be prepared by privat� engineers employed by ti�e De�eloper and
approved by the Water Departmen#.
B. The City agrees to allow the De�eloper to install, at his expense, at �he
irime a11 other water mains in this addi#ion are ir�stalled, a serv9ce lirie for
each lot as sho�,vn on the attached Ex�ibit �. The estimated cast af
these .service lines is $ 22,8'T5. The City agrees to record the location o#
each said service line in respect ta the corr�er of the iot served, and to
r�tain said records ir� its possession.
C. The construction cos# of #he water'facilii�es herein concerned, exclusi�e of
service lines and engineering is es�ima#ed to be Sev�nt��Fi�e ihousand,
[�ine Hundred �iff,y-i�ide Dollars (���,9��) .
D. The Gity agrees to allow #he De�eloper to instail, a# hjs expense, at the
time afl other sanitary sew�r mains in this addition are ir�stalled, a service
iine for each loi as shown on the attached Exhibit ��9 . The estimat�d
cost of these senrice lines is $$,000. The City agrees to record the
lacation of each said service IEn� i� respect to fhe c�rner of the lot s�rved,
and to reiain said records in its passession.
E. The construction cas# of ihe sanitary sewer faciiities to be installed
hereu�der, excj�sive of serv�ce lines and engineering, is estEmated to be

F. Prior to allowance .of the cor�str�ct�on cantract by D�v�laper, the De�eloper
agrees to pro�ide acc�ptable finar�cial guarantee to the city for 10Q percenf
of the construction o# �h� construc#ion costs along with payment a� any
Ordinance casts and fees that ar� applicable. Prior to the award of the
construction contract by the City or the cammencing of any work by the
City or its cvntractars, the Developer agrees to pay to the City:
�1) (a) One Hundred percent (100%) ofi the De�eloper's cost o� all water
and sanit�ry sewer� fiacilities within the development, exclusive of
er�gineering and sen►ice costs, sized to pra�ide water and sanitary sewer
senrice within the de�elopment.
(b) One F�undred perc�nt (100%) of the Developer's cost af all
approach water and sanitary sev�er facilities oUtside the iirr�its of the
development sized ta provide wat�r and sanitary sewer service ta the
dev�lapment.
(c) One h�ndred percent (100%} of the De�eloper's eosf of any
approach water main facility or water faeiiity within the development that is
8-inches in size far non-industrial devefapment and 'i2-iriches in size for
industrial development.
(d)�ne hundred percent ('100%) of the Developer's cost of any
approach sar�itary sewer main facili#y or sanifiary sew�:r facili�y wi�i�i� the
de�elopment tt�a# is S-inches in size.
(2} An additiona! ten �e�cent (10%) of t�e� total of the Develop�rs co�t
of these water and sanitary sewer facili#ies, exclusi�e of cos# of serrrice
lines, is required fior design er�gineering i� such engineering is perFormed
by the City at t�e Deueloper's request.
(3) �ne hundred percent {100%) o� the De�eioper's cnst of all serrice
lines, esfimated under 1-B and 1-D abo�e, in accordance with the
provisions of the current Fort Worth City Code.
(4) A construciior� lnspection Fee equal to two (2%) oi t1�e D��elaper's
ac#ual cosi share of the constructian cos� (including ali senrices) of the
wa#er andlor sar�itary sewer facilit�es.
G. The distribution of es�imated constructian cast betwe�r� the City'and t�e
De�e�oper, as per paragraph 1-F above, for all wa#er ar�d san�fiary sewer
fiacilities to be consiructed I�er�unde� is estima�ed as foilows: �

l. The De�eioper is re�abilifating t�e 12" water {ine for the City which pays
the 12" wa�er line, gate �alve and �ittings. The wa�er services are being
repiaced as th�y would on a rehabilitaied wat�r line because this is a
Neighborhood Empowermen# Zone. In addition, meter boxes must
conform City standards.
J. Within a reasonable time after campietion of the a�ove referenced
facifities ta be constr�cted by contracf awar�ed by the �e�eloper,
pro�i�ed al� conditions for City participa#ian ha�e been met, the City
agEees t� pay the Developer the "EstEmated City Cos#" set out in 1-G
a�ove; provided, however, that said payment shall be calculated using the
actual cons�ruction costs and actual service costs un�er #he provisions of
the cufrenf Fort Warth City Code, (said paymer�t to be calculated as in 1-
G above}, based on acfivai quantit��s as refikected in fhe final estimate paid
ta the Contrac#ar by #he Developer and on the ac#uai records o# cost kept
by the City as. a park of its customary procedures. Ir� the e�ent the
differenc� in the d�posit and the actual cos#s exceeds $25, DEveloper
agrees to pay to the City and underpaym�nt which said adjustment might
indicate. as being due, and the City agrees to pay to Devefoper any
overpaymen#.

K. Work hereunder shall be completed within two (2} years from date hereaf,
and it is understood tnat any obiigation on the part of the Ci#y to make any
refunds with respect to water ar�dlor sanitary sewer facilities shall cease
upon the expiratEon of two {2) years from date hereof, except for refunds
due from "front faot charges" o� water and sar�itary sewer mains, which
refunds may continue fo be mad� for a period of ten (� 0} y�ars
commencing on th� date �hat approach mains are accepted by the
Director. If less than 7U% of the eligibie coliections due to the de�eloper
has been collected, the Derreloper may request in writ�ng an extensio� of
up to an additional 1 Q years for collec�ion of front charges. 1n the ev�nt
water andlor sanitary sew�r facifities work is nat com�ieted wi#hin the (2)
year period, Ci�y may, at its election, complete sucf� work at Developer's
expense.
L. !t is further agreed and understaod that any additional payment required
of Developer is to co�er only s�ch additionai work andlor materials as
may be made ne�essary by conditions encount�red during canstructEan,

E. Payment is d�a� at the time this agreement is execufied by the City and the
Devefoper.
F. T�e estimated total cost of current improvements and rela�e� support se�vices

2. STREE� LIGHTS WORK DESCRIPTION:
1. The Developer shall provide £or the installa�xon af streetlights at
th� approximate locations shown in ��hibit "G", �mmediately after
final accep�ance of the street construction, in accordance with
engineering plans and specifications approved by the Transpartation
and Public Woxks Department.
2. Streetlights on residential and /or col�ector streets can be
installed using overhead a� underground conduc�ors wiCh the app�oval
of the Director of Transpoxtation and Pub�ic Works.
3. Streetlights on arterial streets shall be install�d with undexground
conduit and conduc�ors.
g. The Developer sha11 provide far �he installation o� a 2-inch
schedule 4Q PVC conduit at a depth not les� than 30 inches and a�
leas� 18-inch behind the Gurb, "cl.ear �ram all other u�ili�ies".
5. The Develpper shall pravide for the instiallation of a 2-in�h
schedule �� PVC canduit be�ween s�reetlights proposed for
a.nstallation and the power �ource to b�come operational.
6. A 3-inch schedule 80 PVC condui.� is required when crossing street�
at a depth not less �han �Q inch�:s, unles� indicated o�herwise on

A. (t is agreed and understaod by the parties hereto #hat the deveioper shall employ a
civil er�gineer, iicensed to practice in the State of Texas, for the design and
�reparatian � o# plans and specifications for the constructian of all current
impro�ements ca�ered by �his contract, subject to Paragraph B.
B. For any praject estimated to cost less than $10,L1a0 ar for any project designed to
senre a single lot ar tract, fhe developer may at his option request the City to
provide the design engir��ering, and if such request is granted, the developer shall
pay to the City an amount equal to 10 percent af the final construction cast of s�ch
project for suct� engineering services.
C. !n the event the develop�r employs h�s own e�gineer ta prepare pfans a�d

obligation on the pa� of the City to construct s�ch "fUture improvements" at its

(5) In order for a surety company to be acce.pt�ble, the r�ame of #he
sur�ty shal� be included on the current Lf.S. Treasury list of
acc�ptabfe sureties, and tfie amount of bond written by any one
accepta��e company shall not exceed th�e amot�nt shouvn on the
Treasury list for that campany.
�. Cash D�pasits: A cash daposit shail be acceptable with verification
that an attempt to secure a bond has been d�nie�, such deposit
shall be ma�e in the Treasury of t�e City of Fort Worth. The City of
Fort 1lVorth wiH not pay interest on any such cash deposEt.

(1) At such time that the contract is bid for projects oth�r than
assessment projects, the cash deposit si�all be adjusted to one
hundred twenty five p�rcent (125%) of the actua! �bid price. No
contract shall be awarded and rto war�C ordEr shall be issued

(2} When a cas� deposit �s made, the additional fwenty-fi�e
percent {25%} b�yond th� one hundred percent ('l40%) of the
estimated de�eloper's si�are represents additiona� f�r�ds far
change orders during the course of the pro�ecf. This twenty five
pe�cent (25°!0) shaH be considered the d�veloper's change
order fund.
(3) If tF�e de�eloper mak�s a cash deposit with the Ci�y, the
developer may make timely withdrawais fram the cash funds in
order to pay fihe cantractor andlor subcontractar based on .
amount af construction work compl�ted as approved and
verified by the City Engineer vr authorized representativ�. For
projects whose actual tota! contract cost is $400,�00 or greater,
such release of security shall equa! the percenta�e of work
campieted for that period multiplied by ninety-five percent

de�eloper has paid the coniractar shall be required for partiaf
releases.
5. Purpose, `�erm �nd R�newal o� Guaranfees:
a. PerFormance and �aymen# bands, ar�d cash deposits furnished
hereunder shall be for the pur�os�s of guaranteeing s�tisfactory
com�liance by the develaper with all requirements, terms and
conditions of this agreemeni, including, but not limit�d tn, the
satisfactary completion of the improvernents prescribed herein, and
�he malcing of payments to any persan, firm, corporatian ar other enti#y
with whom the ��veloper has a d9rect contractual relationship for the
pe�€ormance of work hereunder.
b. Devefop�r s�a11 keep said pe�Formance and payment bonds, an�lor
cash deposiis in full force and effee� u�tii such time as dev�laper has
fiully complied wi�h the terms and conditions of this agreement, and
tailure ta keep same in force and effect shall constitufe a default and
breach of this agreement.
H. The City shall assume its share of the cast of the improvemenis covared by this
agreement alarrg with the engineering fe� only if funds are avaifable for such
participation. In the evenfi that no #unds are availab4e for City participation, t�e
devefoper sha11 award the contract and deposit wit� the City a perfarmance and
paymer�t bonds or cash for 100 percent of the estimated total construction cost of
fhe improvements [plus ten percen# �10%} for enginEering and miscelfaneous cos#s
ifi tf�e City prepares the piansj.
i. On a!I facilities included in this agreement for which the developer awards its own
construction cor�tract, the deve�op�r agrees to fallow the following proc�dures:

3. To requEre th� contracior to furnish to the City paym�nt, Qerfnrmance and
maintenance bonds in the names of tf�e City and �F�� de�elaper for one
hundred �ercent {100%) of the contract price of the facility, sai� bonds �o be
furn�shed before work is commence. Developer fur�her shaN require the
contractor to provide public liability insurance in the amounts required !�y tt�e
City's specific�tions covering that particular wor{c.
4. To gi�e 48 haurs notice to the de�artment having jurisdici9on of intent to
comme�ce cor�struction of the facility so that City inspection personne! wi1E
be available; and #o require the contractor ta aliow the
construction to be subject to i�sp�ction a# any and all times by City
inspection forces, ar�d not to instaN ar�y pa�ing, sanitary sewer, storm drain,
or water pip� unless a responsible City inspector is present and gi�es his
corrsent fa proceed, and to malte such 1a�oratory tests of materials being
us�d as may be required by tt�e City.
5, To secure approval by the D9rector o# the Department havi�g }urisdic�ian
of any ar�d af! partial and fin�! payments to tF�e eontractor. Said approval
shall be subject to and in accordance with requireme�#s of this agreement,
and is not to consti�ute appro�al of the auantifies of wt�ich paymeni is based.

6. To delay connections of buildings to service lines of sewer and water mains
constructed under this can�ract untif sa�d sewer a�d water mains and service
lines have been completed to the saiisfaction of the Watef Department.
7. it is expressly und�rstood by and between the d��eloper and �he City of ForE
Worth, that in the e�ent #he dEveloper elec#s io award one single
construction contract for sta�m dra�nage and pa�ement, said cantract sha11
be separate� in tF�e bidding and City participation, if any, shafl be iimited to
the lowest pos�ible combi�ation of bi�s as +f each af #he abave were
awarded as se�arate cantracts.
J. Anything ta �he contrary F�erein notwithstanding, for and i� consideration of the
promises and the covenants herein made by the City, the developer covenanis and
agrees as follows;
1. The developer shall make separate elections with regard to water andlor
sanitary sewer facilities, sto�m drainage, stree# improvements a�d street
l�ghts as ta whether ti�e work prescribed herein shall be performed by the
City, or by its contractor, or by fihe de�eloper, throug� its con�rac#or. �ach
separate eleGtion shall �e made in writing and delivered to Cifiy no later than
six {6) months prior to ihe expiration of this agreement. In tl�e event any of
such separate eleCtions has not be�r� made and delivered to Ci�y by such
d�te, it shafl he conclusively presumed t1�at the developer has efected that
such work be Qerformed by the City in accordance with all of the te�ms of
this agreement, and in par#icufar Paragraph V-F hereof.
2. frres�ective of any such election and whether t�e work is to be
perFormed by the City, ar by its contractor or by the developer through its
cantractor, the developer covenants and agrees to deliver to the City a
perfarmance and payment guarantee in accordance with the provisions ofi
Paragrapf� VdF of this agr�emenf.
3. In addifion to the guarantee required in the preceding paragraph, in the
event developer �lects fha# t�e work be performed by the Cify, or by the
City`s cor�tractor, or such efec#ivn is presumed as provaded above, the
de�eloper covenan#s and agrees fo pa� to th� City tl�e deveiaper's share of
the estimated onstftac�ian costs. Tl�e amoun� of such estimated payment

shall be cornpuied as set out on ihe Summary of Cosf hereof, bas�d upon the
lawest responsive bid #or st�cl� work, as determined by Ciiy, or uporr a cosfi
es#imated to be perFormed �y City forces prepared by #he Ctty, as appropriate,
a�d shall be subject #o adjus#m�nt to actual c�sts upon final campletian of the
subjec� work. Such estimated paymer�t shall be made prom�tly upan d�mand
by City, it being understoa� t�tafi such payment will be rnade after the receipt of
bids far work, but in e�ery c�se prior to the awarci of any canstruction contrac�,
unless otherwise specifically set out herein.
4. Developer fur�her co�enants and agrees #o, and by these pr�sents �oes
her�by fully indemnify, hold harmless ana detend the Gity, its officers,
agents and em�foyees from and against any and all claims, suits or causes
of action of any nature whatsoever, whe#her reaf or asserted, brought for
or on account of an� injuries or damages #o persons or property, including
death, resulting from, or in any way con�ected witF�, t#�is agreement, or the
cor�struc#io�t of the i+�r�provements or facilities describ�d herein, whe�her or
nofi caused, in whole or in part, bv the neqliqence ofi officers, aqents, or
emplovees, o�r fhe Citv. In additian, the develo�er covenants #o indemnify,
hold harmless and defend the City, its officers, agents and employees from
ar�d against a11 claims, suits, ar causes or action of any na#ure whatsoever
brought far, or ort account of any injuries or damages to p�rsons or
property, including death, resulfing from any failure to properly sa#eguard �he
work or an acco�nt of any ac�, intentional or otherwise, neglect or
misconduct of the developer, its contractors, subcontractors, agents or
employees, whefi��r _ or nofi caused, in whofe or in part, bv fhe
nealiaence af o#r�cers, aqen�s, or emplov�es o� the �itv.
5. Deve[oper co�enants an� agrees that if discriminates against na individual
involving employment as prohibited by the terms of Ordi�ance No. 7278 {as
amended by �rdina�ce No. 7400), an ordir�ance grohibiting discrimination irt
employment practice b�cause of race, creed, cofor, re�igian, r�ational orig�n
(except for illegai aliens), �ex or age, unless sex or age is a bortafide
occupational qualificatiop, s�bcontractor or employm��t agency, either
fiumishing or referring applicants to such developer, nor any agent of
devefoper is discriminating against any indivit�ual involving employment as
prohibited by the terms of s�c� Ordinance No. 7278 (as amende� by
Ordinance No. 7400).

K. VenUe of any action brought he�eunder shafl be in Fort Warth, Tarrant County,
Texas.
L. The City's Policy for the installation of Community Facilities, as adopted by the City
Co�ncil on September 1992, is hereby incorporated herein by reference, and
D�veloper covenants and agrees #o camply with said Policy as a condition of thi5
contract and as a condiiion to #he platting of the s�abject property.
M. The following descripfions of wark ap�ly, as appropria#e, to the areas included in
the Community Facilities Agreement:
1. STREETS
5treets as shown in Exhibit B will be in accordance with plans and
specifications prepar�d �y the Own�r's engineer and approved by the
Director of Engineering.
2. STORM DRAkNAGE
S#orm drain as shown in Exhibit B— 1 will be in accordance with plans and
specifications prepared by the Owner's engineer and ap�ra�ed by the
Director of Engineering.
3. STREET LSGHTING
a. The developer shall p�ovide for the instalkation of streetlights at the
approximate lacatior�s shown in exhibif "C', immed'tately after final
acceptance o'F the street constructinn in accardance with engineering plans
and specifications approved by the Transpor�ation and Public Works
Department.
b. Streetl�ghts on residen#�al a�d 1 ar collec�or stree#s car� be installed using
overhead or underground conductors wi�h the ap�roval of #F�e Director Qf
Transpo�tation and Pub�ic Works.
c, Streetlights on arterial streets shall be installed wi#h undergroun� conduit
and conductors.
d. The Developer sha11 pro�ide for the insfiailation o� a 2-inch schedule 40
PVC conduit at th� depth not less thain 3D inches and at leasi 1 S inches
behind the curb, "ciear from ali other utilities".

e. The Developer shall provide for the insta�lation of a 2-inch schedule �0
PVC condu9i between streetlights proposed far ins#allatio� an� the power
source to became operatEonal. �
f. A 3-inch schedule SD PVC conduit is req�ired when crossing streefs at
de�th nat less than 30 inches, unless indicated o#herwise on the plans.
Concrete pull boxes shalf be provided a# fiY�e crossing poin�s.
g. Luminaire �baflas# sf�a�l be rated for muititap operation and each luminaire
shal[ have it's own photocell.
4. TRAFFIC C�NTROL DEVICES
a. The Developer agrees ta pay for the stree# name sign ir�stallat9ons required
by tf�is deve�opment to th� �xtent of $80.Q0 per ins�ectior�. This unit cost
will be revised anr�ually by th� Departmer�# of Transportation and Public
Works to reflect prevailing costs af materiais ar�d �abor.
b. This development creates #he following number in#ersect�ons at a total cost
as shown �o the Developer.
c. The Developer may either deposit cash fun�s with the City equal to�the
following amount at #h� time of Community Facilities Agreement ap�ro�a!
or wait until the street name signs are to be installed. If the Deveioper
elects to wait, tF�e cost of street name signs wil! b� at t�e rate
prevailing when the De�eloper deposits funcfs witi� the City.
d. The Ci#y will i�stall the street nam� signs upon finai approval of th� stre�t
construction. The s#reet name signs wil� remain the pro�erty of, and wifl b�
maintained by, the Gity.
5. OTHER WORKS
In the event that other works is required it will be include� as s�ecif�c
requirem�nts to Community Facilities Agreement.
N, Developer and City agree that #his Agreem�nt represents �he complete and
exc�usi�e statement of �h� mut�af un�erstandings of the parties ar�� ihat this
A�reement supersedes an� cancels and previous written and oral agreements and
cornmunications related to the s�abject matter of this Agreement.

1. Authorize the Ci#y Manager to execute a Community Faciiities Agreement with Ramey Avenue, L.P.
for the installation af community facifities for Ramey Place Addition; and
2. Authorize the City Manager to deviat� from ihe current poEicy �y a[Iowing a Letter of Cr�dit for

The de�eloper rec}uested these changes to assist him in obtairting his financing. City siaff concurs with

This development has five (5) interior streeis. The developer's share for street , improvemer�ts is
$255,237, plus $5,105 for construcfion insp�ctioR fees. T�e Ciiy participation will be $100,000 as part�
of the City af Fort Warth Empowerment Zone far the rev�talization of inner-city de�elopmer�t.
