AMENDMENT 1 TO CITY OF FORT WORTH CONTRACT NO. 59051
This Contract Amendment is made and entered into by and between the City of Fort Worth, a
home -rule municipality (hereinafter referred to as the "City"), and Touchstone Property
Management, property manager for 2409 Ridmar Plaza DE LLC ("Landlord"), each
individually referred to as a "Party" and collectively referred to as the "Parties."
RECITALS
WHEREAS, on March 1, 2023, the City entered into an agreement with the Landlord for
rental assistance for a named tenant, City Secretary Office (CSO) Contract No. 59051 (the
"Agreement");
WHEREAS, ("Tenant") is a participant in the City's rental assistance
program;
WHEREAS, the Agreement originally identified 2409 Ridmar Plaza DE LLC as the
Landlord to the Agreement;
WHEREAS, on September 18, 2022, 2409 Ridmar Plaza DE LLC entered into a property
management agreement with Touchstone Property Management and under such agreement
Touchstone Property Management is authorized to collect and accept rent on behalf of 2409
Ridmar Plaza DE LLC; and
WHEREAS, the Parties wish to memorialize the proper Parties to the Agreement so that
Touchstone Property Management can receive payment under the Agreement and agree to amend
the Agreement as described below.
NOW THEREFORE, City and Landlord do hereby agree as follows:
AMENDMENTS TO AGREEMENT
The Parties acknowledge that the Agreement inadvertently identifies "2409 Ridmar Plaza
DE LLC" as the Landlord to the Agreement and that the Agreement should identify "Touchstone
Property Management" as the Landlord of the Agreement because Touchstone is contracted as the
property manager for 2409 Ridmar Plaza DE LLC and is authorized to receive payments on its
behalf (see attachment). Touchstone Property Management agrees to be bound by all of the terms
and conditions of the Agreement as if it were listed as an original party thereto, including any
revisions set forth in this Amendment.
II.
All terms and conditions of the Agreement not amended herein remain unaffected and in
full force and effect, are binding on the Parties and are hereby ratified by the Parties.

MANAGEMENT CONTRACT
This Management Contract (the "Contract") is entered into this 18th of July 2022 by
and between 2409 Ridmar Plaza DE LLC ("Owner") and Touchstone Property Management
organized and existing under the -laws of the State of Texas ("Manager").
WITNESSETH:
WHEREAS, Manager desires to manage, rent, lease and operate that certain property known as
Ridgemont Apartments (the "Property"), located at : such
project being more fully described in Exhibit A which is attached hereto and incorporated herein
by reference for all purposes (the "Property"); and
WHEREAS Owner desires to engage and employ Manager to operate and manage the
Property:
NOW, THEREFORE, in consideration of the mutual promises hereunder and for other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties
hereto agree as follows:
ARTICLE I. APPOINTMENT
Section 1.01. EXCLUSIVE AGENCY - APPOINTMENT. Owner hereby engages, appoints and
employs Manager to operate and manage the Property on an exclusive basis, upon the terms
and conditions hereinafter set forth.
Section 1.02. TERM. The term of the appointment of Manager shall commence on Julv 18,
2022 and shall continue through and include July 18, 2023 the ("Term"), unless earlier
terminated as hereinafter provided. After the expiration of the original Term of this Contract, this
Contract shall be automatically renewed on a month -to -month basis until either party notifies the
other, in writing at least thirty (30) days prior to the expiration date, that it declines to renew, or
unless a new Contract is executed by both parties.
Section 1.03. ACCEPTANCE AND APPOINTMENT. Manager accepts the engagement,
appointment and employment by Owner hereunder to the extent, for the period, and upon the
terms herein provided.
ARTICLE II. OWNER'S REPRESENTATIONS AND OPERATING RESERVE
Section 2.01. REPRESENTATIONS. Owner hereby represents, undertakes, warrants and
agrees that:
a) Owner has full rights and authority to engage, appoint and employ Manager for the
purposes and consideration herein set forth:
b) Owner, if a corporation, is duly organized, existing and in good standing under the laws
of the State of Texas, and is duly authorized and qualified to do business in the State of
Texas:
c) Owner is presently in compliance and will hereafter comply with all requirements of
any state, federal or local statute, ordinance, or regulation in relation to the Property.
a) Owner waives, releases and relinquishes (to the extent permitted under the Owner's
insurance coverage) any and all claims which the Owner may have against Manager for
damages to the Property to the extent that such damages are covered by the Owner's
insurance policies.
Section 2.02. OPERATING RESERVE. Owner shall deposit in an operating account of the
Property the sum of $3,500 as an Operating Reserve (herein so called), which shall be
maintained at that amount, to be used by the Manager to pay costs and expenses of operating
the Property and for non- recurring emergency repairs and capital expenditures and for which
cash to make such payments may not be generated by operations during the month in which
such expenditures are made. In the event the balance of the Operating Reserve is reduced
below the amount of the Operating Reserve specified herein, then Owner shall, within ten (10)
days after notice from Manager, deliver to the Manager the sum necessary to replenish the
Operating Reserve.
ARTICLE III. MANAGER'S AUTHORITY
Section 3.01. GENERAL AUTHORITY. Manager shall have the authority and power to lease,
operate, maintain, repair and manage the Property under the direction of the owner, provided
that
b) For any expenditures or contracts involving $1000 or more, the Owner's prior approval
will be required.
c) All of Manager's actions under this Contract must comply with the budget attached
hereto as Exhibit A (together with any budgets for future periods approved by the
Owner, the "approved budget') and in a manner intended to maximize the cash flow and
the long term preservation of the value of the Property and the investments goals and
business plans of the Owner. Except as specifically set forth in this Contract, all
obligations or expenses incurred by Manager pursuant to its authority hereunder shall
be for the benefit of, account of, on behalf of and at the expense of Owner, and Owner
expressly agrees to assume and pay any and all such expenses and obligations
incurred within the scope of Manager's authority under this Contract.
Section 3.02. RENTING AND LEASING. (a) Manager agrees to use its best efforts, utilizing the
full range of their services and facilities of its organization, to obtain tenants for presently vacant
space within the Property, or space, which may become vacant during the term of this
Agreement. All renting shall be accomplished by lease on terms and conditions approved by
Owner from time to time.
a) Manager is authorized to negotiate all leases, rental agreements, renewals, and
cancellations on the terms and conditions approved by Owner; however, Manager
shall negotiate leases on the forms developed by the Texas Apartment Association.
Manager shall use all reasonable efforts to assure compliance by tenants with the
provisions of their leases. Manager may also serve notice on any tenant to quit a
property when the Manager deems such notice necessary and is authorized
institute such actions or other proceedings as may be deemed advisable in
Manager's or Owner's name to oust tenants, recover rent, charges or other
sums payable to Owner, provided, however, any attorney retained in relation to
any such action must be approved by Owner.
b) Manager agrees to promote leasing and renting by full use of available advertising
devices such as newspapers and the display of advertising signs, space plans,
brochures and other advertising matters on the Property; provided, however, any
advertising expense which is in excess of the amount on the approved budget for
such expenses must be pre -approved by the Owner.
Section 3.03. REPAIRS AND MAINTENANCE. Manager shall have the specific authority to (a)
make or cause to be made all ordinary repairs and replacements necessary to preserve the
Property in its present condition; (b) make all alterations required to comply with lease
requirements; (c) remodel portions of the Property; (d) negotiate contracts for non -recurring items
not exceeding $1,000 without prior written approval or the email approval of the Owner; provided,
however, monthly or recurring operating charges and emergency repairs may be incurred in
excess of such maximum, if in the opinion of Manager, such repairs are necessary to protect the
Property from damage or to maintain services to the tenants as called for in their leases; (e) enter
into contracts for all necessary repairs, maintenance, minor alterations and utility services; (f) pay
all bills incidental to the Property; and (g) place orders on behalf of Owner for such equipment,
tools, appliances, materials and supplies as are reasonable and necessary to properly maintain
the Property. However, if Manager submits a Contract for signature and it is not signed within
fourteen (14) days of submission, Owner is deemed to have approved the contract so long as
such contract does not exceed $1,000 and hereby authorize Manager to sign the Contract unless
Owner specifically rejects the contract.
Section 3.04. COLLECTION OF RENTS AND CHARGES. Manager shall have the specific
authority to collect (a) rents and assessments and other items due or to become due, give
receipts thereof and deposit all funds collected hereunder in the bank account provided for and
described in Section 4.04;
a) a late rent charges
b) a charge for NSF checks
c) a fee for credit reports.
Section 3.05. SECURITY DEPOSITS. Manager shall have the right to collect security deposits
and deposit such funds to an account specified by the Owner from time to time. Manager shall
have the right to refund tenant's security deposits at the expiration of leases.
Section 3.06. PERSONNEL. Manager shall have the express authority to investigate, hire, train,
pay, supervise and discharge all personnel reasonably necessary in order to properly maintain
and operate the Property, including, without limitation, on -site employees. Such personnel shall
not be deemed employees of Owner, who shall have no right to supervise or direct such
employees. All reasonable salaries, wages and other compensation of personnel employed by
Manager, including all social security taxes, federal withholding taxes, federal and state
unemployment taxes, Workman's Compensation Insurance and/or Occupational Accident
Insurance shall be deemed to be expenses of Owner. For a period of twelve months following
the termination of this Contract, (a) Owner will not (and shall cause its affiliates not to) solicit
(other than general solicitations through newspapers or other media of general circulation not
targeted at such employees) any employees at or supervisors of the Property who are employed
by Manager, and (b) Owner will not (and shall cause its affiliates not to) hire any employees at or
supervisors of the Property who are employed by Manager regardless of any solicitation activities
during the period such person is an employee of Manager or any of its affiliates and while this
Contract is in effect, and for a period of twelve (12) months following the termination of this Contract
(unless such employment has been terminated by Manager).
Section 3.07. SERVICE CONTRACTS. Manager shall have the authority, in the name and on
behalf of the Owner, with prior consultation with the owner and subsequent written agreement of
owner, to enter into contracts for water, electricity, gas, telephone, extermination, trash removal,
landscape maintenance and other necessary services deemed by Manager to be necessary or
advisable for the operation of the Property.
Section 3.08. DISBURSEMENTS. Manager is hereby expressly authorized to disburse funds
each calendar month during the term of this Contract to the following parties in the order set forth
below:
d) to Manager for monies advanced by Manager on behalf of Owner (provided that Manager
shall in no event have any obligation to advance monies on behalf of Owner) and to
reimburse Manager for miscellaneous expenses including postage and long-distance
telephone calls;
e) amounts otherwise due and payable as operating expenses of the Property authorized
to be incurred under the other terms of this Contract, including Manager's
compensation, debt service and any other payments required to be made by Owner
under its existing senior loan encumbering the Property;
f) amounts equal to all taxes, special assessments and insurance premiums in respect to
the Property (which sums shall be paid prior to delinquency); and
g) to the Operating Reserve in an amount necessary to increase the balance of
the Operating Reserve to the amount specified in Section 2.02;
h) any balance remaining at the end of each calendar month during the term of the
Contract shall be disbursable to Owner.
ARTICLE IV. DUTIES AND OBLIGATIONS OF MANAGER
Section 4.01. MAINTENANCE AND REPAIR OF PROPERTY. Manager shall, at Owner's sole
expense, maintain the Property in accordance with all applicable legal requirements, insurance
requirements and standards reasonably acceptable to Owner, including without limitation,
interior and exterior cleaning, painting and decorating, plumbing and carpentry.
Section 4.02. BOOKS AND RECORDS. Manager shall keep full, accurate and adequate
books of account and such other records reflecting the management, operation and financial
condition results of operation of the Property on an "accrual" basis. Such books and records
shall be kept in all material respects in accordance with accepted accounting practices.
Manager shall provide Owner with whatever reasonable budgets, reports, rent rolls, and
other documentation Owner reasonably requests, within a reasonable time after request
(including, preparing all financial reports required by Owner's senior lender). Manager shall
allow the Owner, its accountants, attorneys, and agents, the right to enter to examine or
inspect the books and records relating to the operation and maintenance of the Property at
any time during normal business hours upon reasonable written notice to Manager. Books
and records of the Property shall be kept at Manager's office or such other place, as the
Manager may deem appropriate.
Section 4.03. RETURNS REQUIRED BY LAW. Manager shall execute and file punctually
when due, all forms, reports and returns required by law relating to personnel employed
by Manager for the maintenance and operation of the Property.
Section 4.04. COLLECTIONS AND BANK ACCOUNT. Manager shall deposit all sums
collected pursuant to this Contract (less any sums properly deducted as provided herein) in
an account in a financial institution agreeable to both parties. Manager shall endeavor to
collect on behalf of Owner, all rents and other charges for the use and occupancy of the
Property on a periodic basis no less often than once each calendar month.
Section 4.05. DISBURSEMENTS. Manager shall make disbursements in accordance with the
authority set forth in Section 3.08 hereof. In the event the disbursements required under (a)
through (d) of Section 3.08 hereof shall be in excess of receipts from the Property, Owner
agrees to pay to Manager the amount necessary to alleviate the deficit caused thereby
immediately upon receipt of the monthly report required by Section 4.06. No provisions of this
Contract shall in any manner obligate Manager to advance its own funds on behalf of Owner
for any purpose.
Section 4.06. MONTHLY REPORTS. Manager shall within ten (10) days after the end of
each calendar month deliver rent rolls and operating statements of the previous month's
receipts and expenses to Owner. These statements will include a complete listing of all
receipts and disbursements and the amount, if any, payable by Owner to alleviate any deficit
as provided in Section 4.05 hereof.
ARTICLE V. TERMINATION
Section 5.01. TERMINATION PRIOR TO END OF TERM BY OWNER. Owner may cancel
this Contract for any reason with thirty (30) days written notice to Manager.
Section 5.02. TERMINATION AFTER TERM. After the expiration of the initial Term hereof, this
Contract shall automatically renew on a month -to -month basis unless either party notifies the
other in writing at least thirty (30) days prior to the expiration date that it declines to renew.
Section 5.04. BANKRUPTCY, REORGANIZATION AND INSOLVENCY. In the event a
receiver, liquidator, or trustee of Manager or Owner shall be appointed by a court order or if a
petition shall be filed against Manager or Owner under any bankruptcy, reorganization or
insolvency laws and such petition shall not have been vacated within sixty (60) days of the
date of filing, or in the event Manager of Owner shall make an assignment for the benefit of
creditors or be adjudicated a bankrupt under the federal bankruptcy laws, then the other party
may forthwith terminate this Contract upon written notice to the party subject to such action.
Section 5.05. EFFECT OF TERMINATION AND TERMINATION FUND. Upon termination
pursuant to this Article V, Manager and Owner shall have no further obligations and duties, one
to the other, provided that in no event of termination as provided for herein, the Manager will
withhold remitting any Gross Receipts or Net Proceeds as called for herein for a period of forty-
five (45) days after the effective date of termination, to ensure that all bills, fees and charges
attributable to the Property have been fully paid. Within forty-five (45) days after the termination,
Manager shall deliver to Owner a final report and shall remit all Net Proceeds, if any to Owner.
In the event the total of all unpaid bills, fees and charges attributable to the Property exceed the
funds held by Manager, then Owner shall deliver to Manager the amount of any deficiency
within ten (10) days after receipt notice from Manager and reasonable supporting backup
documentation (refer to Woodridge property management contract).
ARTICLE VI. COMPENSATION OF MANAGER
Section 6.01. MANAGEMENT. Owner agrees to pay Manager for its services under this
Contract a monthly management fee ("Management Fee") equal to 4% of gross receipts. In
addition, Owner agrees to pay Manager an initial setup fee of $1,000. Manager shall pay
itself in accordance with Section 3.08.
Section 6.02. CONSTRUCTION, ALTERATIONS AND RENOVATION FEES. If Manager
conducts the taking of bids, contractor selection, negotiation and administration of contract
compliance and quality inspections, Manager shall receive Ten percent 10% of the final total
Contract amount, including amendments and any change orders as its fee when the cost of
such construction, alterations and/or renovations exceeds $50,000. Roofs, blacktop, chiller, and
other major 3rd party exterior & interior construction work shall be excluded. Notwithstanding the
foregoing, in all circumstances, no fee will be incurred without prior approval of Owner.
ARTICLE VII. DEFINITIONS
Section 7.01. GROSS RECEIPTS. The term "Gross Receipts" shall mean all receipts of every
kind and nature actually collected from the operation of the Property, including without
limitation, rent or lease payments, late charges, forfeited deposit income, vending income and
all forms of miscellaneous income, but shall exclude other receipts including, but not limited to,
income derived from interest on investments or otherwise, proceeds of claims on account of
hazard or liability insurance policies, abatement of taxes, and awards arising from eminent
domain proceeding, or the threat thereof, discounts, and dividends on insurance policies.
Section 7.02. NET PROCEEDS. The term "Net Proceeds" shall mean Gross Receipts for
each calendar month less (i) the sum of all disbursements made by the Manager during
each calendar month pursuant to the authority granted Manager under this Contract and
(ii) the compensation payable to Manager for the calendar month under this Contract.
ARTICLE VIII. MISCELLANEOUS PROVISIONS
Section 8.01. NOT A PARTNERSHIP. Nothing contained in this Contract shall constitute
or be construed to be, or create a partnership or joint venture between Owner and
Manager, or their successors and assigns.
Section 8.02. INDEMNITY. Manager will perform all of its duties hereunder in a professional
and competent manner, and will indemnify, defend and hold Owner and its officers, managers,
agents and affiliates, safe and harmless of and from all liability (including reasonable attorney's
fees), suits, actions and cause of action, and that arise from its and its agent's, employees',
contractors, subcontractors' gross negligence, fraud or willful misconduct. Assuming the
Manager fully performs here under and does not commit grossly negligent acts, fraud or willful
misconduct, Manager shall not be liable for any good faith error or judgment or for any mistake
of fact of law, or for anything it may do or refrain from doing hereinafter, except in cases of willful
misconduct or gross negligence and Owner agrees to indemnify, defend and hold Manager safe
and harmless of and from all liability (including reasonable attorney's fees), suits, actions and
cause of action in and connection with the management of the Property and from liability from
injury suffered by any employee or other person whatsoever. Owner's obligation under this
Section 8.02 shall include the payment of all settlements, judgments, damages, liquidated
damages, penalties, forfeitures, back pay awards, court costs, litigation expense and attorney's
fees and will survive any termination of this Agreement.
Section 8.03. INSURANCE. Owner agrees to carry at Owner's own expense, necessary public
liability, and fire and extended coverage insurance adequate to protect the interests of the parties
hereto, which policies shall be so written as to protect Manager in the same manner and to the
same extent as they protect Owner and will name Manager as an additional insured. Owner
agrees to furnish to Manager certificates evidencing the existence of the insurance coverage set
forth in this paragraph and unless Owner shall provide such insurance and furnish such certificates
within twenty (20) days from the date of this Contract, Manager may, but shall not be obligated to,
place said insurance and charge the cost thereof to the account of Owner. Owner agrees to pay
all expenses incurred by Manager, including, without limitation, attorney's fees for counsel
employed to represent Manager or Owner in any proceeding or suit involving an alleged violation
by Manager or Owner, or both, of any constitutional provision, statute, ordinance, law or regulation
of any governmental body pertaining to fair employment, Federal Fair Credit Reporting Act,
environmental protection, or fair housing, including, without limitation, those prohibiting or making
illegal discrimination on the basis of race, creed, color, religion or national origin in the sale, rental
or other disposition of housing or any services rendered in connection therewith (unless Manager
is finally adjudicated to have personally and not in a representative capacity violated such
constitutional provision, statute, ordinance, law or regulation), but nothing herein contained shall
require Manager to employ counsel to represent Owner in any such proceeding or suit.
Section 8.04. MODIFICATION. This Contract cannot be changed or modified except by
another agreement in writing signed by Owner and Manager.
Section 8.05. ENTIRE AGREEMENT. This Contract constitutes all of the understandings and
agreements of whatsoever nature or finds existing, of which Manager is a party, with respect
to Manager's operation and management of the Property. Manager makes no guarantees,
warranties or representations that there will be profits or that there will not be losses from the
operation of the Property.
Section 8.06. HEADINGS. The article and section headings contained herein are for
convenience of reference only and are not intended to define, limit, or describe the scope or
intent of any provision of this Contract.
Section 8.07. APPROVALS. Whenever under any provision of this Contract the approval or
consent of either party is required, the decision thereon shall be promptly given, and such
approval or consent shall not be unreasonably withheld. It is further agreed and understood that
whenever under any provision of this Contract approval or consent is required, the approval or
consent shall be deemed to have been duly given if such approval or consent is given by the
person executing this Contract or any one of the persons, as the case may be designated by
the Owner's. Manager may rely exclusively and conclusively on the designation set forth,
notwithstanding any notice or knowledge to the contrary.
Section 8.08. ASSIGNMENT. Any assignment of this Agreement is subject to the prior consent
of the other party hereto.
Section 8.09. NOTICES. Any notice by any party to any other party shall be in writing and shall
be given, and be deemed except as otherwise provided in this Contract, to have been duly
given, upon receipt by the addressee if delivered personally, or two (2) days after deposit in the
United States mail, in a registered or certified postage paid envelope addressed to the
respective parties as follows:

Either party may at any time change the address for notices to such party by the delivery or
mailing, as aforesaid, of a notice stating the change and setting forth the changed address.
Section 8.10. GOVERNING LAW. This Contract shall be deemed to have been made and shall
be construed and interpreted in accordance with the laws of the State of Texas, Dallas County.
Section 8.11. BINDING EFFECT. This Contract shall be binding upon and inure to the benefit of
the parties hereto and their respective heirs, personal representatives, successors and permitted
assigns.
Section 8.12. SEVERABILITY. If any term, covenant or condition of this Contract or the
application thereof to any person or circumstance shall, to any extent, be held to be invalid or
unenforceable, the remainder of this Contract, or the application of such term, covenant or
condition to persons or circumstances other than those as to which it is held invalid or
unenforceable, shall not be affected thereby, and each term, covenant or condition of this
Contract shall be valid and shall be enforced to the fullest extent permitted by law.
Section 8.13. CONFLICTS OF INTEREST. (a) Related Third -Party Transactions. In the
performance of the maintenance and management services to be provided herein by the
Manager, Manager is authorized to enter into contracts or agreements with its affiliates so long
as such agreement or contract is on terms no more favorable to such affiliate than those terms
would be generally prevailing with the supplier of such goods and services if negotiated on an
impartial third -party basis, as used herein, the term "affiliates" shall mean any corporation,
partnership, sole proprietorship or other entity in which a shareholder, officer or director of the
Manager (or any combination thereof) owns an interest.
(b) Outside Services. Nothing contained herein shall prevent Manager from entering, and Owner is
aware that Manager may enter, into similar management agreements with competitors of Owner for
the management of shopping centers, office buildings or any other type of properties Manager may

RECOMMENDATION:
It is recommended that City Council:
1. Conduct a public hearing to allow citizen input and consideration of the City's 2022-2023
Annual Action Plan for use of federal grant funds to be awarded by the United States
Department of Housing and Urban Development in the amount of $13,124,648.00 from the
Community Development Block Grant, HOME Investment Partnerships Program, Emergency
Solutions Grant, and Housing Opportunities for Persons with AIDS grant programs, and for
the use of program income from activities using prior years' federal grant funds;
2. Approve the City's 2022-2023 Annual Action Plan for submission to the United States
Department of Housing and Urban Development, including allocations of grant funds to
particular programs and activities as detailed below;
3. Authorize the collection and use of an estimated $50,000.00 of program income which is
expected to result from activities using prior years' Community Development Block Grant
funds for the City's Priority Repair Program;
4. Authorize the collection and use of an estimated $50,000.00 of program income which is
expected to result from activities using prior years' HOME Investment Partnerships Program
grant funds for the City's Homebuyer Assistance Program, and authorize the use of 10
percent of the program income for administrative costs;
5. Authorize the City Manager or his designee to execute contracts for one year terms with the
agencies listed in Tables 1,2, and 3 below for Program Year 2022-2023 for Community
Development Block Grant, Emergency Solutions Grant, and Housing Opportunities for
Persons with AIDS grant funds, contingent upon receipt of funding, and satisfactory
completion of all federal regulatory requirements;
6. Authorize the City Manager or his designee to extend the contracts for up to one year if an
agency or department requests an extension and such extension is necessary for completion
of the program, or to amend the contracts if necessary to achieve program goals provided
any amendment is within the scope of the program and in compliance with City policies and
all applicable laws and regulations governing the use of federal grant funds;
7. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations
in the Grants Operating Federal Fund in the total amount of $13,124,648.00 consisting of
$6,996,710.00 in Community Development Block Grant funds, $3,266,685.00 in HOME
Investment Partnerships Program grant funds, $628,543.00 in Emergency Solutions Grant
funds, and $2,232,710.00 in Housing Opportunities for Persons with AIDS grant funds, plus

DISCUSSION:
The City of Fort Worth's (City's) 2022-2023 Annual Action Plan summarizes the major housing and
community development activities and proposed expenditures for the program year beginning
October 1, 2022 and ending September 30, 2023 for use of federal grant funds totaling
$13,124,648.00 from the United States Department of Housing and Urban Development (HUD) from
the Community Development Block Grant (CDBG), HOME Investment Partnerships Program
(HOME), Emergency Solutions Grant (ESG), and Housing Opportunities for Persons with AIDS
(HOPWA) grant programs. It also summarizes the use of program income resulting from activities
using prior years' CDBG and HOME funds, the primary purpose of which is to benefit low -and
moderate -income persons in Fort Worth. ESG funds primarily benefit persons experiencing
homelessness, and HOPWA funds primarily benefit low- and moderate -income persons with
HIV/AIDS.
Staff developed initial recommendations for the allocation of the estimated funding from HUD based
on prior year's funding levels. One public hearing was held on April 27, 2022 to provide citizens the
opportunity to participate in the development of the Annual Action Plan. Recommendations for award
amounts were considered and adopted by the Community Development Council on May 11, 2022.
These funding recommendations were presented in City Council Work Session on June 7, 2022.
A 30-day public comment period was held from July 1, 2022 to August 1, 2022. Notice of this public
comment period was published in the Fort Worth Star -Telegram on June 26, 2022; in
the Weatherford Democrat on June 28, 2022; in the Hood County News and Wise County
Messenger on June 29, 2022; in Cleburne Times Review and La Vida News on June 30, 2022; and
in Glen Rose Reporter on July 1, 2022.
Any comments received are maintained by the Neighborhood Services Department in accordance
with federal regulations. The City held two public hearings as part of the HUD required citizen
participation process. The first public hearing was held by staff on July 13, 2022, and the second
public hearing is scheduled for the City Council meeting on August 9, 2022.
A summary of staffs final funding recommendations is provided below in Tables 1, 2, and 3. A
Powerpoint presentation listing funding recommendations is also attached. The 2022-2023 Annual
Action Plan will be submitted to HUD by August 15, 2022.
Indirect costs totaling approximately $330,793.14 could be charged to these grants, as the
Neighborhood Services Department indirect cost rate is 17.29\% in the City's most recent Cost
Allocation Plan. A waiver of these costs is requested to allow allocation of these funds to further
support the programs and services to assist low -to -moderate income citizens.
COMMUNITY DEVELOPMENT BLOCK GRANT
For Program Year 2022-2023, it is recommended that the amount of $6,946,710.00 in CDBG funds
and an estimated amount of $50,000.00 in CDBG program income totaling $6,996,710.00 be
allocated as follows:
• Public Services Agencies- $1,042,006.00: Includes social services for low- and moderate -income
persons, persons with disabilities, and disadvantaged persons
• Housing Programs - $4,153,352.00: Includes funding for the City's Priority Repair Program,
Cowtown Brush -Up, homebuyer and housing services, accessibility modifications for seniors and
persons with disabilities, and related project delivery costs for these programs
• Major Projects - $362,010.00: Includes funding for Southside Community Center improvements
• Administration - $1,389,342.00: Includes costs for administering the CDBG grant, including
allocations for the Financial Management Services and Development Services Departments
• Estimated Program Income - $50,000.00: Includes up to $50,000.00 in funding for the City's
Priority Repair Program. Any CDBG program income over the estimated amount not used for the

HOME INVESTMENT PARTNERSHIPS PROGRAM
For Program Year 2022-2023, it is recommended that the amount of $3,216,685.00 in HOME funds
and an estimated amount of $50,000.00 in HOME program income totaling $3,266,685.00 be
allocated as follows:
• Homebuyer Assistance Program - $129,623.50: Includes funding for down payment and closing
cost assistance for low- and moderate -income homebuyers
• Community Housing Development Organization - $707,430.00: HUD requires that a minimum of
15 percent of HOME funds be allocated to Community Housing Development Organizations
(CHDOs) for affordable housing projects. These funds will be used by Development Corporation of
Tarrant County (DCTC) for single-family infill development in the Polytechnic neighborhood. All
housing developed with these funds will be sold to homebuyers making at or below 80 percent of
area median income (AMI), set by HUD.
• Major Projects - $2,057,963.00: Includes funds ($1,000,000.00) allocated to the affordable
housing project to be developed by Fort Worth Housing Solutions (FWHS) as a part of its Choice
Neighborhood Initiative (CNI) grant and funds ($1,057,963.00) allocated to the development of
permanent supportive housing.
• Administration - $321,668.50: Includes costs for administering the HOME grant
• Estimated Program Income - $50,000.00: Includes funding for the Homebuyer Assistance Program
and HOME grant administrative costs. HUD allows the City to use 10 percent of any HOME
program income towards the cost of administering the HOME grant. HOME program income over
the estimated amount not used for the Homebuyer Assistance Program will be allocated to priority
activities in the City's Consolidated Plan, subject to City Council approval.
HOUSING OPPORTUNITIES FOR PERSONS WITH AIDS
For Program Year 2022-2023, it is recommended that the amount of $2,232,710.00 in HOPWA funds
be allocated as follows:
• Public Service Agencies - $1,515,729.00
• Neighborhood Services Department - $650,000.00

EMERGENCY SOLUTIONS GRANT

Each of these grants is an entitlement grant rather than a competitive grant received from the United
States Department of Housing and Urban Development (HUD). Entitlement grants provide funds to
agencies based on a formula, prescribed in legislation or regulation, rather than based on review.
These specific grants are allocated to the City of Fort Worth based on population size and per capita
income each year. The grants have been consistently awarded to the City since 1974 with the
inception of the Community Development Block Grant (CDBG) through the Housing and Community
Development Act of 1974. The Emergency Shelter (renamed Solutions) Grant (ESG) was authorized
in 1987 through the McKinney-Vento Homelessness Assistance Act. The HOME Investment
Partnerships Program (HOME) and the Housing Opportunities for Persons with AIDS (HOPWA)
Program were authorized in 1990 through the Cranston -Gonzales National Affordable Housing Act of
1990. With these grants, administrative and program delivery allocations support approximately 72
FTE positions in the Neighborhood Services Department, which is funded nearly 70\% with various
grants including these entitlement grants.
Positions funded with HUD Entitlement grants are subject to grant availability. In the event of a grant
award being decreased or eliminated, Neighborhood Services Department would review programs
and services funded by the grants and determine a level of service and staffing that aligns with the
available funding. Alternative to consider may include staff and program reductions or eliminations.

FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that upon approval of the above recommendations and adoption of
the attached appropriation ordinance, funds will be available in the current operating budget, as
appropriated, of the Grants Operating Federal Fund. The Neighborhood Services Department (and
Financial Management Services) will be responsible for the collection and deposit of funds due to the
City. Prior to an expenditure being incurred, the Neighborhood Services Department has the
responsibility to validate the availability of funds. This is a reimbursement grant.
