PFM �vill gift to the CITY a memorial display, including a bronze monument, to honor police o,�ficers, firefighters, and city maxshals who have fallen in the �ine of duty (the "Memorial"). PFM shall use the designated area in Trinity Park for t�-ie pur�ac�ses set farth in this Agreement, and no other use of the premises shall be permitted, unless PFM obtains prior written approval of the CTTY. Gift of the Memorial to the �ITY shall be effective upon delivery of written acknowledgement of receipt by the CITY to PFM. �. TERM. This Agreement commences when signed by all parties and shall remain in full farce and effect, unless tezxar�ixaated as allawed �or herein. 3. MEMORIAL SITE. PFM is authorized under the te�tns and conditions of this Agreement to place a Memorial moz�ument display in north Trinity Park (located at Trinity Park Drive and 7th Street) at a site appro�ed by the City CounciI and within the specific designated area entitled "The Memorial Site" as indicatad in "Exhibit A." PFM covenants and agrees that it ha� inspected the Memorial Si#e an.d it zs suitable �or the use and purposes intended under this Agreement. 4. FUNDING, REPAIR AND MAINTENANCE. PFM shall provide all the funding associated with the development, design, and construction of the Memorial. The CITY agrees to waive all develapment fees associated with the construction and placerrxe�t of �he Memorial at the M�morial Site. Upon mutual agreement between PFM ancl the CITY, PFM may repair and restore the fountai_n located in north Trinity Paxk near the Memorial Site. If PFM elects to repair and restore the four�tain, City agrees to rnaintain the fountain as funding is allocated by the City Council. � Within six (6) months after the compl�tion and installatian of the Memarial in Trinity Park, PFM agrees to establish an endowm�nt fund, in the minimum amount of Twenty Thousand Dollars ($20,000.00}, to be maintained for reasonable maintenance, addiiions, repair, andlar the "increased level of maintenance", as defined below, to the Mez�r�oxial and the Memorial Site as approved by mutual agreement between PFM and the CITY. PFM agrees to maintain a miniamum of Twenty Thousand Dollars ($20,000.00) in the endowment fUnd during �he term of tlus Agreement. PFM shall be responsible for the following: a) Repair, to include graffiti removal and other darnage to th� M�morial and/or the Memorial Site as d�signated in E�ibit "A"; b} Maintenance, to izaclude any cleaning of the Memorial and any upkeep necessary to keep the Mem�arial, as designated in Exhibit "A," in the sarne ar better condition as when constructed; e) "Inereased level of maintenance" to include maintenance xequixed beyond the standard city maintenance standards due to t.�.e addition of landscaping, lighting, irrigation, and other improvements installed at the Memorial �ite by PFM after the execution of this contract; and d j Adding narnes ta the me�zarial of future deceased police afficers, marshals and firefighters killed in the line of duty. The CITY shalI be responsible far: a) The maintenance of the Memarial Site, as designated in Exhibit "A," to include mowing and litter abateme�t, in accnrdance with the established City maintenance standards, as funding is allocated; and 3 b) The planting and care of the seven trees identified in Exhibit "A' that are donated by PFM to the Mennorial Site. The City agrees to replace any trees donated by PFM, as identified in E�hibit "A," that die with trees of the s�me caIiber and condition when danafied, subject to availability and �und�ng Any funds expended, in whole or in part, b� the C�TY for any increased level of maintenance, such as additional laxidscaping, lighiing, and/or irrigation that i� installed by PFM, sha11 be mutually agreed to between PFM and the CITY pxiar to any work being performed, emergency circumstances excepted. The PFM endowrnent fund shall reirnburse any mutually apprqved fu�nds expended by the CITY within sixty (60) days notice to PFM o� campletion by the CITY. .�s. DAMAGE. Within forty-eight (48) hours of natification of damage to the Memnrial or Merx�orial Site by vandalism, graffiti, ar other means, the CITY and PFM shall mutually determine the best method{s) and appropriate action to accomplish the restoratian and/or repair. The CITY will be responsibl� for insuring that the needed wark is accoznplished in a timely manner. Any funds expended by the CITY for restoration and/or repair of the Memorial, as mutually agreed to between the C�TY and PFM, shall be reimbursed by the P�M endowment fund �uvithin sixty (60) days notice to PFM of completion by ihe G�TY. 6. INSURANCE. Upon acceptance of the Memorial pursuant to Paragraph 1, the CITY will provide the necessaxy insurance based upan the curren� and exis�ing Fire and Extended Coverage, Fine Arts Schedule, or as defermined by the CITY. � 7. PLACEMENT. Prior to placement of the Me�norial in Trinity Park, PFM shall submit the design and site plans to the City Manager, ar his designee, for appraval. These plans shall include appropriate design and engineering plans and specifications. PFM wi11 be responsible for eornpliance with CITY ordinances or regula�ions related to the installation of the Memorial. S. �+'EES/VOLUNTARY PFM SOLICITATTONS. PFM, Fort Worth Police Department, Fort Worth PoIice Officers Association, Fort Worth Fire Departtnent, Fart Worth Fire Fighters Association, and Fort Worth City Marshals wxll nat be assessed any fees for conducting ceremonies, vigils or other events related to the purpose of the Memorial. Th� CITY shall irnppse tlie standard city park fees for �he use of any �ark faciIities, other than the Memorial Site, by PFM, Fart Worth Police Department, Fort �7Vorth Police Officers Association, Fort Worth Fire Department, Fort Worth Fire Fighters Association, Fort Warth City Marshals, or any other entities using these facilities. The solicitation and cnllection of voluntary PFM donations at the Mernorial 5ite will be allowed. PFM shall not charge any fees for their memarial events unl�ss PFM has provided w�rztten notification to the Parks and Co�nmunity Services Depa�tment {k'ACS) Director af least 5 working days irx advance of the event. A.ny other organization, such a�, but not limitec� to, local, stat�, and federal police officers or fire fighters, city marshals or civil service associations, shall nat charge any fees for their memorial events unless approved in advance by the Parks and Comrnunity Services Department (PAC�) Director. Any donations or fees collected by the PFM and/or by organizations approved by the PAC� Director shall be solely for the benefit of the organizations callecting the donations and fees. 5 9. LOCALISTATE/NATIONAL MEMORIAL DAYSIEVENTS. The CITY shall reserve the Memorial �i�e on an annual basis for the National Fallen Fixefighfiers Day and Police Memorial Day. Upan reasonable noiice by �FM, and subject to availability, the CITY shall reserve this site for all iocal, state, and federal police officers and fire fighters, city marshais, and civil service association's mernorial observances. 10. MEMENTOS. The PACS shall maintain the park, including the area surrounding the Memorial. If any iterns are left at the Mem�rial, PACS shall la3�e1 and callect th� iterns on a regular ba,sis. All items shall be turned over ta PFM for archiving, securir�g or, at PFM' S sQle discretion, disposal. Flowers left at the Memorial may remain until they hecome unsightly, but for no more than seven (7) days. 11. USE OF PREM�SES. Both parties agree and acicnowledge that the M�morial is to be placed in a public park, axxd that the paxk is accessible to the general public, withaufi limitatians, any�ime during park hours. During any event held by PFM, PFM agrees to make all reasonable efforts to accommodate members of the public and at�er CITY approved users of the park. 12. ALTERATIONS. Any alterations to the Memorial or Mernorial Site shall be mutually agreed to between PFM and the CITY. 13. FUNDING LIMITATIONS . As to the CITY'� perfo�nance of its obligations under this Agreement, PFM acknawledges and agrees that the CTTY is a governmental en�ity, and because of statutory, constitutional and City Chart�r provisions it cannot commit ta fundrn.g beyond the fiscal year. Therefore, the funding obligations of :'� the CITY described herein are subject to and conditioned upon the City Council appropriating for each fiscal year funds to satisfy such ob�igations. Neither PFM, nar its board members, will have any bindi�g fiscal respa�zsib�lity fox repair or maintenance of the Memorial or the Memorial Site beyond the Twenty Thousand Dollars ($20,000) required to be held in the endowm.ent fur►d per the terms of this Agreement. 14. UNLAWFUL. IMPROPER, OR OFFENSIVE USE. PFM agrees that neither it, nor its officers, agents, employees, licens�es, invitees or patrans, shall make any unlawful, improp�r, or offensive use o£the Mezn�orial or the Memorial Site. 1�5, TERMi.NATI�N �F AGREEMENT. (a) Either party may terminate this Agreement in the event of a default by the other party and failure to cure within 30 days after receipt o�v►�ritten nokice of default. {U) It is understood ar�d agreed between the parties that the Memorial Site, like ather City- owned property, is held by the CITY as trustee for the public; that the CTTY exercises such powers over the property as have been delegated to it by the Constitution of ihe State o�' Texas, the Legislatuxe and its Charter; and that the CITY cannot conf�act away its duty and its legislative power to control such property for the use and benefit of the public. It is accordi_ngly agread that the City Council shall have the right to determine in its sole discretion to usc or to cause or permit the Meznorial Site to be used for az�y other public purpose and upfln sucl� detezmination may terminate this Agreement in whole or in part in arder to facilitate use of the Memorial �it� for such other public puzpose. (c) If for any reason, PFM ceases to exist, through either dissol�ation or other means, the CITY rnay ternunate this Agreement. 16. INDEMN�TY. Neither party hereto shall assign or subiease its privileges, rights, or duties hereunder without w�ritten perrnission of the ather party. 20. COMPLIANCE. Any failure by either party ta this Agreement, at any time, to require strict compliance �rith this Agreement shall no� waive or diminish any right o� said party to demand strict compliance it� the futur�. No wai�er of any default by either party shall waive or affect any other default by said party. 21. SOLE AGREEMENT. This Agreement, including all Attachrr�.en.ts, Schedules and Exhilaiis� constitutes the sole and only agreement of the parties hereto and supersedes any prior und�rstanding or tiv�ritten or oral agreements between the parties respecting the subject matter. 22. APPL�CABLE LAW. On January 29, Z002, (M&C C-18946) #he City Gouncii autl�orized the designation of the �artl�em area of Trinity Park adjacent to West 5e�enth Street as the site for the Memorial. Subsequent to the site designation, the City et�tered into an Agreement (City Secretary Contra�t No. 28309, authorized by M&C G-19061} with the Police and Fire Memorial Committee (Committee) whereby the Committee would consfruct a memoria[ with private funds and then donate the Memorial to the City upan its completion. The Memorial has b��n completed and afficially de�icated on June 5, 20D9. ihe Cammiftee is seeking acceptance by the City of the donation of the Memorial to the City. The value of the M�morial is estimated at $1.5 miHion, which was the approx9mate cost of the construction of the Memorial. in accordance with the Agreement, the Comr�ittee has establishec� an endowment fund for maintenance, adclitions and repair. The Committee wil! maintain a minimum amount of $20,�00.0� in the endowment fund sa long as the Agreement is in effect. Following approval af this M&C by #he City Cauncil, acceptance will be finalized by execution of a Gift of Deed by the Police and F'ire Memorial Committee, Inc.
