CONTRACT FOR PROFESSIONAL CONSCTLTING SERVICES
This Con�ract is made by the City of Fort Worth, Texas, a municipaI corporation situated in
Tarrant and Denton Counties, T�xas, acting as administrator %r the Child Mental Health Initaative
Co-operative (CMHI} Agreemen# for the Mental Health Connection o� Tarrant County {MHC),
hereinafter called "City", by and through its duly authorized Assistant City Manager, Libby Watson
and Linda Fulm�r, M.Ed., a Technical Assistance Coordinator doing busi:ness in Texas as Fulmer
a�d Associates, hereinafter called "Consultant".
l. Scope of Services.
In accordance witla the highest professional standards, Consultant agraes to provide the services
of consultation. The specifics of such consultation se�vic�s are listed in Attachment 1—"Scope of
Work", attached hereafter and incorporated into this Contract hereby. Consultant shall follow any
and all star�dards as deemed neeessary by the U. S. Department of Health and Human Services for the
CIVIHI Agreement and as described in the Gz�ant (the Grant) ta f�nd the CMHI Ageement .
2. Comuensation:
a. The amount to be paid to consultan� for all services performed hereunder shall be
$40,040 per year, hereinaf�� "Consultax�t's Fee", which shall include any and all expenses incurred
by Consultant. Consultant sha11 submit a quarterly bill ten {10} days after each quarter to the City
detailin� Consultant's time and expenses for payment.

b. It is understood that this Contract contemplates the provision of fi,ill and complete
consulting services fo� this pz�oj ect as describ�d in ihe Grant froxn the U.S. Department of Heaith and
Human Services %r this Child Menial Health Initiativa Co-operative Agreemenfi zncluding any and
aIl necessary changes or contingeneies to complefe the work as outlined in Section 1, "Scope of
Services", �ar the fee described in Section 2.a.
c. Consultant agrees that it will not seek additional compensatiQn from the City beyond that
which �ras explicitly approved and received for by the Grant.
3. Term.
The term of this Contract shali commence upon date of fi�l e�ecution by City and Consultant and
shall terminate on September 30, 2Q03, unless terminated earlier as provided herein.
4. Termination.
a. City may terminate this Contract at any time for any cause by notice in writing to
Consultant. Upon the receipt of such notice, Consuliant shall immediately discontinue all services
and wark and the placing of all orders or the entering into cantz�acts far aIl supplies, assistance,
facilities and materials in connection with th� perforrnanee of thi5 Contract and shall proceed to
cancel promptly ai1 existing contracts insofar as they are chargeable to this Contract. If the City
tern�inates this Contract under this Section 4.a., ihe City shall pa.y Contractor for services actually
performed in accordance herewith prior to such terminatian, �ess such pa�nnents as have been
previously made, in accardance with a fmal statement submitted by Consultant documenting the
per%rrnance af such vc�ork.
b. In the event no fi�nds or insu�ficzent funds are apprapriated by City or by ihe U.S.
Department of Heaith and Human Services in any fiscai period for any payments due hereundez, City

b. Automobi�e Liability Insurance. Consultant shall take out and maintain during the life
af this Contract such Automobile Liability Insurance to include Qne Millions Dollaxs
($1,OOd,OdO) each accident on a combined single limit, or Two Hundred Fifty Thousand Dallars
($254,000) property damage and Five Hundred Thousand Dollars ($SOQ,000) bodily injury per
person, per occurrence, whether vehicle is ownec�, leased, or hire$.
c. Proof of Insurance Coverage. ConsulCant shall furnish the City with a certaficate of
insurance as pr�aof that it has obtained for the duratian of this Contract the insurance amounks
requir�d herein. Consultant's insurance policy sha11 provide that the insurer shall give the City thirty
(30) days' prior written notice befare altexing, modifying or terminating the insurance coverage.
7. Indenendent Contractor.
Consultant shall perform all work and services hereunder as an independent contractor and not as
an officer, agent or empIoyee of the City. Cansultant shall have exclusive control oir, and the
exclusive right to control, the details of the work performed hereunder and all persons p�rfarming
same and shall be salely responsible for the acts and omissions o�its officers, agents, employees and
subcontractors pursuant to ii�e terms and objectives of the Grant. Nathing herein shall be construed
as creatiz�g a part�erskip or joint ventur� between the City and the Consultant, its officez-s, agents,
employe�s and su�contractors; and the doctrine of respondeat superior s�all have no application as
between the City and the Consultant.
8. Disclnsure oi Conflicts.
Cansultant warrants ta the C�ty af Fort Worth that it has made fu11 disclosuz'e in writing of any
existing or potenkial contlicts of interest related to the services to be performed hel�eunder.

Consultant further warrants thaf it will make prompt disclosure in writing of any canflicts of interest
which develop subsequent ta the signing of this Contract.
9. Right to Audit.
Consultant agrees that the City shall, until the expiration of three (3) years after final payment
under this Contract, have access to and th� right to examine any direcilypertinent books, documents,
papers and records of the Consuliar�t inuolving transactions relating to this Contract. Consultant
agrees that the City shall have access during normal working hours to all necessary Consultant
�acilities and s�ail be provzded a.ciequate and appropriate warkspace in order to conduct audits in
compliance with the provisions of this section. The Gity shall give Consultan� reasonable advance
notice of intended audits.
Consultaa�t further agrees to include in all its su,bcontractor agreemenis hereunder a provision �o
the effect thai the subcontractor agrees that the City shaIl, until the expiration of three (3} y�ars after
final payment under the subcontract, have access to and the right to exarnine an.y darectly pertinent
books, documents, papers and records of such suhcontr�actor involvin� transa�tions to the
subcontraci, and further that City shall have access during normal working hours ta ail subcontractor
facilities and shali be provided adequate and appropriaie work space in order to canduct andits in
complianca with the provisions of ihis pa�agraph. Ciiy sha11 give subcontractor reasonable advance
notice of i.niended audits.
1p. Pro�ibition oiAssi�nment.
Neither party hereto sha11 assign, sublet or transfer its interest herein without the priar wnitten
consent of the aiher pariy, and a�ny attezn.pted assignment, sublease or transfer af all or any part
hereof withoui such prior wriiten consent shall be �oid.

11. MIWBE Goals; Nonc�iscrimination.
a. Consultant acknowledges its comrnitment to meet or makE "�ood faith" effort to meet the
City oiFort Worth's gaals far Minori�.y/Women-awned Business Enterprises {N1lWBE) participation
in City con�tracts. MJWBE participation was one of the e�aluation criteria used in the award of this
Con�ract; therefore, failure to cornply rnayresult in the Consultant being classified as nonresponsive
and being barred from City woxk �ox a period of not less than six months. Consul�ant agrees to
furnish documentation of MIWBE participation such as canceled chacks, etc., ar such evidence as
may be deemed proper �y the City of Fort Worth. At the present tirne t1�is paragraph daes not apply
since Consultant has not re�ained noz� �as any plans ta retain the services of any subcontractors in
connection with the performance of this Contract.
b. As a condition of this Contract, Cansultant covenauts that it wili take all necessary
actions to insure that, in connection with any work under this Contract, Consultant, its associates and
s�xbcontractors, will not discriminate iri ihe treatment ar emplayment of azxy individual or graups of
indivic�uals on the grour�ds of race, color, religion, national origin, age, sex, sexual orientatian ar
disability unrelated to job perf�rmance, either directly, indirectly ar through eantractual or other
arrangements.
1�. Choice of Law; VenUe.
a. This Contract shall ba construed in accordance with the internallaw oftt�e State of Texas.
b. �hould any action, whether reaJ or asserted, at law or in equity, arise out of the terms of
this contract, venue for said action shall be in Tarrant County, Texas.

Attachmen� #1— Scope of Work
1. Coordinate and link with the Technical Assistance (TA} Partnersh�ip far ob�aining the
appropriate resources necessary to increase the information, knowledge, and skills of those
involved with system of care reform.
2. Work with evaluation team to identify emer�ing n�eds for infarmation, knowl�dge, anr� skills
that might be addressed through TA acti�ities.
3. Oversee the develapment and irnplementation of a technical assxsia�.ce plan for fihe system of
care.
4. Coordinate an inter-ag�ncy team to a.ssist wi�i the assessment that
a. Identifies skills, knowledge and information that are neEded for successful
implementaiion of system �of care reform; and
b. Plans strategies for addressing these deficzts.
5. Qrgariize and implement those strategies identif ed by the inter-agency team a�d/or the
evaluation process.
6. Maintain cent�ral records of all participating agencies and individuals in teehnical assistance
components.

BY A GRANT FR�M THE U.S. DEPARTMENT OF HEALTH AND HUMAN SERVICES
F�R A CHILD MENTAL HEALTH IN]T�ATIVE CO-OPERATIVE AGREEMENT
RECOMMENDATION:
It is recommended that the City Council autharize the City Manager to execute an annual cor�tract with
Linda Fulmer, M.Ed with Fulmer and Associates in the amount af $4a,000 for technical assistance
ser�ices for fhe periad Sep�ember 30, 2�a2, thraugh September 29, 2003.
DESCUS5I�N:
Following the shooting in Wedgwood, cansiderable attention was given to the inadequacy of inental
health ser�ices in Tarrant County. As a result, in �ctober 1999 a daylong refireat made up of executive
staff from 35-40 agencies was held to discuss critical needs, service gaps, and barriers to mental h�alth
services. Th� Men#al Health Gonnection (MHC) of Tarrant County, which consists of agencies, se�eral
el�cted ofFicials, and number a� indi�iduals who have family members with mental health problems, was
suhsequently formed to address these prob[ems, and t� de�elop a camprehensive mental health plan
for our area. Earlier this year, the MHC received a grant from the U.S. ❑epartmen# of Health and
Human Services for the Child Mental Health Initiative (CMHI). At the request of MHC, the Ciiy has
agreed to take the lead in submitting the CMHI Agreement and to act as the administrator af the funds
with n� direct serv�ca offered �y the City.
The goal fo� the CMH�, "Children's Voices, Family Chaices, Community Salufiions: Building Blocks for
Healthy Families", is to create a new way of pro�iding mentaf health services to children wifh se�ere
emotianal disturbances. The technical assistance contrac# is one that is required by the funding agency
(the Substance Abuse and Mental Hea[th Service Administra#ion, ar SAMHSA}. The MHC selected
Fufiner and Assaciates as the most qualified for this contract.
This agency was includ�d and accepted by the granting agency as an approved participant during the
grant applicatian process. All funds for this contract are pro�ided by fihe grant.
The sc�pe of work for this Technical Assistance setvFce contract is as follows:

of system of care reform; and
b} Plans strafegies for addressing these deficits; and
� Organize and implement #hase strategies identified by the inter-agency team, andlor #he evaluafiian
process; and
g Maintain central records af all participating agencies and individuals in technical assistance
camponents.
In the new process, families will p�ay key rales in working with case managers in de�ermining the care
ta be pra�ided. The same case manager will stay with the family during the time the child receives
mental health services and will assure that other service providers collaborat� in praviding care to the
child. The target population for ihis prQject is any Fort Warth Independent Schoo! District schoo!-age
youth between the ages of 4 and 18, who has bee�n diagnased with a severe emotional disturbance.
T�ese you#h are further d�fned as b�ing at-risk for removal from school or home due to the symptoms
of their mental illness.
Praviders in mental health, education, juveniie justice, healti�, substance abuse and child w�ffare will
participate in develaping this system change.
�'ISCAL INFORMATIONICERTIFICATION:
The Finance Director certifies that funds are a�ailabl� in the current operating budgef, as appropriated,
of the Grants Fund.
