CONTRACT FOR PROFESSIONAL CON5ULTING SERVICES
This Contract is made by th� City of Fort Worth, Te�as, a municipal corporation situated in
Tarrant and Dentan Counties, Te�as, acting as ad�ninis�ratar for the Child Mental Health Inifiiative
Co-operative (CMHI} Agreement far the Mental Health Connectian af Tarrant County (NIIIC}
hereinaft�r called "City", by and ihrough its duly authoriz�d Assistant City Manager, Lihby Watson,
az�d the Mental Health Mental Retardafiion of Tarrant County, an agency doing �usiness in Texas,
hereinafter called "Consultant", acting through �im McDermott, Ph.D. its duly
authorized Chie� Ex�cutive Off�cer .
1. 5cope oi Services.
In accordance with the highest proFessianal standards, Consultant agr��s to provide the ser�vices
of cansultation and evaluation. The specifics of such eonsultanan sexvices are listed in Attachment
1—"Scape of Work", attached hereai�er and incorporated into this agreement hereby. Consultant
sha11 �'ollow any and aIl standards as deemed necessary by the U.S. Deparhne�t a�Health anc� Human
Services for the CIV�II Agreemen� and as described in the Grant (the Grant) to fund the CNiHI
Agreemani.
�. Comnensation:
a. The arnount to be paid to Consulta�t for all services per�ormed hereunder shall be
$200,000 per yeax, hereinafter "Consultant's Fee", which shall include all expenses incurred by
Consultant.

b. It is understood that this Cantract contemplates the provisian of full and complete
consulting se�vices for this project, including any and a�l necessaxy changes or conti�gencies to
complete the work as autlined in Secti�n 1, "Scope of Ser�+ices", for the fee described in Section 2.a.
3. Ter_m.
The tezm oi this Contract shall commence up�n date o�full executian by City and Consultant and
shall terminate Septernber 3Q, 2003, unless terrninated earlier as provided herein.
4. Termination
a. City rnay tern�inate this Contract at any time for any cause by notice 'rn writing to
Consultant. Upon the receipt of such notice, Cansultant shall irnrnediately discontinue ail services
and wc�rk and the placing of ail arders or the entering into contracts for all supplies, assistan�e,
facilities and materials in connection with the perforrnance of this Contract and shall proceed to
cancel promptiy all existing contracts insofar as they are chargeable to this Contract. If the City
temunates this Contract under this Sectian 4.a., the City shall pay Contractor for services actually
performed in accordance herewith prior to such termination, less such payrnents as have been
previously made, in accardance with a final statement submitked by Consultant documenting ti�e
perFormance of such work.
b. In the event no funds or insuffici�nt funds are appropriated by City or by the U.S.
Department of Health and Human Se�vices in any fiscal period for any payments due hereunder, City
will notify CansuItant of such occurrence and this ContracC shall terminate on the last day of the
fiscal period fvr which appro,priations were recefved without penalty oz- expense to City of any kind
whatsoever, except as to the poirtions af the payments herein agreed upon for which fut�ds shall have

City intends to apprapriate 104°/a of the funds specifi�d in this Cantract, so that a1I funds vvill be
budgeted and approprzated prior to the commencement date of this Contract.
c. Upon termination of this Gontract for any reason, Cansultant shall provide the Citywith
copies of all compl�ted or partially campleted documents prepared under this Contract.
5. Indemni�ication.

ANY PERSON, INCLUDING BUT NOT LIMITED TO OFFICERS, AGENTS �R
EMPLOYEES OF CONSULTANT OR SUBCONTRACTORS, WHICH MAY ARISE OUT
OF ANY ACT, ERROR OR ONIISSION YN THE PERFORMANCE OF CONSULTANT'S
PR�FESSIONAL SERVICES. CONSULTANT SH�►i1L DEFEND AT ITS OWN EXPENSE

a. Consultants shall no� comrnence �rark under this Contract until it has obtained aIl
insurance required under this section and until such insurance has been approved by the City, nor
sha11 Consul�ant allow any subcontractor to carnrnenee work on its subcontraet until all similar
insuraxice af the subcont�ac�o�' has been so obtained and approval given by the City.
b. Workers' Compensation Insixrance. Consultani sha11 take out and maintain during ihe life
of this Cantract statutory VVorkers' Compensation Insurance for all afits employees perfarmiz�g any
of the services hereunder, and, in case any work is sublet, Consultant shall require the subcontractar
similarly to pravide Wflrkers' Cornpensation Insuranee �'or a11 of the Iatter's �mploye�s unless such
einplayees are cavered by the protection afford�d by Contxactor'� insurance. In case any class af

ernployee wha engages in hazardous work under this Contract is not protected under the Warkers'
Compensation statuta, Consultant shall provide and shall cause each subcontractor to provide
ad�qua�te and suitable insurance for the protection of employees not otherwise protected.
c. Automobile Liability Insurance. Consultant shall take aut and maintain during the life af
this ContracC sucH Automobile Liability Tnsurance io include One Million Dollars ($].,000,000) each
accident on a combined single limit or Two Hundred Fifty Thousand Dollars ($250,Oa0) property
darnage and Five Hundred Thousand Dallars {$SQO,QQO) bodily injury per person, per occurrence,
whether vehicle is owned, leased, ar hired.
d. Praof of Insurance Coverage. Consultant shall Furnish the CiCy with a certificate of
insurance as proof that it has obtained for the duratian o� this Contract the insurance amounts
req�aired herein. Consultant's insurance policy shall provrde that the insurer shalI give the City thirty
(30) days' prior written notice before alter.ing, nnociifying or ternunating the insurance caverage.
7. Indenendent Contractor.
Consultant shall perform alI work and seivices hereunder as an independe�t contractol• at�d not as
an officer, agent or employ�e of khe City. Consultant shalI have exelusive contral of, and the
exclusive right to control, the details of the work pei�oiTned hereunder and all persons performing
same and shall be saIely respansible for the acts and omissions of iks afficers, agents, ernployees and
subcantractors. Nothing herein shall be construed as creating a partnership or joint venture between
the City and the �Cansultant, its officers, agents, employees and subc�ntracioxs; and the doctrine of
respondeat superior shall have no application as between the City and the Consultant.

$. Disclosure of Conflicfs.
Consultant warrants to the City af Fort Worth that it has made �ull disclosure in writing o� any
existing or potential conflicts af interes� relat�d tQ the services to be performed hereunder.
Consultant further warrants that it will make prompt disclosure in writing o�any conflicts ofinterest
which develop subsequent io the signing of tlus Cantract.
9. Right to Audit.
Consultant agre�s that the City sha11, until the expiration o�'three (3) years after final payme�r�t
under this Contract, have access to and the right fio examine any dixectly pertinent books, documents,
papers and records af the Consultant involving transactions relating to this Contract. Consultant
agrees tha# the City shall have access during normal working hours to alI necessary Consultant
faciiities and shall be provided adequate �nd apparapriate workspace in order to conduct audits in
compliance with the provisions of ihis section. The City shall give Consultant reasonable advance
notice o� intended audits.
Consultant further agrees to include in alI its subcontractar agreamants h�reundar a provisian to
the effect that the subcontractor agr�es that the City shall, until the expixation of three (3 j years after
final payment under the subcontract, ha�e access to and the right to examine any directly pertin�nt
�ooks, documents, papers and records of such subcontractor involving transactions to the
subcaniract, and further that Cfty shall ha�e access during normal working hours to all subco�tractar
faczlities and shall be provided adequate and appropriate wark s�ace in order iv conduci audits in
campliance with the provisions of this paragraph. City shall give subconiracior reasonable advance
notice of intended audits.

10. Prohibition of Assignmeat.
Neither party hereto sha11 assign, sublet or transfer its interest herein without the prior written
consent of the other part�y, and any attemptEd assignment, subl�ase or transfer af all ar any part
I�ereof without such priar v�itten con.sent shall be void.
11. MIWBE Goals; Nondiscrimination.
a. Consultant acknowl�dges its cornmitm�nt ta me�t or make "good faith" effort to meet the
City af Fort Worth's goals for MinoritylWomen-owned Business Enter�rises (M/WBE) participation
in City contracts. M/WBE participation was one of the evaluation criteria used in the award of this
Contract; therefore, iailure ta cornply rnay result in �khe Consultant being classified as nonresponsive
and being barred from City work for a period of not Iess than six months. Consultant agrees to
furnisla documentation o� M/WBE participation such as canc�led checks, etc., or such evidence as
may be deemed proper by the City of Fort Worth. At the pres�nt time this paragraph does not apply
since Consultant has not retained nar has any plans to retain the services of any subcontractars in
connec�ion with the performance af this Con�ract.
b. As a condition of this Contrac#, Consultant covenants that it will take all necessa�y
actions to insure that, in cannection with any work under this Contract, Consultant, its assaciates and
subcontractoxs, will not discz�i�minate zn tkae treahnenfi or employment of any individual or groups of
individuals on the grounds of race, color, religion, national origin, age, sex, sexual orientation or
disability unrelated to job perfarmance, ei�er d�'ectly, indirectly or through cont�actual or other
arrangements.
12. Choice of Law; Venue.
a. This Contract sha11 be canstrued in accordance wiih the internal 1aw oithe State of Texas.

b. Should any action, whether real or asserted, at law or in equity, arise out of the terms of
this contract, �enue for said action shall be in Tarrant County, Texas.

MENTAL HEALTH INIT[ATIVE CO-�PERATIVE AGREEMENT
RECOMMENDATION:
It �s recommended that the City Counci[ autharize the City Manager to axecute an annual cantract with
the department of Mental Health and Mental Retardation of Tarrant Caunty (MHMRTC) in the amaunt of
$200,000 far e�aluatian servic�s for fhe period Sepiember 3D, �aaz, through September 29, 20Q3.
DISCUSSION:
Following the shooting in Wedgwood, considerable attention was given to the inadeq�acy af m�nfal
healih services in Tarrant County. As a result, in October 1999, a dayl�ng retreat made up of executive
staff fram 35-40 agencies was held fo discuss criti�al needs, serrrice gaps, and barriers to mental health
services. The Mental Health Connect�on (MHC) of Tarran� Gounty, which consists o'F agencies, se�eraf
elected o#ficials and a number of individuals who have famify members with mentaf health problems,
was subsequer�tly formed to address these problems, and fo de�elop a campreher�sive mental health
plan for th� area, Earlier this year, #he MHC r�eei�ed a grant from the U.S. Department flf Health and
Human Services far the Child Mental Health Initiative {GMH[). At the request of MHC, the City has
agreed to ta{�e the lead in su6mitting the CMHI by functioning as the administrator af the funds with no
direct service pra�isian.
The goal for the CMHi, "Children�5 VOlC85, Family Chaices, Community Solutions: Build'tng Blacks far
Healthy Famili�s", is to create a new way af pro�iding mental health services for a ch�ld wifh ser►ere
emotional disturbances. Th� eualuation contract is one that is required by the funding agency (tne
Subsiance Abuse and Mental Health 5ervice Administration, or SAMHSA). The MHC selected
MHMRTC as the most qualified for this contract. The e�aivation will ass�ss the effecti�eness of a new
system that is created fia pro�ide menfal health ser�ic�s. These services wi11 be e�aluated an
accessibility, respansiveness ta the target audience, and the extend ir� which services are c4riven by the
child and family seeking care.
This agency► was included and accepted by the granting agency as an appro�ed participant during fhe
grant application process. All funds for this contract are pro�ided by the grant.
The scop� of work for this e�aluat�an s�rvice con#ract is as fo�lows:
� Conduct funded research designed to measure consumer outcomes and syst�ms change; and
� Ensure thaf e�aluatian research projects are an time and on budget unless modified by funding
source; and

present papers at conferences and instifutes (may author articles, papers, and r�ports for
publicatian ar in-hause distributian).
In the new pracess, fami[ies wili play key roles ir� warking with case manag�rs in determining the care
to be pra�ided. The sam� cas� manager will stay wifh the famify during the time the child receives
men#al health services and will assure that other ser�ice pra�iders colla�orate in pro�iding care to the
child. The target population for this pro�ect is any Fort Worth Independent Schaol District school-age
youth between fhe ages of 4 and 18, who has been diagnos�d with a severe emational disturbance.
These youth are fur�her defined as being a#-risK for remo�al from schaol or home due to the symptoms
of their mentai iliness.
Pro�iders i� mental health, education, juvenile justice, health, substance abtase and child welfare will
participate in de�eloping this system change.
