AMENDMENT No. 3
TO CITY SECRETARY CONTRACT No. 55953
WHEREAS, the City of Fort Worth (CITY) and TranSystems Corporation
Consultants, (ENGINEER) made and entered into City Secretary Contract No.
55953, (the CONTRACT) which was authorized by M&C 21-0328 on the 11th day
of May, 2021 in the amount of $1,247,299.00; and
WHEREAS, the CONTRACT was subsequently revised by: Amendment Number
1 in the amount of $44,160.00 which was administratively authorized on
June 1st, 2022, Amendment Number 2 in the amount of $54,050.00 which was
administratively authorized on July 17th, 2023; and
WHEREAS, the CONTRACT involves engineering services for the
following project:
Trinity River Vision- Central City Flood Control Drainage Projects,
CPN 103260, 103261, 103262, 103263, 103264, 103664, 103665, and
103667; and
WHEREAS, it has become necessary to execute Amendment No. 3 to the
CONTRACT to include an increased scope of work and revised fee.
NOW THEREFORE, CITY and ENGINEER, acting herein by and through their
duly authorized representatives, enter into the following agreement,
which amends the CONTRACT:

I of the CONTRACT is amended to include the additional
services specified in proposal attached hereto and
herein. The cost to City for the additional design and
phase services to be performed by Engineer totals
(See Attached Funding Breakdown Sheet, Page -4-)

Article II of the CONTRACT is amended to provide for an increase in
the fee to be paid to Engineer for all work and services performed under
the Contract, as amended, so that the total fee paid by the City for all
work and services shall be an amount of $2,290,967.00.
3.
All other provisions of the Contract, which are not expressly
amended herein, shall remain in full force and effect.

It is recommended that the City
Council:
1. Authorize execution of Amendment No. 3 to City Secretary Contract No. 55953, an Engineering Agreement with TranSystems Corporation d/b/a
TranSystems Corporation Consultants, in the amount of $945,458.00 for stormwater relocations for the Fort Worth Central City project thereby
increasing the contract amount to $2,290,967.00;
2. Adopt the attached appropriation ordinance adjusting estimated receipts and appropriations in the Stormwater Capital Projects Fund by increasing
estimated receipts and appropriations in Fort Worth Central City Bazaar Outfall Storm Drain project (City Project No. 103261) in the amount of
$5,000.00 by decreasing estimated receipts and appropriations in Fort Worth Central City Grand Avenue Phase 2 Part 2 (City Project No. 103664)
by the same amount;
3. Adopt the attached appropriation ordinance adjusting estimated receipts and appropriations in the Stormwater Capital Projects Fund by increasing
estimated receipts and appropriations in Fort Worth Central City Viola Outfall Storm Drain project (City Project No. 103264) in the amount of
$170,000.00 by decreasing estimated receipts and appropriations in Fort Worth Central City Grand Avenue Phase 2 Part 2 (City Project No.
103664) by the same amount;
4. Adopt the attached appropriation ordinance adjusting estimated receipts and appropriations in the Stormwater Capital Projects Fund by increasing
estimated receipts and appropriations in Fort Worth Central City Cemetery Outfall Storm Drain project (City Project No. 103667) in the amount of
$290,000.00 by decreasing estimated receipts and appropriations in Fort Worth Central City Grand Avenue Phase 2 Part 2 (City Project No.
103664) by the same amount; and
5. Amend the Fiscal Years 2024-2028 Capital Improvement Program.
DISCUSSION:
The purpose of
this Mayor and Council Communication (M&C) is to recommend execution of Amendment No. 3 to an Engineering Agreement
(Agreement) with TranSystems Corporation d/b/a TranSystems Corporation Consultants (TranSystems Corporation), for design and construction phase
services related to the relocation of City stormwater infrastructure for the Fort Worth Central City (FWCC) project. The construction of the north and
south bypass channels by the United States Army Corps of Engineers (USACE) for the FWCC projects will displace existing City drainage infrastructure
and requires them to be relocated.
On May 11, 2021 (M&C 21-0328), the City Council authorized an agreement in the amount of $1,247,299.00 with TranSystems Corporation for design
services on the FWCC project. This original engineering agreement has previously been revised by two administrative amendments. The amendments
including the amendment requested with this M&C are summarized below:

Amendment 3 will have $318,438.00 associated with additional design scope of work and archeological survey services completed under the lump sum
portion of the current contract. The additional design services are for revisions to the Cemetery engineering plans as requested by USACE, calculations
related to the water quality devices being installed on the project, and the archeological survey is for additional environmental investigations being
required by USAGE prior to construction commencing. The remaining $627,020.00 of Amendment 3 is fee associated with Construction Phase Services
for the various stormwater relocations projects in this contract and will be invoiced hourly at a not to exceed amount of $627,020.00. The Construction
Phase Services will allow the engineer of record to attend weekly site meetings, help address questions from the contractor, and provide expertise in
the field. Additional franchise utility work is not included in Amendment 3. For this amendment of $945,458.00, $480,458.00 of this amount is already
appropriated into the projects and the remaining amount of $465,000.00 will be appropriated with this M&C.
The additional appropriations requested in this M&C are distributed between projects as shown below.

Staff considers the fee to be fair and reasonable for the scope of services provided.
The entirety of the $2,290,967.00 amount of this contract, including the $945,458.00 of Amendment 3, are considered Fort Worth Central City -related
work, which are eligible for funding from Tax Increment Reinvestment Zone No. 9 (Trinity River Vision TIF) pursuant to the Trinity River Vision Authority
(TRVA) Project Plan. Having met its $26.6 million commitment to the TRVA Project, the Tarrant Regional Water District (TRWD) will reimburse the City's

yearly expenses for this contract at the end of each Fiscal Year, up to the total amount of $2,290,967.00, in accordance with the provisions of the
executed Interlocal Agreement between the City and the TRWD (City Secretary Contract No. 43425). Staff will record a receivable every month for
reimbursable expenses, and the FWCC Program Manager in the FW Lab Department will be responsible for collecting the full reimbursement from
TRWD at the end of each Fiscal Year.
Funding for this project was included in the FY2024-2028 Capital Improvement Program in the amount of $42,376,205.75. Additional funding in the
amount of $465,000.00 is needed due to the addition of construction administration and additional design services under the current contract. The
action of this M&C will amend the FY 2024-2028 Capital Improvement Program as approved in connection with Ordinance 26453-09-2023.
M/WBE OFFICE - TranSystems Corporation is in compliance with the City's Business Equity Ordinance by committing to 10% M/WBE participation on
this project. The City's MWBE goal on this project is 6%.
This project is located in COUNCIL DISTRICTS 2 and 9.
FISCAL INFORMATION / CERTIFICATION;
The Director of Finance certifies that funds are currently available in the FWCC Grand Ave Ph2 Pt2 project within the Stormwater Capital Projects
Fund and upon approval of the above recommendations and adoption of the attached appropriation ordinances, funds will be available in the
Stormwater Capital Projects Fund for the FWCC Bazaar Outfall, FWCC Viola and FWCC Cemetery Outfall & Houstn projects to support the above
recommendations and execution of the amendment. Prior to an expenditure being incurred, the Transportation & Public Works Department has the
responsibility of verifying the availability of funds.

TranSystems appreciates the opportunity to provide this fee proposal for additional scope of services for the above referenced
project as part of the Fort Worth Central City Program. These scope and budget modifications are needed to facilitate the
additional design, archeological surveys and construction phase services needed on project specific elements. Below is a

The detailed project scope and fee for this Amendment 3 is in the attached Attachment A and Level of Effort Spreadsheet. The
general scope of the Amendment 3 is to provide Construction Phase Services for the Grand Avenue, Houston St, Cemetery
Outfall, New Main Outfall, New Bazaar Outfall, Greenleaf and Viola Outfall projects. Construction Phase Services for the
Bazaar Outfall and University projects are not included in this amendment. The scope also includes re-design/re-packaging of
Cemetery Outfall for inclusion in the USACE North Bypass Channel design package.
The total cost of Amendment 3 is $945,458.00. $226,984.00 of Amendment 3 is associated with additional design scope of work
completed under the lump sum portion of the current contract. The remaining $718,474 of Amendment 3 is the fee associated
with Construction Phase Services and Archeological Surveys for the various projects in this contract and will be invoiced hourly
at a not to exceed amount of $945,458.00. The table below summarizes the total fees associated with each project under this
contract.

Scope for Engineering Design Related Services for Storm Water Improvements Projects
The scope set forth herein defines the work to be performed by the ENGINEER in
completing the project. Both the CITY and ENGINEER have attempted to clearly define the
work to be performed and address the needs of the Project. Under this scope, "ENGINEER"
is expanded to include any sub -consultant, including surveyor, employed or contracted by
the ENGINEER.
OBJECTIVE
The scope of services for this amendment is to provide services for developing water quality
calculations/documentation for Cemetery, New Main Outfall, New Bazaar, Viola and
Greenleaf projects, to be provided to TRWD for compliance review, and provide construction
phase services for Grand Avenue, New Main Outfall, Viola and Greenleaf projects.
Additionally, the scope of services for this amendment is to provide services for revising the
design for Cemetery Outfall and Houston Street Storm Drain to be included in the USACE
bypass Channel design/construction package. Construction phase services for Cemetery
Outfall and Houston Street Storm Drain are also included.

ENGINEER will manage the work outlined in this scope to ensure efficient and effective use
of ENGINEER's and CITY's time and resources. ENGINEER will manage change,
communicate effectively, coordinate internally and externally as needed, and proactively
address issues with the CITY's Project Manager and others as necessary to make progress
on the work.

CITY Department.
• Complete Monthly M/WBE Report Form and Final Summary Payment Report Form at
the end of the project.
• Coordinate with other agencies and entities as necessary for the design of the
proposed infrastructure, and provide and obtain information needed to prepare the
design.
• Attend bi-weekly PDT meetings with CFW, TRWD and other agencies.
• With respect to coordination with permitting authorities, ENGINEER shall
communicate with permitting authorities such that their regulatory requirements are
appropriately reflected in the designs. ENGINEER shall work with regulatory
authorities to obtain approval of the designs, and make changes necessary to meet
their requirements, as part of the design scope.
• Personnel and Vehicle Identification: When conducting site visits to the project
location, the ENGINEER or any of its sub -consultants shall carry readily visible
information identifying the name of the company and the company representative.
• Specific to Cemetery/Houston
• Attend the 60°/0, 95% and 100% review conferences
• Attend the SAR conference
ASSUMPTIONS
• Design management for this amendment included items associated with design
and construction. Construction items will be invoiced under Construction Phase
Services at an hourly rate and items associated with design will invoiced under
the Lump Sum part of the contract.

• Specifically, for Cemetery and Houston
• Review conference attendance is for time related to the Cemetery location
only. Attendance for USACE channel design review outside of this location is

Upon direction by the City, ENGINEER will prepare construction plans as follows:

Water District (TRWD) water quality manual for Cemetery, New Main Outfall, New

• Revise plans to include water quality devices as directed by the City.
• Prepare forms and exhibit for New Main Outfall project for submission to CFW to acquire
an Urban Forestry Permit for construction.
Cemetery/Houston Redesign/Repackaging scope includes:
• 95% Design
• Update the current Cemetery/Houston design package, replacing the City sheet
boarder with the USACE project border.
• Revise Cemetery/Houston design to incorporate comments from the USACE 60%
North Bypass Channel submittal.
• Revised base files for the Cemetery/Houston design that is to be provided by
USACE design consultant.
• Update the project control sheet information. Information to be provided by USACE
design consultant.
• Update/review Technical Specifications, CLIN Schedule and Scope of Work
description for items associated with the Cemetery/Houston location to be provided
to USACE design consultant for inclusion into the North Bypass Channel design
package.
• Provide Draft Engineering Considerations and Inspections for Field Personnel
(ECIFP) for items associated with the Cemetery/Houston location.
• Provide Draft OMRR&R Manual for items associated with the Cemetery/Houston
location.
• Provide Quality Control Plan and Quality Control Certification per USACE
requirements.

• No major design changes are included in the scope. Revisions are for minor profile
and headwall changes to accommodate revised grading of the North Channel

approved by USACE will be included with no revisions. This included revising any
structural calculation packages previously approved by USACE.
• 33 Sheets will need to be revised with the new USACE boarder.

TASK 5. BID PHASE SERVICES. (USACE)
ENGINEER will support the bidding phase of the Cemetery and Houston project as follows.
• Attend the Pre -Bid Conference
• Address/Answer bidder questions for items associated with the Cemetery/Houston
location.
• Develop Conformed "For Construction" Plans and Technical Specifications for items
associated with the Cemetery/Houston location.

• Project will only be advertised and bid once.

TASK 6. CONSTRUCTION PHASE SERVICES.
ENGINEER will support the construction phase of the project as follows.
Basic Services for Task 6 will be compensated on a reimbursable, time & material basis
and include:
6.1 Construction Support
• The ENGINEER shall attend the preconstruction conference.
• After the pre -construction conference, the ENGINEER shall provide project
exhibits and attend public meeting to help explain the proposed project to
residents. The CITY shall select a suitable location and mail the invitation letters
to the affected customers.
• The ENGINEER shall attend regular construction meetings with contractor, the
City and other project stakeholders.
• The ENGINEER shall visit the project site at requested intervals as construction
proceeds to observe and report on progress.

• The ENGINEER shall review shop drawings, samples and other submittals
submitted by the contractor for general conformance with the design concepts and
general compliance with the requirements of the contract for construction. Such
review shall not relieve the Contractor from its responsibility for performance in
accordance with the contract for construction, nor is such review a guarantee that
the work covered by the shop drawings, samples and submittals is free of errors,
inconsistencies or omissions. The ENGINEER shall log and track all shop
drawings, samples and other submittals in Buzzsaw.
• As requested by the CITY, the ENGINEER shall provide necessary interpretations
and clarifications of contract documents, review change orders, and make
recommendations as to the acceptability of the work.
• As requested by the CITY, the ENGINEER shall make minor revisions to the
design during construction.
• The ENGINEER shall attend the "Final" project walk through and assist with
preparation of final punch list. (Does not include Cemetery and Houston projects)
6.2 ENVIRONMENTAL SERVICES
Archeological Survey
This task includes an archeological survey within the project's area of potential effect
(APE), which includes the entire project footprint, including the proposed storm drain
line and the associated 50- foot -wide construction corridor, totaling 0.84 acre. Due to
the location of the project within public land, an Antiquities Permit from the Texas
Historical Commission (THC) will be required to conduct the archeological survey.
Prior to the field survey, an Antiquities Permit application will be prepared and
submitted to the client for review and signature. Comments provided by the client will
be incorporated and the signed application will be submitted to the THC. Upon
issuance of the Antiquities Permit, the client will be notified, and the fieldwork will be
scheduled.
The proposed survey will include a pedestrian survey with shovel testing and
mechanical trenching within the APE. The survey will be conducted following the
current THC survey standard requirements and archeological survey guidance
provided by the U.S. Army Corps of Engineers (USACE) Fort Worth District. Any
discovered sites will be assessed in regards to potential significance so that
recommendations can be made for proper management (avoidance, non -avoidance,
or further work).
If an archaeological site is encountered in the APE during the investigation, it will be
explored as much as possible with consideration to land access constraints.
Additional shovel tests will be conducted per agency standards at any discovered
sites to define horizontal and vertical boundaries. Appropriate state site forms will be
filled out for each site discovered during the investigations.
If archaeological sites are identified in the project area that are potentially eligible for
listing on the Nation Register of Historic Places (NRHP), CEC would alert the client

immediately and assist in finding an appropriate management strategy prior to
completing the summary letter or agency permit report. Draft copies of the reports
will be submitted to the client for review and comment. Once this has been
accomplished, appropriate edits will be made and copies of the report will be
produced and submitted to the appropriate agencies.
Upon receiving THC concurrence on the report, one digital PDF copy of the final
report, with the THC concurrence included, will be submitted to the client. Upon
conclusion of the final report, the report will be curated at the University of Texas at
San Antonio (UTSA) Center for Archaeological Research (CAR).
Increased documentation/examination (i.e. data recovery, artifact curation, more than
1 day of mechanical trenching) within the project area was not included in this scope
of work. If the THC requires increased documentation, a supplemental scope and fee
would be provided to the City for approval prior to conducting the work.
6.3 Record Drawings
• The ENGINEER shall prepare record drawings from information provided by the
CITY depicting any changes made to the Final Drawings during construction.
The following information shall be provided by the CITY:
o As -Built Survey
o Red -Line Markups from the Contractor
o Red -Line Markups from City Inspector
o Copies of Approved Change Orders
o Approved Substitutions
• The ENGINEER shall modify the Final Drawings electronically and shall place a
stamp on the plans indicating that they represent Record Drawings of the project
as constructed. The stamp shall be signed and dated by the ENGINEER and
shall be placed on each plan sheet, whether there are any revisions on the sheet
or not. Each sheet shall clearly indicate all changes which apply to that sheet by
clouding and numbering, or other suitable means.
• The following disclaimer shall be included with the Record Drawing stamp:
o These Record Drawings were prepared using information provided by
others and represent the as constructed conditions to the extent that
documented changes were provided for recording. The ENGINEER
assumes no liability for undocumented changes and certifies only that the
documented changes are accurately depicted on these drawings.
• The ENGINEER shall submit a set of sealed Interim Final Drawings, modified
and stamped as Record Drawings, in PDF format, as the project construction
progresses. The Interim Final Drawings will be submitted to the project partners
for clearance of construction activities outside of City right -of way.
• The ENGINEER shall submit a set of sealed Final Drawings, modified and
stamped as Record Drawings, in PDF format, as all construction is completed.

Interim Final Drawings will be incorporated into the Final Drawings and will not
be re -stamped to have matching dates throughout the set. The ENGINEER may
keep copies of the information provided by the CITY for their files, but all original
red -lined drawings shall be returned to the CITY.
• Record Drawings shall also be submitted as an Adobe Acrobat PDF format
(version 6.0 or higher) file. There shall be one (1) PDF file for the Storm Water
plan set and a separate PDF file for the Water plan set, if applicable. Each PDF
file shall contain all associated sheets of the particular plan set. Singular PDF
and files for each sheet of a plan set will not be accepted. PDF files shall
conform to naming conventions as follows:
I. TPW file name example — "W-1956_org47.pdf" where "W-1956" is the
assigned file number obtained from the CITY, "_org" designating the file is
of an original plan set, "47" shall be the total number of sheets in this file.
Example: W-0053_org3.pdf and K-0320_org5.pdf
II. Water and Sewer file name example — "X-35667_org36.pdf" where "X-
35667" is the assigned file number obtained from the CITY, "_org"
designating the file is of an original plan set, "36" shall be the total number
of sheets in this file.
Example: X-12755_orgl8.pdf
PDF files shall be uploaded to the project's Record Drawing folder in BIM360.
For information on the proper manner to submit files and to obtain a file number for
the project, contact the Department of Transportation and Public Works Vault at
telephone number (817) 392-8426. File numbers will not be issued to a project
unless the appropriate project numbers and fund codes have been assigned and
are in the Department of Transportation and Public Works database.
