INTENTIONAL MISCONDUCT OF VENDOR, ITS OFFICERS, REPRESENTATIVES,
AGENTS, SERVANTS, EMPLOYEES, CONTRACTORS, OR SUBCONTRACTORS.

ALLEGED DAMAGE OR LOSS TO VENDOR'S BUSINESS AND ANY RESULTING LOST
PROFITS) AND PERSONAL INJURY, INCLUDING, BUT NOT LIMITED TO, DEATH, TO

compromise, such use is materially adversely restricted, Vendor will, at its own expense and
as City's sole remedy, either: (a) procure for City the right to continue to use the software
and/or documentation; or (b) modify the software and/or documentation to make it non -
infringing, provided that such modification does not materially adversely affect
City's authorized use of the software and/or documentation; or (c) replace the software and
documentation with equally suitable, compatible, and functionally equivalent non -infringing
software and documentation at no additional charge to City; or (d) if none of the foregoing

EXHIBIT A
SCOPE OF SERVICES
PROJECT APPROACH
The creation of Global Fort Worth is timely and will position the city to take full advantage of the
window of opportunity created by COVID-19 disruptions and the desire to strengthen the supply chain.
Companies are seeking to reshore domestic operations, international industrial investment in the US is
growing, and Industry 4.0 is driving site and facility demand considerations.
Fort Worth is part of a dynamic and fast-growing region that consistently ranks at the top of the list for
gross production, population, and job growth. Its business -friendly environment, available workforce, and
transportation networks are recognized worldwide. Given the highly competitive environment within the
Metroplex, Fort Worth's international trade and business opportunities will depend on how the City
distinguishes itself within the region. Fort Worth is home to one of the largest international airports in the
world, a respected hospital system, numerous active chambers of commerce, Texas Christian University
and other postsecondary institutions (including the recent Texas A&M downtown campus), major
corporate partners, philanthropic leaders, and cultural assets such as the Kimbell and Amon Carter
Museums.
The City's new global hub is poised to play a key role in marketing, leveraging, and aligning Fort
Worth's many assets to capitalize on international trade and business opportunities. This planning effort
will set the organization up for success.
PROPOSED SCOPE OF WORK
To execute the plan of work detailed in the request for proposal, TIP anticipates undertaking the
following tasks.
1. PROJECT LAUNCH. At the outset of the engagement, we focus on establishing clear and
effective communication, which is the cornerstone of a successful project.
1.1 Kickoff meeting. The kickoff provides the opportunity to discuss objectives, define success
factors, identify stakeholders and partners, and review the team's expectations for the
engagement.
1.2 Team meetings. TIP will collaborate and coordinate with appropriate staff and leadership
throughout the engagement. The cadence of meetings and any progress updates will be
agreed upon as part of the launch.
2. RESOURCE IDENTIFICATION. We will examine information about Fort Worth's existing
assets to catalogue and categorize existing resources for international business.
2.1 Research. This will include a review of available documents and an evaluation of survey
data, interviews, and community asset research to identify resources for international business
that are available through current and potential partners (e.g., Sister Cities, consulates,
bilateral chambers). An understanding of available resources will further shape the goals of
the Fort Worth Hub (e.g., investment, growth, and relocation by foreign -owned companies;
