Bracy ("Bracy"), acting herein as an agent and a principal in fihe firm of Bracy� Tucker� Brown Inc., whose persanal services are to be retained h�re�ander. For and in consideration ofthe covenants and promises contained herein, the par�ies hereto agree as fol�ows: �. For and in consideration of the payment of the amaunt of money set out in Paragraph 4, Bracy agrees to represenf the Ci�y on legislative and administrafive matters before members of the United 5tates Congress and officials af federal administrative agencies, and the Administration during #he t�rm of this contract, upon request of City. More specifically, Bracy agrees to perform the personal services described in Exhibit A, which is afitached hereta and made a part of this contract for all pur�oses. 2. This contrac� shall be in effect from January 1, 2003, ar�d expire December 3'{, 20a�, with an opfion to renew fior an additional one-year term under the conditions outfined in the contract. Th� co�tract terms for �he extensions are subject to the approval and discretion af ihe City Manager. 3. It � Bracy agrees to cansult regularly with the City Manager and to coaperate wifh the ciesignated representative of City, �oth of whom may from time to #ime relay requests for representation from City officials ta Bracy. Bracy will respond to requests mac�e by the Mayo� and City Council Gavernment and Neig�borhood Relations Committee Chair, coordinating all responses or actions taken #hrough fh� C�ty Manager or his designee. In perFarming the services hereunder, Bracy shall do so as an independent contractar and not as an officer, agento servant or employee of the City of Fort Worth. Bracy shall ha�e exclusive contro! of, and exclusi�e right ta confrol, the de#ails of the services perForm�d hereunder and shall be solely responsible for his acts or omissions. Nothing nerein shall be construed as creating a partnership or joint enterprise between the City of Fort Worth and Bracy, and fh� docfrine of respondeat superior s�all have na applicatiort hereuncler. , <���� � �� � , �¢ 4. In full payment and consideration for all services furnished hereunder, and subject to the termination pro�isions set out in paragraph 5 ofi this agreement, Bracy shall be paid a retainer of $15,500.00 per month thraugh the term ofi this contract. It is understood that said payments are due and payable on the first of each month subject to receipt of an invoice from Bracy by the City. In addition to this amaunt, Bracy shall be reimbursed for the reasonabl� �xpenses not to exceed $2,500.Q0 per month subject to the approval af the City. Bracy shall submit an in�oice and a copy of all related receipts to the Ciiy for reimbursement. The reimbursement of expenses ar� exclusive of fira�el to and from Fart War�h. Bracy shall b� reimbursed for the reasonable cost of tra�el, meals, and lodging which Bracy incurs when the City {�/lanager or his designee requests that Bracy travel ta Fort Worth in the performance af se�vices relafied to this contract. Bracy shall submit in�oices and copies of all related receipts ta the City for reimbursement. F� This contract may be terminated for cause by eitF�er party, following ihirty (30) days writfen notice of such fermination. In such event, all products prepared by Bracy hereunder sha[I b�come the property ofi the City, and Bracy shall lae reimbursed for related expenses i�curred up to the effective date af the termination, after which time a[I payment obligations of the City under tY�is contract shall end. [� Bracy shall fiurnish the City periodic reports on his work at such tim� as �he City may request. All af the reports, information and data prepared or assembled for City under fhis contract shall b� kept confidential and shall not be made a�ailable to any �ndi�idual or arganization without the priar written appro�al of fhe City. 7. Bracy shall inform the Gity of any other municipalities he r�presents and note any other clients that might represent a po#ential conflict of �nterest. If the City, at �ts sal� discretion, believes that a conflict exists, such eonflict shall be discussed by Bracy and the City and resolved to the satisfactian of the City. 4 8. '. Should any action, whether real or asserted, at law or in�equity, arise out of or in connection with this contract, venue for said action sha11 lie in Tarranf County, Texas. Bracy will act as a lia�son on behalf of the City of Fort Worth with the Congress of the United States specifically with key Congressianal commit�ees handling legislation ofi interest to the Ci#y. 3. Bracy will act as a liaison to the WE�ite House on behalf of the City w�ere appropriate. 4. Bracy will cooperate with tne Ci#y Manager or his designee to promote the passage of �rQposed legisEation initiated at the request of the City Counci�, and work through fihe legislative process with members of Congress to secure passage. �. Bracy will provide ad�ice and counsel fo the City Manager or his designee regarding legislati�e strategy and pro�ide such background infarmation as proponents, opponents, attitude of key members of Congress, and �ositions of related entities. 6. Bracy wil] inform the City by contacting the City Manager or his designee of any legis[afiue or admin�strative initiati�es felt to be possibly det�imentaf to ti�e interests of the City, as Bracy beeomes aware af any such initiative. 7. Bracy will pravide assistanc� to City officials in interpreting federal regulations and filing commenfs where appropr[ate. S. Bracy will arrange for presentation of Car�gr�ssional testimony of rele�ant issues where appropriate and prepare testimony for such presentations. 9. Bracy wil[ afte�d and represent the inferests of the Ci#y in periodic meetings af city and urban organizations in Washington, D.C. 1 D. Bracy will assist in providing notices and information on grant opport�nities including fiederal grant opportunities nof advertised through fihe public notice process that will ben�fif the City, will assist in obtaining grant applications for the City, and will assist in tracl�ing and obtaining grant applications for the City, and will assist in tracking and facilitating consideration of City grant applicafiions with the �arious federal agencies when requested by the Cify Manager or his designee. 11. Bracy will coordinate Congressional letters ofi support for City grant request from federal agencias from the Texas Congressional Delegation. 12. Bracy will provide assistance to members of the City Council that serve on boards or committees associated with national city organizations. This assistance will include research and development af position papers on issues being considered by fhase boards or committees as well accompanying members of the Ci�y Council to meetings in Washington, D.C. as needed. 13. Bracy will canduct research and prepare repor�s on selected federal topics as requested by the Cifiy Manager and provide fhese for use by ihe City. 14. Bracy will respond fo requests made by the Mayor and City Council Governmental R�fations Gommittee Chair, caordinating all responses or actions taken fhrougF� the City Manager ar his designee. 15. Bracy agrees to generally be a�ailable to the Mayor, City Council and City Manager for additianal assignments in Washington as may be necessary. 16. Bracy will maintain periodic confact with fh� City Manager or his designee either through telscommunieations andlor in written memorandum summarizing act�uities ur�dertaken in Washington, D.C. on behalf ofi the City. 17. B�-acy will report in person in Fort Worth oR pending federal issues and on its Washington activities on behalf of the City to the City Counei� or the City Counci[ Governmental Relatians Committee when deemed necessary by the City Manager. 18. Bracy will provide quarterly formal reports to the City Councif and to t�e City Manager detailing the activities undertaken in Washingfan on behalf of the City. Authorize the City Manager to enter inta a new contract agreemer�# with Bracy Tucf�er Brown, Inc. for consultation and representativn relate� to issues of concern �efore the Congress of the Uni#ed States, fecieral agencies, and the Adminisfration; and 2. Authorize the term of the contract to begin .ianuary 1, 2003, and expire Decemb�r 31, 2a�3. D15CU5SION: lr� AUgust of 2001, the Mayor, Councilmembers of the Ir�terview Cammi#tee, and City staf# conducted inter�iews of six quaGfied federal consultant firms that had experience in the Washington, D.C. public affairs arena. The final selection was Bracy Tucker Brown, lnc. (Bracy}. The City �f Fort Worth has maintained � cansultant contract with Bracy that provides the City with representation on federal issues in Washington, D.C. The City's cansultant contract with Bracy requires fhat the firm provide advice ar�d counsel regarding fiederal agencies, and assistance in promoting passage of City Council legislative priorities before Cangress and the Administration. When directed, the firm alsa pra�ides assistanc� on grant efforts undertaken by the City of Fort Worth, and interacts witf� members of Congress, the Administrafion, federal agencies, the Nat'rnna{ League of Cities, and the U.S. Conference of Mayors. The terms of the contract cal[ for the City #o compensafe Bracy a monthly retainer fee of $15,50d, with monthly reimbursable expenses not exceeding $2,500.
