HomeMy WebLinkAboutContract 60405CSC No. 60405 FORT WORTH CITY OF FORT WORTH COOPERATIVE PURCHASE AGREEMENT This Cooperative Purchase Agreement ("Agreement") is entered into by and between Granite Telecommunications, LLC ("Seller") and the City of Fort Worth, ("Buyer"), a Texas home rule municipality. The Cooperative Purchase Agreement includes the following documents which shall be construed in the order of precedence in which they are listed: 1.This Cooperative Purchase Agreement; 2.Exhibit A-City's Tenns and Conditions; 3.Exhibit B -Conflict of Interest Questionnaire. 4.Exhibit C -OMNIA Partners R200901; and 5.Exhibit D-OMNIA Partners R200901 Price Index and Seller's Quote/SOW Exhibits A, B, C, and D which are attached hereto and incorporated herein, are made a part of this Agreement for all purposes. Seller agrees to provide Buyer with the services and goods included in Exhibit C pursuant to the tenns and conditions of this Cooperative Purchase Agreement, including all exhibits thereto. In the event of a conflict between Exhibit A -City's Terms and Conditions and Exhibit C -OMNIA Partners R200901, then Exhibit A -City's Tenns and Conditions shall control, but only to the extent allowable under the OMNIA Partners R200901. Buyer shall pay Seller in accordance with the fee schedule in Exhibit C and in accordance with the provisions of this Agreement. Total payment made annually under this Agreement by Buyer shall not exceed the amount of TWO HUNDRED NINETY-NINE THOUSAND THREE HUNDRED AND THIRTEEN DOLLARS ($299,313.00). Seller shall not provide any additional items or services or bill for expenses incurred for Buyer not specified by this Agreement unless Buyer requests and approves in writing the additional costs for such services. Buyer shall not be liable for any additional expenses of Seller not specified by this Agreement unless Buyer first approves such expenses in writing. The term of this Agreement is effective beginning on the date signed by the Assistant City Manager below ("Effective Date") and expires on September 30, 2024 to coincide with the Cooperative Purchase Agreement. Notwithstanding the foregoing Plain Old Telephone Services (POTS), shall be month-to-month. This Agreement may be amended to reflect the successive Cooperative Agreements to OMNIA Partners R20090 I. Buyer shall be able to renew this agreement for three (3) one-year renewal options by written agreement of the parties, not to exceed a 3% annual increase for Epik, and a onetime increase of 10% for POTS after the first twelve (12) months. Rates will be evaluated after twenty-four (24)months. Convenience. Either City or Vendor may terminate the Agreement at any time and for any reason by providing the other party with 30 days written natice of termination. Notwithstanding the foregoing, Vendor is a registered reseller of teIecommunication services and enters into agreements with underlying carriers for the provision of those services. In the event the City so terminates this Agreement, Vendor shall waive all early termination fees it typically would assess, but respectfully reserves the right to pass through the direct and verifiable, unmarked-up cancellation fees assessed by the underlying carrier, not as a penalty but simply as a recovery of direct costs of termination. Vendor shall use its best efforts to negotiate the reduction or elimination of such fees. Analog (POTS} Services da not carry early termination fees, however, and may be terminated for convenience without penalty. b. Breach. If either party cammits a material breach of tHe Agreement, the non- breaching Par#y must give written notice to the breaching party that describes the breach in reasonable detail. The breaching party must cure the breach ten (10) calendar days after receipt of notice from the non-breaching party, or other time frame as agreed to by the parties. If the breaching party fails to cure the breach within the stated period of time, the non-breaching party may, in its sole discretion, and without prejudice to any other right under the Agreement, Iaw, or equity, immediateiy terminate the Agreement by giving written notice to the breaching party. c. Fiscal Fundin�. In the event no funds or insufficient funds are appropriated by City in any fscal period for any payments due hereunder, City will notify Vendor of such occurrence and the Agreement shall terminate on the last day of the fiscal period for which appropriations were received without penalty or expense to the City of any kind whatsoever, except as to the portions of the payments herein agreed upon for which funds have been apprapriated. d. Duties and Qbli�ations af the Parties. In the event that the Agreement is terminated prior to the Expiration Date, City shall pay Vendor for services actually rendered up to the effective date of termination and Vendor sha(i continue to provide City with services requested by City and in accordance with the Agreement up to the effective date of termination. Upan termination of the Agreement far any reason, Vendar shalI provide City with copies of all completed or partially completed documents prepared under the Agreement. [n the event Vendor has received access to City information or data as a requirement to perform services hereunder, Vendor shall return all City provided data ta City in a machine-readable format or other format deemed acceptabie to City. 2. Attornevs' Fees, Penalties. and Liauidated Damases. To the extent the attached Agreement requires City to pay attorneys' fees far any action cvntemplated or taken, or penalties or liquidated damages in any amount, City objects to these terms and any such terms are hereby deleted fram the Agreement and shall have no force or effect. The Agreement and the rights and obligations of the parties hereto shall be governed by, and construed in accordance with the laws of the United States and state of Texas, exclusive of conflicts of laws provisians. Venue far any suit brought under the Agreement shall be in a court of competent jurisdictian in Tarrant County, Texas. To the extent the Agreement is required ta be governed by any state law other than Texas or venue 'sn Tarrant County, City objects to such terms and any such terms are hereby deleted from the Agreement and shalI have no force or effect. 4. Linked Terms and Conditions. lf the Agreement contains a website link to terms and conditions, the Iinked terms and conditions located at that website link as of the effective date of the Agreement shall be the linked terms and conditions referred to in the Agreement. To the extent that the linked terms and conditions conflict with any provisian of either this Addendum or the Agreement, the provisions contained within this Addendum and the Agreement shall control. lf any changes are made to the linked terms and conditions after the date of the Agreement, such changes are here�y deleted and void. FurtHer, if Vendor cannot clearly and suf�ciently demonstrate the exact terms and conditions as of the tffective date of the Agreement, all of the linked terms and conditions are hereby deleted and void. 5. Insurance. The City is a governmental entity under the laws of the state of Texas anci pursuant to Chapter 2259 of the Texas Government Code, entitled "Se]f-Insurance by Governmental Units," is self-insured and therefore is not required to purchase insurance. To the extent the Agreement requires City ta purchase insurance, City objects to any sucH provision, the parties agree that any such requirement shall be null and void and is hereby deleted from the Agreement and shall have no force or effect. City will provide a letter of self-insured status as requested by Vendor. 6. Soverei�n Immunitv. Nothing herein constitutes a�vair�er of City's sovereign immunity. To the extent the Agreement reyuires City to waive its rights ar immunities as a government entity; s�ch pravisions are hereby deleted and shalI have no force or effect. 7. Limitation af Liabilitv and Indemnitv. To the extent the Agreement, in any way, limits the liability of Vendor or reyuires City to indemnify or hoId Vendor or any third party harmless from damages of any kirrd ar character, City objects to these terms and any such terms are hereby deleted from the Agreement and shal� have no force or effect. 8. IP Indemnifcation. Vendor agrees to indemnify, defend, settle, or �ay, at its own cost and expensc, including the �ayment of attorney's fees, any claim or action against the City for infringement of any patent, co�yright, trade mark, service mark, trade secret, or other intellectual proPerty right arising from City's use of the Deliverable(s), or any part thereof, in accordance with the Agreement, it being undcrstood that the agreement to indemnify, defend, settle or pay shail not apply if City mudifies or misuses the Deliverable(s). So long as Vendor bears the cost and expense of payment for claims or �ctians against the City pursuAnt to this section 8, Vendor shall have the right to conduct the defense of any such claim or action and all negotiatians for its settlement or compramise and to settIe or compramise any such c1�im; however, City s�all have the right to fully participate in any and all such settlement, neg+�tiati�ns, or lawsuit as necessary to pratect the City's interest, and City �grers to cooper�te with Vendor in doing so. In the event City, Cooperative Purchase �� Page -1 oF 12 for whatever reason, assumes the responsibitity far payment of costs and expenses for any claim or action brought against the City for infringement arising under the Agreement, the City shali have the sole right to conduct the defense of any such claim or action and all negotiations far its settlement or compromise and to settle or compromise any such claim; however, Vendor shall fully participate and cooperate with the City in defense of such claim or action. City agrees to give Vendor timely written natice of any such claim or action, with copies of all papers City may receive relating thereto. Notwithstanding the foregoing, the City's assumption of payment of costs or expenses shal[ not eliminate Vendor's duty to indemnify the City under the Agreement. If the Deliverable(s), or any part thereof, is held to infringe and the use thereof is enjoined or restrained or, if as a result of a settlement or compramise, such use is materially adversely restricted, Vendor shal[, at its own expense and as City's sole remedy, either: {a) procure for City the right to continue to use the Deliverable(s); or (b} modify the Delivera6le(s) to make them/it non-infringing, provided that such modification does riot materially adversely affect City's authorized use of the Deliverab[e(s); ar (c) replac� #he Delivcrable(s) with equaliy suitable, compatible, and functionally equivalent non-infringing Deliverable(s} at no additional charge to City; ar (d) if none of the foregoing alternatives is reasonably available ta Vendor, terminate the Agreement, and refu�d all amounts paid to Vendor by the City, subsequent to which terminatian City may seek any and al[ remedies available to City under law. VENDUR'S OBLIGATIONS HEREUNDER SHALL BE SECURED BY THE REQUISITE INSURANCE COVERAGE REQUIRED BY CITY. 9. Data Breach. Vendor further agrees that it wilt monitor and test its data safeguards from time to time, and further agrees to adjust its data safeguards from time to time in ligbt of relevant circumstances ar the results of any relevant testing or monitoring. If Vendor suspects or becomes aware of any unauthorized access to any financial or persooal identifiable information ("Personal Data") by any unauthorized person or third party, or becomes aware af any other security breach relating ta Personal Data held or stared by Vcndor under the Agreement or in connection with the performance of any services performed under the Agreement or any Statement(s) of Wark ("Data Breach"), Vendor shall immediately notify City in writing and shall fully cooperate with City at Vendar's expense to prevent or stop such Data Breach. In the event of such Data Breach, Vendor shail fully and immediately camply with applicablc laws, and shall take the appropriate steps to remedy such Data Breach. Vendor will defend, indemnify and hold City, its Affiliates, and their respective officers, directors, employees and agents, harmless from and against any and all claims, suits, causes of action, �iabi[ity, loss, costs and damages, ine��ding reasonable attorney fees, arising out of or retating ta any third-pgrty claim arising from breach by Vendor of its obligations contained in this Section, except to #he extent resu[ting from the acts or omissions of City. Ali Personal Data to which Vendor has access under the Agreement, as between Vendor and City, will remain the praperty af City. City hereby consents to the use, processing and/or disclosure o�' Personal Data onEy for the purposes described herein and to the extent such use or pracessing is necessary far Vendor to carry out its duties and responsibilities under the Agreement, any applicable Statement(s) af Work, or as required by law. Vendor will nat transfer Personal Data to third parties other than through its underlying network provider to perform its obligations under the Agreement, unless authorized ir� writing by City. Vendor's obligation to defend, hold harmless and indemnify City sh�ll remain in full ef%ct if the Data Breach is the resu[t of the actions of a third party. AI[ Personal Data delivered to Vendor shall be stored in the United States or other jurisdictions approved by City in writing and shall not be transferred to any other countries or jurisdictions without the prior written consent of City. Cooperative Purchase Fage 5 of I2 � 0. No Mandatory Arbitration. To the extent the Agreement reyuires mandatory arbitration to resolve conflicts, City objects to these terms and any such terms are hereby deleted from the Agreement and shall have no force or effect. I 1. [nsurance. Vendor agrees that insurance coverage provided to City by Vendor is sufficient Fr�r purposes of the Agreement anly. 12. No Debt. [n complia�tce with Article 1 i§ 5 of the Texas Constitutian, it is understaod and agreed that all obligatians oiCity hereunder are subject ta the availability of funds. lf such funds are nat appropriated or become unavailable, City shaIl have the right ta terminate the Agreement except for those portians of funds which have been appropriated prior to termination. 13. Public Infarmatian. City is a government entity under the laws of the State of Texas and alI documents held or maintained by City are subject to disclasure under the Texas Public Info�rnation Act. Ta the extent the Agreement requires that City maintain records in violation of the Act, City hereby objects ta such pravisions and such provisions are hereby deleted from the Agreement and shall have no fUrce or effect. In the event there is a request for information marked Confidential or Froprietary, City sl�a[I promptly notify Vendor. It will be the responsibility of Vendor to submit reasons objecting to dfsclosure. A determinatian on whethtr suc�t reasons are sufficient will not be decided by City, but by tiie Office of the Attorney General of the 5tate of Texas or by a court of competent jurisdiction. 14. Addendum Contralline. If any provisions oFthe attached A�reement, conflict with the terms herein, are prohibited by applicable taw, conflict with any applicable ruie, regulation or ordinance of City, the terms in this Addendum shall control. l S, Network Access. a. Citv Network Access. If Vendor, and; or any of its employees, officers, agents, servants or subcontractors (for purposes vf this section "Vendor Personnel"), requires access to the City's comp�ter network in order to provide the services herein, Vendor shall execute and comply w'ith th� Network Access Agreement which is attached hereto as Exhibit "A" and incorporated herein for alI purpases. b. �edera) Law Enforcement Database Access. If Vendor, ar any Vendor Personnel, requires access ta any federal law enforcement database ar any federal criminai history record information system, including but nat limited to Fingerprint [dentification Records System ("FIRS"), lnterstate [dentification Index System ("III System"), National Crime Information Center ("NCIC") or National Fingerprint File ("N�F"}, or Texas Law Enforcement Telecommunications Systems ("TLETS"), that is governed by and.ior defned in Title 28, Cade of ��ederal Regulations Part 2Q ("CFR Part 20"), for the purpose af providing services for the administratian of criminal justice as defined therein an behalf of the City or the Fart Worth Police Department, under the Agreement, Vendor shall compIy with the Crimina! Justice Information Serv'sces Security Policy and CFR Part 2Q, as amended, and shall separately execute the Federa! Bureau of lnvestigation Criminal Justice [nformation Services Security Addendum. No changes, Cooperativ� Purchase Page 6 of 12 modifications, alterations, ar amendments shall be made to the Security Addendum. The document must be executed as is, and as approved by the Texas Department of Public Safety and the United S#ates Attorney General. l6. [mmi�ration Nationajitv Act. Vendor shal( verify the identity and employment eligibili#y af its employees who perform work under the Agreement, including completing the Employment Eligibility Veri�cation Form {I-9). Upon request by City, Vendor shall provide City with copies of all I-9 forms and supporting eligibility dacumentation far each employee who performs work under the Agreement. Vendor shal! adhere to all Federal and State laws as well as establish appropriate procedures and controls s4 that no services will be per%rmed by any Vendor employee who is not legally eligible to perform such services. VENDOR SHALL iNDEMNIFY CITY AND HOLD CITY HARMLESS FROM ANY PENALTIES, LIABILITIES, OR LOSSES DUE TO VIOLATIONS OF THIS PARAGRAPH BY VENDOR, VENDOR'S EMPLOYEES, SUBCONTRACTORS, AGENTS, OR LICENSEES. City, upon written natice to Vendor, shall have the right to immediately terminate the Agreement for violations of this Qrovision by Vendor. 17. No Bovcott of Israel. If Vendor has fewer than 10 employees or the Agreement is for less than $100,000, this section does not apply. Vendor acknawIedges that in accordance with Chapter 227fl of the Texas Government Code, City is prohibited from entering into a contract with a company for goods or services unless the contract cantains a written verificatian from the company that it: (1) does not boycott Israel; and (2) will not boycott Israel during the term of the contract. The terms "boycott [srael" and "company" shall have the meanings ascribed to those terms in Sectian 808.00 l of the Texas Government Code. By signing this Addendum, f�endar certifies thal Vendor's signature pravides written veriftcation to City that Yendor: (1) does not boycott Israel; and (2) tivrll rrot boycatt Israel during the term af the Agreenrent. 18. Right t� Audit. Vendor agrees that City shall, until the expiration of three (3) years after final payment under the Agreement, have access to and the right to examine any directly pertinent books, documents, papecs and records of Vendor involving transactrons relating to the Agreement. Vendor agrees that City shall have access during normal working hours to all necessary Vendor facilities and shall be pravided adequate and appropriate workspace in arder to conduct audits in compliance with the provisions of this section. City shall give Vendor reasanable advance notice of intended audits. 19. Prohibition on Bo cottin Ener Com anies. Vendor acicnowledges that in accordance with Chapter 2274 af the Texas Government Code, as added by Acts 2021, 87th Leg., R.S., S.B. 13, § 2, the City is prohibited from entering into a cantract for goads or services that has a value of $100,000 ar more that is to be paid wholly or partly from public funds ofthe City with a company with 10 or more full-kime empioyees unless the contract coatains a written verification from the company that it: { 1) does not boycott energy companies, and {2) will not boycatt energy companies during the term of the contract. The terms "boycott energy company" and "company" have the meaning ascribed to those terms by Chapter 2274 of the Texas Government Code, as added by Acts 2021, 87th Leg., R.S., S.B. 13, § 2. To the extent that Chapter 2274 of the Government Code is applicable to this Agreement, by signing this Agreement, Vendor certifies that Contractar's signature provides written verificatian to the City that Contractor: (1) does not boycott energy companies; and (2} will not boycott energy companies during the term of this Agreement. Cooperative Purchase Aage 7 of 12 20. Prohibition on Discrimination A ainst Firearm anci Ammunition Industries. Vendor acknowledges that except as otherwise provided by Chapter 2274 of the Texas Government Code, as added by Acts 2021, 87th Leg., R.S., S.B. 19, § I, the City is prohibited from entering into a contract for goads or services that has a value of $100,000 or more that is to be paid wholly or partly from public funds of the City with a company with 10 or more full-time employees unless the contract contains a written verifcation from the company that ir. (1) does not have a practice, policy, guidance, or directive that discriminaces against a firearm entity or firearm trade association; and (2) wil! not discriminate during the term of the contract against a firearm entity or firearm trade association. The terms "discriminate," "firearm entity" and "f rearm trade association" have the meaning ascribed to those terms by Chapter 2274 af the Texas Government Code, as added by Acts 2021, 87th Leg., R.S., S.B. 19, § l. To the exEent that Chapter 2274 of the Goverr�ment Code is applicable to this Agreement, by signing this Agreement, Vendor certifies that Cantractor's signature pravides written verifcation to the City that Contractor: � l) does not have a practice, poficy, guidance, or directive that discriminates against a firearm entity or firearm trade association; and {2} will nat discriminate against a�irearm en�ity or ��earm trade assoc�ation during the term of this Agreement. Payment shall be made after satisfactory performance, in accordance with all provisions thereof, and upon receipt of a properly completed invoice. 17. Price Adiustments. Should it become necessary or praper during the term of this Contract to make any change in design or any alterations that will increase price, Region 4 ESC must be notified immediately. Price increases must be approved by Region 4 ESC and no payment for additional materiafs or services, beyond t�e amount stipulated in t�e Contract shall be paid without prior apProval. All price increases must be supported by manufacturer documentation, or a formal cost justification letter. Contractor must honor previaus prices for thirty (30) days after approval and written natifcation from Region 4 ESC. It is the Contractor's responsibility to keep all pricing up to date and on �le with Region 4 ESC. Afl price changes must be provided to Region 4 ESC, using the same format as was provided and accepted in the Contractor's propasal. Price reduc#ions may be offered at any time during Contrac#. Special, time-limited r�ductions are permissible under the following condit�ons: 1) reduction is available to all users equally; 2} reduciion is for a specEfic period, normally not less than thirty (30} days; and 3) origmal price is not exceeded after the time-limit. Contractor shall offer Region 4 E5C any published price reduction during the Contract term. 18. Audit Riphts. Contractor shall, at its sole expense, maintain appropriate due d�ligence of all purchases made by Region 4 E5C and any entity that utifizes this Contract. Region 4 ESC reserves the right to audit the accounting for a period of three (3) years from the time such purchases are made. New Productsl�er�ices. New products andlar ser�ices thak meet the scape of work may be added io the Contract, Pricing shall be equi�alent to the percentag� discount for other products. Contractor may replace or add groduct lines if the line is replacing or supplementing products, is equal or superior to the ariginal products, is discounted similacly or greater khan the original discount, and ff the products meet #he requirements of the Contract. No products and/or sen+ices may be added to avoid competikive procurement requirements. Region 4 ESC may require additions to be submitted with documentation from Members demonstrating an ir���rest in, or a potential requirement for, the new prod�tct or service. Safetv measures. Cantractar shall take sll reasonable precautions for the safety of employees an the worksite and shall erect and properly maintain all necessary safeguards for protection of workers and the public. Contractor shall post warning signs against all hazards created by iks operation and work in progress. Proper precautions shall be taken pursuant to stake law and standard practices #o protect workers, general public and existing structures from injury or damage. 27. Smokina. Persons working uncfer the Contract shall adhere to local smoking policies. Smoking will only be permitted in posted areas or off premises. 28. Stored materials. Upon prior written agreement between the Contractor and Region 4 ESC, payment may be made for materials not incorporated in the work but delivered and suitably stored at the site or same other location, for installation at a later date. An inventory of the stored materials must be provided to Region 4 ESC prior io payment. Such materials must be stored and protected in a secure Iocatian and be insured for their full value by the Contrackor against loss and damage. Contractor agrees to provide proof of coverage and additionally insured upon request. Additionally, if stored offsite, tY�e materials must aiso be clearly identified as property of R�gion 4 ESC and be separated from other materials. Region 4 ESC must be allowed reasana�le oppo�tunity to inspect and take inventory of stored materials, on or offsite, as necessary. DISCUSSION: The purpose of this Mayor and Council Communication (M&C) is to authorize the execution of a cooperative services agreement with Granite Government Solutions through OMNIA Partners contract R200901. Granite Government Solutions will be providing our Plain Old Telephone Services (POTS) lines we currently have through AT&T, and give us a price lock guaranteed on all analog phone lines for one year. Granite Government Solutions will also provide a monthly service for 40 locations in which their device provides the phone line connection for the fire alarm, intrusion detection systems, and emergency elevator phones. This agreement will be effective on or after June 15, 2023, pending regulatory approval where such approval is required. Services currently provided by AT&T will no longer be available for purchase by new or existing customers in the forty-eight (48) contiguous United States, as well as in Hawaii, Puerto Rico, and the U.S. Virgin Islands. AT&T will no longer allow new orders, renewal of service agreements, or requests for physical changes to our existing service (including moves to different service addresses), unless our contract expressly allows such orders or changes. Following the expiration of our current term agreement, AT&T will provide service on a month-to-month basis until service is discontinued. AT&T currently plans to discontinue the service on or after October 30, 2026. During any month-to-month service period, AT&T may change the rates, terms, and conditions of the service upon notification. COOPERATIVE PURCHASE: State law provides that a local government purchasing an item under a cooperative purchasing agreement satisfies State laws requiring that the local government seek competitive bids for purchase of the item. Cooperative contracts have been competitively bid to increase and simplify the purchasing power of local government entities across the State of Texas. AGREEMENT TERM: Upon City Council approval, the agreement will become effective and expire September 30, 2024 in accordance with OMNIA contract no. R200901. The agreement may be renewed for one one-year term. RENEWAL OPTIONS: This agreement may be renewed for one one-year renewal term at the City's option. This action does not require specific City Council approval provided that the City Council has appropriated sufficient funds to satisfy the City's obligations during the renewal terms. SUCCESSOR CONTRACTS: In the event the OMNIA agreement is not renewed, staff would cease purchasing at the end of the last purchase agreement coinciding with a valid cooperative agreement. If the City Council were to not appropriate funds for a future year, staff would stop making purchases when the last appropriation expires, regardless of whether the then-current purchase agreement has expired. The City will initially use the OMNIA contract to make purchases authorized by this M&C. The Cooperative Contract is set to expire September 30, 2025. If OMNIA contract R200901 is extended, this M&C authorizes the City to purchase similar equipment and supplies under the extended contract. If R200901 is not extended but OMNIA executes a new cooperative contract with Granite Telecommunications, LLC, and with substantially similar terms, this M&C authorizes the City to purchase the services under the new cooperative contract. If this occurs, in no event will the City continue to purchase services under the new agreement for more than three (3) years without seeking Council approval. ADMINISTRATIVE CHANGE ORDER -An administrative change order or increase may be made by the City Manager up to the amount allowed by relevant law and the Fort Worth City Code and does not require specific City Council approval as long as sufficient funds have been appropriated. BUSINESS EQUITY: A goal is not assigned when purchasing from an approved purchasing cooperative or public entity. Funding is budgeted in the Data/Voice Network & Internet account in the ITS Circuits Department within the Info Technology Systems Fund.
