WHEREAS, Riverbertd Investments, Ltd., bv RBE Inves#ments Corp. its
Manaqinp General Partner, hereinafter called "De�eloper", desires to ma�te
certain impro�ements Lak�s of Ri�er Trails Phase V(OfFsife Sewer), an addition
to the City of Fvrk Worth, Texas; and
WHEREAS, the said Developer has t-equesied the City of Fort Worth, a
municipal corporation of Tarrar�# and Denton Counties, Texas, hereinafter called
"Cify", to do certain work in connec#ion with said improvements;
NOW, THEREFORE, KNOW PkLL BY THESE PRESENTS:
Tha# said De�eloper, acting herein by and through FCenneth B. Newell, its
duly authorized President and tY�e City, acting herein by and through Mike -
Groomer, its duly authorized Assistant City Manager, for and in consideration of
the co�enants and conditions contained herein, do hereby agree as follows:

COMMUNITY FACILITIES AGREEMENT

A. T�e City agrees to permit fhe De�eloper to let a contract for, in accordance
with its accepted practices, ordinances, regulations, and the pro�isions of
the City Charter, and subject to the requirements of the City's Charter, and
su�ject to the requiremen#s of the City's Policies and Regulations for
Installation of Community F�cilities, all as current at the time of installation:

attached Exhib9t A�� all in accordance with plans and speci�cations to
be prepared by private enginears employed by the De�e�oper and
approved by the V1later Department.
B. The City agrees to allow the De�eloper to install, at his expense, at the
time all other water rnains in this a�dition are ins#alled, a senrice line for
each lo� as shown on the attached Exhibit A. The estimated cost of
these service lines is $ 0. The City agrees to record the loca�ion of each
said service lir�e in respect to the eorner of the lot served, and to retain
said records in its possession.
C. T�e canstruction cost of ti�e water facilities herein concerned, exclusi�e ofi
service lines and engineering is estimated to R�o DolIars �D) .
D. The Ci�y agrees to allow the Developer to install, at his expense, at the
time afl ofher sanitary sewer mains in this addition are installed, a service
line for each �ot as shown on the attached Exhibit A�q . The estimated
cost af these service lines is $ 0. The City agrees to record the location of
each said service line in respec# to the corner of ti�e lot serve�, an� to
retain said records in its possessian.
E. The construction CDSt of the sanitary sewer facili#ies to be installed
hereund�r, exclusive of service lines and engir�eering, is estimated to be

F. Prior to allowance of the construction contract by Developer, the Develaper
agrees to provide acceptable �nancial guarantee fio the city for 100 percent
of the construction of the construction costs along with payment of any
4rdinance costs and fees that are applicable. Prior to the award of fhe
construction contract by the City or the commencing of any work by the
City or its contractors, the Aeveloper agrees to pay to the City:
(1} (a} Qne Hundred percent (400%) of tf�e De�e�oper's cost of all water
and sanitary sewer facilities withir� the der�elopment, exclusi�e of
engineerir�g and service costs, sized to provtde water and sanitary sewer
senrice within tf�e development.

(2} An additional ten �ercent (10%) of the total of the De�efopers cos#
of #hese water ar�d sanitary s�wer facilities, excfusive of cosfi of service
lines, is required far design engin�ering if such e�gineering is perFormed
by the City at the Deueloper's request.
(3) Or�e hundred percent ('�00%) of the Developer's cosi of all service
lines, estimated under 1-B and 1-D abo�e, ir� accordance with the
pravisions of the current Fort Worth City Code.
(4) A const�uction Inspection Fee equal to #wo (2%} of the De�efoper's
actual cost share of the construction cost (including all services) of the
water andlor sanitary sewer facifities.
G. The distribution of estimated construction cost between the City and the
De�eloper, as per paragrap� 1-F abo►re, for all water and sartitary sewer
facflities to be constructed hereunder is estimated as follows:

H. The abo�e charges do not incfude any front foot charges for connection to
existing or proposed water andlor san�tary sewer mains constructed or to
be constructed under the p�o�isions of the "APPROACH MA[N QPTION"
as described in Section Ill of the Policy for the "INSTAL�LATION �F
COhIIMUNITY FACILITIES" adopted i� September, 1992. These
additional charges are as follows:

I. When water facilities are installed by contract, ins�allat�on of water
ser�rices wili be included as part ot the contract. lns#allation of ineter
boxes on those services may be done by the City, after completion of
construction vf all relati�e curb and gutter work on the water facilities
project site, at a cost of $701$135 per cont�act-ins#alled charge to be due
and payable �rior to issuance of a Work Order an the water faciliti�s
installation contract. The above charges do not apply if the Developer
elects fo include meter box installafion as part of the coniract. Howe�er,
meter boxes must cor�form City standards.
J. Within a reasonable time after completion of the aba�e referenced
facijities to be constructed by contract awarded by the Develaper,
pro�ided all eonditions for City participation ha�e been met, the City
agrees to pay the De�eloper the "Es�imated Ci�y Cost" set ou� in 1-G
abo�e; provided, howe�er, ti�at said payment shall be calculated usiRg the
actual construct�on costs and actual service cosfs under the pro�isions of
t�e current Fort Worth City Code, (said payment to be calculated as in 1-
G above), based on actual quantiti�s as reflected in the final estimate paid
to �he Contrac#or hy the Developer and on the actual records of cost kept
by the Gity as a part of ifs customary procedures. In �he e�ent the
difFerence in the depasi# and the actual cosfs exceeds �25, De�eloper
agrees to pay to the City and underpayment whicY� said adjustment migl�#
indicate as being due, and the City agrees ta pay to Develape� any
oWerpayment.

K. Work herevnder shall be completed witi�in two (2} years from date hereof,
and it is understood that any obligation on fhe part of the City to make any
refunds with respect to water ar�dlor sanitary sewer facilities shall cease
upon the expiration of' two (�) years from date hereaf, except for refunds
due from "front foot charges" on water and sani#ary sewer mains, which
refunds may continue to �e made #or a periad of ten (10) years
commencing on the date that approach mains are accepted by the
Director. If less than 70°/a of the eligibie collections due to the de�eloper
has been co�lected, the De�eloper may request in writing an exiensian of
up to an additianal 10 years for collection of front charges. In the e�ent
water andlor sar�itary sewer facilities warl� is not compie�ed within the (2)
year period, City may, at its electivn, compfete such work at De�eloper's
expense.
L. It is #urther agreed and unders#ood that any additional paymen# required
of De�eloper is to co�er only such additional work andlor materials as
may be made necessary by conditions encountered during construct�on,
and shall not include any change in scope of the project.

A. It is agreed and understood by the part�es hereto that the de�eloper shall
employ a civil engineer, iicens�d to pracfiice in the Stafie of Texas, for the
design and preparation ofi plans and speci�fications for the constructior� of all
current impro�ements covered by this contract, subject to Paragraph B.
B. In the e�ent the dev.elaper employs his own engineer to prepare plans and
specificatians far any or all curre�t improvements, the plans and specifications
so prepared sha11 be subject to approval by tha department having jurisdiction.
One �1 } reproducible set of plans with 16 prints and 6 specifications for each
facility shafl be furnished t�ie department having jurisdiction. It is agreed and
understood that in t�e ev�nfi ofi any disagreement on the plans and
specifications, the decision of the TransportationlPublic Wor�s Department
Directar, andlar Water Department Diractor will be final.
C. It is further agreed and understood by the parties h�rata that upon acceptance
by the City, title ta all facilit'res and improvements mentia�ned hereinabove shall
be vested at alI times in the City of Fort Warth, and d�velaper hereby
relinquishes any right, title, or interest in and to said facilities ar any part
hereof.
D. It is further agreed fihat the decision of �he Ci#y to not collect funds for "future
improvements" required in previous CFA agreements does not consfiitute an
obligation on the part of the City to construc� such "future impra�em�nts" at
its expense.
E. Work hereunder shall be completed within two �2y y�ars from date hereof, and
it is understood that any obligation on the parfi ofi the City to ma{�e any refunds
with respect to water and/ar sanifiary sewer facilities shall cease upon the
expiration of two {2} years from date hereo�, except for refunds due from
"front foot charges" on water and sanitary sewer mains, which refunds may
cantinue ta be made for a period of ten (1Q} years commencing on fihe date
that approach mains are accepted by the Directa�. If less fihan 7�% of the
eligible collectians due to the develaper has been collected, the Developer may
request in writing an extension o'f up to an additional 10 years for coAection of
front charges. (fi the construction under the Community Facilities Confiract

shall have started within the two-year period, the life of the Communi�y
Facilifiies Cantract shall be extended for an additional one-year periad.
Communit�r �acility Contracts not completed within the time periads stated
alaoWe will require renewal o� the cantract with all updated a�reements being in
campliance with th� palici�s in effect at the time of such renewal. Developers
must recognize that City fUnds may not be a�arlable to pay all or a portion of
the r�ormai City share for renewal cantracts. It must be understood by all
parties to the Community Facilities Contracfi that any of t�e facilities or
requirements inciuded in the cor�tract that are to be performed by the
developer, but nat performed by the devefoper within the time periads stated
above, may be completed by the City at the developer's expense. The City of
Fort Worth shall nat be obligated to make any re#unds due to the developer on
any facilities eonstrucfied under this agreement until all provisinns af �he
agreement are ful#illed.
F. P�RFORMANCE AND PAYM�NT GUARANT�ES
'i . �or I�a#er and Sanitar� Sewer �acilities:
Performance and payment bonds, or cash deposits, acceptable to the
City are required to be furnished by the develaper for the installation of
water and sanitary sewer facilities,
a. Where the developer lets the canstruction cantract for water and
sanitary sewer facilities, performance and payment bands shafl be
eposited, in the amaunt of one hundred perceRt �100%j of the
estimated cost of construction, cash depasited shalI be in the
amount of one hundred twanty-firre pereent (126%i, as stated
in the constr�ctior� con�ract, is r�quirec� to b� furnished
simu�taneous wi�h execution of tMe construcfiion contract.
b. Where the Cifiy lets the contract, performance and payment bonds
shall be deposited, in the amaunt of ane hundred percent (100°/n)
of the estimated cnst of construction as stated in the construction
con#ract, is required priar to issuance of a work order by #he City.
4. �vpes of �ua�antees:

a. �eveloaer Bonds: Are required for the construction of water
ar�dlar sewer, the follawing terms and conditions shall apply:
(1) The bonds will be standard developer bands pro�ided by a
licerised surety company on forms furnished by that surety
campany.
(2j The bonds will be sub�ect to the revisw and approval by the
City Attorney.
t3) The bond shall be payable to the City and shall guarantee
perfo�mance af the water and sewer constructron
contemplated under this contract and shall guaraniee
paymenfi for ail labor, materials and equipment furnished in
connection �rvith the water and sewer construction
contempiated und�r this contract.
(4j In ordar far a surety company to b� acceptable, the name of
�he surety shall be included on the currenfi U�S. Treasury list
of acceptable sureties, and the amaunt of laond written by
any one acceptable company shall nat exceed th� amaunt
shown on the Treasury lis� for that compa�y.
b. Cash Depasits: A cash deposit shall be acceptable with
�erification and such deposit shall be made to the Ciiy ofi Fort
Worth. The City of Fort Worth will not pay interest an any sueh
cash deposit,
(1 j The cash deposit sha�l be adjusted to one hundred twenty
five percent t125%j o�F the actua! bid price. No contract
shall 6e awarcfed and na work order shall be issued un�il
such adjustment is made.
(2} When a cash deposit is mad�, th� additfanal twenty-five
percent {25%) beyond th� on� hundred percenfi (100%) of
tha estimated developer's sY�are represents additional funds
far change arders during the course of the prv�ect. This

twenty five percent (25%) shall be considered the
devetoper's change order fund.

5. �ur��ose, ie�m and �enewal of Cuarantees;
a, De�eloper bonds, and cash deposits furnished hereunder shall be
for the purposes of guaranteeing satisfactory compliance by the
developer with ali requirements, terms and canditia�s of this
agreement, including, but not limited �o, the satisfactory
comp�etion of the improvements prescribed herein, and the malcing
of paymehts to any persan, firm, corporation or other entity with
whom the devefoper has a c�irect contractua� relationship fior the
performance of wark hereur�der.
b. Developer shall keep said develaper bonds, andlor cash deposits in
full force and effec� t�nti[ such time as c€eveloper has fully
complied with the terms and conditians afi this agreament, and
fiaiIure to keep same in force and effiect shail constitute a default
and breach of this agreement.
H. The City shall assume its share of the cost of the improvements covered by
this agreement aiang with the engineering fee only if fiunds are avaifable for
such participation. In the event that na funds ar� available for City
participation, the de�eloper shall award the cantrac� and deposit with the City
a deveEoper I�onds or cash for � 00 percent of the estimated total construction
cost of the impro�ements [pl�s ten percent (25%1 for engineering ar�d
miscelfaneous costs if the City prepar�s the plans].
I. �n all facilities included in this agreement for whici� �he d�vefoper awards ifis
own construction contract, the dev�eloper agrees to follow the following
procedures.
1. If the City participates in the cost of the facilities, t�e construction
contrac� must be advartised, bid and awarded in accordance rrvith State
statutes prescribing the requiremen�ts for the letting of contracts for the

car�structian of public work. This includes advertising in a loca{
newspaper at least #wice in one or more newspapers of general
circulation in �he county or counties in whict� the wor{� is to be
performed. The second publication must be on or befare ti�e tent�
(10thj day be#ore the first date bids may be submitted. The bids must
be opener� by a� officer or emp�oyee of ihe City at or in an office of the
City.
2. To employ a cor�struction contracfior, who is approved by the Director of
the Department having jurisdiction over the facility to be sa constructed,
said contractor ta meet City's requiremer�ts for being insured, (icensed
and bonded io do warlc in public rignt of way.
3: Tti require the contractor fia furnish to the City payment, per�ormance
and maintenance bonds in the narnes of �he City and the de�eloper for
one hundred percent �100%] af the contrac� price of the facifity, said
bonds to be furnished before wQrk is commence. Developer further
shall require the contractor to provide public iiability insurance in the
amounts required by the City's sp�cifications covering that particular
work.
4. To give 48 hours notice to the department having jurisdiction of intent
to commence construction of the facility so that City ins�ection
personnel will be a�ailable; and to require the contractor ta allarry the
construction to be subject to inspection at any and ail times by City
inspection forces, and not to install any pa�ing, sanitary sev�er, storm
drain, or water pipe unless a respohsible City inspector is present and
gives his consent ta proceed, and to make such labaratory tests of
materials be�ng used as may be required by the City.
5. To secure approval by the Director of the Department having jurisdEction
of any and all partia� and final payments to the contractor. Said
ap�aro�al shalE be subject to and in accordance with requirements
of this agreement, a�d is not fio constitu�e approval af the
quantities of which payment is basecl.
6. To deaay connections of buildings to service lines of sewer and wafer
mains constructed under t�is contract unti! said sewer and water mains

and service lines have been completed to the satisfaction of the Water
Department.
7, lt is expressly undersfiood by and between the deve�oper anci the City af
Fort Worth, fihat in the event the develop�r elects to award one single
construction contract for storm drainage and pavement, said contract
sha11 be separated in the bidding and City participatian, if any, shall �s
Iimited to the lawest possible cambination o# bids as if each of the
above were awarded as se�arate cantracts. �
J. Anything to the contrary herein natwithstandir�g, for and in consideration of
the promises and the covenants herein made by the City, the de�eloper
covenants and agrees as follows:
1. The developer shall make separate elections with regard �o water andlor
sanitary sewer facili#ies, storm drainage, strest improvements and street
lights as to whether the work prescribed herein shall be performed by
the City, or by its contractor, or by the developer, through its
contractor. �ach separate election shall be made in writing and
delivered ta City no later than s�x (6} manths prior to the expiration of
this agreement, In the event any of such separate elections has not
been made and deliver�d to City by such date, it shall be conclusi�aly
presumed that the developer has elected that such work be performed
by the City in accordance with all of the terms of �this agreement, and in
particular Paragraph V-F h�reof.
2. Irrespective of any such election and whether the wark is ta be
p�rfarmad by the City, or by its cantractor or €�y t�e devefoper through
its cantracfior, the developer covenants and agrees ta deliver to t�e City
a perfarmance and payment guarantee in accordance with the pro�isions
of this agreement.
3. In addition to the guarantee required in the preceding paragraph, in the
event developer elects that the work be performed by the Ci�y, or by the
City's contracfior, or such elec#ion is presumed as provided above, the
developer covenants and agrees to pay to the City the developer's share
af ��e es�timated constructian cosfi5. The amount of such estimated
payment shall be com�uted as set out in Sections cc 5» �ere�f, bas�d

upon the �owest responsive bid for suc}� wor�C, as defiermined by Ci�ty, or
