Contractox's business address is 3640 Ave. M, Fort Worth, TX 76105. WHEREAS, the City of Fort Worth ("Cit�') has received a gran� from the United States Deparbment of Housing and Urban Development ("HCTD") through the Home Investmen� Partnerships Pragrarn ("HOME"), Program No. M�01�MC-48-0204, with which the City desires to promote activities that expand the supply of affordable housing and the development of partnerships axnang the City, local governrnents, local lenders, private industry and n�ighbarhood based nonpxo�t housing organizations; and WHEREAS, the primary purpose of the HOME prograrn pursuant to the National AfFordable Housing Act af 1990 ("NAHA"} and 24 CFR 92, ("thc; Regulations"} is ta benefit Iow and very Iow income ciiizens by pro�vicling them with affordable housing; and WHEREAS, Contractor, a nonprofit corporation managed by a volunteer Board of Directars, is working ta increase the number of decent, affordable hausing units available to low and moderaie income persons, and WHEREAS, the citizens and the City Counci� af Fort Worth have detexlniued that the development o� sa,fe, decent and affordahle housing is needed for maderate, low and very low income citizens of Fort Woz�th; NOW, TH�REFORE, THIS AGREEMENT Fi7RTHER WITNE�SETH: I. GENERAL PROVISIONS Purpose The express purpose of this caniract is to provide Contractor with HOME funds not to exceed SEVENTY-FOUR THOUSAND DOLLARS and No/100 ($74,OOO.f}0) in accordance with "Exhibit A - Program Summar�'. The amount of FIFTY THOUSAND DOLLARS and No1100 ($50,000.00) is designated a� "Operating Funds", and may be used for administrative costs in the management of the organization. The arnouxit of TWENTY-FOUR THOU�AND DOLLARS and No/100 ($24,OQO.OD} is designated as "Predevelopxnent Loan Funds", and may be used �or predevelopment casts and fees. The City hereby certifies t1�a� Contractor is a Carnmunity Hausing Development Drganization {CHDO) and acts as a housing developer as defined by HUD. The City shall act through its agent, th� City Man.ager, or his duly authorized representative, unless otherwise stated in this agreement. Contractar agrees to comply wiih the �iform administrative requirements contained in Section 92.505 0� the HOME regulaiions, including �ubpart F, and applicable City Codes and regulations. 2. Duration The term of this Contract begins on the date of final execution by all pat�ies and terminates exaetly 365 days thereaf�er, wiih one ane-year renewal at City's option. All terms and conditions of the Contract remain in effect through the rer�ewal period. If Confxactor wishes to zenew, Contractor must submit a written request for r�;newal t� City at least �Q days prior to the ierm�ination date hercof, with Contaractor's anticipated budget, goals and objectives for the renewal periad. City is under no obligation to granf the request for renewal and any renewal granted musi be in the form of a written amenclmez�t to the Cantract and approved by the City Manager. 3. Indebendent Contractor Contractor sha11 operate hereunder as an independent contractor and no� as an o�'ficer, agent, servant or employee of the City. Contractor shall have exclusive control of, and the exc�usive right to control the details of �he work and services performed hereunder, and al1 persans performing same, and shall be solely responsible for the acts and omissions of its officers, mernbers, agents, servants, employees, subcontractors, program participants, licensess or invitees. The doctrine of respondeat superior sb.a�l not apply as between City and Contractox, its off�cers, merribers, agents, servants, employees, subcontractors, prograrn participants, licensees or invitees, and nothing herein shall be construed as creating a parEnership or joint entez�prise between City and Cantractor. It is expressly understood and agreed that no officer, meinher, agent, employee, subcontractor, licensee or invitee of the Contractar, nor any program participant hereunder, is in the paid service af City and that City does not have the legal rig�it to control the details af the ta.sks performed hereunder by Contractor, its off cers, members, agents, ernployees, subcontractors, prograrn participants, licensees or inviiees. Te1`minaiian. This contract rnay be terminated by the City in the even� af default, inability, or failure to perfortn on the part of Contractor, or whenever such terrninatian is determined by the City fo be in the City's best interest. Likewise, the contract may he terminated by Contractor if the City does not provide funds pursuant to this agreement. The contract may be terminated for mutual convenience upon a�reernent of the parties. The parties acknowledge that HOME fiinds paid hereunder are intended to provide �nly partial funding for Contractar's program aperations. If non-HOME funds ta iznplement the program are not forthcoming to the Contractor dnring the contract term, the City may terminate this contract. City sball natify the Contractor in writing of any breach of th�s contraci, and specify a r�asonable tirne within which to cure the pariicular breack�. Af�er being notified of such breach, and if the breach is deemed to be material, Cantractor shall have a reasonable time tfl cure the breach. If �he Contrac#or faiZs to cuxe the breach within a reasonable time, not to exceed (60} days, this cantract shall antornatically terminate. Contractor will return to City any unused monies previously distributed under this contract within thirty (30) days of the effactive date of c�ntract termination. City will have no responsibility or Iiability for Contraetor's exp�nditures ar aetions occurring after the effective date of the cantract terminatian. 5. Venue Shauld any action, �rhether real or asserted, at law or in equity, arise out of the ex�cution, performance, atternpted performance or non-performance of ihis agreement, venue for said action sha11 be i� Tarrant Cour�iy, Texas. 6. Written Instrurnen� is En�ire A�eement All terms of this contract shall apply to any and all subcontractors of Contrac�or which are an any way paid with HOME funds ar who perfa�:n any work in connection with Contractor's Program. 'T`he provisions af this agreement are sevarable, and, if for any reasan a clause, sentence, paragraph or other part of this agreement shall be de�ermined to be invalid by a court or federal or state agency, board or cornmission havi�g jurisdiction over the subject matter thereof, such invalidity shall not a�fect other provisions which can be given ef%ct WI�1011t �1� invalid provisipn. Page 3 � , " f � r��� � � The faalure of the Ciiy to insist upan tk�e per�'armance of any ferm or provision ofihis agreemenf or to exarcise any r�ght herein canferred shall not be constnzed as a waiver or relinquishment to any extent of the City's right to assert or rely upan any such term ar right on any future occasian. � This written instrurnent and ihe �xhibits attached. hereta, which are incorporat�d bq reference and made a part of this contract for a11 purposes, constitutes the entire contract by the parties hereto concerning the wark and services to be performed under this contract. Any prior or contemporaneous oral or written agreement, which purports ta vary th� terms of f,his contract, shall be void. Any amendments to the terms af this contract must b� in writing and must be approved by each party to this contract. The paragraph headings containecl herein are far convenience in reference to this cantract and are not intendeci. to define or to limit the scope oi any pravisian of this cont�act. 7. DUTIES AND RESPONSIBILITIE� OF CITY A. Disbursement o�Funds The City will furnish federal grant funds, (HUD HOME Investment Partnerships Pragratn No. M-01�MC-48-02Q4) for use as stated herein. The City will monitor the use af such funds to ensure appropriate use of ihc funds. Funds shall be disb�zrsed after execution of this contract and compliariee with ihe provisions therein. Payment of expenses will require cazx�pietion of a "Request For Funds" form (Attachment I). B. Amount of Funds Tt is agreed that the total distribution of federal grant funds mad� available to ox paid on behaLf of Contractor, during the ierm of this contract sha11 not exceed ihe total suin af SEVENTY-F�UR THOUSAND DOLLARS and No1100 {$74,000.�0). Contractor will use the FIFTY THOUSAND DQLLARS and No/1 �0 {$50,004.00} for specific administrative n�eccis of Cantractor in accordance with Exhibit B-"Operating Budget". Contractor wi11 use the TWEN�'Y-FOUR THOUSAND DOLLARS and NoI140 ($24,004.04) for predevelopment casts in accordance with Exhibit C-"Predevelopment Bud�et". 8. DUTIES AND RE�PONSTBTLITIES OF CONTRACTOR A. HOME funds rnay only be used to provide Contractor fundzng for actit�ities which are eligible and allowable expenditures pitrsuant to HOME regulations specified in ,�ection 92.2Q8. The operating expenses are described more specifically in Exhibit B. The predeveloprnent expenses are described specifica��y in E�ibit C. By the �nd of the cantract period, the Cont�actor shall complete or submit evidence of the fallowing: a) Board Resolutian(s) or minutes appxoving CHDO geographic boundaries for housing programs b} Evzdence of controi a.f the site(s) of the proposed housing project, e.g., aptian ia buy, title, etc. c} Evidence of appra�riate zaning of the site for #he praposed hausing proJect. d} Marketing study e} Development budget � Hausing plans and specified g) Written construction quat� from th� builder h} Qualifications and track record of proposed builder(s) and other subcan�rac�ors, including proof of insnrance and workers' comp caverage i) Letter of commit�men� from any permanent financing lender j) Proforma for the first fivs y�ars k) Supportive services and pravzdars 1) Plans for marketing and outreach, qualifcations and intake o�renters rn) Cornpliance with terms of affordabilrty n) Compliance with other specific H[JD requirements far the proposed neighborhood and site standards for new multi-family project, etc. Contract understands that this contract daes nat bind the City to pravzde subsequent HOME project funds to Cantra�tor. The funds the subject of this contract are provided with the understanding that Contractor will submit an application for HOME project fiinding wrthin a twenty�four month period from the date of this Contract through HOME-fiinded progra�ns available at the �ime of ihe application. Funding o#' the application for proj ect funds will be conditioned upon the ava.ilabili#y of funds at t�e time of app�.cation, quality of the request, a�.d the applicability oi tbe funding xec�uest ta existxng HOME fiunded prrograms. B. Budget Cantractar agrees ihat the HOME funds �nvill be expended in accordance with the proj ected Operating Budget in Exhibit B and Predeveloprnent Budget in Exhibit C attached hereto and incorporated for aIl purposes. Time Line for Goals and Exnendih�res Contractor shall work in accardance with the schedule in the Program Tmplementatian Timelin.e in Eghibit D and ensure that program goals and expenditures correspond with the cornple�ion of tha Program. D. Reversion of Assets Contractor agrees to return ta the City any HOME funds remaining on hand at the end of the contract. If repayments, int�rest �or other returris an investrr�ent attributable to HOME funds are received after tlxe term of this contract, they sha.11 be xeturned to the Czt� to be deposited in the Ciiy's HOME aecount in accordance with Sections 92.503(b} and 92.504(c)(3) of the HOME regulations. E. Accauntin�, Records and Renorts Cantractor will establisli and maintain � an accounting system using unifarm and established principles of standard accounting in acco�rdanee vwith OMB Circular A�122, "Cost Pz�nciples for Non-Profit Organizations", for the documenting and controlling the expenditure of HOME funds used in �he pursuii of Program objecti�'es to be per#'armed in this contract. ALL HOME FUNDS, AS DISTRIBUTED TO CQNTR.AGTOR, W�.L BE IlVIMEDIATELY DEPOSITED BY CONTRACTOR TN A LOCAL, FEDERALLY-INSURED, INTEREST BEARING BANK CHECKING ACCOUNT, AND THEREAFTER DI�BURSED BY CHECK BY C4NTRACTOR FOR THE PURPOSES ALLOWED UNDER THIS CONTRACTOR {"ALLOWABLE COSTS" HERE]NAFTER DEFTNED). ONLY HQME FUNDS WILL BE DEPOSITED TO THIS ACCOUNT AND NO OTHER FUNDS WII.,L BE COMMINGLED WITH THIS ACCOUNT. THE CITY SHALL HAVE ACCESS TO THE RECORDS RELATING TO THIS ACCOUNT FOR PURPOSES OF AUDITIl�G CONTRACTOR'S EXPENDITURES OF THE CITY GRANT, AND CONTRACTOR W11,L SO �DVTSE APPROPRIATE BANK OFFICIALS. Contractor wi11 only use HOME funds received ta defray expenditures which are: (1) made in conformance �ith the specified purposes set out in Exhibit A and alI o�her provisions of ihis Contiract; (2) necessary ta accomplish the Prograrn objeciives; (3) reasonable in arnount of goods and services purchased; (4�) act�.al net costs to the Contractor (i.e., the price paid minus any Page 6 �- �_ � - .. �r�''Jf � � - I • .I, I i: . ,:Irs� � and services purchased; (4) actual net cosis io the Contractor (i.e., the pzice paid minus any refunds, rebates, discaunts or any other items of value received by Contractor that have the affact of reducing the cost actu�lly incurred) {5} incurred after �xecution of this Contract tu�less specific authorization from the City to the contra�y is received; (6} satisfactorily documented; and (7) treated unifartnly and consis�ently under the accouniing system esfablished by Contractar for these purposes. All costs defrayed from HOME funds will be supported by properly executed checks, arders, payrolls, time recards, invoices, contracts, vauchers, or other accoun�ing documents evidencing in detail the nature and propriety of ihe charges. Such docuxnentation �cvill be clearly ic�entified, readily accessible and, to the extent possible, kept separate and apart from a11 other such documents. The City expressly reserves, for a period of five (S) years from the date of execution of this Contract, tl�e right to audit compliance with the terms of this Contract, and any and all records and documents relaiin� to expendiiures made for whicb HOME funds are used, ar relating �o any other ac�ivity under this Contract ar use of H�ME funds. Contra.cior agrees to retain all such recards and documents for the five (5) year period � Contractar wi11 obtairi and keep on file the following i_nfoYmation on each client served by the Pragram. By tha lSth of each mon�h during which this program is supported by ihe HOME funds provided under this contract (to bc construed as including the use of any asse� obtained through the expenditure of HOME f�nds�, Contracior will supply the City with a report detailing: a, progress toward goal achievement; and b. expenditure detail. c. Reports shall be submitted in the format specified by City. H. Cost Princivles Con�ractor shall comply witYi the requiremants and standards of OMB Circular A-122, "Cost Principles for Non-Prof t Organizations". All non-fsderal entities that expand $304,000 or more in federal funds within one year, regardless of the source of the Federal award, must submit fia the City an annual audit prepared in accordance with CFR part 84 geanerally, with specific reference to OMB Circulars A-128 and 133 as apprapriate. Tbe audit must be prepared by an independent c�rtified public accountant, be completed within twelva (12) rrionths following the end of the period being audited and be submitted to City within tYiiriy (30} days of its completion. Costs of preparation of the audit may be an allowable expenditure of federal funds in an amount proportional to that a� the federal funds �sed in Contractor's total agency operating budget. Non-federal entities tha.t exp�nd less than $300,000 a year in federal iunds are exempt from Feacral audit reqnirements for that year, but records must be available for review or audit by appropriate of�cials of the Federal agency, pass-t.�rough entity (City), and General Accouniing Office (GAO). {Exhibit E-Independent Audit Requirernent). If questions are not resolved within this periad, City reserves the right to withhold further fw�ding urider this arzdlor future cantract{s}. If as a resulfi of any audit it is determined that Cantractor has rnisused, misapplied ar misappropriated all or any pat� of the grant funds described h�rein, Contracto:r agrees ia immediately reirnburse the City the amauni of such monies so misused, misappli�d or misapprapriated, plus ibe amount of any sanctians, penalty or other charge levied againsi City becaus� of such misuse, misapplication or misappropriation. I. Monitor Effectiveness of Services and Work The City will review the activaities and performance of each cantractor and suhrecipieni nat Iess than annua.11y as requirad in SectXon 92.504 (e) of the HOME regulatians, Cantractor agrees to fully coopexate vc�ith City in monitoring the effectiveness of the services and work to be perfvrmed by Contractor's compliance with the terms af this contract. Tha City shall have access at all reasonable hours to offices and records {dealing with the use of the funds that are the basis of this coniract) of Cantractor, its officers, directars, agents, employees, and subcontraetors for the purpose of such monitoring, Contractor agrees to likewise monitor the effectiveness of the servicas and work to be performed by its subcontractors, J. Com�Iiance with A11 Apt�licable Laws and Re�ulatians Federal Contractor agrees to comply with the following laws and the regulatians issued thereunder as they are curren#ly written ar are hereafter a�nended during performance af this cantract: Title VI af Civil Rights Act of 19b4 {42 USC 2000d et sec� Tifile VIII of Civil Rights Act of 1968 (42 USC 36�1 et seq) Executive Orders 11063, 11246, as amended by 11375 and as supplemented l�y Departrnent of Labar regulations (41 CFR, Part 60) � S�ction 504 of the Rehabilitation Act of 1973 (29 USC 794) The Age Discrirnination Act of 19'75 (42 U�C 6101 et sey} National Environmental Palicy Act of 1969 (NEPA) and the related authorities listed IiUD's irx�plementing regulations (24 CFR Part S8) Immigration Reform and Contzol Act of 1986 (Pub. L. 100-242, 101 Sfiat. 181 S, as amended} The Americans with Disabilities Act of 1990 (42 USC 121D1 et seq) National Af�Fardable Housing Act o.f 1990 The Drug Free Workplace Act of 1988 {24 CFRpart 23, subpart F) Section 3 af the Housing and Urban Development Act of 1968, as amended, 12 U�C 17D1 As the work perfortned under this contract is on a pro}ect assisted under a program providing direct federal financial assistance fram the HUD and is subject to the requirements of Section 3 of the Housing arid Urban Develapment Act of I968, as atnended, 12 USC 1'7�1, Contractor covenants to abide by the requirements of the said Section 3. It requires as follows: 1. That, to the greatest extent feasible, opportunities for training anc� employment be given to lower income residents of the project area, and 2. That, to the greatest extent feasible, cantracts �or work in connection with the praject be awarded io business concerns which are located in or owned in sub�tantial part by persans residing in the area of the proj ect. Contractor will comply with the pravisions of said Section 3 and the regulations issued puxsuant there�o by the �ecretary af Housing and Urban I7evelopment, set forth in 24 CFR 135, and alI applicabie rules and orders of the Depart�ment issued thereunder prior ta the execution of this contract. Contractor certifies and agrees ihat it is under na contractual or other impediment, which would prevent it from comp�ying with the requirexnents. Contractor agrees that it will send to each labor arganizatian or representative of workers with which it has a eollective bargaining agreement or other coniract or understanding, if any, a notice advising said labor organization ar workers representatives of its commitments under f.his Section 3 clause ar�d shall post copies of the natice in conspicuous places available to employees and applicant� for employment or training. Cantractar agrees that it vcxill include the said Section 3 clause in every subconfract %r work in connection with the praject and will, a� fhe direction of City, take appropriate action pursuant to the subcontract upon a finding that the subcontractor is in violation of regulatians issued by #he Secretairy of Housing and Urban Developrnent, CFR135. Coniractor agrees thai it will not subcantract with any subcontractor where it has notice ar knowlec�ge that the latter has been found in violation o�'regulations under 24 CFR 135 and will not I�t any subcontract unless the subcontractar has first provided Contractor with a preliminary statement of ability to comply with the requirernents of these Page 10 J, 4�r'' � -- �'�r� � ragulations. City and Contractor understand and agree that compliance �rith the provisions of �ection 3, ihe regulations set forth in 24 CFR 135, and all applicable xules and orders of tha Department issued thereunder prior to the exec�ztion of this cont�act shall be a condition of the Federal financial assistance provided to the proj ect, binding upon City and Coniractor, and their respective s�.iceessors, assignees and subcontractars. Failure to fulfill these requirements shall subj�ct Contractor and its subcontractors, its successors and assignees, to those sanctions specified by the Grant Agreernent through which federal assistance is pro�ided �xad to such sanctions as are specifie�. by 24 CFR Clean Air Aci; Clean Water Act; Enviromnental Protection Agency (EPA) Acts and Regulations This contract is subject to �he requirements o� Section 30b of the Clean Air Act, as arnended (42 USC 1857(h) et seq.), Sectian 508 of the Clean Water Act (33 USC 13b8), Water Pollution Coni�al Act, as arnended (33 USC 1251 et seq.} and the regulations of the EPA with respect thereto a# 4� CFR, Pat� 15, as amended from time to time, and Executive Order 11738 (4� USC 7606 nt.). In campliance with said �egulations, Coniractor agrees an.d, with respect to a nonexempt transaction, shall require each subcontractar to agree to the fallovving requirements: 1. A stipulation that na facility to be utilized in the performan.ce of nonexEmpt contract or subcontract w�rk is included on the List of Vialating Facilities issued by the (EPA} pursuant to 40 CFR 15.20; 2. Compliance with all the requirenr�ents of Section 114 of the C1ean Air Act, as amended (42 U�C 1$5'7c-8), ana Sectinn 308 of the Federal Water Pollution Conirol Act, as amended {33 USC 131$), rslating to ir�pection, monitoring, entry, reports and informatian, as well as aI1 other requirements specified in said Section 11�4 and Section 308 and all re�ulations and guidelines issu�d hereunder; 3. A stipulatian that, as a conclition for the award of the contract, pxompt notice will be given af any notification received from the Direc�or, OfFce of Federal Activities, EPA, i�dicating that a faciiity uiilized ax fo be utilized for the contract is und�r consideratian fio be listad an the EPA List of Vialating Facilities; 4.
