CSC No. 60420 AGREEMENT NO. R-023727 PEDESTRIAN TRAIL MAINTENANCE AGREEMENT This Agreement ("Agreement") is made by and between DALLAS AREA RAPID TRANSIT ("DART"), a regional transportation authority created, organized, and existing pursuant to Chapter 452, Texas Transportation Code, with offices at 1401 Pacific Avenue, Dallas, Texas 75202, acting on its own behalf and on behalf of FORT WORTH TRANSPORTATION AUTHORITY, d/b/a TRINITY METRO ("Trinity Metro"), a regional transportation authority created, organized, and existing pursuant to Chapter 452, Texas Transportation Code, with offices at 801 Grove Street, Fort Worth, Texas 76102, and the City of Fort Worth ("COFW"), a Texas home rule municipal corporation, located at 200 Texas Street, Fort Worth, Texas 76102. Dallas Area Rapid Transit and Trinity Metro jointly conduct commuter rail operations between Dallas and Fort Worth, Texas under the assumed name Trinity Railway Express ("TRE"). Pursuant to the Second Restated Interlocal Cooperative Agreement between Dallas Area Rapid Transit and Trinity Metro, dated April 13, 2021, Dallas Area Rapid Transit is authorized to execute certain agreements on behalf of the THE Entities. All references to "DART" in this Agreement and any exhibits to this Agreement shall mean and refer to both Dallas Area Rapid Transit and Trinity Metro, individually and collectively, in their capacities as joint operators of TRE. Dallas Area Rapid Transit is executing this Agreement on its own behalf and on behalf of Trinity Metro, as Trinity Metro's authorized agent under the Second Restated Interlocal Cooperative Agreement. All rights, remedies, benefits, and obligations under this Agreement inuring to Dallas Area Rapid Transit shall also inure to Trinity Metro in the same manner as if it were itself executing this Agreement. WHEREAS, on December 27, 1999, COFW, DART, Trinity Metro, and the City of Dallas executed an interlocal agreement ("ILA") to effect the transfer of all of the City of Dallas and COFW's respective rights, title, interests, obligations, and responsibilities in and to the railroad corridor between Dallas and Fort Worth, Texas (the "Corridor") to TRE; and WHEREAS, the ILA provides that COFW shall have the right to use portions of the Corridor and to cross the Corridor with governmental infrastructure; provided, however, that such use and crossing rights shall not unreasonably interfere with TRE's rights and uses of the Corridor; and WHEREAS, the ILA provides that, except with regard to existing at -grade crossings, COFW shall bear the entire cost and expense of designing, installing, constructing, reconstructing, repairing, operating, removing, replacing, and maintaining its new facilities within the Corridor; and WHEREAS, COFW plans to install, and maintain: (a) a twelve (12) foot wide concrete trail with two (2) foot wide turf shoulders, (b) TRE-approved fencing with no -trespassing signs attached to the fencing only within the Corridor, (c) a storm drain line with rip -rap for discharge and a culvert and (d) solar lighting at four (4) locations as shown in Exhibit "A" (described below) (the "Permitted Improvements"), first crossing the Corridor just west of southbound SH-360 at Mile Post 628.15 (Latitude: 32.817511, Longitude:-97.059370) in Fort Worth, Tarrant County, Texas, and later crossing under the THE bridge structure just east of CentrePort Station at Mile Post 628.57 (Latitude: 32.816941, Longitude:-97.051561) also in Fort Worth, Tarrant County, Texas, more particularly described as shown in nine (9) Halff Associates Veloweb plan sheets entitled "Trinity Blvd/Elm St. to THE CentrePort Rail Station", numbered 3, 64, 65, and 75 thru 80 and submitted for letting on August 31, 2023, attached hereto as Exhibit "A" and incorporated herein for all pertinent purposes, (the "Property"); and WHEREAS, THE and COFW (individually referred to herein as a "Party" or collectively as "Parties") desire to enter into this Agreement concerning the future maintenance of the Permitted Improvements; and NOW THEREFORE, for and in consideration of the performance of the promises made by the Parties OFFICIAL RECORD City of Fort Worth — CentrePort Trail Phase I 1 of 5 CITY SECRETARY Mile Post 628.15 to 628.57 FT. WORTH, TX herein and other good and valuable consideration, the Parties agree as follows: I. Term. 1.1 This Agreement shall be effective on the date last signed by a Party ("Effective Date") and shall continue in effect until either Party provides thirty (30) days' written notice of termination. II. Maintenance and Security of the Permitted Improvements. 2.1 THE Maintenance. THE is solely responsible for maintaining the Corridor for its commuter rail operations, but shall not be responsible for maintenance or repair of any of the Permitted Improvements. 2.2 COFW Maintenance and Repair. COFW shall be solely responsible for maintaining and repairing the Permitted Improvements, including the payment of all associated costs. COFW shall maintain the trail within the Corridor as described on the attached Exhibit `B" (COFW Park & Recreation Department Trail Maintenance Manual) and additionally maintain, repair and replace, if damaged, all the other Permitted Improvements described in the Agreement. Maintenance shall also include trash and graffiti removal within the width of the Corridor where there are Permitted Improvements. COFW shall coordinate with THE and obtain TRE's written approval prior to entering onto the Property to perform repairs or maintenance work as provided in Section 2.4. 2.3 Security. COFW may, in the future, install additional fencing along Permitted Improvements or implement additional security measures for the Permitted Improvements at its sole cost; provided, however, THE must approve the materials and design of such fencing and other security measures in advance. COFW shall maintain any fencing constructed as described in the Agreement. 2.4 Permission to Access the Propertv. THE hereby grants COFW permission to enter onto the Property for the limited purpose of fulfilling its maintenance and repair obligations under this Agreement and, if approved by THE in advance, installing fencing and providing other security measures for the Permitted Improvements; provided, however, COFW must first coordinate with THE and obtain TRE's written approval prior to entering onto the Property. 2.5 Future Coordination. COFW and THE shall coordinate for any other modifications or additions to the Permitted Improvements. COFW understands and agrees that future modifications or additions to the Permitted Improvements may require the execution of a supplemental agreement and/or contractor's right of entry agreement. III. Additional Consideration. 3.1 Additional consideration for granting the installation and maintenance of the Permitted Improvements shall be (a) TEN AND NO/100 ($10.00) DOLLARS cash in hand paid by COFW to DART, the sufficiency and receipt, of which is hereby acknowledged, and (b) the faithful performance by COFW of all of the covenants and agreements undertaken by COFW in this Agreement. IV. Insurance 4.1 Reauired Insurance. Prior to entry onto the Property, COFW shall procure and maintain, at its sole cost and expense, commercial general liability insurance in the following form and amount: a. Per occurrence limit of at least $2,000,000 b. Primary and non-contributory endorsement City of Fort Worth — CentrePort Trail Phase I 2 of 5 Mile Post 628.15 to 628.57 c. Endorsement naming DART, Trinity Metro, and their respective directors, officers, representatives, contractors, agents, and employees as additional insureds with respect to ongoing and completed operations without qualifications or restrictions d. Endorsement waiving the issuing insurance company's rights of recovery against DART and Trinity Metro, whether by way of subrogation or otherwise e. The form of coverage and insurer(s) must be satisfactory to TRE. 4.2 Self -Insurance Alternative. Alternatively, COFW may provide all or part of the insurance coverage required by this Agreement through self-insurance. Upon DART's request, COFW shall provide documentation demonstrating satisfactory coverage. V. INDEMNITY AND SHIFTING OF RISK. 5.1. To the extent permitted by law and without waiving its sovereign immunity, COFW agrees to RELEASE, DEFEND, HOLD HARMLESS, AND INDEMNIFY DART, TRINITY METRO, and their respective directors, officers, employees, contractors, agents, and representatives (collectively "Indemnitees") from and against all liabilities, losses, damages, claims, costs, and expenses (including attorney's fees) for bodily injury or death to any person and for damage to, loss of, or loss of the use of any property arising out of or resulting from COFW's (including COFW's employees, subcontractors, agents, or invitees) entry onto the Property, performance under this Agreement, or breach of any of the terms of this Agreement — except to the extent proximately caused by the negligence or intentional misconduct of one or more Indemnitees. Additionally, to the extent permitted by law and without waiving its sovereign immunity, COFW shall INDEMNIFY, DEFEND, AND HOLD INDEMNITEES HARMLESS against all costs, expenses, claims, and liability related to any environmental contamination and related clean-up of the Property resulting from COFW's use of the Property under this Agreement. 5.2. In the event any part of the provisions of this Indemnification section are determined by statutory authority or judicial decision to be void or unenforceable, then this section shall not fail in its entirety, but will be enforceable to the greatest extent permitted by law. This Indemnification section and all other indemnification provisions shall survive the termination of this Agreement. 5.3. Nothing contained herein shall ever be construed so as to require COFW to assess, levy and collect any tax to fund its obligations under this section. Article XI Section 5 of the Texas Constitution provides that a city is prohibited from creating a debt unless the city levies and collects a sufficient tax to pay the interest on the debt and provides a sinking fund. COFW has not and will not create a sinking fund or collect any tax to pay any obligation created under this section. VI. Miscellaneous. 6.1. Notice. Notices permitted or required by this Agreement shall be in writing and shall be deemed delivered when hand delivered or when placed, postage prepaid, in the U.S. mail, certified, return receipt requested, and addressed to: COFW at the address set out in the first paragraph of this Agreement; and THE at 1401 Pacific Avenue, Dallas Texas 75202, Attn: Railroad Management. Either Party may designate a different address for receipt of notice by giving written notice of such change of address. 6.2. Assiiumnent. COFW shall not, absent TRE's prior written consent, assign or transfer its rights under this Agreement in whole or in part. 6.3. Govemine Law. This Agreement shall be construed under and in accordance with the laws of the City of Fort Worth — CentrePort Trail Phase I 3 of 5 Mile Post 628.15 to 628.57 State of Texas. Any action brought by a party to enforce any provision of this Agreement shall be commenced in a state district court of competent jurisdiction in Tarrant County, Texas. 6.4. Entirety: Amendments. Counterparts; Exhibits. This Agreement embodies the entire agreement between the Parties and supersedes all prior agreements and understandings, if any, relating to the Property and the matters addressed herein. This Agreement may be amended or supplemented only by a written instrument executed by the Parties. The Parties may execute this Agreement in multiple originals and when taken together, those originals constitute a whole. Exhibits "A" and "B", referenced in this Agreement, are fully incorporated herein for all intents and purposes. 6.5. Parties Bound. Third -Party Beneficiaries. This Agreement shall be binding upon and inure to the benefit of the Parties and their respective heirs, personal representatives, successors and assigns. There are no third -party beneficiaries to this Agreement and none are intended 6.6. No Joint Enterprise. The Parties do not intend that this Agreement be construed as finding that the Parties have formed a joint enterprise. The purposes for which each Party has entered into this Agreement are separate and distinct. 6.7. Severability. If any provision of this Agreement is determined to be illegal or unenforceable in any respect, such determination will not affect the validity or enforceability of any other provision, each of which will be deemed to be independent and severable. 6.8. No Waiver of Governmental Immunitv. By entering into this Agreement, THE and COFW do not waive or diminish any immunities, protections, or defenses available to them, including by example and without limitation, governmental immunity and statutory caps on damages. 6.9. Signature Authoritv. Each of the individuals signing this Agreement warrants that he or she is duly and properly authorized to execute this Agreement on behalf of his or her respective Party. CITY OF FORT WORTH PARK & RECREATION DEPARTMENT TRAIL MAINTENANCE MANUAL Part 1 — LITTER REMOVAL, MOWING, AND TRIMMING 1. Litter Removal EXHIBIT "B" PEDESTRIAN TRAIL MAINTENANCE AGREEMENT a. Litter and trash receptacles within trail easement boundary will be picked up every Monday or as needed. b. All trash and litter from the entire turf area will be removed prior to initiating any mowing. 2. Mowing a. Trail shoulders will be mowed at 2 feet to 3 feet shoulder width entire trail length. b. Mowing cycles will be 7 - 14 or 21 day depending on seasons as specified in the CFW mowing contract. All grass on a 7 or 14 day cycle will be cut at a height of two (2) inches and 21 day cycles will be cut at a height of three (3) inches for designated areas. A mowed area will be free of clumped grass cuttings and tire tracks and ruts from equipment. c. All structures, trees, poles, tables, signs, fences, and shrub beds are to be edged, where applicable. Special care will be given to trimming around trees so as not to inflict damage to the bark of the trees. d. Reasonable care will be used to avoid damaging buildings, equipment, utilities and vegetation on City and private property. Mowers must be equipped with chute deflectors or guards to prevent rocks and debris from damaging public and private property. e. All vegetation in cracks, seams, and joints of paved areas such as sidewalks, curbs, gutters (two (2) feet out from the curb) and driveways will be cut down to the pavement surface during the completion of each mowing cycle, where applicable. The use of herbicides to control such growth may be permitted with the prior written approval of the Contract Administrator and in accordance with all applicable State laws and regulations. f. Weeding: all planting beds, hedgerows, fence lines, parking lots, and gravel areas will be maintained weed and grass free. Chemical weeding using an approved substitute is acceptable, but must be closely coordinated with the Administrator prior to application. Page 1 of 2 FORT WORTH. g. Removal of cut grass from turf areas will not be required, unless otherwise specified by City Administrator. Cut grass and debris that falls or is thrown by equipment upon the pavement, streets, curb and gutters, sidewalks, driveways or adjacent properties through the action of the work crew, will be removed prior to leaving the project area. h. Edging of walks, trails and curbs, where applicable, will be performed so that grass and weeds do not extend over the edge of the walks, trails, or curbs more than % inch, nor will they be cut back from the edge of walks, trails, or curbs more than % inch. 3. Trimming a. Tree trimming within trail easement boundary will be performed periodically. Tree limbs should be at least 8' above walks or trails. b. In the event of storm damage, pruning will be performed to remove damaged and broken limbs. Any tree blown over or downed (up to 4" diameter caliper) will be removed. c. Shrub trimming within trail easement boundary will be performed as needed. Part 2 — REPAIR 1. Periodic maintenance inspections by City Staff will be conducted to discover hazardous conditions or damage to trail infrastructure such as pavement, retaining walls, railings, signage and drainage infrastructure. 2. Trail infrastructure will be repaired or replaced as needed with priority given to repairs concerning public health, safety and welfare. 3. Any illegal graffiti on trail infrastructures will be removed or covered by the City Graffiti Abatement staff. Part 3 — SECURITY PROCEDURES 1. While working on assigned trails, all maintenance personnel must have a valid picture ID with photo, or a valid Driver's License with photo, on their person or readily available in their vehicle on site. 2. Maintenance crew will use proper tools to perform the jobs and wear proper protection equipment as applicable. 3. Some trails have retractable or lay -down bollards installed at trail heads to prevent vehicular trespassing. Maintenance crews will secure and lock the bollards after finishing daily maintenance jobs at the trails. 4. Only approved City maintenance vehicles will be use to drive on the pedestrian grade paved trail. Page 2 of 2
