NOW THEREFQRE, it is agreed as follows: 1. GRANT C?F U5E A. City agrees to permit User to install and rnaintain a monitoring well on a City right-of- way, as shown on the map attached hereto as Exhibit "A" which is incorporated into and made a part of this Agreement as if set forth fully herein, for the express purpases of conducting environznental sampling: � . One (1} monitoring well, designated as "MW-G", to be lncated witlun Haynie Street adjacent to the west of 640T E. Lancaster. Legal Description: Handley, Original Town, Black 17, Lot 3, Fart Worth, Texas. � B. User shall have no property rights to any City praperty or right-of-way in which the well is installed and environmenCal sanzpling is conducted, and access to the pz-operty shall be nonexclusive at the City's discretio�. 2. REGULATION OF CONSTRUCTION A. User shall conduct environ�rnental sampling in accordance with f�deral, state and local laws and regulations. • � B. The construction of the well shaIl comply with the scape and details of const.�uction of the well that is included in User's Tnformal R�quest for St�h-surface Envirflnmental Sampling, dated 7uly 3Q, 2002, w�ith additional znformation provided on September S, 20Q2, and User's Fanmal Request for Tenr�porary Access to Install Monitor We11, dated Septennber 23, ZOQ2, and which are hereby attached as Exhibits "B" and "C", hoth of Right of YVay Use Agreemeni for ERviron�nental Monitnring -- �age 1 of 1�, Behveen l�epu8lic Waste Services of Tesas, Ldd, and tke City af Fort Worth which are incorporated into this Agreem�nt by reference. The top of the manhole bax %r ttie well shall be completed to be at, or slightly above ground level and wi11 be encased in an 8-inch diameter, water-tight st�al manhole box along wi� a minimum 24�- inch by 2Q�-inch cancrete slab that is sloped back to ground level, in order tn pratect it and not interfere with everyday use of ihe land araund it. B. User shall ensure that the person who performs the drilling and insiallation of the monitaxing we11 in �onjunction with the environmental sampling, ar other.parry -with app�opriate oversight of the drilling pro3ect, is properly Iieensed and bond�d in acco:rdanc� with V.T.C.A. Texas Water Code, Chapter 32, to perfoz:m wark on City's prope:rty or public righ�-o� way. Verification of such licensure shall be rnad� available upon demand by the City. C. User agrees t�at it sha1l requu� any Cantractor that �aerforn� any aspect o� the co�truction, operation, or maintenance af the Monitoring We11 to possess aI1 federal, state, and 1oca1 licenses to perfonn all work cont�racted for, priar to initiation of s�ch work. D. User agrees to use the equipment that it has listed in Exhibits "B" and "C", in the constt�ctian, operatian, and maintenance of the well. E. User has indicated in E�hibit C that it will utilize the services of Groundwater Monitoring, Inc., located at 3322 Gilbert Road, Grand Prairie Texas, which is a s�ate- licensed en.vizonmenta� drill:ing firm, to in�tall th� �aanitoring well. If User determines that�it wi11 be nacessary to contract with anothez comgany, User agrees to o�tain written acceptance by the Ciry prior to initiaiion of any dxilling or installation. F. User shall maintaxn and aperate the monitoring well. In the event that User determines the need to contract the maintenance and operation of tlae well with a third party, iJser shall notif�r the City of same in writing �rior to doing so, ar�d shall obtain written acce�tance �y the City of such a contract. G. User shall install, maintain, and m4riitor the well: 1. In accardance with the City of Fort Worth's Standarc� Specificatzon far Street and Storm Drain Canstruction, which is hereby incorporated into and made a part of this Agreement as if fully set iarth herein; 2. So that there is miniinal disturbance to traffic and to �ie peace af the surrounding neighborhoods; 3. When I]ser perfarmis ar cause� the performanee of any work in the xight-a� wa� or nther public praperry, ar sa clasely adjacent to such places as �o create hazards for the pub�ic, User, its emplopees, or contractor shall gravide eonstruction and maintenance srgns and sufficient ba:rz�icades at work sites to protect t�e public, equipment, and workmen. Th� application of �ucia traffic control devices sb.al.1 be consistenf with the standards and provisioz�s of the latest addition to the Texas Manual on Unifozm Traffic Cantrol devices. Appropriaie wax'ning lights shall be used at all construction, maintenance, and monataringlsampling areas �wh�re one or more traffic lanes are being obsfirucied during nighttime conditxons. I. User shall en.sure that its eontractor contacts the City`s Department of Engineering at least forty-eig�t (48) fiQurs before dr�ling commences, and that the contractor complies vvith all requ.irements of tlxe City's utility inspectors. � J'. Us�r sha11 ensure tUat it has recei�ved written clearance frozn all City-franchised utility companies, and any nan-fran�hised utility campanies so affected, prior to the commencem�ent of dril��.ng, and that the City �as been pravided with a copy of said clearances. 3. INSPECT�ONS The City's Traf�ic Engineer, and tb.e City's Environmental Manager, or their designated representatives, are authorized to �inspect User's operations at all reasonah�e times and to halt User's operations w�.en necessaxy to protect the environment or the traveling publze. User shall ensure that its contracto� complies with a11 orders to halt aperatxons given pursuant to this paragxaph. A�. REPORTING REQUIREMENTS AND MITIGATIOI�T OF CONTAMINATION A. User agre�s to provide Cit� with a�propriate documentation indicating the compl�tian date of monitoring/sampling, geological conditions, certification of proper completion, any findings regarding the presence or nan-gresence of contamination, test results generated as a r�sult of said monitoring we11s, and any other uiformation submitted to the Texas Comrnission on Environmental Quality, ��on request o� the City or o�h�rwise, sha11 be provided to �e City at the same time that such in.formation is submitted to Texas Cammis�io�x on Enviranmental Qu�lity. B. User shall caoperate with the City in mitigating the coniamrnation as necessary. User agrees that in the event contamination is attributable to and zesulting fram User's activities, such remediation shall be undertaken at User's sole cost and e�pense in accordance with the procedures and standards set forth by the Texas Com�ission an Environmental Quality and/or the United States En�ironmental Protection Agency. 5. RESTORATION OF R�GHT-OF-WAY AND �F CITY 1'ROPERTY A. Usex sha11 repai�, clean up, anc� restare a11 rights-of-way and otb.er City property disturbed duriug the installation, mainCezaance, and sampling of wells, aud sha11 warrant the repairs and restaration of such right�-of-way and ather praperry for a period of twa {2) y�ars from the date of completion of same. Such repai�s, clean up, and restozation slaall return the rights-a� way and other disturbed property to subsianti.ally the sa�e condition tl�ey �uere in before User's opera�ians began. The dciermin�tion that the rights-of-tiva�, o�her City property, ane� the'r7r surfaces have been returned to substantially th� same condition shall be made by �� City'� Directar c�f Transpartation and Public Works, or i�is designee. � B. City shal� ha�e thc right at any time to order and require User to remove or abate any sp�ll, clischarge, we1l equipm�nt, or other facility that is dangeraus ta life or property. In th.e event User fails or re�uses to �omp�y with the City's order, or if an emergency exists which precludes the City from giving notice to User prior to responding, City sha11 l�ve the right to remove or abate same at the expense of User, all without compensation or liability for damages ta Us�r. C. Within thi.rty {30) days of the expiration ar earlier termination of this AgxeemEnt, User sha1l remove the well and restore the City's right-a� way and othez' praperty in accordancc with part A of this paragraph. User sball pay City for a11 costs incurred by City in said re�oval and restarati.an. 6. REL�CATTON OF MON'YTORING WELLS A. B. Z;F City requires User to relocate its wells pursuant to Part A af this paragraph, User shall relocate or rernove its we11s upon receivirig a written diurective from City to do so, within seven {7) days of receipt of said notxce, unless otherwise stated in the dixective. In the event User fails to comply with �e directive, the City shall have ihe right to relocate or remo�e or cause the relocat�on or removal of the wells, and Us�r shall reimburse City for a11 its costs . C, City reserves tlle right to permit to be laid and repaired, sawer, gas, water, and other pipelines, cable, coz�duits, and o�her sirnilar �acilities in, along, o�er, ar und�r any rights-of way and o�laer City praperty occupied by User pursuant to this Agreement. City further reserves the right to require User to remove or relocate its wells to enable use of the rights-o� �vay or ather property by Ciry's franchisees, licensees, and in�itees. City, its officers, and employees, sl�.all not be liable to User for any damages, loss or expenses arising out of the performance of such work or the relocation or remo�al af User's we11s; hnwever, nothing hezeui shall relieve any o�er person or corporatinn from lzability for damage to User's wells, equipmen�, and other facilitzes. 7. TERM The term of this Agreement shall be for a period of two (2) years f-�am the date af its execution by both parties, if na contaminat�on is confirmed through the well, and upan satisfaction of the Texas Conu�aission on Envixanmental Quality, and the Ciiy, whichever occurs first. In Che �vent contamination is confirmed through use of Che �ve11 within two years following the e�ecutian of �he Agzeement, the term of the Agreement shall become a period af five (5) years fram the date of its exeeution, upon written request for an�endment made by User Ca the City. The amenclment request shall state that additional environmental sampling will be neeessary, ar�d shall include all pertinent data relevani ta, and justifying, extension of �liis Agre�ment. S. INDEMNIFICATIDN A. Definitians. Tn this paragraph, the following warks and phrases sl�all be defined as follows: 1. Environmental Damages sha11 mean all claims, judgments, damages, losses, penal�zes, fines, Iiabi�ities (including strict liability), encurnbrances, liens costs, and expenses of investigation aaa.d defense of any claim, whether or not such claim is ultimately defeated, and of any good f�.i�1a ���t��� �i iud`�ment, of Right of Way [Ise Agreement for Enviranntental lvtonitorirxg ` P�!ge 5 of� jZ Beiween Republic Wcrste 5ervices af Texcrs, Ltd. and the City af Fort Worth . , whatever kind or nature, cantingent or otherwise, mat�red or unmatured, foreseeable or unforeseeable, including without Iunitatian reasonable atto�ney's fees anc� distauz�sements a�uc� cons�lfant's fees,. any of whi.ch aare incurred as a result of the existence of a violation o�' environmental requirements pertaining fio the we11s, and including �ithout 1i�xutation: a. Damages for p�rsonai in�ury and death, or injury to property oz natural resources; b. Environrnental requirement.� shall mean aIl applicable present and futur� statutes, regulations, rules, plans, authorizations, eoncessians, franchis�s, and similar items, of all governmental age�.cies, departments, commissions, boards, bureaus, or instrumentali�ies af the United States, states, and polxtical subdivisions thereof and ail applicable judicial, administra�ive, and regulatarp decrees, judgments, and orders relating to the protec�ion of human health or the env'vronment, i�cl�ding �ithout limitation: a. Coverag� sha11 be on "any auto", including leased, hired, owned, non-owned and borro�ved vehicles . � B. AIl policies shall contain the follawing endaxsements: 1. City shall be named as an additional 'rrisured on aIl policies in respect to the monitoring we11s, environmental sampling, and the operations under this Agreement; 2 3 City shall be notified nat less than thirty (30) da�s prior io the cazic�llation, or non-renewal of, or material changes �o, said policies; and All policies shall be endarsed with waivers of subrogation in favor of the City. D. The insurers iar all policies must he appraved to do business ix� the �tate of Texas and be cunen�ly rated in terms af financial strength and svlvency ta the satisfaction of the of Risk Management far the City of Fort Worth. E. The insurers for all policfes must be licensedlapproved ta do business in the State o� Texas. �xcept for woxkers' cQmpensation, al1 insurers must have a mxnimum rating af A: VII in the �currezat A.M. Best Key Rating Guide or have reasonably equivale�t financial strength and sol�ency to the satis�'ac�ion of Risk Ma.nagement. F. Progra.ms of self insurance in lieu of cornmerczal insurance palicies shall be assessed, and as appropriate, appraved by Y.he Risk Manager; and, as applieable, pre--approved by the Texas Department of Insurance. All such approvals must be compl�ted and/or received by Ciry prior ta execution o�f this Agreement. G. 'I`�e deductibles or self insured retention {SIR} af��cting the i_nsurance covearage requixed shall be acceptable ta the Risk Ma�aager of t�ae Ciry of Fort Worth; and, in lieu of traditional insurance, alteznative coverage maintained thro�gh insurance pools or risk relatio�s groups must be also approved. H. User shall provide City with certi�icates of insurance documenting Usez's and User's contractor's coverage as outlined above prior to cammen�ing a.ny operations under �liis Agreement. The City may revise insurance requirements �pecified herein, at its sole discretion, to pratect its interest, ;x�ing azaaple prior z�otice to Us�r. Page 9 of 9 CONSTDERATION In considerataon for the use herein granted, LTser a�rees ta pay Czty a fee in the amount of $250.00 (tvc�o hundred, fifty dollars, and no cents), which is due and paya.ble upon User's acceptance o� this Agreement. Such fees shall be used by th� City to offset the cost of rregulating and monitoring the use agr��ment activiiies specifxed �ierein. 11. Tn the e��nt User defaults in the performance of any of its abligations under tlus Agreement or rnisrepresents to the City a matezial fact, the Ciry shall have a�rxght to terminate this Agreement upon �;iving the User wzitten noiice describing the bz�ach or omission in reasonable detail. The U�er shall have a ten (10) day period comm�ncing upon the date of notrce a� default in w�ich ta effecf a cure. If il�e User fails to effect a cure within the aforesaid ten (10} day period, the City n�ay ternaiz�.ate this Agreement by� written notice to User.• B. Upan terminatiQn, tb.e User shall be released from all contaraetual abligations to the City, except that all of LTser's d�ties, ob�igations, and liabilities set forth in Paragraphs 4, 5, and S shall remai� in effect as indicated herein. The :requirements imposed under P�'agragh 4, "REPORTING REQUIl2EMENTS AND MITIGA7:'ION OF CONT.AMTNATION", sha11 survive for a period of twa (2) years after ihe termination of the Agreement, or until such t:tme tlaat any contamination which may �ave occu�rred has b�en mitigated to the satisfactzon of tlie Ciiy, and the Texas Conunission on Environmental Qua.Iity, whichever period is longer.
