Contractor's business address is 1549 N. Main ��., Suite 209, Fort Worth TX 761�b. W�TER.EA�, the City of Fort Worth has provided Coniracior with funds to capitalize Ravolving Loan Fund Programs (RLF} for the Polytechnic Heights and Near Northside target neighborhoods from grant monies received from the United Siates Departm�nt of Hou�ing and Urban Dev�lopment ("HCTD") through the Cammunity Developxnent Block Grant ("CDBG"); and; WHEREAS, the primary purpose of these CDBG RLF Programs are to bene$t low and moderaie income citizen� of Fort Worth; and, � , WHEREAS, the ci�izens af Fort Worth and the City Council af Fort �Worth have deiermined that combining thes� separate RLF Programs into one multz-use RLF will hetter serve existing and additionally eligible target neighborhoods to benefit �ow and moderate income cifizens iu need of housing prograar�s offered thraugh Contractor's RLF programs; � NOW, THEREFORE, THIS AGREEMENT FURTHER'VVTI'NESSE'TH: THAT, the parties covenan� and agree as fallows: 1. Scor�e of S��-vices a. Contractor will adrninister hausing servioes to citizens o:f tb.e City of Fort Worth under its Revolving Loan Fund Program name Neighborhood Housing Serviees ("RL,F"}. The term of tbe contract will begin on the date af execution, and continue operation until terminated by either party or dissolved by Confr�ctor. A pragram evaluation will be conducted every three (3) years following contract axecution to determine if the RLF is meeting its program objectives. ,Program abjectiv�s are to: � � Assist fam:iHes and i.�.d'zviduals with an annual income af $0% af inedian or less to obtain affordable financing and anczllary services to purchase andlor rehabilitate a primary residence in elzgible areas of FoarC Worth. These areas are currently deiiiled as Po�ytechnic Heights, Near Northside, Riverside, Modei Blocks areas, Neighborhood Empowerment Zones, priority �rban villages d�signated by the City Cauncil, Palytechnic Heights Educatianal Cort7dor, Samuels Avenue or oiher special target neighborhoods that maq be designated by th� Ciiy Council; • Implement programs that stimuiate neighborhood reinve�tment supported through a � parEnership of Contractor, Iocal lending institiu�ions, charitable �auz�dations and government; � Contractor's ultirnate objective is to zeverse neighborhood deierioza�ion an�d stabilize housing in centra� city n�ighborhoods, by re-establishing tbese neigk�borhoads as healthy, self sustaining cammunities with normal xnvestrnent and reinvestment �patterhs and to provide Iending services to low and moderate income homeown�rs and homebuyers of properties located in any eligible central city neighborhnod, �T _ � i,�` V r e�,u� �'���I C"'� y"� i' ° ::nr..^.r-�a� , � � 1 � 1 b. Coniractor wi11 provide the fallowing programs and other services in eligible areas of Fort Warth to and expand rehab lending to include. � Purchase/rehab � General Rehab � Horxxe improvement o Emergency repair � Disability modification � Landscaping as part of rehab pro�ect � Histoxic preservatzo� � Lead-based paini abatement • Exterior cosmetic r�pairs c. Contractor r�i11 work creatively to expiore loaz� packaging techniques to zna�irxiize pr�vate lender participation. Fonns ofassistance include. • Fully �nortizing loans using varying interest rates and terms • Ref nancing loans (only when rehab work is included) + Tandem loans where two Ioans are made-one by a private lender and one by Contractor; or blended rate � Loan and /ar grant � Non-interest loan with principal payback � Deferred payznent loans � Laan guarantees. � Any combination Caniractor's Housin� Revalving Laan Funds ("RLF") are being incarporated ixxto this contract as Ezhibit "E"�REVOLVING LOAN FUNDS OPERATIONS. e. Contractor will provide the services and activities delineaied in Exhibi� A, Activities and Qutcomes Summary in accordance wiih Exhibit B, Implernentaiion Schedule. d. Contractor agrees to meet the National Objective of activi�ies benefiti�g low and moderate incnrne individ�als and to rnaintain full docu�nentation supporting fulfillment of this Natianal abjecti�e in its fi1es. e. City will monitar the per�ormance of the Contractor against ihe gaa�s and per�'ormance siandards required herein. �ubstandard performance as determined by City will canstitute nan-compliance wiih this Contract. If action to correct such s�bstandard performance is not taken by Contractor within a reasanable periad a� time a�ex being notified in writing by City, contraci suspension or termination procedures wi11 be initiated. 2. Funds - Requirements a. Payments wi11 be pxacessed by City following receipt of an invoice from Gontractor for services pravided and applicabl.e support�ng documen�s described in paragraph b. Paymeni of eligible services sha11 be mad� against that docuxneniaiion. b. Cont�actor agrees to utiiize aIl disbursed RLF funds for ihe benefit of �he Program. Contractor agrees tha� fiands will be expended in accordance wzth the budget-Exhibit C, Program Operati�g Budget. Contractor may not increase or decrease line-item amounts in the approved CDBG Program Opezating Budget without prior wit�.tten approval by the City. Under no cireumstances shall the total amount of pragram operating funds e�pended by Contractor from RLF funds exceed $50,000. c, xt is understood that $50,000 ailowed to be withdraw annually from the RLF for operating expenses is not the total cost of Pragram Operation, as detailed in the Program Operation Budget, and that Contracior will obtain the ramaining iunds in �xcess of RLF amoun from other sources. Program Operating Budget from other sources. Contractor will notiiy City promptly of any additional funcling rt receives �or operation af the Program, and City reserves the right ta amend the Program Operating Budget in such instances. d. Contractor agrees to keep a11 RLF inanies on hand in intere�t bearing acca�nts. All interesi earn�� shall be repor�ed to City on a mon�ly basis, at the same ti3ne as s�bmissian of the monthly raport following ihe end of the con�ract month during which the interest was earned. Interest in an amount of $25.OQ or less per month may be used for authorized operating expenses. These amounts must be reported on the monthly fnancial staiements filed pursuant ta this contract. Interest earned in excess of $25.00 per month is subject to remiftanc� io City as directed by City. e. Contractor wzll nat cornmingle RLF monies with any ather funds in any manner whick� would prevent City from r�adily identifying program expenditures for operatio� a�the Pra.gram. f. Contractor agrees that all pragram income from operaiion af the Program in propor[�.an to the arnount of RLF funds receivad hereunder will be expended prior fo expending RLF fiinds hald by City and that any such program income is subject to the terms of this contract. City held RLF rnonies may be expended by the Con�rractor only if progratn income is insufficient to meet a11 eligible program activity expenses. Contractor agrees to return to City at the end of the Contract any remaaning �rogram income earned fram aperation of ihe Pragram in proportion to the amount of �DBG funds in the overall operating budget. g. The Contractor shall comply with City policy concerning the purchase of equipment and shall rnain#ain inv�ntory records of all non-expendable personal property, as defined by such policy, procured with funds provided herein. Tk�e Contractor shalI procure all mater�als, property, or services in accordance with the requirements of 24 CFR 84. h. CDBG Housing Revolv�ng Loan Fund Program Contractor may keep on hand an amount of funds not ta exceed 4ne Hundred, Fifly Thousand Dollars and Na/1Q0 ($135,OOQ.40) in revolving loan funds, from which it wil� rziake home awner� occupied harne improvement loans or P�.rchase/Rehab/Resa.Ie loans. AIl principal and interest received by Contractor shall be returned to the revalving Ioan fund, to be used for loans. Contractor may use CDBG Revolving Loan Fund Program funds in tandem with oiher funds, financing from banks and other fillancial entities in order to provide 1ow interest, owner-occupied home improvement loans, and the purchase/rehab/resale af homes to qualified low and moderate incame harn� buy�rs in the eligible target areas. �- , :�n�� � �: � u u �,����, u�':" ..., ;�nnn r_-t�ne 3 Contractor may sell to Naighbarhood Housing Services of .America (NH�A} other secondary market an.y loans which have been fzrzanced in whole or in part �vith CDBG fixnds upto the full extent of CDBG funding in th� 1oans, tn ord�r to re�lenish Contractar's loan fund, 4. GeneYal Provisions a. Cantractar will require a11 construction contxacta�s ox s�tbcontractors, io maintain a� policy o� public Iiabiliiy insurance in an amount af $SQ0,000, comi�ined sir�gle li�nit, and worker's compensatian insurance in the amount pravided by state laws. b. Confi�ractor agrees that all propertie� qualifying to receive rehabilitation loans under the "slum and blight" criteria must be reviewed and approved hy City pr�or to loan commitmeni. c. At the time of execution of any loan agreement hereunder, Contractor shall require the intended borrower to execute and furnish to Contractor a lien on the propert�r guaranteeing repayment af the funds loaned. The lien by Contractor against properties may be secandary to that of any financial lending in�titution. Contractar shall requixe the construciion contractor in each rehabzlitation to certify that aIl persons, fim�s, associari4ns, carporat�ons or ather o�rganizatians furnishing labor aald/or materials, have been paid in fu11 and that no claims ar� pending for labor or materials, personal injury or property damage. Contractor covenants a�d agrees that it sha11 comply with all laws of the Staie of Texas with respect to the necessazy retainage af payrnent �o contraciors so as to proieci the owners �r property materialman's Iie�s, and moxe partieula,rly, Cant�ractor shall camply with state law wifih respect to such secured by a promissory note vwithout lien. 5. Uniform Administrative Reauirenients and Prog�am �Vlana�ernent Standards a. Financial Manag�m�nt i. Accounting Standards The Cantractor agrees to comply with 24 CFR 84.21 and agrees to adhere to the accounting principles and procedures required therem, u�ilize adequate intezxzal controls, and u�a.intain necessary sonrce documentation for all costs incurre�. ii. Cosi Principles Caniractor shall administer the Program in confo�nance with OMB Circular A-122, "Cost Principles for Non-Pro�it Organizatians" and attachments and revi.sions thereto, regarding principles for detern�ng costs for ihe Program. b. Docurnentation and Record Keeping i. Contractor• shall ma�in.fiain aI1 recards pertinent to the activities to be funded under tbis � Agreement required by HUD regulations specified in 24 CFR § 570.506. In addition, Contractor agrees to lceep records to fu11y documeni all expenditures charged to th� CDBG program. The documentation rz�.ust suppart the arnounts charged to Program and demonstrate thai �he e�penditures were appropriate to fhe stated goals of flie Program and allowable under applicable f�deral, state and City guidelines. ii. Raten�ion {1} All recards pertaining io Program shall be reta�ned far five (S} yeaxs following the date of terrn.rna�ion of ihis contract. Cantractor may des�'oy Progt'am recflrds at the end of this five {5) year periad if no outstandin� audit finding exists. (2) Contractor will retain Pro�am Ioan recards until five (5) years a.fter �ie ��i`a�`o��he ` loan. � `, � � �� � ��I�;'�<-G,:� IlWUS u 4 � �r��G������lo �i�'�� (3) Contractar will maintain real pro�erty inventory records which cleariy identify properties purchased, improved, ar sold. Propertxes retained shall meet eligibility criteria and sha11 conform with 24 CFR § 570.505. iii. Close Outs Conlractor's obligation to City shall not end until all close-out requirements are completed. Activities during this c�ose-out period shall include, but are not limited to: making imal payments, disposing o£pzogram asseis ( including the return o� a11 unused materials, equipment, unspent cash advances, program incorne balances, and accounts receivable to City), and determining tk�e custodianship of records. iv. Audits and Insp�ctions � {1) City, HUD, and fihe United Sta.tes Compfxoller General, ox therr represeniatives, shall have access to any b�aks, documents, records and papers relating to ihe operations of Contractor under tlus Agreement for the purpose of audit, examination, exception and transcr��tion at all reasonable hours at all offices of Contractor. (2) All non-federal entities that expend $300,000 or more in federal funds within one year, regardless of t�e source of ihe Federal a�wvard, must submit to City an annual audit prepared in accordance witli specific reference to OMB Circular A-133. The audit may cover either Contractor's fiscal year duning vahich this contract is in force or cover tlie period of this canfxaet. The audit must be prepared hy an independent �ertified public accourst�nt, be completed within twelve (12) months folla�wing the end of the p�riod being audited and be submit�ed to City within thirty {30} days of its eampl�tion. Contraciar's audit schedule is attached hereto as Exhibit D- Audit Schedule. CQsts af preparation of this audit may be an allowable expen.diture of federal funds in an a�aunt proportional to that af the federal funds used in contractflr's total agency operating budget. (3) City reserves the right to perform an audit of Contractor's program operations and finances at any time dnring the term of this contract, if City determines that snch audit is necessary for City's compiiance with OMB Circular A-128. City wi11 perform si� (6) month and year-end financia.t and prograrrxmatic audits with periadic site visits as apprapriate. Conixactar agraes to allaw access to all pertinent materials. If such audit reveals a questioned practice ar expenditure, such questions must be resolved wiihin fifteen {15} days after notice to Contractor. If questians are not resolved within this period, City reserves the right to wiihhold further �unding under �his and/or future cantract{s}. (4) If as a result of any audit it is determined that Cantractar has misused, misapplied or misappropriated alI ar any part of the grant funds described herein, Contractor agraes ta reimburse the City the amount of such mon�ies rnisused, misapplied ar misappropriated, plus the amount of any saz�c�ion, penalty or o�her charge levied against Ciiy because of such misuse, misapplication or misappropriation. 6. Reportin� P�-ocedures a. Financial R�ports Contractor will submit to City on a monf111y basis an inwoice for services and activities accomplished by Contractor in pez'�ormance af this Contract. The invoice musi be signed by a d�xly auihorized agent of Co�tractor and suhmitted by the 15k�' of the month fallawing the month being reported. b. Performance Reports Contractor will submit to City on a monthly basis: (1) Attachment N and {�j �t�d�n���t =::1�F-���, Program Sezvices Report to Ci�y fo� serviees and ac�viti�s accomplish��� ��� �:=an���;���� �.'� i s k -- � I ' � performance of this contract. The report will be sigr�ed by a duly authoz�zed agent af Contractor and submitted by �e l. Sth of the manth following the month wluch is reported. 7. Reversion ofAssets a. Cantractor agrees to return ta City any CDBG funds rernaining on hand at the end of ihe Con�act. b. All property purchas�d with CDBG funds under this cantract will be used for operation af the Progt'am. 1) Contractor agrees to obt�in City appraval prior to purchase of property. 2) Contractor agrees to notify City upon receipt of property so that it may b� properly tagged and tinventoried. title to such property will be vested with the City, and, at f1�e terminatian of the Program for which CDBG funds have been received, Contracior will deliver all such properfy to Ciiy for disposition at City's sole discreiion. � c. In th� event the Coniractor administering the revolving fimd established under this contract is dissolved, ihis contract shall thereupon ferminate. In the event this contract is terminated with or without cause, ar for any reason whatsoever, all assets of the CDBG revo�vj[ng fund including cash, interest payments therean from loa�ns or otherwise, all outstanding notes, martgages. and atb.er instr�aments ta secuxe CDBG fiands and any real property owned by the Cantractar fliat was acquired or improved with CDBG funds fro� �he revolving fund shaX1 belong �o tha City and shall be transferred to the City or to such assignees as the City may designate, 8. Lead Bas�d Paint Reauirements 1. All inspection and abatemezxt work shall be carried out by ihe contractor and workers certified �nd trained under the Taxas Department af �-Iealth, Environmental Lead Branch. This includes inspectors, risk as�essors, abatament and h�axd reductian caniraeiars. 2. A written certification m�si be on fi�e with the City oF Fort Wnrth Lead Hazard Program, A.L.E.R.T.., that certifies all firms, abatement supervisars, lead workers, inspectors, and risk asse�sors working in the HUD-funded Lead Based Paint Hazard Contral Grant ar� certified under the lavvs and re�ulations of the Sa#e of Texas Department of Health, Enviranmental Lead Branch. 3. Comply with appropriate HUD and EPA regulations regarding lead-based paint notification, disclosure, or work practices durir�.g lead hazard cantrol activities. 4. Prohibit the use of open-flame burtung, chemical stxippers coniaining meihylene chloride, dry scraping, uncontained hydroblasting ox hydrowashing, uncantained abrasive blasting, machine sanding without HEPA attachments or hea� stripping above 1100° F as work practices at anyt�me. 5. Dispose of waste resulting from Zead h�.za.rd contarol activities in accozdance with the requirements of the appropriate local, State and Federal regulatory agencies. Contractar or subcont�--actdz's must handle disposal o�' wastes from hazard control act�vities fi�iat cdntain lead-based paint, bui are not classi�ed as hazardous, in accordance wiih State ar local law or the HUD Guidelines for the Evaluation and Cantro� of Lead-Based Paint Hazards in Hausing. Contracior certifies anc� agrees that it is under no contra�tual or other disability which vvould prevent it from complying with ihese requir�ments. Contractor agrees that it wi1l send to each labor organizatian or representative of workers with which it has a collecti�ve ba�rgaizung agreemezxt or ot�er contract or understanding, if any, a natic� advising thE said labor �rganization or workers representatiives oiits commitxnents under tnis Section 3 ciause and shall post copies of the natice in conspicuous places available to employees and applicants for employmen� or trainzng. City and Contraetor understand and agree thaf carnpliance with the provisions of �ection 3, the regulations set forth in 24 CFR 135, and all applicabl� rules and orders of the Department issued thereunder prior ta ihe executipn of'this contract shall be a condition of the Federal financial assistanee provided to the praject, binding upon the Ciiy and the Gon�racior, and their respective successars, assigns and subcontractors. Failure to fi�.1fi11 these requirements shall subject Contractor and its subcantractors, its successors and assigns, to those sanctions specified by the Grant Agreement tihrough which Federal assistance is provided and fo such sanctians as axe specified by 2� CFR 135. c. Other Laws Contractar covenants and agrees that its officers, members, agents, employees, pragram participants and subcontractors shall abzde by and coznply wi.th all ot�ier laws, federal, state and local, relevant to ihe performan.ce af this coniract, including a11 ardinances, rules and regulations of the City of Fort Warth and �he Housing and Community Davelopment Act of 1974 (Pub. L. 93-383, 88S Stat, b33,), as amended, and a11 regula�ions pertaining thereto. Contractor further prornises and agrees that it has read, and is fazx�.ilia�r �ith, terms and conditions of the Community Deveiopment Block Grant Under whic�► funds are granted and that it will fully comply with same. It is agreed and understood that, if Gity calls t1�e at�ention of Contractor to any such violation on the part of Contracto�r or az�y of its afficers, mernbers, agents, employeas, program participants �r subcontraetors, then Contractor shall immediately desisi from anc� correct such violatian. 10. �landiscriminatian a. Contractor, in the e�cecution, performance or attempted perfarmance af this contract and agreement, wrll not unlaw�ixlly discriminate against any persan or persans because of s�x, race, religion, age, disability, calor or national origin, nor will Contractor pex�nit its off�cers, members, agents, employees, subconiractors or progratn participants io engage fn such disc�,-imination. b. �rt accordance with �he palicy af tihe Executive Branch of the federal government, Con�ractor covenants �hat neither it nor any of its officers, members, agents, emplayees, pro�am participants or �ubcontractors, while engaged in perfornung this contract, shall, zn connection wit� the ernployment, advar�cement or dischaarge of employees or in conneetion with the t�rtns, conditions or privileges of their emplayment, discriminate against persons because of their age except on the basis of bona fide occupational quali�cation, retirerr�ent plaa� ox statutory requirement. c. Cor�tractar fitrther cavenants that n.either it nor ifs o�ficers, members, agents, employees, s�bcontracfors, pragxam participants, or persons acting on their behalf, shall specify, in solicitations or advertisements �ar employees to work on this contract, a maximum agc limit for such ernployment unless the specifed maximum age limit is basad upon a bona fide occupational qualification, retirement plan or statuiory requirement. �__ d. A specific measure suggested by the consultan# to implement fihis recommendation ca�ls for the City to "provide leadership to help create or expand low interest revolving funds managed by locally trusted Community De�elopment Cor�arations {CDCs)."' The proposed resuscitation and restructuring of if�e NHS revol�ing loan fund is a f�rst step in this direction, and fun�ding is already available. Maureen Kennedy and Associates also suggested that it wvuld be of �alue to the partnership if the CDCs selected to participate are "affifiated with a national intermediary organizafion fhat pro�ides models, o�ersight, technical assistance and access to financiaf resources so City funding of �hese �ssential elements is �ecreased." NHS fits this bill, as tf�e Neighborhood Rein�es#ment Ca�poration and Neighborhood Housing 5ervices of America provide the local NHS with all of these elements. NHS is a full cycie lender, including loan servicing. The Neighborhood Housing Ser�ices of America acts as a secondary market for NHS loans, enhancing liquidity for the program. Other potential partners in this program are foundations and private banks. The Sid Richardson Foundation provides loanable funds to NHS, which could be used in conjunction witn this fund. Texas Bank has afready agreed �o participate in the program, matching NHS resources dollar for dollar. As of August 31, 20Q�, the three NHS re�olving acco�nts i�ad. a total of $710,664.93 in rec�ivable accounts recorde� in the City's accounting records, based upon ending cash and loan receivable balances from NHS' July 2002 monthly report. in addition,� NH5 E�as in its accounts for the same revolving fur�ds a fotal of $281,996.47. Thus, the �otaf amo�nt in the conso[idated re�alving fund would be $992,650.86. This program would operate in COUNCIL DISTRICTS 2, 4, 5, 7, 8 and 9.
