AGR��!l�I�N f 9. �/�Cl�lil�� City agrees to rent to Licensee, for fihe purpose of hofd�ng the IAHA Region [X Championship Show, (hereinafter referred to as #he "E�enfi") fihe Facilities particularly described in Addendum A, said Addendum� being attached hereto and incarparated herein by reference. Subject to the conditions, limitations and res#rictions of this License Ag�eement and any addendums, Licensee may occupy and use the City of Fort Worth owned facili#ies herein described, including con�iguous common areas (and other such areas as agreed upon) necessary to accommodate patrons, for the above stated purpose. In the even# the City shall fail #o perform its par� of this License Agreement or any part thereof, by reason ofi act af God, labor dispute, or the interruption or curtailment of any uti�ity service (gas, elec#ric, water or sewerage disposal), or through negligent or intentional acts solely caused by persons, associa�ions, or corporations other than the City or its duly authorized agents, the Licensee shall r�ot be entitled to claim damages against the City for default occasioneci���ny of the causes aforesaid. Page 1 of 13 - - — / � 2. i�R�fl Id1IVl� �EiV'TAL ��� The term and the rental amount of this License Agreement sl�ai! �e for the time period and amount agreed upon befiween the parties as set forth in Addendum A. All deposits andlor ofher fur�ds recei�ed by City are non•�refundable. 3. O�J FSI�� SI���ON�R�►C� ����OfVN�L Licensee shall, at Licensee's own expense, provide all necessary and adequafely trained personnel, including, but not limited to, tic�tet�sellers, ticket-ta�Cers, ushers; floor managers, s�age crews (other than Public �vents Department technical personnel), electricians, technicians, ca�-penters, machine opera#ors, and any and all other personnel necessary in the promotion and presentation of the E�ent. City assumes no responsibility for said personnei and Licensee hereby expressly releases and discharges City from any and a[! liabiliiy for any proper�y damage or foss andlor personaf inj�ry, including death, arising out of or in connec�ion with, directfy or indirectly the oceupancy andlor use of the ieased Facili�ies and any and all activifies conduc#ed thereon thaf are sustained by reasons of the occupancy of said buildings under this License Agreement. No�hing herein shall be construed as creating a principallagent, or employerlemployee rela�ionship beiween the City and Licensee's subcontracted personnel. 4. C�I���SSIONI�OUV�NI� RIGHYS The Ci#y reserves all concession, food and beverage, nov�lty and souvenir rights, except Internationa� Arabian Horse Association programs and logoed merchandise. Any matters not herein expressiy pro�ided for shall be left to the discretion of the Directar of Public E�ents or h�s designee with the exception of International Arabian Horse Association appro�ed commercial exhibitors and the resaie of items related #o the horse indus�ry or promotion of the Inte�-natzonal Arabian Horse Association. Licer�see must comply wi#h City of Fort Worth and Will Rogers Memorial Center food and beverage requirements and must contract with the current City contracted vendor to handle ali concession services as vvell as alcoholic andlor soft drink beverage services. Page 2 ai 13 �. CQT'��Il��a A�i caterers who wish to provide services for any recepfion, luncheon, party or function where food or be�erages are #o be served andlor consumed on fihe leased Facilities must b� appro�ed by City at least thirty (30} days prior to any foQd or be�erage function. It is Licensee's responsibility to provide the City with the name, address and contac� person of the Caterer chosen by the Licensee no tater than thirty {30} days prior to the food or beverage function. All caterers must pay the City of Fort Wo�th a percentage of food and beverage charges, based on �heir gross invoice. City may refuse to honor the request for any reception, i�ncheon, party or function where food and be�erages are to be served and/or consumed on #he leased Facilii�es if the l.icensee fails to notify the C�ty of the Caterer's name, address and contact person within the required time frame. At #he option of the City, the City may assess Licensee a One Thousand ($�,OOD) �ollar per functio� charge to Licensee for the faifure of the Licensee to ab#ain City appro�al thiriy {30} days prior to the event. S. .�����TAIVC� O� �'ACl�lil�� Licertsee agrees that Licensee has examined the Facilities prior to the execut�on of this License Agreement and is satisfied with �he physical condition of the Facilifiies. Licensee's tal�ing possession of the Facilifiies far �he Event shal! be conc�usi�e evidence of its reeeipt of the Facilities in a safe, sanitary and sig�t[y condition and in good repair, except for those condi�ions which the Licensee provides �ity written notice of before Licensee takes possession of the Fa��lifiie�, Licensee agrees the illuminated sign abave the elock in the Coiiseurr� shall remain lighted and visible at ail times during the term of fhe License Agreement. l. ��4�� 4� �/�CILiT1�S L�censee, at Licensee's own expense, shall keep �he Facilities and maintain all equipment and ot�er praperties of City in a safe, sanitary, sightly condition and in good repair, and shall restore and yield said Facifities, equipment, and all o�her properiies beyonging to the Ci#y back to City at the expiration or termination of each of �he yearly lease terms of th�s License Agreement in good or better conditior� as existed at the commencement of this L�cense Agreement and in which Licensee found #hem, ordinary wear and tear (inciuding damage by acts of God or other causes beyond the confrol of Licen�see) excepted. Page 3 of i3 Licensee will nof do or permit to be done any injury or damage to any buildings or part thereof, or permit #o be done anything which will damage or change the �nish or appearance ofi the Facilities or the fiurnishings thereof or any other properfy belo�ging to #he City by the erection or remova[ of equipment or any other imp�-ovements, alterations or additions. No decorati�e or other ma#erials shall be nailed, tacked, screwed or ofiherwise physically attached to any part of the Facilities or to any of the fiurnishings or fixtures of the City without the eonsent of #he Cify. Subject to ordinary wear and tear, Licensee will pay the costs of repa�ring (to its condition immediately preceding #he occurrence of such damage) any damage which may be done to the Facilities or any of the fixtures, furniture or furnishings by any act of Licensee or any of Licensee's empioyees, agents, officers, or anyone visiting the F�eilities upon the �nvitation of the Licensee including the patrons of the attraetion or function for which Licensee hereby is leasing the Faciiities. The City� shalf determine, in its sole discretion, whether any damage has occurred, the amount of the damage and the reasonable costs of repairing the damage, and whether, under the terms of �he Agreement, #he Licensee is responsible. City shall be the sole judge o�' the quali#y af the mair�tenance andlor damage of the leased Facilities, furnishings, fExfiure or furni�ure by the �.icensee. Thte costs of repairing any damage to the Faci��ties sha11 be immediately dUe and payable by the Licensee upon Licensee's receipt o# a written in�oice from the City. In leasing the Facili�'res, City does not relinquish the right to control the management ofi the Facilities, or the right to enforce all necessary and proper rules for the management and operation o# the same. City, through its Manager, police and fire personnel ar�d ofiher designated representatives, has ti�e right a� any fime to enter any portion of the Facilities (without causing or constituting a termination of the pri�ileg� or an interference for the possession of the Facilities by the Licensee} for any purpose, pro�ided �his shall not aufhorize or empower City to direct the ac#ivities of the Licensee or assume liabili�y for Licensee's acti�ities. �. CIiY O� hORi Ia9���iH �rdVF��� �QUI��YENT �iV� �U��IC �V�NiS D���R��FIVi L�►�O� Licensee and City understand that, depending on availability and at the discretion of the Director of Public E�ents or his designee, fhe City will r�ot assess a renfal charge for some CITY OWNED equipment such as chairs, stages, lights andlor sound equipment. A rental charge will be assessed for any tables used at all events except those events fhat are catered. �.icensee shall pay for Public E�ents Department technical personnel in the n�amber and manner prescribed by City to worl� all events using staging, lights, amplifiied so�and or �-elated equipment. Licensee wil� be biiied actual labor costs for set up and remoWai of aIl equipment. Page 4 of I3 9. PRB����'Y LO�S City assumes no responsibility for any property placed in said b�aildings or any part thereof by the �.icensee or any agent, officer, andlor emplo�ree of the Licensee. Licensee hereby expressly releases and discharges City from any and all liability for any property damage or loss andlor Personal injury, including dea�h, aris�ng out of or in connection with, directly or indirect{y the occupancy andlor use of �he leas�d Facilities and any and all activ�ties conducted thereon sustained by reasons of the occupancy of said buildings under this License Agreement. 'i �. #�ENY�VAL �� �ISOI�.D�R�Y P��SOP�S City, through sts Manager, police and fire personnel and o#her designated representati�es, retains the right to remave from the Facilities any and all such employ�es, agents andlor officers of Licensee and the righ#, with its oificers and agents, including its police officers, to eject any objec#�onable person or persons (including an employee or employees of ti�e Licensee} from the Facilities or ar�y other of its facilities. In the event of the exercise of this authority, Licensee he�eby wai�es any and all claims for damages o# whatsoever kind against the City of For� Worth, its officers, or employees on account of said removal. � � .�LECTRI��� City agrees to furnish, in the opinion of the City's designa�ed manager (the Manager) of said b�ildings, from onse� of usage, the neeessary light and exis�ing electrical power for ordinary use including, but not limited to, hea� andlor air conditioning sufFicient to make the build�ngs comfortable, and water for ordinary use of the appliances installed. Cifiy shall not be responsible for acGidents and una�oidable delays. It is understood that the City of Fort Worth e�forces the �999 National Electrical Code wi�h local amendments to ensure t�e public is not exposed to electrical hazards. Extension cord usage must also comply with the Fort Worth Fire Code (200� lnternationa� Fire Code with amendments). if extension cords are used at Wil� Rogers Memoria! Center, Ground Faulf Circuif Interrupter (GFCI) Protection is required. These cords have a test and a reset button and have the words `"GFCi protected" printed on the cord. All 120 �olt extension cords shaf� be three-wire grounding type cords. Ex�ension cords may r�ot be placed through doorways or across driveways. ff extension cords are placed across other public access areas appro�ed by City, Licensee musf properly secure extension cords to pre�ent trip hazards. Frayed or damaged cords may not be used. Page 5 of 13 � �. ��AiIR�� CAP�CI�Y Licensee will not se�i more fic�cets or aliow more occupancy than #he seating capacity of the Facilities permits andlor as allowed under any federal, sfa#e, and local iaws, statutes, ordinances, charter provisions, �-ules and regula�ions o� the City of �ort 1North; including all rules, reg�lations andlor requirements ofi the City of Fort Worth Police and Fire Departments. "13. �11N�RC��I�CY ���SONR��� Licensee shall be respo�sible, at its own cost and expense, to provide such emergency medi.cal services as it deems necessary �'or its e�ent. Any standby ambulance service must be provided by the Cify's currenf licensed ambulance provider, in accordance with the City Code. 5tandby ambulance service shall be required, at �.icensee's expense, for any event, which in the sale opinion of Ciiy requires such service. 14. ��CU�ITY ��RS�1��4��. Licensee shal� furnish adequate security personnel. Licensee hereby assumes soie responsibility for any and all acts or omissions by its security personnel in ihe performance of their respons�bilities he�reunder, and �icensee agrees to indemnify, hold harmiess and defend the City from �ny and all claims or s�aits for property damage andlor personal injury, including deafih, arising out of, or in connection with all ac#s andlor actions conducted by securify personnei. Nothing herein shal[ he construed as creating a princspallagenf, or employerlemployee fe[ationship between the City and Licensee's security personnel. � '�5. h�OR��SIV�OKl1�G i�ACIl�ITY Licensee understands that Will Rogers Memo�-iai Center is a N�N-SMOKING ��CILITY and agrees fio make hourly annourtcements to fhat effect, if possible. In any event, L9censee agrees �o make a# ieast three (3} announcements to that effect during an eigh� (8) hour period, with one announcement being made at the beginning of each e�ent. I N D��fl fV l�'rC�eTl O RI Licer�see co�enants and agrees to and does hereby indemnify, hold harmless and defend, at its own expense, City, its officers, servants and emplayees, from and against any and all claims or suits for property loss or damage andlor personal injury, incfuding dea�h, to any and all persans, o# whatsoe�er kind or character, whether real or asserted, arising ou# of the work and services to be perFarmed hereunder by Licensee, its�officers, ager�ts, employees, subcontractors, licensees or invitees, exce�t as c�u�ed bv �he s�fe n�aliqen�� �f ��Ieer�, �ef�►ants�,. em�,iod��s, of the Citv; Licensee lik�wise covenan�s and agrees to, and does hereby, indemnify and hold harmless City from and against ar�y and all injuries, damage, loss or destruction to proper�y of C�ty du�-ing the performance of any of the terms and conditions of #his License Agreement, except �� e�used bv the sole ��f� �� omis�i�ns o� of�i�er�, �ervants, �m�i��ee�, �� �he Citv. lf more than one Licensee is named under �his License Agreement, tF�e obligation of all such Licensees shall be, and is joint and several. R�. INS��NC� Prior �o the time Licensee is entitled to any right of aecess to or use of the Facilities, Licertsee shall procure, pay for and maintain the fiollowing insurance written by companies approved by the State of Texas and acceptabEe to City. The insurance shali be e�idenced by delivery to City of �xec�ted certificates of insurance andlor certified copies of policies as determined by Ciiy. �icensee covenants and agr'ees to obtain and �eep in force during the term of this License Agreement, Comprehensive General �iabifity Insurance, Including Persona� fnjury Liability, Independenf Contracfiors Liability and Contracttaal Liabi�ity covering, but not iimi�ed �o, the liability assumed under the indemnifcation pro�isians of this License Agreement, with limits of liabili�y far bodily �njury (including death) and property damage of not less than �rie Million Dollars ($1,000,000), Co�erage shall be a Combined Single Limit Per Occurrence basis and the policy shall include Broad Form Property Damage Co�erage with an insurance company satisfactory to City. The City of Fort Wor�h sha�� be named as an Additional Insured in fhe body of the policy (s}, or in an Addendum thereto. C�ty reserves #he right to review and ad}ust insurance r�quirements at any �ime dur�ng the term of this License Agreement. The insurance poticy shall include the following: a. The term of insurance is for the duration of each Event, which includes the period from the right of access to set-up through the period allowed for remo�al of property; b. The policy shall require that thirty �30) days prior to tY�e cancellaiion or any material change in coverage, a notice shall be given to Cify by certified mail; Page 7 of 13 c. lnsurers shall have no right of recovery or sUbrogation against #he Gity of Fort Wor�h, it being the intention �hat t}�e insurance policy shall protect all par�ies to the Agreement and be primary coverage for all losses covered by the po�icies; d. Company issuing the insurance policy shall have no recourse against the City of Fort V1lorth for payment of arty premiums or assessments for any deductibles which all are at the sole risk of �icensee; e. The terms "�wner", "City" or City of Fort Worth shatl include a1f authorities, Boards, �ureaus, CommissEons, []ivisions, Departments, and Qffices of the City and the individual members, employees and agents thereo� i� their afficial capacities andlor whi�e acting on behalf of the City of Fort Worth; a�d f. The policy clause "4ther insurance" shall not apply to any insurance co�erage currently held by City, to any future coverage, or to City's self� insured refiention of whate�er nature. Licensee hereby wai�es subrogation rights for loss or damage against City, its officers, agen�s and employees for personal injury (�ncluding death}, properfy damage o� any other loss. l�icensee snal! not do or permit fo be done ar�ything in or upon any por�ion of the Facilities, or bring or keep anything therein or thereupon w��ch will in any way conflicf with #he conditions of any insurance policy upon the Fac�lities or any part thereof, or in any way increase #he �ate of fre insurance upon the Facilities or on property l�ept therein, or 3n any way obstruc# or interf'ere with the righf of the o�her ter�ants of the Facilities, or injure or annoy them. The City may terminate this License Agreement immediately upon the failure of t�e Licensee to pravide acceptable documentafion o'� insurance as required by this Licer�se Agreement. ��. �OI�YP�IAN�� �IiH ���V It is agreed that Licensee will comply with all federal, state, and local laws, statutes including all ordinances, charter provisions, rules and reguEations of the Gity of Fort VIlorth; including all rules, regulations andlor requirements o'� the Ciiy of Fork Worth Poiice and Fire Departments; and any and all requirements specifically made by the City of Fort Worth Fire Marshal in connecfion with the performances to be given hereunder. Licensee agrees to obey any other regula#ions of any municipal author9ty of the City af Fort Worth. Licensee will obtain and pay for ali necessary permits, licenses, and taxes from any governmental agency with �urisdiction th�reof and to pay lawful taxes on tickets used in connection with the performances hereunder. Licensee wil! no� do or suffer to be done any�hing on said Facilifies during �he ferms ofi �his License Agreement in violafion of any such laws, statutes, ordinances, rules, regulations, charter provisions, direct�ves or requirements. if t�e City calls the at#ention of Licensee to any such �iolafiion on the part of said Licensee or any person employed by or admitted ta said Facilities by Licensee, Licensee will immediately desist from and correct such �iolation andlor vacate th.e Fac�{ities. Paga 8 of 13 Licensee agrees to assume ful! responsibility far complying with the Federal CopyrigY�t Law of 1978 (17 U.S.C. 101, et seq.} and any regulations issued there�nder including, but not limited �o, the assump�ion of any and all responsibilities far paying royalties which are d�e for fhe use of copyrighted wor�ts in L.icensee's performances or exhibitions to the eopyright owner, or representative. or said copyright owner, Licensee agrees to defend, indemnifiy and hold harmiess Ci#y, its ofFicers, employees, and agents, for any claims or damages arising out of Licensee's inf�-ingement or violation of the Copyright Law andlor Regulations. Licensee understands that they are responsible for securing any and all releases by artistslperformers giving permission tor #he recordings. Lieensee is responsible for both reporting and payment af any music [icensing fees thaf may be required by law. R9. �bA�ITAB�� �RG�►iVI�ATI��d Licensee agrees that if Licens�e is a chari#able organization entitled to any immunity or limitation of liabi[ity under the pro�isions of fhe Charitable Immunity and Liability Act of '�987, C.P.R.C., § 84.001 et seq., or other applicable law, thafi Licensee hereby expressly wai�es its right to assert or plead defensi�ely any such immunity or limitation of liability as against any party other than City. 20. A��ICF�IVI�1�i Licensee shall not assign this Lice�se Agreement nor s�ffer any use of the Facilities other �han herein specified, nor sublet the Facilifies or ahy part thereof without the written consent of Crty. If assigned per the written consent of the City, Licensee agrees �o ensure that any assignee or su�lessee will comply with all terms, pro�isians, covenants, and conditions of this License Agreement. Assignment or subletting of #his License Agreement shall not relieve Licensee from any of fts obligations under this L`rcense Agreement. ��. �1/�NT°S �� ���'�4ULi The following events s�al! be deemed �o be e�ents of default by Licensee under this License Agreement: 1) Licensee faifs to pay any installment of the rent when due or any other paymer�t of reimbursement to City required hereunder; 2) Licensee attempts to assign #his contract without the prior written consent of City; 3) Licensee shall vacate the use of over one�half of any bui�ding included in �he Facilities, as described in Addendum A, or �acate the use of o�er one-half of any por�ion of tY�e total Facilities described in Addendum A; 4) Licensee becomes insof�ent or mak�s a transfer in fraud of creditors, or makes an assignment for the benefifi o� creditors; or 5} Licensee faiis #o comply with ar�y term, prov9sio� or co�enant of �his License Agreement. Page9of13 �z. ���.�i���ion� Upor� the occurrence of ar�y such event af default of #he Agreement, City shall ha�e fhe option to te�-minate this I�icense Agreement immediately. Licensee shall �mmediately surrender the Facilities to City and if Licensee fa�1s fio do so, City may, without prejudice to any remedy, enter upon and ta�e possession of the Facilities and remove Licensee and any other person who may be occupying the F'acilities by force i� necessary without being liable #or the prosecution or any cfaim of damages #herefore, Licensee agrees #o pay to City on demand the amount of all loss and damage which City may suffer by reason of such termination. City may, as a result of default as described in Paragraph 2'I abo�e, and afi its discretion, relet the ert�ire Facilities or relet any b�ilding or any portion of any building of the Facilit�es that is determined by �he Ci�y not to be in substantial use by the Lice�see and receive fhe rent therefore, and �icer�see agrees to pay to City on demand any deficiency #hat may arise by reason of reletting. City agrees to use all reasonable efforts to attemp� to release the Facilities. Licensee shall not be entitled, under any circumstances, to any excess rental fees received by City as a result of reletting and Licensee hereby waives any claim to such e�ccess renta� amounts. � No pursui� o# any remedy by City constitutes a forFeiture or waiver of any rent due to City or of any damages accruing to City by reason of the violation of any of the terms, pro�isions, and co�enants herein contained. No act or thing done by City or �ts officers, agents or employees during the term of this License Agreement shall b� deemed a�erminafiion of the Agreement or an acceptance of the surrender of the Facilities, and no agreement to terminate this License Agreement or accept a surrender of the Facili�i�s shall be �alid unless in writing signed by City. City's acceptance of t�e payment of renfa! or other payments after the occurrence of a default shall no� be construed as r�raiver of such default, unless City notifies Licensee in wrjting. Any act by Ci�y to enforce one or more of the remedies herein provided upon an e�ent of defauii shall not be deemed or construed to constitute a waiver of such default or of City's right to enfo�-ee any such remedies with respec# to such default or subsequent default. IfV��PEND�P�i CONi���ORINO PARYP��R�bl�' The doctrine of respondeat superior shall not apply as between the Licensee and City and nothing contained in thjs License Agreement shall be deemed to constitute City and Licensee as partners or joinfi venturers with each other, nor shall the Licensee be considered to be an agent, representative or employee of the City. Licensee andlor any exhibitor who brings sha�ings into show grounds or faci��t�es without the written consent ofi City a�ndlor in direct co�flict with the exclusive rights of City, wiil be fined $5.00 per bag o� shavings based on �he equivalent of a 3'/2 cubic foot bag. The total fine amount will be at the sole discret�on of the Director of Pub�ic �vents ar his desig�ee. 2. COMMERCIAL EXHIBITORNENDOR S�AGE Licensee will be in�oiced $35.00 per designated inside commercia! exhibitor space and $'f 00A� per designated outside commerc�al exhibitor space �or use by appro�ed commercial exhibi#ars. This fee dQes not apply �o commercial exhibitors loca�ed in a designated "exhibits halllfacility" rented by Licensee for use by commercial exhibitors. City will not provide any tables andlor chairs for use by commercial exhibitors. SOUND SYSTEM � There is no charge ta Licensee fo� use of the sound system owned by City, as it exists at the execution o�F this Agreement. � Licer�see wili be invoiced fhe prevaifing rate at the discretion of the Director of Public Even#s for a WRMC stagehand to set up, monitor and secure sound equipment daily when it is needed for show activity. � In the event City is �anable to furnish sufficient W�MC stagehand5 to work e�en�s that use staging, lights or amplifed sound, Licensee must contract with and pay for IAiS� Local 9�6 Union Stagehands to pro�ide addi�ionaf stagehand services. Prior to �he use of any union labor, a�epresentati�e of Licensee will be consulted as to �he number of hours and rate per hour. � City will provide barn paging as required in all contracted areas. 5. TRAIL�RIRV PARKING � Licensee may use any avai�able space for trailer parking as designated by #he Director of Public Events or his designee. � At the discretion of the Director of Public �vents or his designee, RV spaces will be provided as available and will be �nvoiced fo Licensee andlor Licensee"s exhibifiors at the pre�ailing rate. 6. Page 14 of 15 7. AMENDMENTS Licensee and Ci�y agree to promptly execufie an amendment(s) to this License Agreement in order to spell out any additional terms agreed to between the Licensee and City. Failure of the Licensee andlor City to execute such Amendment upon request shall be considered an event of default and this License Agreement may be terminated at the option of the requesting party. No amendment or additional terms shall be efFective unless ii is in wrifing and signed by both parties hereto after the effecti�e date of this agreement.
