WHEREAS, One Prairie Meadov�rs, Lid., hereinafter calfed "Developer",
desires fio make certain improvements in Villaqes of Woodland Sprinas West
�ffsite Sanita�-v Sewer, for an adc�itian to the Cify of Fort Worth, Texas east of
norti� 1-35, nortF� and south of Hwy 170,
WHEREAS, the said Developer has requested the City of Fork Worth, a
municipal corporatian of Tarrant and Denton Counties, Texas, hereinafter called
"City", to do certain work in connectian with said impro�ements;
NOW, THEREFORE, KI�OW ALL BY THESE PRESENTS:
That said Dev�loper, acting herein by and through Mehrdad Moavedi, its
duly authorized President and the City, acting herein by and through its duly
authorized Assistant City Manager, for and in considerafiion of the co�enanfs and
conditions contained herein, do hereby agree as foflows:

SECTION ONE
COMMUNITY FACILITIES AGREEMENT
to install
WATER AND SEWER SERVIGES
for

A. The City agrees tv permit ihe De�eloper to let a contract for, in accardance
with its accepted practices, ordina�c�s, regulafions, and the provisions of
the City Charter, and subject to the requirements of the City's Charter, and
subject fo the req�irements of the City's Policies and Regulations for
Instailafion of Community Facilities, all as current afi #he time of insfallation:

attached Exhibit _ A�'I alI in accordance wi�h plans and specifications fo
be prepared by pri�aie engineers employed by the De�eloper and
appro�ed by the Water Department.
B. The City agrees to allow the De�eloper to ins�all, at his expense, at the
time afl other water mains in this addition are insfalled, a service line for
each lot as shown on the attached Exhib�t �►► . The estimated cost of
these service lines is $ 0. The City agrees to record the location of each
said service line in respect to the corner of the iot served, and to retain said
records in its possession.
C. The construc#ion cost of the wafe� facilities herein concerned, exclusive of
service lines and engir�eering is estimated to be _ No Dalfars ($0) .
D. The City agrees to allow the Developer to install, at F�is expense, at the
time afl other sani#ary sewer mains in this addition are installed, a service
line for each lot as shown on the aitach�d Exhibit ��1 . The estimated
cost of �hese service lines is $ 0. The City agrees to record the location of
each said service line in respect to ihe corner of the lof served, and to

F. Prior to allowance of the construction contract by Developer, the Devefaper
agrees to pro�ide acceptabl� fi�ancial guarantee to the city for 1 DO percent
of the construction of t�e construction costs along with payment of any
Ordinance costs and fees t�at are applicable. Prior to the award af t�e
construcfiion contract by the City or the commencing of any work by the
City or its contrac#ors, the Developer agrees ta pay to the C�ty:
(1) (a} One Hundred percent (100%} of the De�eloper's cost of a!I water
and sanitary sewer facilities within the de�elopmenf, exclusive of
engineering and service costs, size� to provide water an� sanitary s�wer
service within the development.
(b)One hundred percent (�00%) of the Developer's cost of all
approach water and sanitary sewer facilities outside the limits of the
development sized to provide water and sanitary sewer service ta the
de�elopmen�.
(c) �ne hund�ed percent (100%} of the De�eloper's cost of any
approach wafer main facility or wafier fiacility within the development that is
8-inches in size for non-industria� development and 12-inches in si�e for
industrial development.
{d)One hundred percent (100%) of the De�eloper's cost of any
approach sanitary sewer main facility or sanitary sewer facility within th�
de�elopment.thai is 8-inches in size.
(2) An additional ten pe�cent ('i 0°/4) of �he tatal of the De�elopers cost
of tf�ese water and sanitary sewer facilities, exclusive of cost of service
lines, is requireci for design engineering if such engineering is perfarm�d
by the City at the De�eloper's request.
(3} One hundred percer�t (100%) of the Developer's cost of al� service
lir�es, estimated under 1-B and 1-D above, in accordance with the
pro�isions of the current Fort Worth City Code.
(4) A construction Inspection Fee equal to two (2%} of the Developer's
actu�l cost share of the construction cosfi (inc�uding all senrices) of the
water andlor sanitary sewer facifities.
G. The distribution of estimated construction cast between the City and t�e
Developer, as per paragraph 1-F above, for all water and sanitary sewer
facilities to be construcied hereurtder is �stimated as follows:

H. The aboue charges c!o not include any front foot charges fior connection to
existing or proposed waie� andlor sanitary sewer mains cons#ructed or to
be constructed under the pro�isions of the "APPROACH MAIN OPTIOM'
as c�escribed in Section III af the Policy for the "INSTALLATION OF
C�MMUNITY FACILITIES" adopted in September, 1992. These
additional charges are as foflows:

When water facilifiies are installed l�y contract, installation o�water
services will be included as part of the contrac#. Installation of ine#er
boxes an those services may be done by the City, after completion af
construction of afl relatiue curb and gutter work on the wafier facilities
projeet site, at a cost of $701$135 per contract-installed charge to be due
ar�d payable prior to issuance of a Work �rd�r on the water facilities
installation contract. The above charges do not apply if the De�eloper
el�c#s to include meter box installation as part of the contract. Howe�er,
meter boxes must conform City standards.
J. Within a reasonable time after completion of the above referenced
facilities to be constructed by cantract awarded by the Developer,
provided all conditions for City participation have been m�t, the Cify
agrees to pay the De�elaper the "Estimated City Cost" set out in 1-G
abo�e; provided, however, that said payment shall be calculated using the
actual constr�ction costs and actual service costs under the provisions of
the curren# Fort Worth City Code, (said payment to be calculated as in 1-
G above), based on actual quanti�ies as ref�ected in the final esfimate paid
to the Contractor by the Developer and on the actual records of cost kept
by the City as a par� of its customary procedures. In the event the
difference in the deposit and the actual costs exceeds $25, Developer
agrees to pay to the City and underpayment which said adjustment might
indicafe as being due, and the Gity agrees to pay to Developer any
averpayment.

K. Work hereunder shal! be completed within two (2} years from date hereof,
and it is understood that any obliga#ion on the part of the City to make any
refunds with r�spect to water andlor sanitary sewer facilities shall cease
upon the expiration of two (2) years from c#ate hereofi, except fior refunds
due from "front �€oot charges" on water and sanitary sewer marns, which
refunds may continue to be made for a period of ten (10) years
commencing on the daie that approach mains are accepted by the
Director. If less than 70% of the eligible collections due ta the deve[aper
has been collected, the Developer may request in writing an extension of
up to an additional �0 years for collection of front charges. In the e�ent
water andlor sanifary sewer facilit��s work is not campleted within the (2)
year period, City may, at its election, compl�te such work at Developer's
expense.
L. It is further agreed and unde�stood that ar�y additional payment required
of Developer is to co�er only such adc{itional work andlor materials as may
be made necessary by conditions encountered during consfruction, and
shall not include any change in scape of the project.

compliance with the policies in effect at the time of such renewal. De�elopers must
recognize that City funds may not be a�ailable to pay all or a portion of the normal
Cifiy share for renewal contracts. It mus# be understaod by all parties to the
Community Facilities Confract that any ofi the facilities or requiremenfis included in
the eontract that are to be pertormed by t�e developer, but r�ot perFormed by the
developer within th�e tim� periods stated above, may be completed by the City at
the de�eloper's expense. Th� City of Fort Worth shall no� be ob[igated to mal�e any
refunds due to the developer an any faciliiies constructeti under this agreement
until all pro�isions of tf�e agreement are fulfilled.
F. PERFORMANCE AND PAYMENT GUARANTEES
1. for ldi�ater and Sanifare+ See�ver Facili�ies:
PerFormance and payment bonds, or cash deposits, acceptable to the City
are required to be fumished by the developer for the installation of water and
sanitary sewer facilities.
a. Where the de�eloper lets the construction contract for water and
sanitary sewer facilifies, perFormance and payment bonds shall be
eposited, in #he amount of one hundred percent {100%) of the
estimated cost of construc#ion, cash deposited shail be in the amount
of ane hundred twenty five percent (125%), as stated in the
construction contract, is required to be furnished simultaneous with
execution of the construction contract.
b. Where the City fets the contract, perFormance and payment bonds
shall be deposited, in the amount of one hundred percent (100%)
of the estimated cos� of consfruction as stated �n the construction
contract, is required prior to issuance of a wor�C order by the City.
4. ��pes off Guaran�ees:
a. Develo�er Bands: Are required for the canstruction of water andlor
sewer, fhe following �erms and conditions shall apply:
('I ) The bonds will �e standard de�eloper bonds provided by a
licenset! surefy company an fiorms furnished by that surety
company.

{2) The bonds will be subject to the review and approval by th� City
Attorney.
{3) The bond shall be payable to the City and shall guarantee
perFormance of the water an� s�wer con�truc�ion contemplated
under this contract and shafl guarantee payment for all fabor,
materials and equipment furnished in cannection with the water
and sewer construction eontemplated under this cantract.
(4} ln order for a surety company to be acceptable, #he name of the
surety shall be included on the current U.S. Treasury list of
accepiable sureiies, and the amoun# of bond written by any one
accep�able company shall not e�ceed the amount shown on the
Treasury iist for that comparty.
b. Cash Depasits: A cash deposit shall be acceptable with verification
and such deposit shall be made to the Cityr of Fort Worth. The City
of Fort Worth will not pay inierest on any such cash deposit.
(1) The cash depasit shall be adjusted to one hundred twenty five
percent {125%) of the actual bid price. No contract shall be
awarded and no work order shall be issued until such
adjustment is made.

(2} When a cash deposit is made, th� additianal twenty-five percent
(25%) beyond the o�e hundred percent {100%) of the estimated
de�eloper's share represents additional funds for change orders
during fihe course of the project. This twenty five percenfi {25%)
shall be considered the de�eloper's change order fund.

5. �urpose, Term and Renewal o� (�uaranfiees:
a. Develop�r bonds, and cash deposits furnished here�nder shall be far
the �urposes of guaranteeing satisfactory campliance by the
developer with all requirements, terms and conditions of this
agreemenf, including, but r�ot limited to, the satisfactory� completion of

the improvemen#s prescribed herein, and the makir�g of payments io
any person, �irm, corparat�on or other entity with whom the de�eloper
has a direct contractual relationship for the pe�formance of work
hereunder.
b. De�eloper shall keep said c�eveloper boncis, andlor cash deposits in
full force and effect un�il such time as devefoper has fully complied
with the terms and cor�ditions ofi this agreement, and failure to keep
sam� in force and efFect shall constitufie a default and breach of this
agreement.
H. The City shall assume its share of the cost of the impro�ements cavered by this
agreement along with the engineering fee only if funds are a�ailable �or such
participation. In the event that no funds are available for City participation, the
developer shall award the contract and deposit with the City a deve[aper bonds or
cash for 10� percent of the estimated #ofial construction cost of the improvements
[}�lus ten percent (25%} for engineering and miscellaneous costs if the City
prepares the plansj.
On all facilifiies included in this agre�ment for which the developer awards its awn
constructiort contracfi, t�e developer agr�es ta follow the following procedures:
1. lf the City par#icipa#es in #he cost af th� facilities, the construction contract
must be ad�ertised, bid and awarded in accardance wiih State statutes
prescribir�g the requirements for the letting of contrac#s for the constr�ction
af public woric. This includes ad�ertising in a local newspaper at least twice
in one ar more newspapers of general circulation in the county or counties in
which the work is to be performed. The secand publication must be on or
before the tenth (10th} day before t�e first dat� bids may be submitted. The
bids must be apened by an ofFicer or employee of the City at or in an ofFice
of the City.
�. To emp[oy a construcfion contractor, who is appro�ed by #he Director of the
Department having jurisdiction o�er the facility to be so constn.icted, said
contractor to mee# Cit�'s requirements fior being insured, licensed and
bonded to da work in public right ofi way.
3. To requir� the cantractor to furnish to the City payment, �ertormance and
mainfer�ance bonds in the names of the City and the developer for one
hundred percent {10Q%) of the contract price of �he facility, said bonds to �e
furnished before work is commence, Developer further shall require the

contractor to provide pubfic liability insurance in the amounts required by the
City's specifications covering that particular work.
4. To gi�e 48 hours not�ce to the department having jurisdre#ian of interit to
commence consiruction of the facility so that City inspection perso�nel will
be a�ailable; and to require #he contractor to allow �he construction to be
subject to inspection at any and aU tim�s by City inspection forces, and nofi
to ins#all any paving, sanitary sewer, storm drain, or water pipe unless a
respansible City inspectar is present and gives his consent to �roceed, and
to make suc� laboratory t�sts of materials being used as may be required by
the City.
5. To secure approval by the Director of the Department having jurisdiction of
any and all parkial and final payments to the contractor. Said appro�al
shall b� subject to a�d in accordance with requiremenfis of this
agreem�nt, and is not to consti�ute approval of the quantEties of which
payment is based.
6. To delay connections of b�ildings to service lines of sewer and water mains
constructed Under t�is contract until said sewer and water mains and service
lines have been completed to the satisfaction of the Water Department.
7. It is expressly understood by and betw�en the de�eloper and the City of Fort
Warth, that in the event the developef elects to award one single
construction co�tract �or storm drainage and pa�ement, said contract shall
be separated in fhe bidding and City participa�ion, if any, shall be limited to
the lowest passible combinafion of bids as if each of the above were
awarded as separate contracts.
J. Any�hing to the contrary herein notwithstanding, for and in consideration of the
pramises and the covenants herein made by the City, t�e de�eloper covenants ar�d
agrees as follows:
1. The de�eloper shall make separate elections with regard to water an�llor
sanitary sewer facilities, storm drainage, street improvements and streef
ligh#s as to whether the work prescribed herein shall be performed by the
Gity, or by its contractor, or by #he developer, through its contractor. Each
separate efection shall be made in writing and deli�ered to City no fa#er than
six (6) monfhs prior to the expiration of this agreement. In the event any of
such separate elections has not been made arrd delivered to City by such

Agreem�nt with One Prairie Meadows, Ltd. for the ir�stallation of offsite sewer serv€�es to serve Villages
of Woodland Springs West.
DISCUSSION:
One P.rairie Meadows, Ltd. has executed a proposed contract for community facilities to serve a large
development named Villages of Wvodland Springs West located east of Old Denion Road in far norih
Fort W�rth (see attached map}.
The tatal cost for affsi#e sewer improvements for this de�elopment is $712,82'7. There wi`Il be �ity
participation in sewer pipe oversizing fio increase the pipe capaciiy fo Villages of Waodland Springs
West derre�opment. This construction wilf also benefit developmen# in the area. The d��elop�r and th�
City's estima#ed casts far water and s�wer improuemen�s are subject to construction inspecfion fees.
