RESPONSTBILTTIES OF THE PARTIES The Subgrantee shall undertake and complete tb.e proj�ct as described in Attacliment A, Approved Project Description, and in accorda�zce with all terrns and conditions included hereinafter. The Depaxk�naent shall provide assistance as appzopziate and as specified in said Attachrnent A. ARTICLE 2. COMPENSATION A. Tk�e metk�od af payment for this agreement will be based on actual casts incurred up to and not to exceed t�e liu�its speciiied in Attachrnent B, Approved Project Budget. The amount i,ncluded in� tk�e project budget will be deemed to be an estzmate only and a higher amount can be reunbursed, subject to the conditions specz�ed in paragraph B hereunder. If Attachxnent B, Approved Project Budget, specifies that casts are based on a specific rate, per-unit eost, or ofher method of payment, reimbursement will be based an the specified msthod. B. All payznents xnade hereunder will be made in accordance with Attachment B, Appro�ved 1'roject Budge#. The Subgrantee's expenditures may aot exceed any budget category iza khe Approved Project Budget by an amount greater than 5% of the total reimhursable amount of the budget without a written agreement az3nendment_ Hawevez, the Subgrantee must provide written notiiication to the Deparhnent of a change of 5% or 1ess, prior to payment of the Request For Reunbursement khat includss the change, indicating the amount a�d percent change and the reasan(s} for it. The maximum amount payable sha31 not be increased as a result of exceeding a budget category without a wnitten grant amendment. C. To be eligible for reimbursement uuder this agreement, a c.ast must be incurred in accordance wiih Atiachment B, Approved Project Budget, within the t�iime frame specified 'ut Grant Period on page 1. D. Payment af costs incurred under this agreernent is further govemed by one of the following cost principles, as appropriate, outiined in the Federal Office of Management and Budget (OMB) Circulars: o A-21, Cost �rinciples �or Educational Institutions; • A-87, Cost Principles for State and Local Governments; or, • A-122, Cost Principles for Nonprofit Ozganizations. E. The Sub�antee agrees to submit monthTy or qnarterly requesis for reimbursement, as designated in Attachz�nent A, within thirty (3�) days after the end of ttte billing period. The 5ubgrantee will use billing statements acceptable to the Departm�nt. The original billing statement and one copy is to be submitted to khe address shovsm on page 2 of this agreement. F. The Subgrantee agrees to subrnit the fu�al request for payment under this agreement within sixty (6U) days af the end of th� grant period. G. The Depariment will exercise all good faith to make pa�ments within thiriy days of reccip# of properly prepared and documented requests for payment. Payments, however, are contiYngent ugon the availahility o£ appropriated funds. . H. Project agreements supported with federal funds are limited to the length of the agreement period and usually do not recei�e extended funding beyond three years. If both the Deparhnent and the Subgrantee agree that the pzoject has demonstrated rnerit or has potential long-tange beneiits, the Subgrantee may app�y for fwiding assistance �eyond the three year limit. To be eligible, the Subg�antee must have a cost assumption plan by the end of the fitst twslve months. This plan wiIl include a schedule for phasing in funding from its awn resourcas and the phasing aut of fi,utding support fronn the Department. Al1 plans mast bs agproved by the Depart�nent before any extension beyond the three year lunit will be granted. Preference will be given to those prajects for which the Subgrantea has assumed some cost sharing by the end ofthe first twelve months, and to those which prnposc to assume th.e ]axgest gercentage af subsequent project costs. Certain categories of funds may be exempted by the fedezal go�enru�rient from the tirir�e linoit requixement. i7nless exernpted, all federally-fitnded agreements are cansidered to be suhject to the tune Iimit provision. Funding support for alI state-funded projects will be limited to the term of the agreernent. Any extension beyond that time will be negnriated on a case-by-case basis. LIMITATION OF LiABYLYTY Beeause funds are au�orized on a fiscal year basis aniy, payment of costs incurred hereunder is contingent upon th.e availability of funds. If at any tirne during the agreement peziod the Departrnent deterinines that fhere is insufficient funding to continue the project, the Department shall so notify the Su6grantee, giving notice of inkent to te�rninate the agreement. Such termination will be condacted in such a manner that wiIl minimize disruption to t3ie Suhgrantee and the Department, and as furfiier specified in General Fxovisioa G4, Ternunation. The Subgrantee, if other than a State agency, shall be responsible far seitlement of any and all claiins and lawsuits by t�ird pazties arising from or incident to the Department's non-payment of the Snbgrantee's claim under this agreement. The 5ubgrantee expressly acknowledges that its zesponsibili.ty includes ihe payment of all damages, expenses, penalties, iines, costs, charges, and attorney fees, if the claims or lawsuits are based upon ihe Department's non-payment of claixns snbmitted under this agreement. The Subgrantee shall d�%nd any suits brought upon all suc� claims and lawsuits and pay all costs and expenses inciden#al thexeto, but the Department shall have the right at its optian to participate in the defense of any suit, �nifhout xelieving the Subgrantee of any obligation hereunder. AItTICLE 4. AGREEMENT AMENDMENTS Tf at any time during tha agreement period tha Department deteemines that addiiional funds are needed to continve the prpject and the znaximum amount payable is insuff'icient, a writ�en amendment is to be exect�ted to authorize additionai funds, if the Department and the 5ubgrantee deterznine to con,tinue project fundimg. Additianally, any cha�n.ges in the agzeement period, agreement terms or respo�vsibilities or the parties hereto shaIl be enacted by wriiten amendment executed l�y both parties. In no event will We agreement period be extendeci unless a written amendment is executed be%re the completion date specified in Article 1, ARTiCLE 5. ADDTTIONAL WORK If the Subgrantee is ofthe opinion that any work it has been directed to perforui is beynnd the scope of this agreement and constitutes additional work, the 5ubgrantee shall prnmptly notify the Department in writing. In th,e event that the Department �inds that such work does constitute additional work, the Department slzall so advise the Subgrantee and provide compensat�on for doing this work on the sazne basis as ttae original wtixk. If the cor�sensafion for t�e additianal wnrk will cause the maximuin amount payabfe to be exceeded, a writteA amendment will be executed. Any amendment so executed xnust be ap�roved withiu tiie agreement period apecified on the cover page ta this Grant. ARTICLE 6. CHANGES IN WORK When the approved project descrip#ion requires a eompleted work product, the Department w�ill review the wozlc as specified in the approved project descripfion. If the Department imds it necessary to reqaest changes in previously satisfactorily cpmplctcd wock ar parts thereof, the S�bgrantae will make se�ch revisions as requested and directed by the Departmen� 5uch work will be considcred as additional work and subject to the requirements astablished in Article 5. If the DeparGanent finds it necessary to require the 5ubgrantee to revise cozn�Ieted work to correct exzazs appearing therein, the 5ubgrantee shall rnake such corrections and no compensation will be paid for the corrections. GENER�L TERMS AND CONDYTION5 GL Indemni�catRon To the extent permitted by law, the 5ubgrantee, if other thaz� a State agency, shall sa�e hazmless tlze Departmenk from al! claims and liability due to the acts or omissions of the Subgrantee, its agents or employees. The Subgrarttee also agrees to sa�e harmless the Department from any and a11 exgenses, including attorney fees, all court costs and awards for damages, incurred by the Depar�nent in litigation or otherwise resisting such elaims or liabilities as a result of any activities of the Subgrantea, irs agents or empIoyees. �urther, to the extent pernvtted by law, the Subgrantee, if other than a State agency, a�rees to protect, indeznnuify, a�d save harmless the Departmeut from and against all claims, demands and causes of action of every kind and character brought by any employee of the 5ubgrantee against the Departcnent due to persanal injuries and/or death tn such empiayee resuiting from any alleged negligent act, hy either comtnission or omission an the part af the Subgzazitee oz the Department. G�. Ynspection of Work The Department and, when federal fuzids a�re involved, the i7. 5. Depat�nent of Transportation, and any authorized representative thereof, have the right at al� reasonable times to inspect or otherwise e�aluate the work perf'ormed ar being performed hereunder and the premises in which it is being performed. If any inspectzon or evaluation is made on the premises of the Subgzantee or a subcontractoz, the Subgrantee shall provide and require the subcontractor to provide all reasanable facilit�es and assistance for the safety and � convenienee of the inspectors i�n the pez�'am�ancc of their duties. All inspecrions and evaIuations shall be performed in suc� a rraanner as wiil not unduly delay the work. G3. Disputes and Remedies The Suhgrantee shall be respoivsihle for the settlement of aIl contractual and administrative issnes arising out af procur�ment entered in support of agireeznent wark. Disputes concerning perfonvance ar payment shall be submitted to the Bepartme�t for settIement with the Execa�ive Director acting as zeferee. This agreement shall not be cpnsidered as specifying tha exclusive remedy for any dispute or violakion or breach of agreement tenms, but all remedies existi�g at law and in equity zzaay be availed of by either party and shall be cumulative. . G4. NancoIIusion The SubgranYee warrants that it has not employed or xetained any comgany ar person, other than a bnna fide employee working for iE, to solicit or secure this agreement, and that it has not paid or agreed to pay any company oz person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift, or any ather consideration contingent upon ar resulting from the award or making of this agreement. If the Subgrantee bzeaches or violates this warranty, ths Dcpartment sha11 have the right to annal this agreement vvithout liability or, in its discretion, to deduct from the agreement price or consideration, or otherwise recover the full a�aount of such %e, commission, hrokerage fee, gift, or eontingent fee. Reporting Not later than ten days aftex the end of the en�forcement period, as designated icx Attachment A, th.e Subgrantee shall subnnit a performance report using forms provided or approved by the Department. The perfarmance report will include as a minimum (1) a comparisan of actual accomplishments to the objectives established for the period, (2) reasons why established objectives were n.at met, if appropriate, and (3) other pertinent informatian inclndiug, when appropmate, ana�ysis and explanation of cost overruns or high unit costs. The SnUgrantee shall promptly advise the Department in writing of events rvhich �ave a signiiicant impact upon the agreement, incIuding: l. ProUIems, delays, oz adverse candzlaoz�s which will materially aFfect the ability to attain program objectives, �revent the meeting of time schedules and objectives, or preclude the attaizunent of project work units by established time periods. This disclosure shall be accornpanied by a statement of the action talcen oc contemplated and any Deparhnent ar Fedezal assistance needed to resolve the situaYion. 2. Favorable develaprnents or events Yhat enable meeting time schedules and objectives saoner than anticipated or praducing more wvrk uuits than oziginally gzn}ected. G6. Records T'he 5ubgrantee agrces to maintain all books, documents, papers, accounting recards, and o#her evidence pertaining to costs in.curred anci work performed hereunder, said boaks, docusnents, papexs, accounting records, and other evidence pertaining to costs incurred and work performed hereinafter called the recards, and shall make such records availahle at its office at $11 reasanable tim�s for th� time period authorized in Article I, Contract Period. The Subgrantee further agrees to retain said records for four years from the date of �al �aym�nt of contract costs incurred hereunder. Duiy authorized representatives of the Texas 5tate Auditor, the Te�cas DeparE�nent of Tran.sportation, the United States Department ot' Transportafion, and tho Office of the Inspector General shall have access to the recards at reasonabla tunes during the period of the agreement az►d the fouz yeaxs xetentian period fvr the purpose of malcing audits, excerpts, transcriptions, and other examinations. This right of aceess is not limited to the faur year period but shall last as long as the recards are retained. If any litigation, claitn, negotiation, audit or other action involving the records has bean started before.the expiration of the four year retention period, the subgrantee sha11 retain the recards until completion of the action and resolution of all issuea wIuch arise from it. G7. Audit The �ubgrantee shall comply with the requirements nf the Single Audit Act of 1984, Public Law (PL) 98-502, e�*,c,?ring that the single audit report inciudes the cov�rage stipulated in OMB Ci�zcular A-133, "Audits of 5tates, Loca1 Govemments, and Other Non-Profit Organizatiuns." GS. �ubcontracts � Any subcontract rendered by individuals or organizations not a part af the Subgrantee's organization shall nat be executed without prior authorization and approval of the subcantract by the Department. , Subcontracts in excess of $25,000 shall contain all required pro�isions of this agreement. Termination Tha Deparbment may temiinate this agreemen.t at any time beFore the date af completion whenever it is determined that the Subgrantee has failed to cocnply with t3�e conditions of the agzeem�nt. Thc Deparnnent shall give written notice to the Subgrantee at least seven days prior to the effective date of ternunation and specify the effective date of termi.�aatiom and the reason for te�nination. ' � If bath parties to this agreem�nt agree that the continuation af the agreement wauld not produce beneFcial resuits commensurate with the further expenditure of funds, the parties shall agree npon the ternunation conditions, including the effective date and the portion to be ternunatec�. Upon termination Qf this agreement, whether for cause or at the convenienee of the parties hereto, ail fmished or unfinished documents, data, studies, surveys, reports, maps, drawings, models, photographs, etc. prepared by the Suhgrantec shal�, at t�e optaon of the Deparnnent, become flze property of the Department. The Department shall compensate the Su6grantee for those eligible exgenses incurred duriz�g the agreement perio� wk�ich are directIy attributable to the completed portion of the work co�ered by this agreement, provided that the work has been completed in a manner satisfactory and aeceptable to the Depart�ent. The Subgrantee shall not incur new obligations for the terrninated portion after the effective date of termination. ExceQt with respect to defaults of subcontractors, the Subgraniee shail not be in default by reason of any failure in performance of this agreement in accordance wi�h its tema.s (including arry failure by tk►e Sabgrantee to progress in the performance of the work} if such failure arises out of causes beyond the control anci withaut the default or negligence af t3�e Subgxantee. Such causes may include lout are not limifed to acts of God or of the public enemy, acts of the Government in either its sovereign or contractual capacity, f�res, floods, e�idemics, quarant�ne restrictions, strikes, freight embargnes, and unusually severe weather. In every case, howe�er, t�se failure to perform must be beyond the contrnl and without the fault or negligence oitha Subgzantee. G10. GratuRties Texas Transportation Commission �olicy mandates that employees of the Department sha� zzat accept any benefits, gifts qr favoxs from any pers�n doing business with ar wha reasonably speaking may do business wikh the Departmeni under tlus agreexnent. The on�ly exceptioms all.owed are ordivary businesa lunches and items that iiave received the advanced written approval of the Department's Executive Director. Any persan doing business with or who reasonably speaking xx�ay do business with the Department under this agreement xnay not make any offer of benefiis, gifts or favors to Department employees, except as mentioned hereabave. Failure on tbe pzrt of the Subgrantee to adlzere to this policy may result in termination of this agreement. G11. Compliance With Laws The Subgrautee skiall connply with a11 �edcral, State and local laws, staiu�es, ordinances, rules and regatations, ax�d the orders and decrees of any courts or administrative bo.dies or tn'bunals un any matter affectin.g the performance of this agreement, including, without limitation, workers' compensation laws, nziniinum and xnaximum salary and wage s#atutes and regulakions, and licez�.sing lavvs aud regulations. When rcquir�d, th� Snbgrantee shall furnish the Department with satisfactory proof of its compliance therewi#h. G12. Successars and Assigns The Departrr�ent and the Subgrantee each binds itself, its successors, executars, assigns and aciministrators to the other party to this agreement and to the successors, executors, assigns and administrators oi suah other party in respect io all covenants of this agreement. The Subgrantee shall not assign, sublet, or transfer interest and obligations in this agreement without written consent of the Department. Ownersh'rp of Documents Upon compietion or termination of tlais agzeement, all documents prepared by thc S�bgrantee or furnished to the Subgrantee by thc Depariment shall be delivered to and beconne the property of the Department. All sketches, photographs, calculations, anci otUer data prepared tutder this agreernent shall be made available, upon request, to the Deparhnent without restriction ar limitation of tbe�z further use. ' G1�4. Resaurces The Subgrantee warrants that it presently has adequate qualified personinel in its empIoyznent tp perform the work required under thss agreement, or wiil be able to obtain such personnel from sources ot�er than the Department. Unless ofiherwise specif'ied, ti�e Subgrantee shall fiarnish ali equipment, rriaterials, anci sugplies r�quired to perForm the wozk authorized herein. ALL employees of the Subgrantee shall have such knowiedge and experience as v�+ill enahle fbem to perform the duties assigned to them .A�y ezr�loyee of the Snbgrantee who, in the opinion of the Department, is incompetent, ar whose conduct beco�nes detrimental to the work, shall immadiately be removed from association with the project. Gl�. Pro�erty Maz�agement The Subgrantee sha11 establish and acim�inister a system #o control, protect, pzeserve, use, maintain, and dispose of any pro�erty furnished tn it by the Department or purchased puxsuant to this agreement in accordance wifih its own property management pzocedures, provided that the procedures are nflt in conflict with the Departm�nt's pzoperty management procedures ar property management stanclards, as appropriate, in: 49 CFR 1 S, "iJniform Administrative Requirements for Grants and Cooperative Agreements to State and Local Govarnments," or, OMB Circular A-110, "Uniform Requirements far Grants to Universities, Hospitals, and Otl�er Nonpra�t Organizations." GZ6. Procwrement Staudards The Subgrantee shafl maintain procurement standards w1�ch m�eet or exceed the zequizeznents, as appropriate, of: 49 CFR 18, "Uniforzn Adzninistrative Requirements for Grants and Cooperative Agreements to State and Loeal Governments," or, OMB Circutar A-110, °Uniform Reqairements for Grants to Universities, Hospitals, and Okher Nonpm�t d�rganizati.ons." � G1i. Insurance W}�en direc#ed by the Department, the Subgrantee, if other than a State agenay, shall provide or shall require its subcontractors to secure a policy of insurance in the maximum statutory iimits for tort liability, naming the Department as an addition�l insured under its texms. When so d�ected, the Subgrantee shall provide or shall require its subcantractoz to furnish proof of insura3nce on Ta�DOT Form 20.102 (12191) to the De7aartment, and shall maintain the insurance during the grant period established in Article 1. G18. EquaI Employment Opportunity The Subgrantee agrees to comply with Executive Order 11246 antitled "Equal Employment Opporiixnity" as amended by Executive �rder 11375 and as supplemented in Department oiLabor Regulations (41 CFR SO). PROBLEM STATE117ENT: Texas is encaunteri.ng many of the same obstacles in increasing the safety belt usage ra�es ihat vther states ate experiencing. Since passage of the safety belt and child sa£ety seat laws, the mos� effective method in improving safety belt usage rates in Texas has been increased enforcement at the state and local level. However, many Texas Iaw enforcement agencies do nat have the resources (fi�ding, staffing, and public info�nation and educatian suppart) to enhance their enforcemsnt efforts to focus �n occupant protection law viola�ions. Same federal traffic safety funding has heen provided over the years to various agencies for accupant proteciion enfareement and those prograrns have been extremely successful. In order to increase usagc rates in Texas, additional enfarcement, along with a highly visible media caxnpaign, is the key. Texas leads the nation in traffic fatalitxes. In 1999, 3,519 people were killed and 339,448 were injured on Texas strsets and highways. Many of these deaths could have been prevented if the victiams in these crashes wnuld have been wearing safety belts. According to the National Safety Council, people who wear saFety belts have a 4S% better chance of surviving a serious traffic crash and a 50°10 better chance of surviving without severe injuries. T`he State of Texas has had a Mandatory Use Law (MLTL} for safety belts since 1985. Since that tune, Texas has seen saf�ty belt use rise to arnong the highest levels in. the countzy. Tn Fiscal Year {FY} 2002, according to the Texas Transportation Institute (TTI}, Texas A&M University, the percent oFTexas frant seat accupants res�rained statewide was 81.12°10. Seasana�, problems in Texas regarding safety belt use aze evident. These trends can be addressed by iacusing on the safety belt issue(s) during peak holiday periods. Thzs pxoject will increase safety beit rates through a CIOT STEP which includes enhanced enforcement and public information and educarion efforts. II.
