("Owuer"), a Texas limited par�iiexship, actizzg by and through Gary Sheffield, its duly authoz�zed Manager. The City Coui�cil of the City of Fart Wort� ("City Counci�") hereby finds aaad the City and Own�r hereby agree ihat the follow'ing statements are true and correct and constitute the basis upon which the City and Owner have entered into this Agreement: - A, Chapter 37$ of the Texas Local Govea.nment Code allo�vs a mu7rai.cipality to create a I`�Ieighborhaod Empowerment Zone (NEZ) �� the m:unicipality deiel7�nia�es ihat tfie creation of the. zone would promote: 1. The creation af a.ffordable housin.g, including manufactUred houszng in the zone; 2. An ancrease in economic develapment in the zone; 3. An increa�e in fhe quality of social services, education, or public safety provided to residents of the zone; or 4. 'The rehabilitataen of aff6z-dabie housing in the zone. B. Chapter 378 of the Texas Local Govert�ent Coda pra�ric�es thai; a mu.nicipality � that crea�es a NEZ, may enter znio agree�anis abating municipal. property ta.xes on �xoperty in the zane. C. On J"uly 31, 2,001, �e Ciiy adopted basic incentives for property owners tivho own property located iz� a NEZ, stating tliat th.e City el�cts to be eligible to �articipate ixi iax abatemeni and inc7uding g�idelines and criteria governing �ax abatement agreeme�.ts eniered into Uetween the City and various t.laird part�es, titled "NEZ Basic Incentives" ("NEZ Incentives"), which is attached hereto as E�hibit "A" and her�by znade a part of ihis Agreement �ar a�1�pUrpases. D. On Septemi�er 11, 2001, fihe Fort Worth City Co�ci1 adopted Ordinance No. 14767 (the "Ord��aance") esiablishing "Nezghborhood Empowerm�nt Reinvesf.inent Z�ne No. I," City of Fort Worth, Texas (the "Zone"). F. O�er owns certain real property located enf,irely within the Zone and that is more particularly described in E�ibit `B", attached hereio and hereby ma.de a paxt of thxs Agreexnent far a11 purposes (the "Premises"}. G. Ownar or ii� asszgns plan to construct the Required Impro�emenfs, as defixied in Section 1.1. of this Agreezneni, on t�e Premises to be used for as a single-family residence to be 1-1ia� will be owner occupied, (the "Project"}. H. On July 24, 2002, O�vner submitt�d an applicaiion fc�r NEZ incen�ives and an applicatian on January 17, 2003 for �ax abatement to �he City concerning the eantemplaied use of f,he Prexz�ises {the "Application"), attached hereto as Exhibit "C" and hereby made a part of ihis Agreem�nt �or all purpose�. I. T�ie City Council fu�ds �Yiat the coni�mplated use of the Premises, the Requ.ired Impro�ements, as aefined in �ec�ia� 1.1, and the terms of �his Agreement are consistent with encouraging development of the Zone in, accordarice wi�h ihe purpases for its creation and are in compliance with the NEZ Tncentives, the Resolution and other applicahle �aws, ordinances, z-a.les and regulations: J. The Crty Council finds that fhe terms of ihis Agreement, and the Premises and Required 7m�rovernents, satisfy ihe eligibility criteria of the NEZ Tnc�ntives. K. W�.tten notice that t.b.e City intends to enter into this Agreerncnt, a.lozzg with a copy of this Ag:reement, has b��n fuinished in the rnanner prescribed by the Code to the presiding of�c�rs af the governing bodies o:E each of �:he ta�cing uzaits in which the Premises is located. NOVL�, THEREFORE, the City and Owner, fox aa�d in considera�ion of t�e terms and conclitions set forth herein, do hereby coniract, covenaxit and agre� as follows: 1. OWNER"S COVENANTS. 1.1. RealP�opertv Tmprovernents. Owner shall const�ruct, or ca�se to be constructed, on and wi�hiz� the Premises certain improvements consisting of a single family resid�nce, (i} of af ].east 1,200 square feet in size, and (zi) having an appraised value of $85,000.00, as deiex�n�ned b�r an independent appraiser (colleetively, the "Required Ymprovements"). Owner sha11 provide a survey of the compleied home showing Reguired Improvernenis before the horn.e is soid. Tk�e pa�rties agree that th� final survey shall be a part o�this Agreement and shall be Iabeled Exhibit E. Mir�ar variaiions, and rnore substantial variations if appraved in writing by both of the parties to this Agreement, i� the Reqlaired Tmprovements frorn the c�escription provi�ded in the Applicaiion for Taac Abatement shall noi cansiitute au Event af Defaulfi, as defined in Sec�ion 4.1, pravided that the conditions in �he first sentenc� o£ ihis Sec�ic�n 1.1 are met and tkae Required Tmprove�nents are used for ihe purpas�s axzd in the mannex ciescribed in E�kaibit "D". 1.�. Comnletion Daie of Reauired Improve�ents. Owner covenants to substantial�y com.plete consiructi€�n o� all of the Required Impro�ements within two years from the issuance and re�eipt a£ th� �uilding perm�t, unless delayed because of force maj euze, in which case the two years shall be extended by the number af days corn�rising the specific force a�tajeure. Far purposes of this AgreemEnt, foxce majeure shall mean an e�ent beyand Owner's reasonable control, including, wiihoui �imitation, delays caused by adverse weather, delays m receipt �f a�y requi�ed permits or approvals from ax�.y governmental auf.hority, or acts of God, fires, si�kes, national disa5ters, wars, riots and material ar Iabor restricti�ns and shortages as detertziinec� by the City of Fort �Vorih i� zts sale discretion, vvhich sha11 not be unreasonably withheld, but shall not include constructian delays caused due to purely �inanczal r�atiers, such as, without ]imitation, delays in fil�e obtaining of adequate financing. ' 1.3. Use o£ Premise�. O�ier coveriants that the Required Improvements shall be constructed and ihe Prenaises shall be sold sa that �t is continuously used as ihe primary reszdence of the Ho�n.e Bu�ez in accordance with the descriptian of the Project set forth in fhe Eachibit "D". In additian, Owner caver�anis that throughout the Term, the Required Ixnprovemen�s shall be aperafied and mai�tained for the purposes set forth in this Agreefnent and in a.manr�er that is consistent wifih ihe genera.� purpase� of enco►a�aging developi�ent or redevelopm.eut of the Zone, �. ABAT�MENT AMOUN'TS, TERMS AND CONDITI�NS,. Subject to a�d Fn accordance �rith t.�is Agreement, the City hereby grants to Owner a real property t� abatement on the Premises, the Required Improvernez�ts, as specifically pro�'zded in �his Section 2("Abatement�'). "Abatera�ent" of real property taxes only inc�udes City of Fort Wo;�th�imposed ta�es and not ta�es frozxi other taxing ennties. 2.1.. Amount of Abatement. The actual amount oi the Abatement granted uxider this Agr�ement shall be based upon the increase in va�ue of the Premises and tk�e Required Improvernents over their �alues or� J`annary 1, 2003 ($2082.00) the year in which this Agree�nent was en�ered into: 3' One Hundred percent (100%) of the increase in value froxz� the construciion of the Required I�provements. If the square footage requirement and the appxaised value of , the Required Improvements are l�ss than as provided in Sec�ion 1.1 of this Agr�ernent, except that such muumum eon�tnzetion cosfs shall be reduced by eonsir�.ciion cost savings, Owner will not be eligible to receiv� a�y Abatemeni undez this Agreement. �.�. Inerease in Value The abatement sha1l apply only to ta.�ces oxa. the increase in value of the 1'rernises due �o construction of the Required I�pxovements and shall not apply to taxes on the land. 2.3 Term o� Abatement, The term of th� Abateinent {the "Term"} shall begiri on 7anuary I o� the year following the calendar year in w�uich the Required Improvemeni is sold to a Home Buyer to be used as its prima,ry residence ("Beginnui� Date") and, unless sooner texiniriated as herein provided, sha�I end on Decemb�r 31 in�ediately. precedizig the fifth (5�} anniversary o�' the Begiiitiing Dat�. Upan ihe sale to a Ho�ie Buyer, City shall certify that the Requu-ed Irnprove�a.ents have been comple�ed in satisfaction of the ternas of this Agreement �.4. Profests Over Appraisals op Assessments. Owner shall have fhe right to protesfi arxci contest any nX al� appraisals ar assessinenis of the Premises and/ox :amprovements thereon. �.5. Abatennent Ap�plication Fee. The City aclaioivledges receipt from Owner of f11e requirec� Abatement applica�ion fee of iwenty-five dollaxs ($25.Q0}. 3. R�CORDS, CERTIrICATION AND EVALUATION OF PR�JECT. 3.1. Ynsnection of Premises. Betvveen the execution dat� of this Agreement and the last day of the Term, at any tazxis during construc�zaxz of the Required IrnprQvements and fallowing reasonable notice to Owner, tha City shall have and Qwz�er shall provide accEss to the Premises in ord�r �ox the City to in�pect ihe Premises and evaluate tha Requzred unprovements io ensure cornpliance with the terms ax�.d condi�ions of tlazs Agreement. Owner sl�aJl cooperate fu11y wi.ih ihe City during any such inspection andlor evaluatinn, 4 3.2. Ceriif�cai�ion Owz�.er sha11 certify annually to the City that it is in complia�ce with each applicable term of this agreexizent. The City sha1l have tlae right ta audi� ai the City's axpense the financial and business records of O�ovner �at relate to the square footage and ap�raised value of �lie Required Irnrnpxovement� and once the cfty property ta.xes are abated, O'wner must provide documeniaiion �hat Ownez is using the Req�aired Impz�ovements as its prixa�.ary residenca (collectively, the "Recards") ai any tirne du�.ng the Compliance Auditing Term in axder to deteimine compliance with this Agreea�.ent and to calculaie the correct percentage of Abatement available to Ownez. Owx�ex shall make all app�icable R�eords available to the City on f11e Premises or at another location in the City following reasonable advance notice by the Git'y and shall o�hervvise cooperate fully with the City during any audit. 3.3. Provi�ion of �n�orma�on. On or before February 1 following the end of every year during the Compliance Auditing Terin and if xequested by the City, Ovvner shall provide infarmation and doeumentation for the previous year that ac�dresses Owner's com�liance with each o� the ternis and conditions of this Agreement for that calendar year. Failure to provide alI information witha� the cnntral af �wner rec�uired by this Sectiori 3.3 shall constitute an Event ofDefault, as defne�l in Section 4.1. 3.4. � Determina�ian of Comnliance. On ar be�ore August 1 0�' each year during the Compliance Auditing Term, the City s1ia11 i��ake a decision and x-u1e on the actual annual � percentage af Abatement available �o Owner �az' the following year of the Tezx�� and sha11 notify Owrier of such c�ecision and r�lzxzg. The actual percentage af the Abatement granted for a gzven year of th� T�rm is therefore based upon Owner's compliance with the fiezms axid canditions of this Agreement during the previous year af th� Camplzance Auditing Term. 4. EVENTS OF DEFAULT. 4.1. De�ned. Unless otherwi�e specified hezeim, Owner shall bc in de�ault of tl�is Agreement if (i) Owner faiZs to consiructi the Reqt�ired Unprovements as defined in Sectian I.1; {ii} ad valorezx� real property 1:axes w�th xespeet to the Premis�s or tlie Prajecf, or its ad valorem taxes with respect to �he �tangible personal property located on the Pxe�nises, beco�ne deIinquent and Owner �.oes not iunely and properly �ollo�t�v the legal procedures for �xotesfi and/or contest of any such ad valorem real property or �a�gible personal property ta.xes or (iii) HOME BUYER DOES NOT U�E THE PRENII�ES AS PRrMARY RESIDENCE ONCE THE ABATEMENT SEGINS (collectively, each an "Event of Default"). S 4.2. Notice to Cure. Subject ta �ection S, i�the City determines tliat an Event of Defaul� has accurred, the City sha11 pravide a written. notice to Owner thai dascribes the nature of the Event o� Defa�lt. Owner shail have �nety (90) calenda�r days from the date of receipt of this written notice to fully cure or have cured the Eveni of Default. Xf Owner reasonably believes that Owner will require additional time to cure the Event pf Defau�t, Qwn�r shall promptly notify �he City in wri�ing, in vc�luch case (i) after advising the City Council in. an open meeizng of Owner's efforts arid intent to cuz'e, Owner shail have one hundred eighty (1.80) calendar days from the oxiginal date af receipt of �he written notice, or (ii) if Owner reasonably believas that Qwnez vvili rec�uire more than one hundred eighty (180) days to cure ihe E�venf af Default,, after advising th� City CounciX in an open meeting o� Owner's eifc�rts axid intent to cure, such addi�ion.al tirr�e, if any, as rnay be offered by ihe City Cou.z�cil in its sole discretian. 4.3. Terminafion for Event o#'Default and Pav�nent of Liauir�ated Darna�es. If an Event of Default which is d�fin�d in Section 4.1 has not been cured within . .�-: the t'rme frame specificaily allovved under Sec�io�z 4.2, ihe City shall have ihe right io � terminate �his Agreement imxxi.ediately. Owner acknowledges and agrees that an uncured Event o�' Default will {i) harm the City's econor�iie development and redevelapment efforts on �e Premises and in the vicinity of the Premises; {ii} require unplanned aaid �xpensive addational acl�nuv.sirative oversight ai�d involvement by the City; and (iii) otherwise �.arin the City, and Owner agrees that ihe amoiants of actual damages th�refrom . ar� spe�culative in nature and wi.11 ba difficult or impossibla to ascertain. Theze�are, upon termination of this Agraement for any Event af De£ault, Owner sha11 nat be aligible #�or the Abateznent for the remaining Tei�n arid Ow�er �hall pay the City, as liquidaied damages; a.11 taxes that were abated in accordaz�ce with this Agreement for each year wk�en an Event of Dafault existed axzd which otherwise wouId have been paid to the City in ihe absence of this Ag�reemenf. The City and Own�r agree that this � az�zount is a reasonable appro�imatzon of a.ctual damages that the City wxJl %zi.cur as a result� of an uncu�ed Event of Default and thaf �:is Section 4.3 is intended to pravide t��e City with . compensation for acfual damages and is not a p�nalty. This atnounfi r�nay be recovered by th� City t�raugh adjust�nents made to Owner's ad valorem property tax appra�sal by ihe appraisal disirict that has jurisdiction o�er ihe Premises. 4therwis�, this amount s�.aIl be due, owing and pai.d ta the City within sixty (60) days foilowing the effective date of termination af �his Agreement. In the event that all or any portion of this arnount is nat paid to the City wifllin sixty (60j days following ihe effective date of termina.fion o:f �U s ;, Agreernerit, Owner shall also �e liable for alI penalties and interest nn an� outstanding ainount at the stafufary zate for delinqueni taxes, as de�ertni.n�d by the Code at the tirne of the payment of such penalties and inta�rest (currentty, Sec�ion 33.01 of ihe Code). f.� 4.4. Termination at WiIl. If the City and Ownex muivally deieimuie that ihe develapmex�t or use a£ the Premises ar the antzcipated Require�. Irtnprovements axe no longer appropriate or feasible, ar that a higher or better use is preferable, the .City and Owner may terminate this � Agreement in a wriiten format that is signed by both parties. In this eveni, {i) if the Term has cornrnenced, the Texm shall expire as of ihe effective date of the ter�ninatio� of this Agreemenf; (ii} there shall be na recapture of an� iaxes previously abated; and (ui) neither parEy shall have any further r�ghts ox abligaiions hereunder. S. EFFECT OF SALE �F PRENII5ES. Except for an assi�ent to KB Home Lone Star, L.P., KB Hame Lone �tar, L,P.'s affiiiate�, KB Home Lone Star, L.P.'s first mortgagee ax ta a homeowner who will . use th.e Rec�uired Improvements as its primary residence or the homeowner's mor�gag�e which City Council hereby agrees tb, f,he Abatement g�ranted hereunder sha1l vest only in Owrier and cannot be assigned to a new owner of a.11 or any partion af flie Pr�zr�ses ancUnz Required Improvements without the prior written consent af the City Council, .wluch consent shall �iat be iuireasonably wiihheld provided tlaat (i) t�ie City CounciZ finds that the proposed assignee is fnancially capable of ineeting the terms and condi�ions o£ this Agreeznent a�d (ii) th� proposed purchaser agrees in writing to assume aIl terms and conditions of Owner under thi's Agreement. Ovvi�er may nof otherwise assign, lease or convey any of its rights under this Agreeaaaent. Any attempted assignment wi.thout the City Council's prior �vritten consent shall constitute grot�.nds for terrriination of this , Agreemen� anc}. tIxe Abatement granted hereunder following ten (10) calendax days of receipt of written notice from the City to Owner. For the purpnses o.f khis Sectian, "affiiiate" shall 7nean (i) any entrt� in which at least ZS°fo a£ the ownership consis�s of individuals, partnerships, trusts {or their ind.ividual parfners or beneficiaries} or o�her entities included whether by 1egal fitle or beneficially, in the present ownership of O�crner oz- KB Home Lone Star, L.P. or (ii) any antity which has at least a fifty-ona percent (51 °/n) oumersl�ip intezest in Owner or any entity ixi wliich Owner has at Ieast a fi#'ty-ane perce�t (S J %) ownership inter�st, Upon assi�nment to KS Home Lone Siar, L.P., KB Hobae Lone Star, L.P.'s af�'iliates or i�s first inp�fgagee, or to a homeowne�- who wili use the Reat�ired Im�pravements as �its nrimary residence or the homeowne�-'s nno�rt�asee, Ramev Avenue,. L.P. �hall have no fur�he�r obli�atious or duties u�nder this a�reement. Neither tha Premises nor any of the Req��d Improvements covered by this Agreem�nt are owxied or leased by any member af the City Council, any mernher of the City PlaXaz�aing or Zonirig Commissio�. or any member of the governing body af aziy ta.xing units in the Zone. In the ev�nt af az�y conflict between the City's zoz�i.ng oxdinanc�s, or other Gity orciivances or regulatzons, and this Agreemeni, s�ch oxclina,nces or regulations sha11 control. In the event of any conflict b�iween xhe body of �.is Agreement and Exhibit `�", ihe body of this Agreement sha11 control. '�.4. Future Anu�ic�tian. A portion or al� af the Premises a�dlor Required Irnprovements rnay be eligible for comp�ete or partial exemp�ion from ad valorem taxes as a result of ��cisting la-w oz� fi�ture legislation. This A�reernent sh�.11 not be constn�.ed as evidene� that such e�emptions do nat apply to the Prernises and/or Required. Improvemez�ts. �.�. City Council.A.uihorization. Thi.s Agreement was au�horized by the City Council thraugh approval of Mayor and Co-uncil Communication Na. C-19490 on Febr�ary 25, 20Q3, which, among other things, authariz�d ihe Czty Mariager io execute this Agreemeni on behalf of the City. 7.6. Estonx�e� Cextificate. Any party hereto may request an estoppel certii'xcate ft'ozn ano�eir party k�ez'eto so long as the certificat� is requested in connection with a bona ftde business purpase. The certificate, r�vhich if requested will be addressed to the �Owner, shall include, but not neeessarily lie linvted to;'�staternents that this Agreement is Yn full force and ef%ct wrthout default (ar if an Event o� Default exists, the 'nature of the Event of Default and curative actian talcen andlor ziecessary to effect a cure), the remaining term of this Agreemen�, the 1evels and remaining term o:F �e Abatement i.n effect, and such ather matters reasonably requested by the party or parties to receive the �ertific�tas. 7.7. O�vne� Standin�. Owner shall be deemed a proper and necessary party i� any litigation quest�oning or cl�allengirig �he validity �fihis Agreement ar any af the underlying laws, ordi.nances, resolutions ar�iiy Council actions authorizin.g this Agreement, and Owner shall be eniitled to intervene in any sueh lit�gataon. 7.8. Venue aud Ju�risdiction. This Agreement sha11 be construed in acco�'daxzce with the laws of the Sta�e of Texas and applicable ordir�ances, rules, regulations or policies of the City. Venne for any action under this Agreexz�.ent shall lie in the 5tate District Court of Tarrant County, Te�as. This Agreement is perfarmable in Tarrant Caunty, Texas 7.�. Reearda�xon. A certifi�d copy of this Agxeement in recordable form shall he recorded in the DeedRecards oFTarrant Cqunty, Te�as. 9 '�.10. Severabi�itv. Tf any pxovision of this Agreemeni is held to be in.valid, illegal or urienfarceable, ihe validity, legaliiy and enforceability nf tlje xemainii�g provisions shall nat in any way be affected or unpa�red. '�.11. Headin�s Not Cflntrollin�. Headiugs and titles used in fiJ�.is Agreement are for reference purposes only and sha11 not be de�m�d a part of this Agreement. � 7.1�. Entiretv of Ag�reement. Approve the application of Ramey Avenue, L.P. and KB Home Lone 5tar, L.P. for a fi�e-year Municipal Praperty Tax Abatement for the Ramey Piace Addition in the 5top Six Neighborhoad , Empowerment Zone (NEZ); and ; 2. DISCUSSION: Ramey Avenue, �..P., a Texas Limited Partnership, and KB Home l.ane Star, L.P., a Texas Limited Partnershi�, are the flwnerldeveloper of the Ram�y P�ace Addition located off the 5900 block af Ramey A�enu� and Cass Street in the Sto� Six NEZ and Neighbor�oQd Empawerment Rein�estment Zone (NERZ No. 1). Ramey Avenue, L.P. and KB Home Lone Star, L.P. appfied for a fi�e-year municipal prop.erty tax abatement under the NEZ Basic Incentives (M&C G-132�8R dated June 5, 2DQ1, M&C G- 1358Q dated April 2, 2Q02, and M&C G-13662 dated July 23, 2002, as amended). The Housing Department t�as re�iewed the application and certified that ihe �roperty meets the eligibiiity criteria tv receive NEZ municipal property tax abatement. Th� NEZ Basic Incentives affers a five-year municipal propert�r tax abatemer�t of the increased value of impro�ements fo the own�r of any new h�ome cons#ructed within a NEZ. Upon the safe of each home by KB Home Lone 5tar, L.P., the new owner may ass�me rele�ant #erms and canditions unde� this tax abatement agreement by entering into a r��w tax abatement agreement with th� City, if the new owner meets all eligible criteria as stated in the NEZ Basic Incenti�es.
