The City C�tiincil o� the City of Fart Worth ("City Cauncil") hereby finds and the City arid Owner hereby agree that the foXlnwing sta�ements are true and ca�xect and constitute the basis upon which tk�e City and Owner have entered into ihis Agreexnent: � A. Chapfer 3'78 of ths Texas Local Ga�ernment Code allows a rntuiicipalzty to create a Neighborhood Eznpowermenfi Zone {NE2) if the municipality deiermines ihat the creation of the. zone wauld promote: , l. The creation of a�fordable housing, including rnanu�'actured housing in the zone; 2. An increase in econornic development iz� �e zone; � 3. An increase in the quality of sacial �ervices, ed�cation, or public safety provided ta zesidenis of the zane; or 4. The rehabilitatibn of affoxdable liousing in the zane. B. Chapter 378 of the Texas Local Government Code �lrovid.es that a mvnicipality ��hat creates a NEZ, may enter into a.g�reements abating municipal praperty taxes on property in tlie zone. C. Oi� July 31, 2001, the City adapfed basie inceniives for properiy owners �vho own property located in a NEZ, sfating that the City e�ects to be eligible to participate in fa� abatement and including guidelines and criieria governing ta� abatement agreemexits ent�r�d iz�to between the Ci�y and various third parties, titled "NEZ Basic Incentives" (��NEZ Ineentives"), which is attached hereto as L�liibit "A" and hereby made a part of this Agreement for a1I purposes. � D. The NEZ Iz�.centives contains appropriate guidel�nes and cziteria govert�ng tax abatem�r�t agzeemenis to ]ie entered into by the City as contemplated by Chapter 312 of the Texas Ta� Code, as amended (ihe "Code"). . E, On September 11, 2001., the Fort Worth City Council adopted Orclinance No. 147b7 (the "Ordinance") establisbing "Nezghbarhood Empowerrnent Reinvesti�ent Zone No. 1," City of Fart Worth, Te�as (�e "Zone"). F. Owner owns certain real properiy Iocafed en�irely wiihin the Zone and thai is rriore particularly described in Exhibit "B", aitached hereto and hereby rnade a part of this Agreernent fox all purposes {the "Premises"). G. �wner ar its assigns plan to construct the Req�ired Iri�prnveznent,�, as defined in Section 1.1 o�'this Agreement, an �:he Prerrlises tn be used for as a single-fa-mily residence to be that will b� owner ocaupied.. (the "Project"). H. On Tu1y 24, 2002, Owne�r submitted an app� catian for 1VEZ incentives and an application. on �anuary 17, 2003 fox taac abatament to the City concerning the contezn.piated use of the Premises (the "Application"), attached herefo as E�hibit "C" and hereby zx�ade a part of this Agreement �or all purposes. I. The City Council finds that the contemplated use of the Premises, the Required Itnprovements, as d�fined iz� Section 1.1, and the terms o� �his Agreezxient are consistent with encauraging development of tha Zone in accordarice vw�th the pluposes for its creation and az�e zn compliance with the NEZ Tncentives, the Resaluiion and oth�r applicable la�vs, ordinances, rules and regulations, J. The City Council finds ihat the terms of this Agreeinent, �.nd the Pzeinises and Required Tmprov�ments, satisfy the e�igibilit� criteria. of tkxe NEZ Incentives. K. Wriiten notice that the City intend� to enter inia this Agreemeni, along with a cbpy af tbis Agreement, has been fixrnished in the mann�r prescribed b� the Code ta the presidir�g officers of the govetning badies oF �ach of 1:�.e taxing units in which the Pr�mises is located. NOW, THEREFORE, the City and Owrier, far and iri consideration of Ghe tarms and con8itions set forth hereu�, do hereby contract, covezaant and agree as follows: I. OWNER'S C4VENANTS. 1.1. Real.Propeartv Imbrov�ments. Owner shall canstruct, or cause to be constructed, on and wirhin �he Pre�ises certain improvements consisting af a single family residence, (i} of at least 1,200 square feet in size, and (ii) k�aving an appraised value of $85,0OO.OQ, as determined by an independen� appzaaiser (collectively, the "Required Improvements"). Ovvner shall provide a survey of the compl�ied home sk�owing Required I�nprovernenis befare tkxe home is so�d. The parties agree that khe final survey sha1l be a part oithis Agreement and shall be Iabe�ed Exhibii E. Minor �rariatians, and znore subsiantial variatians if approved in �riting by both of the parties to this A.greement, in the Required Irnprovem.ez�ts from th� descxiption provzded in fhe Application �or Tax Abatement sha11 not constitute an Event of Default, as defined in S ectian 4.1, provided that the canditions in t�he � first sentence Of t�ll5 Section 1,I are met and the Requixed Jnipravements are used fox the purposes and in t�e maz�.ner describe� in E�hibit "D". 1.2. Completion Date of Repuired �zinurovements. Owner covenants to substantially complete construction of a11 of th� Requix�ed Tmprovements within two years from the issuance and receipt af the huilding penmit, uriless delayed because of force majeure, in which case ihe two years shall be ext�nded by the numb�r of �ays comprising �e specific force majeure, For purposes of this Agreernent, �orce majeure sha�l mean an evenf beyaxzd Owrier's reasonable contzol, includau�g, without �imi�a�ion, delays caused by adverse wea�her, d�lays iz� recezpt of any requirec� perinits or approvals fror�rz any governmental authori.ty, or acts of God, fires, sirilces, national disasiers, v�rars, riots and material or Iabor restrictions and shortages as det�rmined by t�ie City of Fori Worih ii� its so�e discretion, vvhich shall not be unreaso�ably withheld, but shall not incZude cons%ciion d.elays caused due to �purely finax�cial riiatters, such as, tivithout Iiznztation, del�.ys in the obtaini.ng of adequate financi_ng. _ 1.3. T1se of Premises. Ovvzier cave�ants �ha� the Required Improvements shall be constructed and the Pr�mises sha11 be sald so that it is con�.nuously used as the p�irnary xesidence of the Home Buyar in accorda.nce with the description of the Praject set forth an the Exhibxt "T3". In addiiion, Ovvner covenants �at throughout the Tarm, the Requi.red Trnprove�x�.ents sha.�1 be operated a�d m�znta�ned for tha purposes set forth in this Agreexnent and in a..m�nner that is cnn.sisten.t with the general purposes of encouraging c�evelopment or redevelopment of the Zone. 2. ABATEMENT AMOUNTS, TERMS AND CONDIT�ON�. Subject ta and in accordance wi.th �his Agr�emeni, the City hereby granis to Owner a real property �kax abatement on the Premises, tlae Required Tmprovements, as speciftca�.y provided in �his Section 2("Abatement"). "Ab�fieanent" of real p:roperty taxes only incXudes City of Fort Worth-imposed f�es and not taxes fro�n other taxing entities, �.1. Amount of Abateme�t. The actual amotuli af the Abaiement grant�d u�der fihis Agreement shall be basec� upon �he increase in. value of the Pr�mises and the Required Tniprovements over iheir va.lues on Janu�-y l, 2003 ($2082.00) the year in which this Agreeznent was entered into; 3 One Huadred percent (100%) af the increase in value from the constzuction of the Required Improvements_ Tf the square footage requirement and the appraised v�.lue of . th� Rec�uired 7mpxovemei�ts are less than. as provided in Sectian J.1 of �his Agreement, except that such xz�inimum construcfian costs sha11 be reduced by consfruction cost savi�gs, O�vz�er will nat be eligible io receive any Abatement under this Agreernent. �:2. Increase in Value The abatement shall apply only to �a�tes on the increase in value of the Prernises due to cansiruction of the Requir�d �rnprovexnents and �ha.11 not appiy to taxes on tha iand. 2.3 Term of Aba�ement. The ternl of thie Abateinent (the "Term") sha11 begiYi on Tanuary 1 ai the year following the calendar year in which the Requirad Improveznent is sold to a Ho�ne Buyex to ba used as iYs p�imaxy residenc� (`Begini7ing Date") and, unless sooner texrninated as herei�a provided, shall end on December 31 imrnediately precedi.ng the ff�h (St�) anniver�ary of the Beg;nn�z�g Date, Upon th� sale to a Home Buy�r, City shall certify that fihe Required Impravemenfs have been completed in satisfaction of the ierms of this Agreem�nt 2,4. Protests Over Anx�raisals or�Assessments. Owner shal.l have �he right ta protest and contes� any or a1.1 appraisals or ass�ssments af tlie Premises and/or improvernents therean. 2.�. Abatement Apnlication Fee. Th� Ciiy acl�iowledges receipfi from Owner of th� xequirec�. Abaternent applicatian fee of tweniy-five dollars ($25.00). 3. RECORDS, CERT�CATT�N AND EVALUATION OF PROJECT. 31. Insuection of Pre�ni�es. B�tween the execution date of this Agreement and the last day ofihe Term, at az�y tirrie during consiruct�on of ihe Required Img�avements and following reasonable notice to Owner, f,he City shall have and Owner shall pzovi.de access to the Premises in order far ilie City to inspect the Premises and evaluate the Required Improvezxxents to ensure campliance with th� terms and condition� o�' this Agxeexnezat. Owner shall caoperate fully with the City durzng any such inspection azld/or evaluation. 4 3.�. Certification Owner sball certzfy a�nual�y to the City that it is ir� compliance with each applicable term a� ti3is agreament. The City shall have the righi: to audit at the City's expense the financial and business records o�' O�rner �hat relate to the squaxe £ootage and appraised value af the Required Improvements and once tk�e city property taxes are abated, Owner musf p�rovide documentation that Owner is using the Requirac� Trnprovemenis as i.ts px�i.mary residence (collectively, the "Records") at any tim� d�riz�g the Complianee Auditing Term in order to determine compliance with this Agreement and to calculate the correct percentage of Abatement available to Owner. Owner shall n�al�e all applicable Reco�ds avaiiable to the City on the Premises ar at another Iocatian in the Cit� following reasonable advance notice by the City and shall otherrx�xse coope�atG �'ially witl�. the City dtariug a,ny audit. 3.3. Provxsion of Information. On or be�aze February 1 following the end of every year during f17e Compliance Auditing Tez�a and if rec�uested by �he City, Ov�mer shall provide zn%rmation and documentat'ion for the previous year tk�at addxesses Owner's compliance with each of th� ternis and c�nditions o� f.hzs Agree�neni for tha� calendar year. Failr.rre ta pravide c�tl info�matio�z yvithin the control of Owrier requirerl by this Sectivn 3.3 sD�ail constitute ar� Eve�t ofDefault, as defined in Sectian 4.1. 3.4. Detertnivation. af Comtiliance. On or before August 1 of each year durin� the Coinplianee Auditing Term, tbe City s�all inake a decision and rule on the ac�xai annual pezeentage of Abatement available to Owner for the �'allowing yeax of the Term and sha.Il. notify Owner of such decision and zuling. The actual percentage of the Abaternent granted faz a given year o�f the Term is therefora based upon Owner's compliance wi�h the te:tms aa�d co�.d'zfiioz�s af this Agxeement during the previous year af the Corn.plzance Auditing Term. 4. EVENT� OF DEFAULT. �4.1. Defined. Unless otherwise specified herein, Owner sha11 be in default of this Agreement if (i) Ovsmer fails ta construct the Required Tmprovemenis as definad in �ectian 1.1; (ii} ad val�rem real property taxes with r�spect ta the Pz�emises o;r the �-iroject, o� its ad valorem taaces with respecti to the tan.gible personal pxoperty �ocated on the Pxemises, become delinquent and Owner daes noi �imely and propexJy follow the legal pxocedures for protest arid/ar contest of any such ad valnrem z'eal property or tangi�le personal property t�es ar (iii) HOME BLJ'Y�R DOES NOT USE THE PREMISES AS PRIMAR� RE�IDENCE ONCE THE ABATEMENT BEGINS (collectively, each an "Event of Default"). 4.2. Notice ta Cure. Subject to Sectian 5, if the City determines that an Event of Default has caccurred, t.�e City shall provide a written notice to Qvvner that describes the nature of the Even� of Default. Owner shall have ninety (90} calendar days fram the d�.te of receipt of this written notice io fi�l1y cure or have cured ih� Event oi Deiault. If �wner reasonably believes �hat Own�r wi11 requ'rre additional time to cu.re the Event of Default, Owner shall promptly notify the City in wri�ing, in which case (i) after advising the City Council iz� a�. open mee�ing of �wner's efforts and intent �o cure, Ow�ner shall h�ve one hundred eighty {180) calendar days from the original dafe a�receipt a£tbe w�ritten x�o�ce, ox (ii} i� Owner reasonably believ'es that Owner will rec�uire mare than one h�ancired eighfy {180) days io cure ihe Event of Default, a.fter advising the Ciiy Council in an open meeting of Owner's e�'forts and intent to cure, such additional time, if any, as may be nffered by the City Council in its sole discrEtion. 4.3. Te�-minat�an for Event of Defanit and Pavment of Liquidated Dama�es. �f an Event af Default which is defined in Sectior� 4.1 has not been cured within . the time frame specifically allowed under �ection �.2, th� City shall �ave the right to � tern�inate this Agreement ixnmediate�y. Owner acknowledges and agrees that azi uncured Ev�nt of De�ault wi.li (i) haim the City's economic develapment and redevelopmeut efforts on the Premises and xn the v�cinity of �he Prenuses; (ii} require unplanned axld expen.�ive additional administrativc ov�rsight and involvement by �3ie City; and (iii) othez-wise harm the City, and Qwner agrees �hat t�.e amoiaait,s of ac�ual daxnages therefrom . are speculative in nature and �will be di£ficult or impossible ta ascertain. Therefore, upon termination o� �iis Agreement for arty Event of Default, Owner shall not be eligible for the Abateznent for the remaining Term and Owner shall pay �he City, as liquidated damages, all taxes tl�a.� were abated in accordance with this Agreemen# far each year wh�n an Even� of Default existed and which otherwise woul� ha�e been paid �o fihe Ciiy in �he absence of this Agree�nent. The City and Owner agree tl�at this ' amount is a reasonable approximation of actual damages tliat the City vvill iric�.ir as a result of an uncured Event of D�fault and that this �ec�on 4.3 is intended to provide the City with �. compensa�ion for actual da�ages and is not a penaliy. This amou:�t �nay be recovered by the City through adjustmezits rnade io 4wner's ad valorem praperty �ax appraisal by the appraisal districfi that has juriscliction over the Premises. Otherwis�, this amount shaIl be due, owing and pa.id to the City within sixty (50) days follawix�g the ef£ective date af termination of fhis Agreement. In the event ihat all or any poriion of ihis amount is not paid to the City within sixty (b0) days following ih� �ffectxve daie o� tern�ination o�' this ,F Agreernant, O�vn�r sha11 also be liable foir alI penalties and interest �on an� outstanding aialount at the statatazy z�ate �or delinquent taxes, as de�ermi7ied by the Code at the time of tha payment of such �e�alties and interest (currently, Section.33.01 of the Code). 6 4.4. Termination at Will. If the City and Owner rnutually dete�rnine that the developxnent or use of t.�e Prernises ar the anticipated Requir�d Improve�ents are no longer apprapriate or feasi�le, t� ox that a higher or �e�ter use zs preferable, ihe .City and Owner may terminat� this Agree7nent in a written .foxr�.at that is signed by bath parties. In this event, (i) if ihe Term has commenced, the Te�m sk�all expire as of the ef�'ective dafe nf t�e iez�ina#aaz� af this Agreement; {ii} there shall be na �-ecapiure of any iaxes previously aba�ed; and (ii'r) neither party s1�alI �ave az�y further rights or obligations hereuz�der. 5, EFFECT OF SALE OF PREl1�SE�. Except for an assigunent to KB Horne Lone Star, L.P., KB Home Lon.e Siar, L.P.'s af�iliates, KB Home Lana Siar, L.P,'s first mortgagee or to a homeowner who wi11 use the Required Jmprovements as its primary residence or the homeowner's mortgagee vvhich City Coun.cil hereby agre�s to, the Abatement granied hereurider sha11 vest only in Qw�er and canriat be assigned to a new owner of a11 or any partion of ihe Pr�mises andloi �equired Impravements withaut the prior written consent o� the City Couneil, .which consent sha11 rio� t�e unreasonably wz%�held provided that (i) the Cxty Council finds that the proposed assigraee is financially capable af inee�ing ih� terms and cozadztzoz�s of thi.s Agreement and (zi) the proposed purehaser ag�ees �in. writing to assume all terms and conditions af Owner under �is Agreenient. Owner may not aiherwise asszgxi, Iease or convey any of iis righfis under �his Agreement. �Any atte�ptecl �signmeni without the City Caunczl's prior wriiten consent shall constitute gro�axiiis for terminatio� of this Agreement and th� Abafie�xaent granted hereunder follawing ten (10) calendar days of receipt of writte� notzce from the City to Owner. Fox the purposes of this Section, "affiliate" shall mean (i) any entity in which at Zeast 25% af the ownership consists oi individuals, partnerships, tt-usfis (or their individual partuers ar beneficiaries} or other entities inciizded whether by Iegai title or beneficially, in the present ownership of Owner or KB Ho�e Lone Star, L.P. or {ii) any entity which has at least a fifty-one percent {51 %} ownership int�res� in Owner or any entity iri w�iich 4wnex has at least a fifty-one percent (51 %j ovv�e�rship interest. Upon assi�nrnent fo KS Home Lone Star, L.P., KB Home I,one Star, L.P.'s affili�tes or its first ino�rtga�ee, or to a homeowner who will use fh� Reauired Imnravements as'it"s prxmary residence oX the homeawner's martga�ee, Ramev Avenue, L.P. shall have no further obli�ations or duties under this a�reement. Tn addition, �pnn assi�nziaent to anv other eniitv wiih tlxe vv�-itt�n consent of Citv Caunci�, Ramev AVenue, L.P. shall have no furt�er dutv o�r obligation under this a�reement. In no event shall the abaiement term be e�tended in the ev�nt of a subsequent sale ox assignment. � 7 6. City: NOTICES. '�.3. Confl�ictis Beivveen Documents. In the event of any conflict between the City's zoning ordinances, ax oihez Cify ordiraan.ces or regulations, and this Agreement, such ardinances or regul.ations shall cani�rol. In the even� of any conflict beiween the body of this Agreexn.ent a.nd E�ibit "D", the body of this Agreerneni sha11 control. 8 7.4. Future Anplicatxon. A poriion or all of the Preznises and/or Required Tmprovements may be eligible for complete or paz-tial e�emption from ad valarem taxes as a result of existing Iaw ar fiature legislaiion. This Agreement shall not be construed as evidence ihat such examptians do not apply to f,he Premises andJor Required Improvemex�ts. �'.�. Citv CoUncil Au�hoxi�atian. This Agreement was authorized by the Cit� Council through approval a� Mayor azi.d Council Co�nmunicafian No. C��9490 on February 2S, 2003, which, among other things, authorized fhe Gzty Manager to execute this Agreement on behal� of ihe City. q.6. Estoppel C'erfaifiicate. Any party hereto rnay reqnest an esto�ppel c�rtificat� froin another party her�tp so Inng as the certi_fi.cate is requested in con�n.ectian with a�ona fide business purpose. The certi#ica�e, which i� zeques�ed will be addressed to the �Owner, shall includ�, but nflt necessarily be liznited ta;'-statements that this Agreement is in fiill force ar�d effect withoufi default (ar if an EvEnt o� De�ault exists, the "nature of the Event of Default and curative action taken and/or xiecessary to effeci a cure), tlie rernaining term of this Agreemen�, the levels and remainulg ierin of th� Abatemen� in aifect, and such other maiters reasonably xequested by the party or parties to receive the certificates. Venue for any action under ihis Agreement sha111ie in fhe State District Cour� of Tarrant Couniy, Texas. This Agreemen� is performable i_n Tarrant Count�, Texas '�.9. Recordation, A certif ed copy of this Agzee�rz�.e�t ixx recordalile foixn sha11 be recorded in the Deed Records of Tarrant County, Texas. �'.10. Severabilitv. If any provision of Y�is Agreerrieni is held to be invalid, illegal or unenforceable, the validity, l�gality and en%rceability of the re�aining provisians sha11 not in any way be a£�ected or impaired. 7.l l. Any grior or contemporaneous oral or written agreement is hereby declared null and void to the exten� in canflici witli any provision of thzs Agreerrient. Ramey Avenue, L.P. and KB Home Lone Star, L.P. applied fflr a five-year municipal property tax abatement ur�der the NEZ Basic Incentives (M&C G-� 3208R dated June 5, 2D0�, M&C G- 13580 dated April 2, 2002, and M&C G-13662 dated July 23, 2002, as amen�ed}. The Housin� Department has reviewed the application and certifi�d #hat the property meets the eiigibility criteria to receive NEZ municipal praperty tax abatement. The NEZ Basic Incer�ti��s offers a ffve-year municipal property tax abatement of the increased value of impravements �o tt�e owner of any new hame consfructed within a NEZ. KB Home Lone Star, L.P. will in►�est $fi,200,D00 to construct sixty (6Q) single-family hom�s, not including the model home, in the Ramey Place Addition.
