Owner ow�ns certain real �raperty located e�tirely wit�un ihe Zone and that is more particularly descrilaed ial Exl�ibi� "B", attached hereto and hereby made a part of this Agreernent far alI puYposes (tY�e "Pre�mises"). Owner or its assigns plan io construc� the Requ�red 7mprovements, as defined in Section 1.1 of ihis Agreement, an ihe Premises to be used for as a single-�arnily residence to be that will be ovvner occnpied. J. The Czty Council �n�ds that f11e teims of this Agreexn.ent, and the P�remises and Required Improvements, sat�sfy t�e eligibility cniteria of the NEZ �ncentives. K. NO'VV', THEREFORE, t.�e City and O�mer, for and in consideratian of the terms and conr�i�ans set forth herein, do hereby cantract, c�veriant ancl agree as fallovv�: 1. OWNER'� CUVENANTS. 1,1.. Rea�.Pronert� Imp�rovexnents. Owner shall construct, or cause to b� constructed, on a�d r�zthin the Prernises certaia� impraveme�ts consisting a£ a single farnily resxdence, (z} of at Ieast 1,2fl0 square feet in size, and {ii} having azx appraised value o:f $85,000.00, as detern�iued by an independent apgraiser (collectzvaly, -th:e "Required Yrnprovements"). Owa�ex sha11 provide a survey of the connpleted hame shawi.ng Required �Znprovernents before �he home is sald. The parties agree ihat the fiz�a1 sLuvey� shall be a part ofthis Ag�reemeni and shall be labeled E�bibit E. ComAletzon Date of Req�ired �mArovements. ABATEN[ENT AMOIJN�'S, TERMS ANA CO�NbITIONS,. Subj ect to and in accordance with this Agreement, �the City hereby granis to Owner a real property ta� abateme�t c�n the Premises, tl��.a Required Impzpve-ments, as spe�ifically provided in. this Section 2{"Ab�temeni"). "Abaiement" of real pxoperiy taxes only includes Cit� of F`art �V4�arth-imposEd ta�es and not taxes from �ather t�in.g entit�es. 2.1. Amount of Aba�ement. Tlxe ierm of the Abaiement (the "Tenn") sh�.Il begin on 7anuary I of ihe yea� �ollowing the calez�dar year in v,rl:�ich the Requir�d Impzovement is sold to a Hox�e Buyer to be used as its prixnary residence (`Beo �ning Date"} and, uxzless sooner t��iniliated as herein pxovided, shall e�d on December 31 izx�ediately preceding the fifth (5t�') anr�.iversary of the Begix�?ing Date. Upozz �:e sa�e to a Honie Buyer, City shall certify that the RequiTed Improvem.ents have been completed in satis�'ac�ion of ihe terms af this Agreeme�t 2.4. Protests dve�r �.ppraisals or Asses�ments. Owner sha11 have the z�ght to �rotest a�d contest any or a�1 appraasals or assessn�ents of the Premises a�dlor im�rov�ments the�reon. . �.�. Abatenaent A.UUbcatl4n Fee. The City ackriowledges receipt fram Owrier of the required Abatement ap�Jzca�ion fee of Ywenty-five dollars ($25.OD). 3. R.ECORDS. CERTTFiCATION AND EVALUAZ`IO1�T OF PRO.�C�, 3.L Znspection of P�'e�ises. Between the e�ecution date of this Agxeement a�a.d the last day of the T�rm, at any ti�ne during construction of �he Requiz'ed Tmpravements and %llowing reasonable ndtzce to Owner, �ihe City sha1l have and Owner shall provide a.cc�ss t� the Premises in order for .t�a.e �ity to inspect the Premises ax�.d evaluate thc Rec�uzred 7mprovem�nts to ensure compliance with fh� terms axad conditions o� �his Agreement. ��ner sha11 coaperate fi�1y with th� Cxty du�i.z�g any such inspection andlor evalnation. 4 3.2. Certifxcatio�, Owner shall certi� annually to the City that it is in colnpliance •nvif� each applicable texm o� this agreeme�t. The City shall have the righ� �o aud.it at fhe City's expense the finaz�cial and busi�ess records of Ownez tliat relate to the square footage a:�d appraised value of the Required Impxovezn.ents and once th� city property ta�es are a�ated, Owner mu�t provide docu.menta�ion that �wner is using the Required :bmprovements as its primary xesidence (collectively, the "Records") at any time duxing the Compliaxace Auditing Tenm in order to deterznine compliance with this Agreemeni an� ta calculate the carrect percentage of Abatement availab�e to Owner. Ownar shalZ make ail applicable Records available to the City on f.he Premises or at another locaiion i.n the City followi.x�g reasonable advance notice by tl�e Cit�r and sha11 oYllerw�ise cooperate fully with the City during any andit. 3.3. Provi�zon of rnformation. On or befare Feb�ruary 1 following the end af every year during the Compliance Auditizag Terin and if request�d by t.�.e C�ty, Owner sha.11 provide anforma�ion ax�d docuxnenta.tio� %r the previous year t�ai addresses O�vner's aompliance vvith each of ihe terms and coz�ditions o�this Agreement for that caJezada�r year. Failure to provide all i�forrnation within fhe co�trol of Orv�er �equired by t`his Section 3.3 shull constitute an Event ofDefault, as defined in Section 4.1. 3.4. Determination of.Compliance. On or before August 1 0� each year during the Co�.pliance Auditing Te�, the City shall inake a decisiaza and r�ale o�n the actual annua.I percentage of Abatemeni avaiiable to Owner �or the followir�g yeax of the Term and shall xzotify Owner of such decision and rulir�g. The actual pezcentage ❑f ihe Abatezx�ent granied for a gzven year of the Term xs tTaerefore based �poz� Owner's compliaxice wiih the terms and condit�on.s of t�is Agzeement during �ae previous year oithe Compliance Audii�ug Term. 4. EVENTS OF DEFAULT. 4.1. De%ed. Unless otllezwise specified Iierein, Own�r shall be in dEfault af thi.s Agreement ii (z} G�u�ner fa.ils to consi�uci ihe lZequired �i�a.provements as defined in Section 1.1; (ii} ad valorem real pxoperty taxes with respect to the Prernises or the Project, ar its ad valorexn taxes with respect to the tangible pexsonal property located on the Prerruses, becazne delinquent and �wner daes not ti�ely arad properly %llow ihe legal procedures :For protest arid/or coniest of any such ad valorem real property ax tangible personal property ta.xes or (iu} HOME SUYER DOE� NOT USE THE PREMI5ES A� PRxMARY RESIDENCE ONCE THE ABATEMENT BEGxNS {colIecti�vely, each an "Even# of Default"}. 4.�. Notice to Cu�re. �ubject to Sect�on 5, if the Gity deterxnines that a�. Event o�Defauli has occurred, f.he Czty shall pro-cride a wri�ten notice to Owner �hat describes the nature of the Event a� De�au.lt. Owner shall have ninety (90) calendar �ays �ro�aa the date of rec�ipt of f,h:is written notic� ta fully cure or have cured the E�e�t� o£ Default. If Owner xeasonably beli�ves ihat �wner wi11 requixe additiona� time to cure the Event of Default, Ow�aer shall prainptly not'ify ihe Cxty i�n wriiing, in whi�ki case (i} after advi,szng tkxe Giiy Councii in an ppen z�eeting of Qwz�er's efforts and �i.ntent to cw-�, Owne:r sk�a.li have one �u-ric1�'ed eighty (]. 80) calendar days from ihe ariginal date af receipt af the written notice, or (i.z) if �wner reasonably believes that O�x�.ex will require more than one hunc3red eighty (180) days to cure �he �Event o� Deiaulfi, after advising the City Council in an open meeiing of Ownex's efforts and int�nt ta cure, such adc�itianal time, if any, as �ay be offered by the City Council in its sole dascretion. �.3. T�rmination for Event of Default and Pavment of Liciuidated Dama�es. Tf an Evez�t of Default whzch is defined in Sectian 4.1 has not been cured within the tirne fraxz�e specifically allowed under Sectaon 4.2, the City sha11 have #he right to teriYai��ate this Agreemen# immediatel�. Owzier acknowledges �,nd agrees ihat an uncu�ed Event of Default will (i) harm the City's econoniic development and redevelopmen� efforts on the Premises anc� in the vicinity of tJae �reznises; (ii) r�quize unplanned and expensive additional admiz�istrative oversi.gh� and involvEment by t]ie City; and (�u) otherwise harm. the City, axid Owner agzees thai the amoiznts af actual damages therefroral are spec�ativc in nature anr� wi�1 be di�ficult ar�.npassible to ascertain. There�ore, upan termiriation of t.�.is Agreem��it far axiy Event af De�ault, Own�r shall IIot be eligibie for the Abate�rzent for the rerz�a.ini�g 'Tei�n and Owner sha11 pay the City, as Iic�uidated damages, a11 iaxes �hat were abated 'uz accordance �crith tbi� Agreement far .each year when an Event of Default existed and whicli otherwise wo�ald have been paid to the City in th� absence of ihis Ag�reement. The City ax�d Owner agree that tnis a�nount is a reasonable appro�ima�ton of actual da�mages thai the City wi�l� incur as a result af an i.�zxcured Event of Default and that th�is Section 4.3 is iza.tezided to provxde the Czty w�fih compensafio� for actual damages and is not a penalty. This amouni may be xecoverec� by txr.e City throngh adjustme�ts made to Owner's �,d valorem property tax appraisal by the appraisal district �hat has jurisdiction over tk�e Premises. Ofherwise, this aanoun� sha11 be due, owing and pai� to the Cit� w�i�hin si�ty (60} days following the effeefzve date of terminafion af this Agreement. Terminatiazt at WiII. Ii the Czty and dvvnex mutually deiermine that ihe developmeni ar use of the Prexz�.ises or �he a�ticzpated Required Im.proveme�.ts are no Iongex apprapriate az feasible, or that a higher or better use is preferable, fhe City and Owner may tez�ninate ihis Agreement in � wxitien fozmat that is signed by both parties. 7�i this event, (i) if the Tezm has commenc�d, �}ae Term shalZ expire as of the effecfizve daie of �1�.e termination of this Agree�neni; {zi) t�here sha�l be no xecapture of any taaces previously ahaied; arzd {iii} neithex party shall have any ftirther rights or obligations hereux�d.er. 5. This Ag�reexnent is subj ect to rights of hold�rs of out�iancling bands of the City. 7.2. Canflicts of Interest. Neither the Preini.ses nor any of the RequiY'ed Improvemenis cover�d by this Agreement aze own.ed or leased by any �emher of the City Council, any me�bez of the City Plaa�x�ing ar Zonirig Cornrnission or any member of the governing body of any iaxing units i.� the Zone. 7.3. Conflicts Between Documents. In tk�e event of any conflict between the City's zoning orciinance�, or other City ordinances or regula�ions, and. tbis A.greement, such ordinances oz� regula#ions sha1I con�rol.. In the event of any canflict between the body of this Ag�reexxxea�t and E�hibi.t "D", the body of this Agreement shaIl control. 7.4. FCIti11CB AUt]�1CStl.qri. A portion or all of tk�e P�rexnises andlor Required Irnprovernents rnay be eligible �or eozxiplete or partia.l exerr�ption from ac� valorem t�es as a result of e�zsti.ng law or future legisla�on. This Agreement shall not be conshued as evidence thai such exemptians do not apply io the Premises and/or Requ�red Sx�pxav�ments. '�.�. Citv Cauncil Authorization. This Agreement was a�uthoz�zed by the City Council through approval of Mayo�t and Council Cornrnunica�on No. C-19490 on February 25, 2003, which, among other things, authorized the Czty Manager to execute this Agre�ment on behalf o� ihe City, 7.6. Estonnel Ceriif cate. Any party hereta xnay request an esioppel certificate froirz� ax�.other party herein so lang as the certifcate i� requested in connection wi�h a bozia fide business purpose.
