WHEREAS, GBR REAl�TY. �.TD. hereinafter called "De�eloper", desires
to make certain improvements Ridaeview Ph�se 2. an addition fo the City ofi For�
Wor�h, Texas; and
WHEREAS, the said Developer has requested the City of Fort Worth, a
municipaf cor�oration of Tarrant and Denton Counties, Texas, t�ereinafter called
"City", to do certain work in connec�ion with saici improvemer�ts;
NOW, THERE�'ORE, KNOW ALL BY THESE PRESENTS:
Thaf said D�veloper, acting herein by and through Ste�e Hawkins, its duly
authori�ed Presider�t and the City, ac#ing f�erein by and through its d�aiy
authorized Assistant City Manager of Infrasfructure, for and in consideration of
the covenants and conditions confair�ed �erein, do hereby agree as fvllows:

SECTION ONE
COMMUNITY FACILITIES AGREEMENT

A. The City agrees to permit the Devefoper #o let a con�ract for, in accardance
wifh its accepted practices, ordinances, regulatiat�s, and the pro�isions of
the City Charter, and subject to tY�e requirements of the City's Charter, and
subject to the requiremenfs of the City's Po{icies and Regulations for
Installation of Community �acilities, all as current at the time of installation:

and S/�P�iiARY S��M�R �'�,CI�I iI�S to serve the lots as shown o� the
attached Exhibit ,A,-1 all in accordance with plans and speci�ications to
be prepared by private engineers employ�d by tf�e De�eloper and
approved by the Water Department.
B. The City agrees to allaw the Developer to install, at his expense, at the
time all other waier mains in this addition are installed, a service line for
each lot as shown on the attached Exhibif A. The es#imated cost of
these service lines is $__3'4,�qQ. The City agrees to record the location of
eacn said service line in respect to t1�e corner of �he lot served, and to
retain said records in its possessror�.
C. T�e construction cost of ihe water facilities herein concerned, excl�si�e of
service lines and engineering is estimated fio foe �Vinetv T°housand, l�ine
Hundred �'welve Dollars [$9Q,912) .
D. The City agrees #o allaw th� Developer to install, at his expe�se, at the
time all other sanitary sewer mains in this addition are insfalled, a service
line for each lot as showr� on the attached Exhibit ��� . The estimated
cost of these s�rvice lines is $�9,4D0. The City agrees to record ti�e
location of each said service line in respect to the corner of the lot served,
and #o retain said r�cords in its possession.
E. The construction cost of the sanitary sewer facilities ta be installed
hereund�r, exclusive of ser�ice lines and engineering, is estimafe� to be

F'. Prior to allowance of #h� construction con#ract by Developer, #he Developer
agrees to prouide acceptable financia[ guarantee to tf�e city for 1 DO percent
of the construction of the construction costs along with paymen# of any
Ordinance costs and fees that are applEca�[e. Prior to the awa�d of ihe
construction contract by the City or #he commencing of ar�y wor[� by ihe
City or its �antractors, t�e Developer agrees to pay to #he City:
(1) (a} One Hundred p�rcent (100%) of the De�elaper's cost of all water
and sanitary sewer facilities within the dev�lopment, exclusiWe of
engineering and service costs, sized to pravide water and sanitary sewer
service within the development.

{d} One hundred percent {'f 00%) of the De�e�op�r's cost of any
approach sanitary sewer main facility or sani#ary sewer facility within the
de�elopment that is 8-inch�s in size.
{Z} An addi�iona[ ten perc�nt (10%} of the �otal of the De�e�opers cost
of these water and sanitary s�wer facili#ies, exciusi�e of cost of service
lines, is required for design engineering if such engineering is performed
by t�e Cify a# the Dev�iop�r's req�est. .
{3} One hundred percent {100%) o'F the De�elo�er's cost of all service
lines, estimated under 'I-B and 1-D aba�e, in accordance with the
provisions of the current Fort Worth City Code.
(4j A canstruction Inspection Fee equa� tv two (2%) of t�e Developer's
aetual cost share of the .cor�struct�on cos# (including all services} of the
water andlar sanitary sewer facilities.
G. The �istribut�on of estimated consfruction eost between the �#�r,� �e-

H. The above charges do not include any front faot charges for connection to
exisfing or proposed water andlar sani#ary sew�r mains consfiructed or to
be constructed under the pro�isions of �he "APPROACH MA1N OPTiON"
as c�escribed in Section II1 of the Policy for the "INSTALL4TION OF
COMMUNlTY FACILITIES" adapted in September, 1992. Thes�
additional charges are as follows:

I. When water facilities are �nstalled by con�ract, instal{ation of water
services will be included as part of fhe contract. Installation of ineter
boxes on thase services may be done by the City, after completion of
construc#ion of all reiati�e curf� and gutter work o� the water fiacili#ies
project site, at a cost of $70/$135 per carttract-instafled charge �o be d�e
and payabie prior ta issuance of a Work Order on the water facilities
i�stallation contract. The above charges do no# appfy if the Develaper
elects to include meter box installatian as part of the cantract. However,
meter boxes must conform City standards. .
J. Within a reasonabie time after completion of tl�e abov� refereneed
facilities to be constructed by contract awarded �y the Developer,
, pro�ided all COI1CIItlOt1S �or City participation ha�e been met, the City
agrees to pay the D�v�la�er the "Estimated City Cost" set out in '�-G
above; provided, however, that saEd payment shall be calculated using the
actual construction costs and actual service costs under the provisions of
the current Fort Wortn City Code, {said payment to be calculaied as in 1-
G abo�e), based on actual quantiiies as reflected in the final estimate paid
to the Conirac#or by the Develap�r and on the actual records of cost kept
by the Ciiy as a part of its cusfomary procedures. In the event the
difference in the deposit and the acfual costs exceeds $25, ��yt�o��
agrees to pay to the City and underpayment which said adjus ���e����ht
ir�dicate as being du�, ar�d the Ci�y agrees to pay to De Iq�i�c;� ��
overpayment. � �

K, Work hereund�r shall be completed witt�in two (2) years fram date nereof,
and it is understaod tha# any abligafion on the part of the City to make any
refunds with respect ta water andlor san�tary sewer facilities shali cease
upon the expiration ofi twa (2) years from da#e hereof, excepf for refunds
due from "froni foot charges" on water and sanitary sewer mains, whicY�
refunds may continue to be made for a period of ten {1 q) years
commencing on the date that ap�roach mains are accepte� by the
Director. . If less than 70% af the eligible collections due #o the developer
t�as bee� coflected, ihe De�eloper may rec��est in writing an ex#ension af
up ta an additional 10 years for coflectior� of fronf charges. In the event
water andlor sanitary sewer facil�ties work is not completed within the (2)
year �eriod, City may, at its electian, com,plete such work at Dev�Eaper's
�xp�nse.
L. It is further agreed and understood �hat any additional payrnent required
af Develaper is to coWer only such additional work and/or materials as
may be made necessary by conditions �ncountered during constru�tion,
and shall not incl�ade any change in scope of the p�oject.

B. In the e�ent the �evelaper employs his own engineer #o prepare plans and
specifications for any or all current improvements, #he plans and specifications so
prepared shaCl �e subject to appro�al by the department having jurisdiction. One (1)
�eproducible set of plans with 16 prints and 6 specificatior�s fior each faci�ify shall be
furnished the department ha�ing jurisdiction. !t is agreed and undersfood that in the
event of any disagreemer�t on the plar�s ar�d specificatians, the decision of the
Transporta#ionlPubl�c Works �epartment Direc�or, a�dlor Water Department
Direcfior will be final.
C. It is further agreed and understood by ihe parties hereto that upon acceptance by
the City, �itle to afl facilities and improvements mentianed hereinabove shall be
vested at all times in th� City of Fart Worth, and deueloper hereby relinquishes any
right, title, or ir�terest in artd to said �aci�ities or any part he�eo�f.
D. It is further agreed that the decision of t�e City to not collect funds for "future
impro�ements" required in previous CF'A agreemer�ts does no# con�titute an
obfigation on the part of the City to construct such "future impro�ements" at its
expense.
E. Worl� hereunder shall be completed within two (2y years from date hereaf, and it is
understood thaf any obEigation on the part o� fihe City to make any refunds wi�h
respect to water andlor sanitary sewer fiacilities shall cease upon the expiration of
iwo (2} years from date hereof, except for refunds due from "fronfi foot charges" or�
water and sanitary sewer mains, w�ich refunds may continue to be made for a
period of ten (10} years commencing on the date that approach mains are accepted
by the Director. If less than 7D% of the eligible collections due to the de�eloper has
been collected, the Developer may requ�st in writing an e�ctension of up to an
additional 10 years far coliection of front charges. If ihe construc�ion under the

Community Facilities Contract that any of the facilities or Tequirements included in
the contract thafi are to be pertormed by the de�eloper, but r�ot performed by the
developer within the time periods stated abor�e, may be completed by the City at
the deve�o�er's expense. The City of Fork Wor�h shall nat be obiigated ta maEce any
r�funds d�e to the develop�r on any facilities construct�d under this agreement
until all provisions af tl�e agreement are fulfilled.
F. PERFORMANCE AND PAYMENT GUARANTEES
1. For lNater and Sani4ary �ewer �acilifies:
Pe�formance and paymenf bonds, or cash deposits, acceptable ta the City
are required to be �urnished by the develaper for th� instapation of water and
sanitary sewer facilities.
a. Where the devefoper lets the construction contract for water and
sanitary sewer facilities, performance and payment �onds shall be
eposited, in the amount of one h�tndrec� percent ('� 00%) ofi the
es�imated cost of construction, cash deposited shal� be in the amount
of on� hundred twenty-five percent (125°!0), as s#ated En the
constructioR contract, is required to be furnished simultaneo�as with
execution of the construction contract.
b. W�ere the City lets the contract, perFormance and payment bonds
shall be deposited, in the amount of one hundred percent {� ��%)
of the estimated cost of construction as stated in the canstruction
cont�act, is required prior to issuance of a work order by the City.
4. 1 vpes of �uaranfees:
a. De�elo�er Bonds: Are requirer! for the construetion of water andlor
sewer, the following terms and conditions shall apply:

licensed surety company on forms furnished by that surety

(2) The bonds will be subject to the review and approval by.the Ci#y
Attorney.
(3) The bond shal� be payable to the City and sha�l guarantee
performance of �he water and s�w�r cons�ruction contemplat��
under this contract and shali guarar�tee paym+en# for al� la�or,
materials and equi}�ment furnished in connection with the wafier
and sewer construction contempfated under this contract.
(4) In order for a surety company to be acceptable, the name ofithe
surety shall be included on the current U.S. Tre�sury list af
aeceptabfe surefiies, and tY�e amount of bond written by any one
acceptabfe company shall not exceed the amount shown on the
Treasury list for that company.
b. Cash Deposits: A cash deposit shall be accep#able with veri�cation
and such deposit snall be made to the City ofi Fort Vllorth. The City
of Fort Worth will not pay interest on any such cash deposit.
(1 } The cash depasit shall be adjusted �o on� hundred twenty five
percent ('f 25%) of the actt�af bid price. No contract shall �e
awarded and no work order shall be issuec! until such
adjustment is made.

H. The City shail assume its share of the cost of the impro�ements covered !�y this
agreement along with t�e ertgineering fee oniy if funds are available far such
partici�ation. f n tF�e e�ent that no funds are available for City participation, the
dev�iop�r shail awarc! the contrac� and deposit with the City a developer bonds or
cash for 100 percent of ihe est�mated total constr�ction cost of the improvements
[plus ten percent (25%) for engineering and miscellaneous costs if the City
prepares the plans].
I. On all facilities inc�uded in this agr�ement for which the developer awards its own
cor�struction cantract, the developer agrees to fioflow #he following procedures:
1. If the City participates in the cost of the facilities, the construction contract
must be advertised, bid and awarded in accordance wi#h State statutes
prescribing the requiremenfis for the letting of cantracts for ihe construc#ion
of public work. Tnis includes advertising in a Eocal newspaper at ieast twEce
in one or mo�e newspa�ers of general circulatio� in the county �ar caunties in
which the work is to be performed. The second publicafion must be on or
before the tenth (10th} day before the first date bids may be submitted. The
bids must be opened by an off[cer or employee of the City at or in an affice
of the City.
2. To emp�oy a construction contractor, who is approved by thE Dir�ctar of #he
�epartment having jurisdiction aver the facility ta be sa construct�d, said
contractor to meet City's requiremenfs �or being insured, iicensed and
bonded to do work in public right of way.
3. To require tF�e confractor to furnis� to the City payment, ���+?�r�_�nc�_ ._ _
maint�t�anc� bonds in the names of the City and the de�e��� ti�� ��c� i
hundred perc�nt ('� 00%} of the contrac� price of the faciiity, s�d+'r���d�.������+

cor�#ractor to pro�ide publ�c liability insurance in the amounts required by the
City's specificafians covering that parkicular work.
4. Ta �ive 48 hours notice to the depa�Ement having jurisdiction o� intent to
commence construciion of the facility so that City inspection personnel wil�
be availa�le; and to require the con#ractor to alfow the ccanstruciion to be
subject to ins}�ection af any and all times by City inspectior� forces, and not
to install any paving, sanitary sewer, storm drain, or water pipe unless a
responsible City i�s�ector is present and gi�es his consent to proceed, and
to make such laborafory tests of materials being used as may be required by ;
the City.
5. To secure a�proval by the Director of the Department having jurisdiction of
any and all partiaE and fina! payme�fs to the contractor. Said appro�al
shal! be subject to and in accordance witf� requirements of this
agreem�nt, and is not to constitute approval of the quantities of which
payment is based.
6. To delay connectior�s of buildings to service lines of sewer.and wa�er mains
constructed under this contract until said sewer and water mains and service
lines have been completed to the satisfaction af the Water Depa�tment.
7. It is expressly und�rstood by and between the developer and the City of �ort
Worth, ti�at in the event the devefoper efects to award one single
� canstructiart contract for storm drainage and pauement, said contract s�all
be separat�d ir� the b�dding and City part�cipation, if a�y, shafl be Iimited to
the �owest possible combination of bids as if each of the above were
award�d as separate contracts.
.i. Anything to the contrary herein notwithstanding, for and in consideration of the
promises and the co�enants herein made by the City, the deve[oper covenants and
agrees as foflows:
1. The developer shall maE<e separate elections with regard to water andlor .
sanitary sewer facilities, storm drainage, street tmprovements and street
lights as to whether the work prescribed herein shall be perfarmed by the

date, it shall be conclusively presumed that the develaper has eRected that
such work be perFormed by the City in accordance w�th all of the terms of
this agreement, and in particular Paragraph V-F hereof.
2. Irrespec�ive af any such efection and whether the work is tv be perFormed by
the Ci�y, or by its confiractor or by the developer through its contractor, the
de�eloper covenants and agrees to deliver to the City a perFormance and
paymenf guaranfee in accordance with the pravisions of this agreement.
3. In addifiion to the guarantee r�quired in tf�e preceding paragrap�, in the
event developer elects that the wor�C be performed by fhe City, or by fihe
City's contrac#or, or such election is presumed as provfded a�ove, the
de�eloper covenants and agrees to pay to th� City the developer's st�are of
the estimated construction casts. The amount of such esiimated payment
shall be computed as set out in Sectians « 5» her�o#, based upon the lowest
responsive bid far such work, as d�t�rmined by City, or upon a cost
es#imated to be pertormed by City forces prepared by the City, as
appropriate, and shall be subject to adjustme�t to actuaf costs u�o� fir�ai
completion of the subject work. Such estimated payment shall be made
pramptly upon demand by City, it being understood that such paymen# will
be made after fihe receipt of bids for work, but in e�ery case priar to the
award of any construction contrac�, �nless otherwise specifcaily set out

4. Developer further covenants and agrees to, and by these presents does
hereby fully indemnify, hold harmless and defend th� City, its officers,
agents and employees from and� against any and alf claims, suits �or causes
of actian of any nature whatsoever, whether real or assertecl, brougi�f for
ar on account of any injuries ar damages to persons or property, including
death, resuiting from, or in any way conne�ted �with, this agreemeni, or fhe
_ constr�ction o�F th� improvements or faciiities described herein, whefher or
nofi caused, in r�hole or in nart, bv fhe nealiqence of o�ic�rs, aqen�s, or
emplovees, o� 4he Ci�►r. In addition, the developer covenants to indemnify,
hold harmless and defend the City, its officers, agents and empEoyees from

No. 7278 {as amended by Ordinance No. 7400).
K. Vent�e of any actior� bro�ght hereunder sha�l be in Fort Worth, Tarrant County,
Texas.
L. The City's Policy for tf�e Installation af Community Faciiities, as adopted by the C�ty
Council on March 20,2Q01 in M&C G-1398�, is hereby ir�carparated hereir� by
reference, and Developer covenants and agrees #o comply wit� said Poficy as a
candition of this contract and as a condition to the platting af the subject property.
De�eloper and City ag�e� that this Agreement represents the complete �and
exclusive statement of the mutual understandings af the parties and that this
Agreement supers�des and cancels all previous written and orai agreements and
communications related to the subject matter ofi this Agreement. '
