NOW THEREFORE, City and Engineer, acting herein by and

fa�lowing agreement, whieh amends the Contract:

Arhorlawn Drive from its current terminus at Znternatianal Plaza to its connection with Bryai�t Irvin Raad.

expected Y1iat the only area requiring inapping lies betvveen existing Arbarlawn and
south of the former proposed Bel�air� routing.

from expesience and judgemenL HZI has no control aver
market eonditions ar construction procedures and does not
wazrant that proposais, bids, or actual construction costs
will not vary from HZ[ estimates.
3. STANDARD UF PkACI'IC�
Services performed by IiZI under this AGRESMENT wiE[
be conducted in a maaner consistent with that leve] o£ care
and skill ordinarily exercised by members of the
profession cutrently practicing in tha same locality vnder
simiIar canditions. I�I� other representation, expressr� ar
impiiecl, and no warranty or guaranEee is included or
intended in this AGREEMEIVT, or in any report, opinion,
document or athe.rwise.
4. SALES TA7�S
All sales taxes required to be paid 6y �iZi will be billed to
t6e client in a�ldition to fees.
5. BII.LWG AtdD P�#'YMENT
The CLIEIVT, recogr►izing that timeiy paymen[ is a
ma[erial part af the consirieration of this AG1�N.EMSNT,
shali pay f-I�( for services gerformed in a�cordance with
the rates and charges sex forth herein. Tnvoices wili be
submitted hy HZC on a monti�y basis and shall be due and
payable withiu thuty (30) calcndar days of invoice date. If
the CL.I�NT objecEs to all or any portion af an invoice, the
C'.LIENT shall so natify HZE in writing within ten (1Q)
caiendar days of receipt of the bill in question, and pay
when due that port4on of the invoiee, noe in dispute.
T'he CL1�NT shall pay aa addit�onai chuge of atte-and-
on�half (1.5) percent (or the maximum percentage

In the event any hill or portion thereof is disguted by
CLIENT, C1.I133�IT shall notify HZ[ wiUvn ten days of
receipt of the bill in ques[ion, and CLIEN'I' and HZI shall
work tpgethcr ta resolve the matter wiihin fi0 days of it
heing called to HZ['s attecition. if resolut'toR of the rnatter
is not attained within 60 days, either pariy may te�tninate
this AGRSEIV�NT.
6. LI1141TATIAN 4F LIABILITX

vvhici� includes a lesser allowance for risk funding, the
Cf..TENT agrees ko limit HZ['s liabiiiry arising from HZI's
pmfessional acts, errors ar omissions, such thai the total

far the services rendered on this project.
7. CQN3EQUEi�Ix'�Ais DAMAGES
'I'he CLIEIVT shaIl not be liable to HZI and HZ[ shall not
be liahle to the CLdENT far any cansequential damages
ineurred by cither d�se ta the fault of the orher, rcgardless
of the nature oF this �ault, ar whether it was commiued tay
tha CLJLNT or H7I, their e�rnpIoyees, agents or
suUcontractors. Consequential damages inciude, but are
not Iimdted ku loss of use and lass of pro�it.

In the event tern►inadon becomes necessary, the party
(CLT.ENT or Ei7d) effecting iemunation shall so notify the
other party. and kezrnination will become effective �ourteen
(14) calcadar days after receigt of the tet�nination notice.
Tzrespective of which party shall effect tern►ination nr the
cause of 4erminalian, the CLI�NT shall wit}un thirty (3Q)
ca�endar days of Ee�rnination remunetate HZ.� for services
rcndered and costs incurred up to the effective ti�me af
te�nination, in acco;rdance with HZI's prevailing fee
