COiVT�ACT' ��RfOD This agreement becames effective �apon fi�al execution by the 5tate and shall terminate upon completion of t�e Event or unless terminated or modified as hereinafter pravided. �. �V�N�' �?ESCRIPTI�N The description of the Even#, including the �roposed sc�edule ofi sta�i and stap times; approximate number of peopie attencling #he Event; and equipment involved, shall be attached hereto and identified as "E�cF�ibit C". 3. QP�RAiIONS O� �'H� �V�Ni A. The City sha[I assume a![ casts for the operations assocEated with tF�e E�ent, to inciude but not limited to plan develapment, materials, fabor, pu�lic notifica�Eon, proviciing protective barriers and �arricac�es, praiection ofi highway tra#Fic and highway facilities, and ail traffic cantrol and temporary sigr�ing. B. Th� Cify shall submit io the State for review a�d approval the canstruction plans, if cor�struction or madifications to th� State's right of way is required; the iraffic cantrol. and signing pfans; traffic enfarcement plans; and all other plans deemed necessary by the State. . C. T�e City will nof initiat� closure prior to 24 haurs before the scheduled E�ent and all barriers and barricades will be remo�ed and �he highway reopened to traffic within 24 hours after the completion af the Event. , � � � ---� _� j �: I i . ----- - - . y_ a .� . � . , + Form 2�45 (8120oi) Page 3 of 8 D. The City will �ro�ide ade�ua�e enforcement personnel io prevent vehicles firom stopping and parking a[ong �he main lanes of highway righ# o'f way and otherwise prevent interFerence with the mair� la�e traffic by bo#h vehiciss anc! pedestrians. The City will prepare a traffic enforcement plan, to be approved by the State in wrifing at least 48 hours pr�or tv the scheduled Event. Additianaily, the Ci#y shaN provide to the Sfate a letter of cer�ification from t1�e law enforcement agency that will be providing traffic control for the Event, certifying that they agreE with the enforcement plan and will be abfe ta meet its requiremenfs. E. The City her�by assures the Sta#e that there will be apprapriate passage allowanc� far emergency vehicle travel and adequate access for abutting properiy awners during cor�structian and closure of fhe highway facility. These aAo�nrances and accesses will be included in th�� City's traffic control plan. F. The City will avoid or minimize damage, and wiEl, at its own �xpense, �estore ar repair damage occurring�outside the State's right of way and restore or repair the State's right of way, including roadway and drainage structures, signs, and pavement, etc, to a cor�dition equal ta that existing before the c�osure, and, to the e�ent practical, restore �he natural environment, includ�ng landscape features, 4. Ql�NE�S[�I� r?� �QC�!!4���'T5 Upon completion or termination of this agreement, all documents �repared by the City wiil remain the property of the City. All ciata pre�ared under ihis agreement shall be made available to �e State without restriction ar limi#ation an their �urther use. 5. T�RMtN�4�iON A. This agreement may be terminated by any afi tf�e folbwing condition: {1) By mutual written agreement and conseni af ba#h parties. {2) By the 5tate upon determination that uses ofi the State's right af way is not feasible or is not in the besi interest of the State and the traveling public. (3) By either party, upon the failure af the ather party to f�lfill t�e obEigation as set �orth i�erein. (A�) By satisfactary completion of a!I services and abligations as set farth herein. I, _ .. c z�U�� � Form 2045 (812001) Page 4 of 6 B. The terminatian of this agreement shall extinguish all rights, �uties, abligation and liabilities of the 5tate and City under tF�is agresmen#. If the poteniial terminatian of this agreement is due ta the failure of the City to f�alfill its contractual obfigations as set forth herein; the State will notify �t� City t�at possible breach of cvntract has occurred. Th� City must remedy the breach as outlined by the 5iate within ten (1 D) days from rer,�ipt ai the S�ate's notification. ln the event th� City dnes not remedy the breach to the sa#is#action bf the S�a�e, the City shall be iiable to the State fflr the casts of remedying the br�ach and any addi#ional costs occasioned by ti�e State. 6. f�fS1�UTES Sho�ld c�isputes arise as to the party's responsibilities ar additional wark ur�der this agreemen#, the State's decision shall be fi�al and bindi�g. i. iNDEMNlFICA�'ION To the ex�ent permitted by law, �h� City sha�l indemnify and save harmless the State, i�s afficers, emplayees, agents and cantractors from al1 claiEns and liabilities due ta the activi#ies of the. Ci�j+, its officers, employees, agents and contractors performed under this agreement�rhich resu�tfiram an error, omission or neg�igent$�of the City, its officers, employees, agents or contractars. Addit9onally, to #he extent permittec� by law, the City shall save harmiess the Sfate, its officers, emp�oyees, agents and c�ntractors _� fram any and aEl expenses, including attorneys fe�s a�d cQurk costs which may be in�urred by the 5fa#e in ]iiigatian or otherwise resisting said claim or liabifities which might be imposed on the State as the result of suc� actirrities by the Gity, the�r officers, employees, agents or contractars. 8. lNSURANCE A. Prior ta beginning any work upon the 5ta#e's right af way, the City andlor its contractors s�all fumisfi� io tt�e State a compieted "Certificate of insurance" (TxDOT Form 1560, lates� editior�) and shall ma�ntain the insurance in fuN force and effect during the period that ��te City andlar its cantractors are er�croachi�g upon #he Sfafe right of w�y. B.
