certain impro�eme�ts to serve Stream Relocation ofi a Portion of Lif�le �ossil Cree�
�LFCo�), an addition ta fhe Ciiy of Fort Worth, Texas; and
WHEREAS, the said Developer has requesfed the City of Fort Wor�h, a municiPal
corporation of Tarrant and Dentor� Counties, Texas, hereinafter call�d "City", to do
certain work in connection with said improvements;
NOW, THEREFORE, KNOW AL� BY THESE PRESENTS:

authorized Ceneral Partner, and the City, acting herein by and through Marc Qft, its

A. The De�eioper �owner), �lercan�ile �ar�ners, L,�., agrees �o instal� or to cause to
have installed, the sireet, starm drainage, str�e� lightinc�, street name sign and other
community facifities improvements shown as "current impro�ements" on the
attached Exhibits �, and �1.
B. The Developer agrees fo comply with all city accepted pracfices, ordinances,
regulations, as well as pro�isions of the City Charker, the City Subdivision
Qrdinance, City Design Standards and the current Policy for [nstallaiion of
Gommunity Facilities in the design, contrac�ing and installatian of required "current
improvements".
C. The De��loper agrees to comply wi�h the �eneral Requirements contained herein
(Attachment A).
D. As shown on the attached "5umma�'y of Cosf", the De�eloper agrees to fund his
share of "current improvements" and fo pay the City for h�s snare of the cost af
sfireet, sform drainage, street lighting, street name signs as shown an the attached
Exhibits �, and �1.
�. Paymen� is due at the iime this agreemen# is execu�ed by fhe City and the

F. The estimated total cost of current improvernents and rela�ed support services
specified En this agreement, incfuding design, consfruction and ins}�ection is
esfiimated ta $4fi�,180.00.
!n accordance wifh the City's current Po[icy for Instaliation of Comm�nity Facilities
as shown in the Cosfi Summary on page 3.

G. DeWeloper agrees to provide, at his expense, alf necessary righ#s of way and

H. Developer agrees to relie�e fihe Cit� of any respor�sibifities for any inadeq�acies in
the pre[iminary plans, spec�ficatians and cost estimates supplie� for the pur�ose of
this contract.
I. Developer also agrees to Enstall or adj�st al1 of the required utilitEes to serve fhe
developmet�i or to construct tf�e improvements required herein.
J. Developer agrees ihat no street canstruction or storm drainage wifl begin prior to
City Council approval of this Community Facifities agreemer�t. {Article 104.100,
Ordinanc� 7234).
K. Developer agrees that no lot shall be occupied until improvements required he�ein
h�a�e been canstructed (A�ticle �04.100, Ordinance 7234).
L. Developer agrees to complete the impro�em�nts co�ered by this agreernent within
90 calendar days after f�a�ing been instructed to do so, in w�iting, �y the Director of
Transportation ar�d Public works. It is understood that the de�eloper will initiate the
construcfion of a[I improvements to conform with �tis own scheduie, except for those
impro�ements which the Transportation and Public Works Director �eems necessary
for the proper and orderly deve{opment o� the area. In the event De�eloper fails to
carry out any such instruc�ions within the 90-day periad, the Developer gives �he City
the right fo design and award a contracf, and inspect the improvements in question,
and agrees to pay �o �he City prior to the award of the contract, khe amaunt a� the
low bid.
M. City participation in "current impro�ements" shall not excee� � 25% of cos� shown in
Summary of Cost.

A. It is agreed and understood by the parties hereto that the developer shall employ a
civil engineer, licenseck to practica in the Sta�e of Texas, for the design and
preparation � of plans and speciflcations for the construction of all c�rrent
impro�ements �overed by this contract, subject to Paragraph B.
B. For any project estimated to cost less than $10,000 or for any project designed to
serve a single lo� or tract, the developer may at his option requesi ihe City fa
provid� the design eng�neering, and if such request is granted, the de�elo�er shall
pay to fhe Ci#y an amount equ�l to 10 percent of tha final construction cost af such
project for such engineering services.
C. In the e�ent �he de�eloper employs his own engineer to prepare pfans and
specifications for any or all current improvements, #he plans and specificatians sa
prepared shal� �e su�ject to a�proval by the department having jurisdiction. One (1 }
reproducible set o� plarts with 15 prints and 35 specifications for each facility shall
be furnished the department having juris�iciion. It is agreed and �nderstood that in
the eve�t of any disagre�mer�t on the plans and specifications, the decision of #he
Transpor�ationlP�blic Works Department Director, andlor Water Depariment
Director wili be final.
D. It is further agreed an� �nderstood by the parties hereto that upon acceptance by
the City, tit[e #a all facilities and impravements mentioned hereinabove shall be
vested at a�l times in tf�e Cify of Fort Worth, and �eveloper hereby relinquishes any
right; title, or interest in and #o said facilities or any part hereof.
E. lt is further agreec! that t�e decision of the Ciiy to not collecf funds for "future
improveme�ts" requir�d in previous CFA agreemEnts does not constitute an
obligation on tha part of #he Ciiy to eonstruct such "future improv�mer�ts" at its
expense.

F. Work hereunder shall be completed within iwo (2) years from date hereof, and it is
understood thaf any obligation on the par� af the City fo malce any refunds with
respect to waf�r andlor sanifary sewer facilities or street, storm drain, sfreet 1igh�
and street name sign shal! cease upar� the expiration of two (2) years #rom date
hereof, except for refunds due from "�ront foat charges" on wate� and sanitary
sewer mains, which refun�s may continue to be made for a period of ten (10) years
cornmencing on the date that appraach mains are acc�pfed by the Director. If less
than 70% of the eligibie eollections due to the developer has beer� collected, the
De�eloper may re�uesf in writing an extensian of up to an additional � 0 years for
coflection of fronf charges. !f. the construcfion �nder �he Communi#y Facilities
Cvntract shal{ have s#arted within the two�year period, the life of the Community
Facilities Contract shall b� e�ctended for an additiona! one-year period. Comm�nity
Facility Contracts not completed within fhe time periods stated abo�e w�11 require
renewal af the contract witF� all updated agreemenfis being in �ornpliance with the
policies in effec# at the time of such renewal. Developers mttst �ecagnize tha# City
funds may nofi �e avaifabie to pay a11 or a portion of th� normal City share for
renewal contracts. lt must be unde�stood by all parties to �h� Community Facilities
Contract that any of #he facilities ar requiremenfis included in #h� contract that are to
be pertormed by the developer, f�ut r�ofi performed by the de�eloper within tha time
periods stated a�ove, may be completed by th� C�y at the develop�r's expense.
The Ci�y of Fort Worth shall not be ohiigated to make any ref�nds due to the
developer o� any facilities constructed under this agreement unt�1 all provisions of
the agreement are fulfilled.
G. PEFtF�RMANCE AN� PAYMENT GUARANTEES
'I. �or Streefi, S�arm �rain, Sfireef Liqhfi and Stree# Name Sia�
Improvem�nts �o be Cons4ruc�ed bv the Developer or Cifiv on ��half �of
�he De�elop�r:
Performance and Paymenf bonds or cash deposits acce�table to the City
are required to be furnished by the cievelaper for the installation of stre�ts,
storm drains, street lights, and street name sigr�s, on a non-assessment
basis, and must b� furnisheef �o the City priar to execution of tt�is contract.

The perfiormance an� payment bonds shall be in the amaunt of one hundred
percent (100%) af the developer's estimated share of tFie cost of the streets,
storm drains, str�e# lights, and street name s�gns. If the deposit is in the
form of cash, the deposit shall be in fhe amount af one hundred twenty five
percent (125%) of tE�e dev�loper's estimafied cost of tF�e streets, s#orm
drains, street lights, street name signs, and change orders (during the
course of the project).
2. �or �u�ure Improvement:
Perform�nce and payment bonds or c�sh . de�osits, acceptable to the City
are required to be furnished by the developer for one hund�ed percent
(1 QO%} of the develope�'s estimated cost resulting from the paving,
cirainage, ligriting and name signage of border streets on an assessment
paving basis. (Reference Sec#ion VI, item 3, De�elopmertt Procedures
Manual.) Said per�ormance and paymenfi bon�s or cash deposits must be
furnished to th� City prior to execution af this contrac�.
Where the City lets the contract, performance and payment bon�s shall be
d�posited, in t�te amaunt of one h�andred percer�t (1�0%) af the estimat�d
cosf of construction as stated in the co�struction contraet, is required prior to
issuance of a work order by the City.
3. For 1�!{ater and Sanifary Sewer I�ac�lifies:
Performance and payment bonds, or cash depasits, acceptable to the City
are required io be furnished by the develope� for the insta�llation of wa#er and
sanitary sewer facilities.
a. Where #he cie�eloper lets the construction contraci for water and
sanitary sewer facilities, performance and paymer�t bonds shall be
depasited, in the amoUnf of one hundred percent {140%) of the
estimated cost of construction, cash deposited sl�all be in the amount
of one . hundred twenty five percent (125%}, as stated in fihe
canstruc#ion cantract, is required to be furnished simulfaneous wjfih
execufion of the construciion contract.

b. Where th�e City (ets tne co�tract, perfarmance and payment bonds

4. Tdnes o� �uaran�ees:
a. Performance and Pavment Bands: Are required for the constr�c�ion
of streets, storm drains, street fights, and stre�t name signs, the
following terms and condifions shalf apply:
(1 } The bonds will be standard performance and payment bonds
pro�ided by a licensed surety company on forms furnished by
that s�rety company.
{2) The bonds will be subject to the re�iew and approual by �he City
Attarney.
(3} The performance bond shall be payable to the City and shall
guarantee performance of the s#reet, starm drain, street lighf,
a�d street �ame sign construction contemplated under this
contraci.
{4) The Payment Bond shall guarantee payment for af! labor,
- maferials and equipment furnished in connection wi#h the sfreet,
storm drain, street light, and street name sign construction
contemplat�d un�er this contract.
{5) In order for a surety company �o be acceptable, the name of the
sureiy shall be included on the current U.S. Treasury list of
acceptable sureties, and the amount of bond written by any one
acceptable company shall not exceed the amount shown on the
Treasury fist far that compa�y.
b. Cash Deposits: A cash c4eposit shall be acceptable with ��rification
that an attempt to secure a bond has been denied, such deposit
shall be made in the Treasury of the City of Fort Worth. The Gity of
Fort Worth will nat pay interest on any such cash de . -

(1) At such time that the cor�tracf is bid for projects other than
assessment projects, the eash deposi� shafl be adjusted to ane
h�r�dred twenty fve percent (125°!0) of the act�af bid price. No
contract shall be awarded and no work vrder si�all �e iss�e�
until.such a�justment is made.
(2} When a cash depasif is made, the additianal iwenty five
percent (25°lti} beyond the one hundred pe�cent {10�%) of the
estimated de�e�oper's share represents addi#ion�! funds 'fo�
change orders during the caurse of the project. This tw�niy five
percent (2�%) shall be considered the developer`s change
order fund. �
(3} If the de�eloper makes a cash deposit w�th th� City, the
developer may make timely withdrawals from the cash funds in
ord�r to pay the coniractor andlor subcontractor based o�
amount of construction work compleied as approved and
verified �y fhe Gity Engineer or authorized representafii�e. �or
projects whose actual total contract cost is $40a,000 or greater,
such refease of security shali equal the percentage of work
cornpletad far that p�riod muftiplied fay ninety-�iv� percent
� (95%). This percer�tage
s�a�l b� applied to tl�e actual current total contract cost to
determine the amount that may be reduced upon request of
devefoper. For projects whase act�al total contract cost is 1es�
than �40Q,000, such release of security shall eq�al tF�e
pe�centage o# work complete� for that �eriod multiplied by
ninety percerit �90°/a). This p�rcentage shail ther� be a�plied to
the actual current total contract cost to determine the arnount of
s�curity that may �e reduced �apon request of developer. The
remaining security, fi�e �ercent (5%) for projects of $400,OQ0 or
greater and ten percent (10%) for projects less t�an $400,004

togetl�er with the remaining funds #�om the Developer's Change
Order Fund, if any, wiil be released to the developer after the
project has been accepted by fhe City. Partial release of fiunds
si�all b� limited �o once per mor�th. There shall be na partial
release of f�nds for projects of {ess than $25,OOQ. Proof that the
de�elaper �as pai� the contractor shall be required for partial
releases.
5. �urpose, ierm and R�newa{ o� Cuaranfiees;
a. Performance and payment bonds, and cash deposits furnished
fi�ereunder shall be for the purposes �of guaranteeing satisfactory
com�liance by the d�veloper with all requirements, ��rms and
conditions of this agreement, inciuding, but not limi�ed to, the
satisfactary completion of the improvements prescribed herein, ar�d
the making of payments fo any person, firm, corporation or ofh�r entity
with wham the developer has a direct contractual relationship for tl�e
performance of work hereunder.
b. Developer shali keep said perFormance ar�d payment bonds, andlor
cash deposits in �ull force and effect un�il sUch time as develop�r has
fu�ly complied wiff� the terms and conditions of this agreement, and
fai{ure �o keep same in force and effec# shall constifute a defaulf and
breach af this agreement. �
H. Th� Ci#y shall assume its sF�are of the cost of the improvements co�ered by this
agreem�nt along wifih the engineering fee only if funds are a�ailable for such
par�icipatkon. !n the event that na funds a�e avaifable for City participation, the
�e�eioper sha11 �ward the confiract a�td deposit witt� �I�e City a performance and
payment bonds or cash for 100 �aercer�t of the estimateci total construction cost of
ti�e impro�ements [pfus ten percen� �10%} for engineering and miscelianeaus costs
if the City prepares #he plans]. �
I. On af! facilities included in tF�is agreement for which the deveCoper awards its own
cons�rucfian contract, the developer agrees to follow the following procedures

1. If the City partici�ates in the cost of the facifitiies, t�ie construction con#ract
must be advert�sed, bid and awarded in accor�ance with State statutes
prescribing the requirem�nts for tne let�ing af cor�tracts for the construction
of pu�lic work. This includes adverkising in a local newspaper ai least twice
in ane or more newspapers of general circulation in the county or counties in
which the work is to be performed. Th� second publication mu�t be on or
before the tenth (1�th) day �efore t�e �rst date bids may �e su�mitted. Th�
bids must be opened by an officer or employee of the City at or in an office
of the City.
2. To employ a construction eon#ractor, who is app�oved by the Director of �he
Departmenf having jurisdiction over the facilify to be so constructed, said
contracfor to meet City's requirements for being ins�red, licensed and
bonded to do wark in pubfic right af way.
3. To require the contractor to furnish ta the City paymenf, perfarmance and
maintenance bonds in the names of t�e �ity and the de�efoper �or one
hundred percent ('i00%} of the contract price of the facility, said bonds to be
fumishec! before work is commence. De�elope� fur�her shall require the
contrac#or #o provide public liability insurance in the amo�nts requir�r! by #he
City`s specifications cover�ng that particular wor{c.
4. To gi�e 48 hours notice fo the deparkment having ju�isdiction of in�ent to
commence construction of #he facility so #hat City inspection personn�! wili
be available; and to require the contractor to a11ow the •
construciion to be subject to inspection� at any and all times by Ci�y
inspection fiorces, and not to install any pa�ing, sanitary sewer, storm drain,
or water pipe unless a responsible City inspector is pres�nt and gives his
consent to proceed, and to make such laboratory tests of materials be�ng
used as may be required by the City.
5. To secure approval by th� Director of the Department having jurisdic#ion
of any and aIC partial and final paym�nts #o the contractor. Said approval
shafl be subjec� to arld in accarc�ance with requirements of this agreement,
and is not to constitute apprn�al of the quantities of which payment is based,

7. it is expressfy understood by and between the develaper and ihe City of For�
Worth, that in the event the de�eloper elec�s to award one single
construction cantract far sform drainage and pavem�nt, said contrac# shalV
be separated in the bidding and City par�icipat�on, if any, shalV be limited #o
the lowest possible combir�atio� of bids as if each of the abo�e were
awarded as separate contracts.
J. Anyfhing to the confrary her�i� notw�thstanding, for and in consideratian of the
promises and the covenants herein made by �he City, the developer coven�nts and
ag�ees as follows:
1. The de�efo�er shall make separate elections with regard to water and/or
sanitary sewer facilities, sfiorm drainage, street improvements and street
lights as to whethe� the work prescri�ed herein shall be performed by the
City, or by its confrac#or, or by the deve{aper, �hrough its contractor. Each
separate election shall be made in writing and dekivered to City no lat�r than
six (G) months prior to the expiration of this agreement. In the e�ent any of
such separate elecfions has not b�en made arnd deii�ered to Cify by such
date, if shal! be canclusively presumed that the developer has elected �hat
sucn worfc be performed by the City in accordance with all of the fierms of
this agreement, and in parkicufar Paragraph V-F hereof. �
2. 1�respecfive of any such ele�tion and whether the work is ta be
perFormed �y the City, or by its cdntractor or by the de�elo�er t{�rough its
contractor, the de�eloper covenan�s and agrees to deliver ta the City a
perFormance and paym�r�t guarantee in accordar�ce with the pravision� of
Paragrapf� V-F of this agr�emeni.
3. fn addifion to the g�arantee �eq�ired in t�e preceding paragraph, in the
event developer elects that the worLC be performed by the Cifiy, or by the
City's contractor, or such election �s presumed as provided above, the
developer cavenants and agrees to pay to the City the de�elape�'s share of
the estimated onstruction costs. The amo�nf of such estimated payment -

shall be computed as set out on fihe Summary of Cost hereof, based �pon the
lawes� responsi�e bid �'or such work, as determined by City, or upon a cosf
esfimated to be performed by City forces prepared by fhe City, as ap��opriate,
and shall be subject to adjustment to actual costs .u�on final completEon of the
subject work. Such estimated paymanf shall be made p�amptfy upon demand
by City, it being understood that such payment w�ll be made after the recejpt of
bids for wark, but in every case priar to th� award of any construction cantract,
unless otherwise speci�icalfy set out herein.
4, Developer fur�her cover�ants and agrees to, and by tf�ese presents does
hereby fully indemnify, hold harmless a�d defend the City, its officers,
agents and employees from and against a�y and a1! claims, suits or causes
of action of any na�ure whatsoever, whe#her rea{ or asserted, brough# for
or or� accaunt of any injuries or damages ta persons or prope�ky, including
death, resulting from, or in any way connected wi�h, this agreement, or the
construction of the improvements or facifities described herein, whe�her or
no� caused, ir� whole or in part, b� the neqlipence of o�ficers, aqents, ar
emplovees, o� �he City. ln addition, the developer covenants to indemnify,
hold harmless and defend t�e Ci�y, its officers, agents and employees from
and against all claims, suits, or causes or action of any nature whatsoever
hrought for, or. an account of any injuries. or damages to persons o�
property, including death, resulting from any failure to properly safeguard the
work or an account af any act, intentional or otherwis�, neglect or
misconduct of the de�eloper, its contractors, subcantractors, agenfis or
employees, whether or not caused, in whole or in. par�_ by ihe
nealiaence a�i ofFicers, aaents. or emplovees of i�he Citv.
5. D�veloper co��nants and agre�s tha� it discriminafies againsfi no individual
in�olving employment as prohibited by the ferms of Ordinance No. 7278 (as
amend�d by Ord�nanc� No. 7400), an ordinance prohibiting discrimination in
employment practice because of race, creed, colar, religion, national origin
(except fior ille�al aliens}, sex or ag�, unless sex or age is a bonafiide
occupat�onal quaiificat�an, subcantracto� ar employment agency, eifiher
fumishing or referring applicants fio such developer, �vr any agent of
de�eloper is discriminafing against any individual in�alving employment as
prohibited by the te�ms of such Ordinance No. 7278 (as ame�ded by
Ordinance No. 7400). � _

K. VenU� nf any actian broughf hereunder shaE! be in Fort Workh, Tarrant County,
Texas.
L, The City's Policy for tt�e Installation ofi Communi�y Facilities, as ado�ted by �he City
Council on September 1992, is hereby incorporated herein by referenc�, and
Developer co�enants ar�d agrees �o camply with said Policy as a condition ofi �his
� contract and as a condition to the platting of the sub�ec� property.
M. T�e following descripfions of worlc apply, as appropriate, to the areas included in
the Community Facilities Agreement: .
1. STREETS
Stre�ts as shown in Exhibit B will be in accordance wi�� pfans and
specifica�ions prepared by the Owner's engineer and approved by the

sha11 have if's own photocell.
4. TRAFFIC CONTROL DEVICES
a. The D�veloper agrees to pay fo� the s�reet name sign installations required
by this development to the ex�ent of $80.00 per inspection. T�is unit cos#
will be revised annually by the Deparfimeni of Transportafiion and Public
Works to reflect prevailing costs of materials and labar.
b. This �evelapment creates the fofiowing number intersections at a total cost
as shown to the De�eloper.
c. The De�eloper may either deposif cash f�tnds with #he City equal to�the
following amount at the time of Community Facilities Agreemenf approval
or wai# uniil the street name signs are to be installed. If fhe Developer
efects to wait, the cost of street nam� signs will be at thr� rate
prevailir�� when #he Develop�r deposits funds with the City,
d. The City will install �he street name s9gns uport fina� aPproval of �he street
constr�ction. Th� streef name s9gns will remain ihe property of, and will be
maintained by, fihe City.
5. OTHER WORKS
En the event that oiher works is required it will be included as specific
requirements to Communi#y Facilities Agreement.
N. De�eloper and City agree that this Agreement represents �he camplete and
exciusive sta#�ment of �he muival understartefings of the �arties and �ha� this
Agreement supersedes and cancels and previous written and oral agreements and
communications r�la�ed to the subject matter of this Agreement.

It is recommended tha� the City Council ai�thorize the Gity Manager to execufie a Community Facilities
Agreement (CFA) with Mercantile Partr�eru, L.P. for the installatian of camm�nity �acifities tor stream
reRvcation ofi a portion of Lit�le Fossil Cree�. '
❑lSCUSSI�N:
On December � 9, 200Q, the City Council adapted a resolutian authorizing the issuance of $45 million in
Ger�ificatas af O�ligation ta address critical projects whict� included $4 millian in de�elopment f�r�ds
�($2.5 million for CFA new develapm�nt fiunds and $1.5 rnilfion for de�elopment funds reiated to new
schaol sites) to supplement the 19�8 Capitai lm�ravement Program new develapment funds.
Mercantile Partners, L.P., the developer, has executed a propos�d cantract for cammunity faci(iti�s to
make storm drain improvements for the stream relocat�an �f a partior� af Little Fossil Creek. The City's
participation will be for instaflation of a culvert underneath Quorum Drive. This praject is located in
. nor�heast �ort Vllorih, north ofi Meacham Boulevard, east af I-35W and south ot �24 tsee attached
map}.
This CFA is in compliance witi� standard City policy.
The estimated cost of the comm�nity facilities is as #ollows, ar�d subject to the actual bid �r�ce:
