HomeMy WebLinkAboutContract 28380a r�YY ����E��aR� ' � � , : ., ` C:;���"R��� �? � �� . x.�.z ��� AGREEMENT FOR METROPOLITAl� MEDICAL RESPONSE SYSTEM PHARMACEUTYCAL CACHE STORAGE �`¢` THIS AGREEMENT, made and entered inta this�f day of �z,�Uzr�y 20 � by — � Harris Methodist Fort Worth, a Texas non-pxofit corporation (hereafter "Harris") and the City of Fort Wortl�, (hereafter the "Cit�'), both acting ti�rough �heir duly authorized representatives, VVITNESSET'�i: WHEREA,S, City and Harris desir� to provide a greater degree of protection against weapans o� mass des�ruction to the citizens of Fort Worth by rr�alcing additional decantamination facilities a�ailable in Fort Worth; WHEREAS, the City desires to obtain sa.�e and secure storage space far certain c}iemical and nerve gas prophyiactic and antidote pharmaceuticals for the Metropo�itan Medical Response System; and WHEREAS, tJae Ciiy has the task af distxibuting the pharmaceuticals to other haspitals and to emergency sitas as neces�ary, and, WHEREAS, Harris has such storage space at its faeilities thxaugh its Department of Pharmaey at its Harris Methodzst Hos�iial Fart Worih facility, and desires to caoperat� with the City of Fort Worth; and, IN C�NSIDERAT�ON of the mutual covenants herein conta�ined and for other good and valuable consideration, the parties ag�ee as follows: 1. The above stated recitals are true and correct and by �.his reference aare made a part he�eof and are incorporated herein. 2. City ag�rees to provide fundi�g in the amount o� sixty tihousand dollar� ($60,0OO.OD} from current fiinds and Harris agarees to construct a decontamination facility in accorc� with Exhibii "A"-- Decontamination Facility Data Fi�e. In addition to said funds, decantamination equipment in the toial of five thousand four hundred fourteen dollars ($5,41�4.00) will be provided, as requested. �J���II�,� � � .. ,- r�� - - i i ! ' � 3. Harris agrees to provide to ihe City storage space and ratation services for phannaceuticals for the Metropolitan Med.ical Response System with access provided to the authorized City staff under the terms and conditions set forth below. The specific antidotes and their quantities are fisted on Exhibit B, attached hereto and rnade a part hereof. 4. The parties agree that the space required will be used £or the term of this Agreement while c3istribution of antidote supplies to other hospitals is b�ing performed by the City, using Harris as a base for antidote distribution and storage. The lacaiion, size, and a11 other details regarding the storage space at Hairis sha11 be at the sole discretion of Harris. S. The pharm�.ceuticals listed iri Exhibit B will at all tunes b� fihe property of the City, and not Harris. 6. The siarage area(s) wi11 remain locked at all tiumes during which it (thay) is (are) not being accessed A key (or keys) ta fhe pharmaceutical storage area(s} wi11 be maint,�ined in a secure loca�ian an Harris Departrraent of Pharmacy accessible to its phatmacists 2�4 hours a day, 7 days a week. 7. The pharmaceuticals li.st�d on Exhibit B will be released anly u.�on written authorization of ihe City Manag�r or his respective authorized representatives. Thc; release of any and a11 pharmaceuticals listed in Exhibit B shall be recorded in a"MetropoIitan Medical Response Sys�em Phar�naceutica.l Cache Storage Log Book" kept in #he Harris Department of Pharmacy. Th� identity and exact guantzty of pharmaceuticals released and the signature af the �ariy the pharmaceuticals are released to shall be recorded in the Log Book at the time of each rel�ase. 8. At least monthly, Harris will pexform an inspectian of the st�rage area. The inspection wiI_l consist of an evaluation of the appropriateness of the storage conditions for the phaamace�ticals and a detear�mination the phanmaceuticals arc u+ithin the�x listed expiration dates. A written report will be made af the inspec�ion and its �indings, and a copy sha11 be made available to the City for their review. Such report will be furnished to thc City Manager's Office within a reasonabl� time n.a later than the 10�' day after the inspection. 9. Th� dispo5i�ion of deteriorated, expired, or otherwise unusable pha�rmaceuticals will be �he responsibility oi the City, not Ha�ris. Likew�ise, Harris will not be responsible for replacing deteriorated, �xpired, or otherwise ur�usable pharmaceuticals, but will rotate the pharmaceutical stock t� assist in prolongzng "shel� life". The City sha11 remove (ar instruct H�rris as #o their statas} deteriarated, expired, or otherwise unusable pharmaceuticals listed on Exhibit B withzn s�ty (60) days of notification of �heir deteriorat�;d, expired, or otherwise unusable status by Harris. Harris will be responsible far maintaining the starage a�rea in sa�isfactory and broom clean and proper temperature controlled condition. for storing the pharmaceuticals. _ 10. The parties agree that �hey have had ineani.ngful discussian and/or negoiiations o� the provisions, terms and cont�itions contained in t�is Agreemenf. Thexefore, doubtfitl or a.mbiguous pxovisions, if any, cantained in this Agreement shall not be constru�d against the party who physical�y, prepared this Agreement. The rule 13 commonly referred as "Fortius Contra Proferentum" shall not be applied to #his Agreament or any interpretaiion thereof. This Agreemeni coan.stitutes the entire agreement ��iween the parties far the pravxsion, use of starage space and rotatian of pharmaceuticals far �he Metropolitan Medical Response System. No statement, r�presentativn, writir�g, understanding or agreement made by either party, or repr�sentative of either pariy, which are not �;xpressed in this Agreement, shall be binding. The U.S. Department of Health and Human Services, Office of Emergency Preparedness has approved these funds far this purpase under the MMRS contract. DISCUSSION: The Public Health Service DivEsion of the U.S. Department of Health and Human Services (DHHS) is charged with assisting local governmer�ts to plan, develop and acquire special �quipment and pharmaceuticals, and to identify and provide needed training ta impro�e health and medical responses to weapons of mass destruction incidents. Under the DHHS contract, the City acts as fhe ag�nt for disbursing funds ta pri�ate agencies participating in the MMRS. On June 29, � 999 (M&C C-17509}, tF�e City Council approved the original MMRS contrac# in the amount af $400,D00. An additiona[ $200,000 was made available by DHHS, and on February 2, 2DOfl (M&C C-17891), the City Counci[ approved fhat corttract adden�um. A primary �acus of the MMRS pragram is to enhance the medical corrtmunity's ability to treat victims of contamination.
