CIT'Y OF HASLET, TEXAS (h��reinafter called "Purchas�r"), and Purchasex hereby buys artd agree.� to pay for the
folZawing-described real estate situated in Tarrant Caunty, Texas, T�-WIT:
BEING A 1.565 TRACT OF LAND OUT dF THE C. R HARMON'S SUR`VEY, ABSTR.ACT
N0.737 TARRANT COUNTY, TEXAS, AIVD BEING MORE �'ARTICULARLY DE�CRIB�D
ON EXHIBIT `°A" and `B" ATTAC�3ED HERETO AND INCORPORATED HEREIN BY
REFERENCE
TOGETI�R WTI�I, all and singuiar, al1 impra�ements thereon and all rights and appurtenances pertaining thereto,
incluciing any right, tifle and interest af Seller in a�d #o adjacent streets, alleys or rights-of-way, such real estate,
improvexne�ts, rights and appurte�ces being herein collecti�ely referred to as the "Propert�'.
This Contract is exec�ied upon the following terms and condi�ions:
1. Purehase Price. The purchase price for the 1'roperty is $ Z 19,29995, payable at Closing by wire transfer ar
cashier's check.
2. Survev and Tifle Binder.
A. Purchaser sball bave tha �ight tn abtain withfn 30 days after the date of this Contract is signed , at
Purchaser's expense, a cunrent on the-ground survey ("Survey") of the Properly made by a duly
iicensed surveyar reasonably acceptable to the Furchaser. The Survey shail b� in a form
acceptable to the Titl� Company in order to allow the Title Campany to Qefete the survey
exception (except as to "shortages in area") from the Tit�e Poiicy to be issued by the Title
Cor�npany. The Survey shall show the location of all impraveme:ats on the Property, if any and
shall be cerkified to I'urchaser and the Tit�e Company.
B. Within 10 days aiier � the date this Cnntract is signed by both parti�es, Purchaser shal�, ai
1'uxchaser's expense, obtain the following;
(1) A tifle comani�tnent ("Title Binde�") covering the Praperiy binding the Title Company to
issue a Texas Own�r's Palicy of Tit1e Ins�tance on the standard fnrm of policy prescribed
by the Texas State Board af rnsnrance at the Closing in the fiill amount o� the Purchase
Price, and
(2) Tn�e, correct and legible copies of any and a11 in�,,,mPn�s m%rred to in tbo Tifle Binder
as consiituduag exc�eption ar restrictions upon th� title of Se1Ier, except that cnpies of a�y
�ens which are to be released at ihe Closing may ba omitted.
Annroval Period and Title
A. Purct�as�r shall have fifteez�. (IS} days ai�er th.e receigt of tha Survey and Tifle Sfnder to review
them and to deliver in writing to Sellet such objections as Purchaser ��.�v�+�, am,r��

contained in� ttiem. Any such item to which Purchaser shall not object sha11 be deemed a
"Permitted Exception". If there are obj�ctions by Furchaser, �eller may, at Seller's discr�tion,
attempt to satisfy them prior to Closing, but Seller shall na# ba xec�ui.rec€ to incur any cost to do sn.
If Se11er delivers writta� notice tv Purchaser an or b�fore the Closing date that Seller is unable t�
satisfy such abjections, ox if, for any reasan, Seller is un�ble to convey #itle in ac�ordance with
Section 4(�3) belaw, �urchaser may either waive such objections and accept such.#itle as Seller is
abl� tn convey ar terminate this Contract by written not�ce ta 5e11er. Zoning ordinflnces and the
lien for current taxes sh,a1Z be deemetl to be Permitted Exceptions.
B. Delivery of the Tifle Poiicy pursuant to Section 4 below shali be deemed to ful�.11 alI i�es af
�eller as to the s�ci�ncy of tifile reyuired heteunder, Furthexmore, i'iJRCHASER
ACKNOWLEDGES AND AGREES THAT SET�L�R HAS NOT MADE, DQES NOT MAK�F.
AND SPECIFICALLY NEGATES AND DISCLAIMS ANY REPRESENTATIONS,

4. CIosin�.
A. The Closing of this Contract shall be held within 60 (sixty) days after a�l the Special Conditions
in Section 5B have been satisfied and ai%r bexng appxaved by the gaverning body of Purahas�r
and Seller, at tbe off�ces of the Title Company chQsen by Purchaser; pro�c�ided, t�owever, tl�at ii on
such date the Tifle Company has not yet approved rifle or if there are objecUions mad� by
Purchaser wlucb have r�ot pet been cured by Seller, either party, by wrikten notice to the other, may
postgone the date of the Closing to such date as shall be designated in �ch notice but not more
tf�an fhirty (30) c3ays aiier the Closiva.g date abws specified.
S. At the Ciosing, Saller shal� deliver to Purchasar (i) Sgecial Warra�y Deed conveying the Property
according to the legal descriprion prepa�red by the suYveyar as shown on the SuYv�y of the
Praperiy, subject only to the Permitted Exceptions; and (ii) at Purctr�ser's cost, a Titl� Policp
issned by the undertivriter for the Title Company p�ursuant to the Title Binder with the surveq
ea�ception deleted at Purchaser's option (except as tQ shortages in area), subject only to the
Permitted Exceptions.

C. At the Clasing, l�urchaser shall deliver ta the Selle�r the Prarchase Price by wire transfer, cashier's
check ar title company check.
D. Except as othervvise pz�vided herein, Purchaser shall pay the otlrer usual and customary ctosing
costs charged by the Titie Co�npat�y, except for the pay off of any lien(s) or assessment(s) against
the Pro�erty and Se]!er's share of the property tax %r the year vf Closing calculated to the date of
th� Ciosing and all taxes, penaliy and iunteresi for prior years, all of which wi11 be paid by Seller at
the Closing. Rollback #axes i�£ any will be paid by Purchaser.
E. Sale and exclusive possession of the Properly �cvill be dalivered to Purchaser at the Closing.
5. 5necial Gonditions.
A. Sy February 1, 2004 or upon completion of the roadwaq, whiche`+er is soaner, Purchaser shall
replace �allers ex'rsting fence that fronts Wesiport Farl�way as labeled Proposed South Right-nf-
Way on. E�ibit A. The�new fence shall be construc�ed in accordance with E�ibit A-l. T#ie new
fence shall co:nsist of a 6 strand barbed wire an steel poles and the gate shall be consiructed to
allow vel�cles with an attached trailer ta pull completely off the raadway as sho�vn on Exlaibit A-
1..
B, Prior to Closing, Sel�ex and Furcl�ser shall enter into a temporary construction ease�ent in orda'
to faciiitate the consbructian of the road. Purchaser shall construct a te�mporary fence on the south
boundary line of the 30 foot Temporary Construction Easement as shovvn on Earhibit "C". The
tempnrary fence shall he constructed in arder to prevent livestock from entering into the
canstrucria� area.
b. Terminatio�. If this Conlract is ternninated by Purchaser in accardance wif� Section 3, the parties shall
l�ve no further obligation or liabilities one to the other.
'1. Miscellaneous Provisions.
A. Date af Conh�ct. The term date of tl�is Contract: as used herein shali m�an the date the last party
signs this agreement.
B. Not�ces. Any notice or commu�ication required or permittec3 hereunder shall be dcetued to be
delivered, whether actuially received nr not, when deposited in the United States maii, postage
fuliy prepaid, registered ox certified �ai1, addressed to the intendcd recipient at tlie address on tha
signature page of this Contract. Any address for nntice may be cl�anged by written not�ce so
given.
C. I�nte�tion. 'This Coniract contains the complete agreement between the parbies and caimot be
varied excct:pt by the written agreemeni of the parties. The parfies agree that there are no aral
agreemems, understandings, representakions or vva;rranties which are not e�ressly set forth herein.
D, Survival. Tl�e rapresenta�ions, warranties, covenants and agreements of the parkies set forth herein
and in particular, th� agreements in Paragraph 5A. Special Conditians, shall swvive the axecution
and delivery of anp deeds executed and delivered parsuant to this Agreement.
E. Binding Effect. This Contract shal� inure to the benefit of an bind the parfies hereto and their
respective hairs, representatives, successors and assigns.
8. Muitinle Couni�rnarts. This Cont�act may be e�ited in any number of count,�rparts, Each af the
counterparts �all be d'eemed an original instrumen�t, but al1 of which when #aicez� tageth�r shall constitnte

cotr�terpart. Tlus Contract rnay be execuied and returned via facsimiie trans�nissio�, and such exacufion

property far the purpase of constructing improvements and facii�ti�s thereon, ir�cIuding hut
nat 3imited to o�erating equipment a.nd storing dirt, equipm�nt, and materials.
Grantee shall repair any damage to impravem�nts and ground in thv Eas�ment Tract ar
s�rrounding property and restore the surFac� of tlie Easement Tract and surrounding
property as a result of any damage fram Crra.ntee's use of �e E�.sement Tract.
The Cxrantee sha11 not use the Easement Tract, ar permit use of the �as�ment Tract by any
ather person i�n a manner which `riolates any law ar re,�ulation, ma.y be dangeraus, or
cor�stitutes a, public or private nuisance. Except for the narmai use of fu�1s and lubricaiats
and their norma.l bypraducts of use, the Grantee shati no#, and shall not pernut any o� its
employees, agents, c�ntractors, subcontractars, suppliers, or invitees to, lacate, �enerate,
manufacture, �se nr dispose of an c�r abaut the Easement Tract any oheravcal, pollutant,
waste or o#.�er st�bstat�ce that is the sub�ect of any law or regulation pertaining to public
health, safety, protection, or conservation of #he environm�nt or regulation of Haza.x�daus
Substances. "Hazardous Sut�stances" m�ans any and all pollutants, toxic substanc�s ar
hazardous rn�,terials, substances or wast�, incIuding, but nat timited to, petroieum, cr�de
oil, or any fractian thereo� If Crrantor in �ood faith believea that Hazardous Substataces
m�,�r have boen located, generated, manufactured, used, o� dispased af on ar a6out t1�e
Laseme�t Tract by the Grantee or any of its employees, a�ents, contractors,
subcontractars, suppliers, or invitees, Grantor may have environmental s#udies o£ tl�e
Ease;nent Tract conduc�ed as it deems appropriate. In the avent su.ch studies reveal that
Hazardous 3ubstances ha�e been located, generated, rnanufaCtured, used, or disposed of
on or about the Easemem Tract, except as noied above, the cast of such studies shall be
paid by Crrantee. �
Any User (as her�inafter dsfined} of the Easement Tract shall be requi�ed to indemnify,
hold .harmless, and de%nd Gra.ntor froxn and against any and a11 cl�ims, su�its, losses,
Iiability, costs, and expenses dixectly or indi�ectly from such User's ne�ligent nse af the
Easement Traci. A"User" is defined to inolude any person, oiher than the City of Haslet,

REC�MMENDATIDN:
If is recommended that the City Council:
1. Approve �he sale af a partion of three separate tracts of land located at 1304, 14Q4, and 1504
Westport Parkway to the City of Haslef for right-af-way to accammodafe the reconstruciion and
widening of W�stport Parkway along the southern boundary of Fort Worth Alliance A�rpart; and
2. Find that the sales prices being accepted in the ama�nts of $115,808.�a for � 3a4 Westport
Parkway, $119,299.95 for 1404 Westport Parkway, and $164,733.a0 for 15Q4 Westport Parkway
are Fair Market Val�e (FMV) with a jusi compensation amount fio be reeeived fotaling $399,640.95;
and
3. Adopt the attached appropriation ordinance increasing esfiimated receipts and apprapriations in the
Airports Grant Fund by $399,644.95 from tf�e proceeds af this sale, and
4. Authorize #emporary construction easements (TCE) to the City of Hasie# for use durin� construction
af fhe raadway; and
5. Authorize the accepfance and recording of the appropriate instruments.
DISCUSSION:
The City of Haslet has requested that the City of Fort Wortf� sell some frontage of the aborre listed
properti�s to the Gity of Haslet for righf-of-way in arder to reconsfruct and widen Westport Parkway
along the southern boundary of Fort Worth Alliance Airpart and just west of Inters#at� Highway 35W.
The above parce[s wer� acquired by the City of Fort Worth in connection with the Federal Aviatio�t
Regulations (FAR) Part 150 Noise Sfudy for Fort Worth Alliance Airport utilizing grant funds for �and -
Noise Compatibility.
On July 31, 2Q0� (M&C L-13108), the City Council aUthorized #he acceptance of a grant from the
Federal Aviation Administration �FAA). The granf allowed the City to acauire fee simple title or flther
property interests to tract5 of land within the 65 LDN (Day-Night Sound Le�e[}, as identif�ed in the Fort
Worth Alliance Airpori Nflis� Cflmpatibility Program, FAR Part 150 Noise Study. Two of the above
parceis, 1304 and 1404 Westport ParECway, wers acquired under this grant. The parcel at 15Q4
Westport Parkway was acquired in � 989 und�r an earlier similar gran#.
