THE CIT'Y OF F�RT WORTH, TEXAS (hereinafter oalled "Seller") herat�y sells and agrees ta convey to T'HE
CI'TY OF HA�LET, TEXAS (hereinafter calleci "Purchaser"), and Purchaser fiereby buys and agrees ta pay for the
following-described real estate situated in Ta�tant Co�nty, Texas, TO-WIT:
BEING A 2.16I TRACT O� LAND DUT OF THE C_ R. HARMON'S SURVEY, ABSTRACT
N0.737 TA.RRANT COUNTY, TEXAS, AND BEIIVG MORE PARTICULARLY DESCRIBED
ON EXHIBIT "A" and "B" ATTACH�D HERETO AND INCORPORATED HEREIN BY

TOGETI�R WLTH, all and singular, all improvements thereon and all rights and appurtenances pextaining thereto,
inctuding any righi, title and interest af SeIler in and to adjacent slreets, alleys or rights-of way, such real estate,
itnprovements, rights and appurterrances being herein collec�ively re�erred to as the "Property".
This Contract is executed upon the following terms and conditinns:

Survev and Title Binder.
1�,. P�rchaser shall liave the right to obtain within 30 days after the data of this Contract is signed , at
Purchaser's e.�pense, a cunent on-the-ground sutvey ("Survey„) af the Prt�peczty made lsy x duly
lic�nsed surveyar xeasonably acceptable to th� Purchaser. T7ie Sur�+ey shall be in a form
accaptable to tne Tit�e Compan� in order ta allow ttie Title Company to delete the survep
excep�ion (exce�t as to "shortages in area"} from the Tit�e Policy ta be issued by the Title
�umpany. Tlte Siu�vep shall show the locarion af all impz�ovements on the Properly, if any and
shall be certif'ied to Purchaser and the Title Compaary.
B. Wxtlun 10 days afrer-�the date this Cantract is signed iry bnth parties, Purchaser s�all, at
Purchaser's expenae, obtain the follow�ing:
[1} A title commiiment ("Tifle Binder") covering the Praperty biniling the TitIc� Company to
issne a Te�as Owner's Policy of Title Insurance on the standard forrn of golicy �rescrib�d
by th� Texas State Haard of Insurance at the C�osi�g in the fult amount of the I'urchase
Priee, and
(2) Trae, c4rrect and legibie ca�aies of any and all instnunent5 referred to in #he Title Binder
as constituting �xception or restrictions upan the title af Seller, except t1�at cdpies of anq
liens which are to be released at the Clnsing may be omi#ted.
3. A»nro�al P�riod and Title
A.. Purchaser shall l�ave fifteen (1S) days after the rereipt of th� Survey and Tit1e Sinder to review
them and to deliver in writing to Seller such ob,jections as Purchaser may have to at�ything

"Permitted Exception". If there arc objections by Purchaser, Ssller may, at Se�ler's discretion,
attempt to satisfy them prior ta Clasin�, but Seller shall not be required to incur any cosk to do sa.
If Se11er delivers wriiten notice to Pu�rchaser an or bafore the Closing date tl�at Seller is unable to
sati�fy such objections, or if, far any reason, Se11er is unable ta convey tide in accordance with
Section 4(B) belaw, Purchaser m�y eittier waive such objections and accept sach tide as �eller is
able to convey or terrrrinaie this Cantract by written notice #o Sell�r. Zoning ordinances and the

B. Delivery of the Title Policq pur�vani to Section 4 below shall be deemed to fu1�2Z al7 duties af

4. Clas' .
A. The C�osing of this Cantract sha�l be held within 60 (sixty) days after all the Special Condrtio�s
in Sectian SB have been satis�'ied and after baing approved by t,he gcn+erning body of Purcl�aser
and Seller, at the offices af the Titl�e Company chosen by Purchaser; pr�vided, however, that if on
such date the Ti�1e Company has aaot yet approved title ar if there are objections made l�y
Purcl�aser wiuch have nnt yet been cured by' Selier, either paity, by written natice ta the other, ma�
poslpone #ha date of the Closing to such date as shall be designaied in such not�ee but nat mare
tlian thirty [30) days after the Clnsing date above speoified.
B. At the CZosing, Seuer shall deliver ta �'ur'cl�aser (i) Special Warranty Deed co�eying the Property
according to the l�gal description prepared by the svrvayar as shown on the Snrvey of the
Property, s�rbject only ta iha Permitted Exceptions; and (ii) at Purcbaser's cost, a Title �'olicy
issued hy the undeivvriter far the Title Company purs�ant to the Tifle Binder with the survey
e�eption deleted at Purchaser's option (except as tn shortages in area), subject only to the
Pe�tuited Exceptians.

C. At the Closing, Pu�rehaser shall deliv�r tv the Seller the Purchase Price by wire 1�ansfer, casluer's
check or title company check,
D, Except as otherwise prnvided herein, Purchaser shall pay the oClaer usual and customary ciosing
cosis charged by the Titie Company, axcept for the pay off of any lien(s) or assessmeni(s) against
t�e �roperly and Seuer's s�are of the praperty taar far #�e year aF CIosing calculatec3 to tb.e date of
the Closing aad all taxes, pena�iy and interest for priar years, all of which will be paid by SeIier at
tl�e Clasing. Rollback taxes if auy will be paid by Purchaser.
E. So1e and exclusi�+e possessian of the Properly will be dclivered to Purchaser at the Closing.
5. Snecial Conditions.
A. By Februa�y 1, 2004 or upon campletion of the roadway, �vxtichever is sooner, Purchaser shall
replaca Sellers exisiang fence that fronts Wesiport Parkwaq as labeled Proposed So�th Right-of-
Way on E�rhibit A The new fence sitall be conslructed in accordance with E�zhit A-1. The new
fence shall consist af a b strand barbed wire o:n sEeel goles and the gate shall be construated to
allow vehicies with an attached trail�r to pull completely off the roadway as shown on Ea�u�bit A-
1.
B. Prior ta Glosing, Seller and Purcb�aser shall enter inta a tamporary canstruciio:n easement in order
to facilitate the con�tructian oi the road. Purchaser ahall consbruct a temparary f�nce on the south
boundary line of the 30 foot Temparary Cons�truckion �asement as shawn on Earhibit "C". The
tennporary fence shall be CDriSiriiCtECI in order to prevent livestack �ro� entering into the
constr�ction area.
�. Terntinat�on. If this Contraci is terminated by Purchaser in accordance with Section 3, the partias shall
have no �er obligation or liabiI�ties one to the other.
7. Miscellaneous Pro�isions.
A. Date of Contract. TIi� term date of this Contract: �s used herein shall mean the data the last party
signs tlzis a�reement.
B. Notices. Any notice ar co�ununication required ar permitted hereunder shall be deemed to be
delivered, whcther actually r�ceived or nat, when deposited in the United States mai�, postage
fu11y prepaid, registered or cerC�fiied mai1, addressed to the intended rsecipicnt at the address ou the
signatUre page of this Contract. Any address for notice may be changec� by written noiice so
given.
C. Integraiion. Tluis Contract contains ti►e cnmplete agreement �etrveen Yhe parties and cannot be
varied except by tl�e written agr�ment af the parties. The parties agree that there are no oral
agreements, understandings, represeutations nr warrantias which are not exprassIy set forth iierein.
D. Survi�al. The repxasez�tations, warranties, cor�enants and agr�ernents of tha parties sei fortI�► her�in
and in particu]ar, the agreements in �aragraph SA. Specia� Conditians, shall survive the execution
and delivery of any de�ds executed and c�elivered pnrsua�t to this Agreement.
E. Binding Effect. Tlus Cont�act sl�all inure t� the beneflt of an bind #he parties fiereto and their
respect�va k�eirs, representatives, successars and assigns.
8. Mu�ltinle Counteroarts. This Contract �nay be e�cecuted in any number af caunteip�rts. Each af the
counterparts shaIl be deemed an origi�nal insbr�n;te�tt, but all of wltich when taken tageth�r shaIl canstitute

one (1} and the same agreement, and any of tlie parties bereto may execute tlus Cantract by signing such
counterpart. This Contract may be executed and returned via facsirnile transmission, and such �xecution
and delivery shall be binding as i� an original �ad been delivered and the delivering party covena�s and
agrees that an original will be sent imznediatety by regular United Statas tnaii.

Tne Grantee sh�ll nat use the Ease�nent Tract, or permit use of the Easement Tract by any

manufacture, use or dispose of on or about the Easement Tract any chemical, �ailutant,
waste or other substance that is the subject of any law or regulation per�a'ming to public
health, safety, protection, or conservatiori of the enviran�ment ar regulation of Hazardous
Subst�.nces. "Hazardous Substances" means �ny a�d all p�llu�ants, toxic su6stances or
hazardous mat�ria]s, substances or waste, including, but not lirnited to, peiraleum, crude
oil, or any fraction thereaf �£ Grantor in gaod faith believes that Hazardous Substances
rnay have b�en Zacated, generated, manufactured, used, or dtsposed af on flr aboui the
Easement �`ract by the Crrantee or any of its emplayees, agents, cantractors,
subcontract�rs, suppliers, or in�vit��s, Grantor may have enviranmental studies of the
Easement Tract conducted as it deems appropriate. Tn the event such studies revea[ that
Hazardous Substanees l�ave been laca#ed, generated, manufactured, used, or diaposed of
on or abaut the Easement Tract, except as nc�ted ahays, the cost of such s#udies shall be
paid by Grantee.
An� User (as hereinafter defined} of the Easement Tract shall be required to indemnify,
hold harmless, and de%nd Grantor from and against �y and all claazris, suits, losses,
liabiliiy, costs, and expenses directiy or indirectly from such Us�r's ne�ligent use af the
Easement Tract. A"User" is d�fined io ineluae any person, a�her than the Gity of Haslet,
providing mater�als or service in connection with the design and consfruciion of t�e
facilities.
