THE CITY OF FORT WORTH, TEXAS (laereinafter called "Sellar") hereby se11s and agrees to convey to T'I-�
CITY O� HASLET, TEXAS {hereinai�er ealled "Purchaser"), and Purchaser h�reby buys and agrees ia pay for the
following-described real estate situated in Tarrant Connty, Texas, TO-W1T:
BEING A 1.769 TRACT QF LAND OUT OF THE B. LAVOIS SURVEY, ABSTRACT N0.991
TARRANT C�UNTY, TEXAS, AND BEING MQRE PARTICULARLY DE�CRTBED ON
E��iIBIT "A" and "B" AT"TACHED HERETO AND INCORPORATED HEREIN BY
REFERENCE
TQGETHER WTTH, all axad singular, all improvements thereon and all rights and appuctenances pertaining thereto,
including any right, title and interest of Seller in and to adj�cent streets, alleys ar rights-of-way, such real estate,
zmprovements, rights anfl appurtenances being herein coll�cti�ely referred to �s the "Praperty".
This Contract is �ecuted upon the following terms and oonditions:
1. Purchase Price. T�e purchase price for the Praperty is $115,6Q8.00, payable at Clasing by wire tr�nsfer or
cashier's checic.
2, Survev anQ Title Binder.
A. Purchaser shall hava the right to obtain within 3Q days after the date of this Contract is signed , at
Purchaser's expens�, a curreni on-the-ground s►�rvey ("Survey"} af the Properiy made by a duly
licensed surveyor xeasonably aeceptable to the �'��rcliaser. The 5urvey shall be in a form
acceptable to the Title Cpmpany in order ta allow the Tifle Comparry to delete the snrvey
exception (except as ta "shortages irt area") fram the Title Policy to be issued by the Title
Company. The Survey shall show the loca�ian of all i�pnc>vements on tl�e �'xoperty, if any and
shail be certified to 1'i�rchaser and tlze Title Company.
B�. Within 10 ciays after� the date this Cuntract is sig�ned by bafh parties, P�chaser shall, at
Purcl�aser's expense, abtain the foiiowing;
(1} A titie commitment ("Title �inde�') cavering the Property binding the Title Company to
issue a Texss Owner's Policy af Title Insurance an the sfandard form of policy prescr.ibed
by the Texas State Board of Insurance at the Closing in the fu11 amount o� the Purchase
Price, a�ad
{2) True, cor'rect and legible copies of a� and all instniments :�ferred to in the Tifle �inder
as constituting exception or restrictions upon th� title oi Seller, except th�t copies af any
liens which are ta be released at the Closing ma�r be omitted. �
3. Annro�al period and Tit�e
A. Purchaser shall �ave fifteen (15) days after the xeceipt af the 5urvey and Tifle Binder ta review
them and to deliver in writing to �eller such abjections as Purchaser may have to anything

contained in them. Any such i�em to which Purchaser sha11 not object sha11 be deemed a
"Permitted Except�on". If there ace abjections by Pu�haser, Seller rnay, at Seller's discretion,
attempt to satisfy theFn prior to Closizig, b�t Seiler sha11 noi be req�ired fo incur any cost to do so.
If �e�ier delivers written notice to Purchaser on or b�foze the Clasing date that Seller is unable to
satisfy such objections, ar if, for any xeason, Seller is urnable ta canvey title in aecardance with
Sect3fln 4(B) beiow, Purchaser �nay either wai�e such abjeetians and accept such title as Seller is
able ta com�ey ar tern�.inate this Contract by written natice to Seuer. Zoning ordir�nces and the
lien %r current taxes shali be deemed to be Permi.tted Exceptions.
B. Delivery of the Tit�e Po�icy �ursuant to Section 4 belaw shall ba d�zned'to fiilfill all duties af
SelIer as to the sufficiency of title required hereunder. �urtherrnore, PURCHASEA

�4. Closing.
A. The Closing of this Contract shall be held within 60 (sixty} days after all the Specia� Conditions
in Sectian 5B bave been saiisfied and a#�er being approved b� tha gaverni�g body of Purchas�r
and Seller, at the of�ices of the Tide Co�paz�p chasen by Purchaser; pravided, however, tbat if on
such da�; the Title Campany haS not yet approved #itle or if �ere are objections �aade by
P�e�aser which have nat yet been cured hy Seller, either pa�ty, by vvrif#en notice to the other, may
pastpone the date of th� Closing to snch clate as shall be desi,�qat.�d in suah notice but nat cnore
than iltirty (30) days after the Closing date above speci�ed,
B. At the Closing, Seller shaIl deliver ta Purchaser (i) Speciat Warranty S�e�d conveying tlte praperty
according to the legal description prep��red by the sun�eyor as sho�►+n on the SuYvey af the
Propert�r, s�bject on�y to the �'ermitted Excep�ons; and (ii) at Purchaser's cast, a Ti�le �'olicy
issued by the und�rovriter for the Title Comgan� pursnant to the Tifle Binder with the survey
e�ception deleted at Purc�►aser's option (except as to shortages in area), subject only to the
Permitted Exceptions.

C. At the Closing, Putchaser shall d�Iiver to the Sell�r the PUrchase �'rice by wire hansfer, casluer's
checic or tit�e company check. ,
D. Except as atherwise p:rovided herein, Purchaser sha11 pay the ather usual and custamary closing
casts charged hy the Title Company, except for the pay off of any lien(s) or assessment(s) against
the Property and Seuer's share �f the praperiy taY for tt�e year of Closing calculated to tke date a�
the Closing and all taxes, penalty and interest fnr prior years, all oi whach cvill be paid by Sell�r at
the Closing. Rollback t�es if arry will be paid by Pia�rcl�aser.
E. Sole and exclusive possessian of the Property wiII be detivered to Pur�haser at the C[osing,
5. Snecial Conditions.
A. By February 1, 2b04 or upon completion of the roadway, whichever is soaner, Purcl�aser shall
replac� 8ellers existing fence that fronts Westport Parkway as Zabeled Proposed 5onth Right-of
Way on Exhibi� A, The new fence shall 6e cansh�ucted in accardance with Exhibit A-I. The n�w
fence shall cansist of a 6 str�nd ba;rbed wire on steel poles and the �ate shall he constructed to
al�ow vehicles with an at#ached trailer to pull campletely off the roadway as shown on Exhibit A-
1,
B. Pr�or to Cl�sing, �eller and Purchaser shall enter ivato a temparary construction easement in order
ta facilitate the construction of the road. Purchaser shaU canstruct a temparary fence nn ihe sonth
baur�dary line of the 30 foot Temporary Construction Easem�nt as shown an Exh�'bit "C". 'The
temporary fence shall be con�mcted in orcler to prevent Iivestock frnm en#ering inta the
construction ar�a.
Termination. If this Contract is terminated. by Purchaser in accordarice with Section 3, the parties sha11
have no further abligation ar liabilities one ta the other.
7. Miscellaneaus Pravisions.
A. Date af Gontract. The term date of this Corjtract: as used herein shall mean the date ths last �rry
signs #his agreamern.
B. Notices. Any notic� ar communicatiozz required or permitted. hereund�r sba11 be deemed %�be
delivered, whether ac#ually received or not, when deposited in the United States mail, postage
fully prepazd, regisiered ar certifiefl mail, addressed to the intended recipient at the address on the
signature page of this Conlract. Any address far notice rnap be changed b� wz-itten notice so
given.
C. Integration. This Contract eontains tl�e complete agreem�nt between the parties anc� cannot be
varied except hy the written agreement of the parGYes. The parties agree that there are no oral
agreements, vnderstandings, represerxratians or warranties vvl�ich are not expressly set forth herein.
D, Survival. The representatians, warranties, covenants and agreements of the parties set forth hereua.
and in particular, tha agreements it�. Paragraph SA. Special Canditions, shall survive the execu�ian
and delivery of any deeds ex�cuted and delivered p�rsuant to this Agreement.
E. Bsnding Effect, This Comract s1�a11 inure to the benefit of an bind the parties hareto asid tt►eir
respective heirs, representatives, successnrs and assi�ns.
8. Mnitinle Counteroarts. 'Tl�is Contract may '6e execuied �an any number af caunterparts. Each of the
connterparts shall be deemed an original insirument, but all af w�ich when taken together shall constitute

one (l) and flie same agreement, and any of the parties hereto may execute this Contract by signing such
counterpart. This Contract may he executed and returned.ria facsimile transmissio�, and such execution
and delivery sha11 be binciii.ng as if an ariginal had been deiivered and fhe delivering party cavenants and
agt'ees that an original �cvill be sent immediately by reguIar United States mail.

above described strip of land f�r the purpose of the reconstruction and widening af
Westport Parkway. Upon compl�ion of said 'unprovements and its acceptanc� by the City
of Haslet, Texas, all rights granted within the abave-described Temporary Constn�crion
Easement shaIl cease.
The Easernent and Right�of VVay conveyed herein shall be for the purpose af a Temporary
Constructivn Easement in order that the Cit}► of Haslet, its� officers, a�ent�, employees,
contractors and subcontractors may enter in, under, alang and across the above-described
prnpe:rty for the purpose of constructit�g improvements and �acilities thereon, including but
not lirnited �o operating equipment and sto�ing dirt, equipment, and materials.
Grantee shall repair any damage to impravements and grou�ad in the Easement Tract or
surrounding property and restore the surFace of the Easement Tract and suri'ounding
property as a result of any damage fi am Grantee's use of the Easement Tract.
The Grantee shall not use the Easement Tract, or permii use of th� Easement Tract by any
other person in a manner wluch violates any law or regulatian, may be dangerous, or
constitutes a public or private nuisance. Except far the normal use of fixels and lubricants
and their nannal bypraducts of use, the Grantee shall not, and shall not pernut any of its
employees, agents, contrac#ars, sub�ontractars, suppliers, or invitees to, tacate, generate,
manufactur�, use or dispose of on or about the Easement Tract any chernical, poilutant,
waste or other substance that is th� subj�ct nf any 1aw or regula�ion pertaining to �ubl�c
health, s�,fety, protEction, or conservation of the enviranment or regulation of Hs,zardous
Substanc�s. "Hazardous Substances" msat�� any and all pollutants, tt�xic substac�ces or

subcontractors, suppiiers, ar invitees, Grantor may have environmental studies of the
Easement Tract c4nducted as it deems appropriate. In the event such studies reveal that
Ha,zardaus Substances have been located, gen�rated, manufactured, used, or disposed of
on or about the Easement Tract, �xcept as noted above, the cost of such studies shall be
paid by Grantee.

hold harmless, and de�end Grantor from and against any and aII claims, �uits, lasses,
