Scope ofr Serrsice�
A. The Scope of Services is set fort� in Attachment A.

A. The EN(,�INEER's compensatiar� is set farth in Attachment B.
Ar�icle III
T'ewm� of Paymeni
Payments to the ENGINEER will be made as follnws:
A. Ir�►roice �nd Payment
{1) The �ngineer shail provide the City sufficient documentation to
reasonably substantiate the invoices.
{2} AAonthly in�aces will be issuecf by the ENGiNEER for all work perFarmed
under t#�is AGREEIIIIENT. In�oices are due ar�d payable within 30 days
of receipt.
(3) Upon completion of services enume�ated in Article I, the fiinal payment of
any balance will be due within 3D days of receipt of the final in�oice.
(4) In the event of a disputed or contested billing, anly that portion so
contested wiil be withheld fram payment, and the undisputed portion wifl
be paid. The City wi�l exercise reasonab�eness in contesting any bill or
portivn thereof. No interes# will accrue on any contes#ed portion of the
billing until mutualfy resolved.
(5) tf the CITY fails to ma�e payment in full to ENGINEER fior biiEings
contested in good faith within 80 days of the amaunt due, the
EfWGINEER may, after giving seven (7 days) written notice to CITY

suspend services under this AGREEIVIENT until paid in full, including
interest In the e�ent of suspension of services, the ENGINEER shail
ha�e no iiability to CITY for delays or damages caused the C1TY

Ar�icle I�
Oblig��ions of fihe Enginee�
Amendments to Article IV, if any, are included in Attaehment C.
A. �enepal
The E�NGIN��R will serve as the ClTY's prnfessional engineering representative
under this Agreement, pro�iding professior�al engineering consultation and
advice and furnishir�g customary services incidental there�to.
�. Standard o� Ca�e
The standard of care applicabl� to the ENGINE�R's services will be the degr�e
afi s�cill and diligence normally empioyed in t�e Staie of Texas by professional
enginee�s or consultants per#orming the same or similar services at the time
such senrices are pertormed.
�. Subsu�r�ce Inreesiiga4ions
(1) Tf�e ENGIN�ER si�all ad�ise the CITY with regard t� the necessity for
subcontract work such as special surveys, tests, test �orings, ar other
sul�surface investigations in connection with design and engineering
worK to be perFormed h�raunder The ENGINEER st�all also advise the
CITY canceming th� results of same. Such sunreys, tests, and
ir�westigations sha11 be furnished by the CITY, uNess otherwise specified
in Attachment A•
(�) In soils, foundation, groundwater, and other su�surface investigatians,
the actual charaeteristics may vary significan#ly betvue�n successi�e test
pflints and sample intervais and at locations other than where
observations, exploration, and in�esiigations have been made. Because
af the inherent uncertainties in subsurface evaluations, changed or
unanticipated underground conditions may occUr that cauld a�fect the
total PR4JECT cost and/ar ex�cution. These conditions and
cast/execution effects are not the responsibility of the ENGINEER.
D. ��ep��ation o� �ngin�e�ing �parnrings
The ENGIIV��R will provide to the CITY the original drawings af all plans in inl�
an reproducible plastic film sheets, or as atherwise approved by CITY, whieh
shall become the praperiy of t�e C1TY. ClTY may use such drawings in any
manner it desires; provided, however, that #he �NGINEER shall not be liab[� for

the use of such drawings for any project ather than the PR�JECT described
herein.
I�. �ngineer� f�epsonnel ai Cons�pucfiion Sife
(1} The presence ar duties of the EIVGINEER"s persannel at a construction
site, whether as on-sit� representati�es or otherwise, do noi mak� t�e
�NGIN��R or i#s personne{ in any way respansibls for tf�ose duties that
belong to #he CITY andlor the CITY's cons�ruction cantractors or ather
entiti�s, and do not relieve the canstruction contrac#ars or any other entity
of th�ir obii�ations, duties, and responsibilities, including, but not fimited to,
al1 construction methods, means, techni�ues, sequences, and procedures
necessary for coordinating and completing all portions of the construction
wac� in Except to the ��ent of specific site visits expressly detailed and
set fo�th in Attachment A, t�e accordance with the Contract Documents
and any health or safety precautians required by such construction work
The ENGINEER and its personnel ha�e no authority to exercise any
�antrol over any construction co�tractor �r other entity or their employees
in connection with #heir worlc or ar€y health or safety precautions.
(2) €NGiNEER ar its persQnnel sha11 have no ohligation or respansibility to
visit the construction sit� to become familiar with #he progress or quality
of the completed wor�z on t�e PR�JECT ar to determine, in gen�ral, if
the ►n+ork an the PRO.lECT is being perFormed in a manner indicating
that the PROJ�CT, when completed, will be in accordance with the
Contract Dacuments, nor shal{ anything in the Contrac� Dacuments or
the agreemer�t betwe�n CI7Y and EI�GIMEER be constnied as �equiring
ERlGINEER to make exhaus�lve or continuous on-site inspections to
disco�er lateni defects in the work ar ot#�erwise chec� the quality ar
quantity afi the woric on th� PROJECT. lf, for any reason, the ENGIN�ER
shauld make an an-site observation{s), an the basis of such an�site
abserva#ions, if any, the ENG�NEER shall enciear�or to keep the C�TY
informed of any deviation from t�e Contract Documents coming ta the
actual notice of ENGINEER regarding the PROJECT.
{3) When pro€essional certificatian o# performance or characteristics of
materials, systems or equipment is reasanalaly requir�d to perform the
services set farth in the Scape vf Services, the ENGINEER shall be
entitled to rely upon s�ch certi�cation to establish materials, systems vr
equipment and performance crit�ria to be required in fhe Contract
Documents,

{2} In pr�ovidir�g opinio�s qf cost, financial ar�alyses, economic feasibility
proj�ctions, and schedules for the PROJECT, the ENGINEER has no
control over cost or �rice of labar and materials; �nknown or latent
conditions of existing equipment or s�ructures that may affect op�ratian
or maintenance costs, competi#ive bidding procedures and market
canditions; time. or qualify of performance by third parties; quality, #ype,
management, or direction of aperating personnel, and other economic
and aperational factars that may materially a�Fect the ultimate PR�JECT
cost or schedule. Therefore, the ENGINEER makes no warranty that the
C1TY's actual PROJECT costs, financ�a� aspects, economic feasibility, or
scheduies will not vary from the ENGINEER's opinians, analyses,
projections, or estimates.
G, Construc�ion �eogres� Pay►menf,�
Recommenda#ions by the �NGINEER ta the CfTY for periodic canstruct�an
progress paymenfs to t�e canstructian contractor will be based an tt�e
ENGINEER's knnwledge, informatian, and belief frvm se�ecti�e sampiing and
observatian thai the work has progressecl to the paint indicated. Sucn
recommendations do not represent that confinuous or detailed examinations
have been made by the E�IGINEER to ascertain that the construction cantracior
I�as completed tf�e wor�t in exact accordance with t�e Contract Dacuments; fhat
the fir�al work will be acceptable in a41 respects; that th� EhlGIIVEER has made
an examinatian to ascertain how or for what purpose the canstruction contractor
has used the maneys paid; that title to any of the work, materials, or equipment
has passed #a fh� C{TY free and clear of liens, claims, 5ecurity interests, or
encumbrances; or that there are not other matters at issu� between the C�TY
and the construction contractar that aff�ct the amount that should �e paid.
H, Recorci �r���+ir�gs
Record drawings, if required, will be prepared, in part, an #he basis of
information compiled and furnished by others, and may not always represent
the exact lacatian, type of variaus com�anents, ar exact manner in which the
PROJECT was finally eonstructed. The �NGIfVEER is not respo�sible for any
errors or omissians in the infarmation from athers that is incorporated into the
record d�awings.
L I�dfirrorrify and lA�aman Bus9ness �nterprise (IY���) p�rt�cip�fi�on
In a�cord with City of Fart 1North Ordinance No. 11923, the City has gvals for
the participation of m�nority b�siness ente�rises and woman business
en#erprises'in City con#racts. Eng�neer acknowl�dges the MIWBE goal
established far this contract a�d its cammitment to meet ihat goal. Any
misrepresentation of faets {other than a negligent misreprese�ta#ion) andlor the
cammission ofi fraud by the Engineer may result in the termination of this
agreement and debarment from participating in Gity contracts for a period o#
time of not less t#�an #hree (3) years.

J. Righfi io �udif
(1) €fVGINEER agrees that the CSTY shall, ur�til the expiration of three (3)
years after final payment under this cantract, have access to and the
righ# to examine and photocvpy any direc#�y pertiner�t boaks, documents,
�apers and records of the ENGINEER involving transactions relating to
this cor�tract �NGINEER agrees that the CITY shalf ha�e access during
normal war�Cing hours ta all necessary ENGINEER facilities and sha�l be
provided adequate and apprapriate worE< space in arder to conduct
audits in compliance with the pra�isions of this section. The CITY shall
give ENGINEER reasonable advance notice of intended audits.
(2} ENGINEER further agrees to inc�ude in all its subconsultan� agreements
fi�ereunder a pra�ision to the ef�ect that the subconsul#ant agrees that
the CITY shall, until the expiration of three (3) years after final payment
und�r the subcontraet, ha�e access to and the righ# to examine and
photocopy any directly pertinent boaks, documents, papers and reeords
af such subconsuitant, involving transactions to the subcontract, and
fur�her, that the CITY shall ha�e access during normal working hours t�
a�l subconsultant facilities, and shall be prvvided adequate and
appropria#e wor�t space, in order to canduct audits in carnpliance with t�e
pror►isians of this article together with subsection (3)hereafi. CITY shall
give subco�suitant reasonable advance notice of intended a�dits.
(3} �3VGIN�ER and subconsultant agree ta photo co�y such c�ocuments as
may be requested by the CITY. The C1TY agrees to reimburse
ENGINEER for the cast of copies at #he rat� publ9shed in the Texas
administrati�e Code in effect as af the time copying is performed.
!�. EP��IR���R's Insurance
(1) Insurance caverage and limtts:
ENGINE�R shall provide ta the CEty c�rti#icate(s) o# insurance
documenting poiiciss of the following cov�ra�e at minimum limits which
are to be in effect prior to commencement of work on the PROJECT:
Commercial Generaf Liability

Automobile Liability
$1,000,000 each accident (or reasonably �qui�aient limits vf ca�erage if
written on a spfit limits �asis). Coverage shall be on any �ehicle us�d in
tf�e course af the PROJEGT.

(2} Certificates of insurance e�ider�cing that the ENGINEER has obtained all
required insurance shall be deli�er�d tn the CITY priorto ENGWEER
proceeding with tl�e PROJECT.
(a) Applicable policies shall be end�rsed to name the CITY an
Additional Insured thereon, as Its interests may appear. Tt�e terrr�
C1TY shall include its emplayees, officers, offiicials9 agents, and
valunteers as respects the contracted services.
(b) Certificat�(s) of insurance shall document #hat insurance
coverages specified according to items section K(1) and K.(2) of
this agreement are provided under applicable policies
documented therean. �
(c) Any failur� o� part of th� CITY to request required insurance
documentation shall not constitute a waiver of th� insurance
requirements.
(d) A mi�imum af thirty {30) days notice af cancellation, nan-renewal
or material change in coverag� shail be provided to the C1TY. A
teR (1 a} days notice shall be acceptahle in the e�ent of non-
payment of premium. Such terms sha�l be endorsed anto
ENGI�lEER's insurance policies. Notice shall be s�nt to the
respec�Ne Department Director {by name), City of F�rt Worth,

{e) Insurers for all policies must be autharized to do business in t1�e
state of Texas or be otherwise appro�ed by the CITY; and, such
insurers shal! be acceptabfe ta tfi�� C�TY in terms of their financiai
strength ar�d solvency.
{f} Deductible Nmits, or se[f insured reter�tions, affecting insurar�ce
required herein may 4�e acceptable to the CITY at its soie
discr�tion; and, in iieu of traditional insurance, any alternati�e
co�erage rna�ntained through insurance poals or r�sk retention
groups must be also appro�ed. Dedicated financial resources or
letters of credit may also be acceptable ta the City.
(g} Appficable policies shail each b� endarsed with a waiver of
subrogatio� in favor of the CiTY as respects tf�e PR�JECT.
{h) The City shall b� entitled, upnn its request and witho�t incurring
expens�, to re�iew the ENGih1EER's insurance policies incfuding
er�dorsements thereto and, at the CITY`s discretion, the
�
ENGIF�EER may be required to provide proof af in�urance
premium payments.
(i) The Cammercial General Liabifit� insurance polic� shaEl have no
exciusions by sndors�ments unless such are approved by the
city.
(�} The Professional i,iabili#y insuranc� policy, if written on a claims
made basis shall be maintained by the ENGINEER fqr a minimum
two' {2) year period subsequent to the term of the r�spective
PROJECT eontract with the C1TY .unless such coverage is
pro�ided #he EiVGINEER ar� an occurrence basis.
(k) The C�TY shall nat be responsible far the direct payment af any
insurance premiums nequired qy this agreement It is u�derstoad
thai ir�surance cast is an allowable camponent of EIVGINEER's
overhead. .
{l) All insurance required in sectian �C, except for t�e Professional
Liability insur�nce policy, shail be writt�n on an accurrence basis
in ard�r to be a�pro�ed by the CiTY
(m) Subconsuftants to the. ENGIIV�ER shall be required by the
ENGINEER to maintain t'he same or reasonably equiwalent
insurance ca�erage as required for the ENGIN�ER. When
insurance co�erage is maintained by su�consultants, ENGINEER
shall provide C1TY with document�tion thereof on a certificate af
insurance. Notwi#hs#ar�ding anything ta #he cor�trary �ontained
her�in, in the even# a subconsu�tan#s insurance coverage is
canceled or termina#ed, such canceliation or fermination shall not
constitute a breach i�y EhlGINEER of the Agreement
�. Indep�ncienf Consultan�
The ERlGIN�ER agrees to �ertorrr� all services as an independent eansulta�t
and not as a suY�contractvr, agenf, or employee of the CITY.
1�i. Di�closurr�
Tt�e ENGI�VEER acknowledges to t�e CITY that it has made full disclosure in
writir�g af any existing conflicts af interest or potential conffcts of interest,
including personal financial interest, direct or indirect, in prope�iy abutting the
proposed PROJECT and business rela#io�ships with a�utting property cities.
The ENGINE�R further acknowledges that it will make disclasure i� wr�ting of
any conflicts of int��est which develop subsequent ta #he signing of this
cantract. and prior to final payment under the contract.

N. �sbes�o� or Ha���dous �ubsfances
(1) If asbesias or hazardous substances in any form are encfluntered ar
suspected, t�e ENGINEER will stop its own wor� in the affecte� porkions
of the PR�JECT to permit testing and ev�aluatian.
(2) If asbestos or othe� ha�ardous substances are suspected, tfi�e
ENGINEER will, if requested, assist �he �ITY in abtaining the services of
a qUalifi�d subcontract�r to manage the remediation acti�iti�s of the
PRO.iECT.
O. �ermiifing l�utho�ities � �esign Gi�anges
If permitfing authorities require design changes so as to compiy with pubiished
design criteria andlnr current engineering practice standards whieh #he
executed, the ENGINE�R shall revise plans and s�ec�ficatior�s, as required, at
its own cost and expense. kawever, if ciesign changes are required due to t#�e
changes in the permitt�ng a�tharities' publ�sh�d design criteria andfor practice
standards criieria which are p�blished after the date of this Agreement which
the E�GIhIEER could not have been reasonably aware of, the EN�IN�ER shai]
nvtify th� CITY of such changes and an adjustment in compensation wi11 be
mac�e through an amendment to this AGRE��r9ENT.

�bligaiions o� �he Ci�y

A. Ciiy-��r�nisi�ed Dai�
The CITY will ma�e a�ailable to #he ENGINEER all technical data in the CITY's
possession relati�ng io the ENGINEER's services an the PROJEC7. The
EIVGI�[EER may rely upon the ac�uracy, timeliness, and completeness of the
informatian provided by the GITY except when r�erifiieatian is necessary to insure
the proper delivery of services to be per€ormed.
�, �ecess fo C��cili�ies and ��ope�+
The GITY wil! make its facilities acc�ssible to the ENGINEER as requirecf for the
ENGINFER's perFormance of its services a�d will provide labor and safety
equipment as required by th� ENGINEER for such access. The CtTY w�ll
perform, at no cost to the EidGINEER, such tests of equipment, mach�nery,
pipelines, and other camponents of the CITY's facflitfes as may be required in
connection with the EI�GINEER's services. The CITY will be respc�nsible for all
acts of the CITY's persor�nel.

G. e�d�+er�is�menfis, Pe�rmifs, and Access
Unless otl�erwise agreed to in #�e Scope ofi Services, the CITY will obtain,
arrange, and pay far ail ad�ertisements for bids; permits and licenses required
by locai, state, or federal authorities; a�d I�nd, easements, rights-of-way, and
access necessary far the ENGIIVEER's seivices or PROJECT constructian.
B, iim�l� �evier�+
The CITY will examine the FNGli�EER"� st�dies, r�parts, sl�etch�s, drawings,
sp�cifications, proposals, and other documents; obtain advice af an atto�mey,
�nsurance counselor, accountant, au�itar, bond a�d financial ad�isors, and other
consultants as t�e CIiY deems appropriate; and render in writing d�cisions
required by the Ci`�Y in a timely mar�ner in accvrciance with the project schedule
in Attachment O.
�. �rompf Nofice
The CITY will give prampt written notice to the ENGINE�R whenever CITY
observes or becomes aware of any development that affecis the scope or timing
vf the E�lGIIVEER's services or af any de#ect in the work of �he ENGIlVEER ar.
c�nstruction contractors.
I�. Asbesfios or Ha�a�dous Subsf�ance� and I�dem�,i�icatiion
(1) To the maximum exter�t permitted by law, the CfTY will indemnify and
release ENGIhl�ER and its of�cers, em�loyees, and subcontractars from
all claims, damages, losses, and costs, including, but not limited to,
attorney's fees and litigatian expenses arising aut of o� relating ta the
preser�ce, discharge, release, or escape of hazardous subs#ances,
cantaminants, or asbestos on orfrom the PROJECT. Nvthing contained
hefiei� shafl be construed to require fhe CITY ta levy, assess or collect
any tax ta fund this indemnification.
(2) The ind�mnification and rel�ase required above shall not apply in the
event the discharge, release or escape of hazardous substances,
contarninants, or asbes#as is a result ofi EfVGIN�ER'S negligenc� or if
such hazardous substance, con#amin�nt or asbes#os is brought on#a tJ�e
PROJECT by Ef�GINEER
�. �on�r�acfop lndemni�c��ion �nd Ciaims
The CITY agrees to include in ail canstructiQn cvntracts the pro�isians o# Article
IV.E. regarding the ENGINEER's Personnel a� Construction Site, ar�d pro�isions
pro�iding contractor indemn�ficatian of the CITY and the ENG1[�EER for
contracto�'s negligence_

b. Cor�4��ctor Cl�ims a�� ihird��arr�,+ �er�eficiaries
(1) The CITY agrees to include the following clause in all conir�cts with
construciian contractors and equipment ar materiats suppliers:
"Contractors, subcontractors and equipment and materials suppl�e�s on
the PR�JECT, nr their sureties, shail maintain no direct actian against
the ENGENEER, its officers, employees, and subcontractors, for any
cia�m arising out of, in connectior� with, or resulting from the engineering
services perFormed. Only the C1TY wiil be the beneficiary ofi any
undertaking by the ENGIt�EER."
(2) This AGREEMENT gi�es nQ rights or bene#its to anyone ot�er than the
CiTY and t�e ENGINEER and there are no third-party beneficiariss.
(3) The CITY wi�l include in each agreement it en#ers into v�ith any other
errtity ar p�rson regarding #he PROJECT a pro�ision that such ent�ty or
person shall ha�e no third-party berieficiary rights under this Agreement.
(4) iVot�i�g contained in this section V.H. shall be cons#rued as a wa}�er of
any right ihe CITY has to br�ng a claim against Ei�GiNEER.
I. CIiY"s InsuP�nce
(� ) The CITY may maintain �araperty insurance on certain pre-exis#ing
struct�res assaciated with th� PROJECT.
(2) The CITY wiil ensure that Builders Risk/lnstaflation insurance is
maintained ai the replacerrient cost �alue af th� PROJECT. The CITY
may provide ENGIINEER a copy of the policy or documentation flf sucf�
an a cer�ificate o# i�surance.
(3) Th� CITY will specify that the Builders Riskllnstallation insurance shall
be comprehensiwe in co��rage appropriate to th� PROJECT risks.
J. Li�ig��ion /4ssi�fiance
The Scope of Services does not include costs of th� ENGINEER for required ar
requested assistance ta s�pport, prepare, documenf, �ririg, defend, or assist in
litigation undertaken or de#ended by the GITY. In #he e�ent CITY requests such
services oi the ENGINEER, this AGREERIIENT shall be amended or a separate
agreement will be nego#iat�d between the parties.
K. ��anges
The CITY may make or ap�rove changes with�n the general Scape of Services
in #his AGREEMENT. If such changes affect the ENGINEER's cost pf or time
required for perFormance of the servic�s, an equitable ac�justmsnt will be made
through an amendment to this AGREEFu�E�T with appropriate CITY appro�al.

ENGIiVEER shall be authorized ta proceed with this AGREEMENT upon receipt
of a written Notice to Proceed firom the CITY.
�, Reuse o� ��oject Documer��s
All designs, drawings, specifications, dacuments, and ath�r wiark produc#s of the
ENGINEER, whether in hard copy or in el�ctranic form, are instruments of
service for #his PROJ�CT, whether the PROJECT is completed or not. Reuse,
change, or alteration by the CITY or by o#h�rs acting through or on behalf of #h�
CITY �f any such ir�strum�nts of service withaut the writter� p�rmission of t�e
ENGINEER wil{ be at the CITY's sole risk. The final designs, drar�vings,
speeifications and documents shall be owned by the CITY.
C. �or�c� NVajeure
The Ei�GIi�EER is not responsible for damages or c3elay in ��rformance caused
by acts af God, striF�es, lockouts, accidents, or attrer events beyond #he c�n#ro4
of the ENG�NEER.
�. iermir���ioe�
(1) This AGREEII�EIVT may be terminated or�ly by the City for can�enience
on 30 days' written notice. This AGREEMENT may be terminated by
ei#her the CITY or the E�IGINEER for cause if either party fails
substantially #o perform through r�o fault af the ather and does nat
comm�nce correction af such nanperformance w,+ith 5 days of �rritten
natice and diligent�y complet� #he correction #her�after.
(2j If this AGREEMENT is terminated for the con�enience of the City, the
ENGiNEER will I�e paid far t�rmi�ation expenses as follnws:
a) Cost of reprvductior� of partial or complete studies, p�ans,
specifications or other forms of ENGIfVEER'S wor�t prod�ct;
b) Out-of packet expenses for purchasing storage containers,

The CITY may suspend, de�ay, or intemapt the senrices of the EPlGI�lEER for
the con�enience of the C1TY. tn the e�ent of such suspension, delay, or
interruption, an equita�le adjustment in the PR�JECT's schedule, commitment
and cost of the ENGINEEFd's personnel and s�bcontractors, and ENGINEER's
comp�nsation vr►ill be made.
�. Indemniric�fiien
(1) The ENGiN�ER ag�es tq indemnify and defend the CITY from any loss,
cost, nr expense claimed by third parties for �raperty damage and bodily
irijury, including death, caused solely 6y the negligence or willful
misconduct of the EhlGl�lEER, its employees, o�fiicer�s, and
subcantrackors in cannection wifh the PROJECT.
(2) tf the negligence orwillful misconduct af both the ENGINEER and the
CITY (or a person identified above for whom each is liable) is a cause of
such damage or injury, the loss, cost, o� expense s�all be shared
bet�rveen the E�GIR�EER and the ClTY in prnportion to their relative
degrees of negligence nr wi�lfui misconduc# as determined pursuant to
T.C.P. & R. Code, 5ection 33.�11 (4) (Vemon Supplement 1996).
C. A���gnmer�t
Neither party will assign all or any park of this AGREEMENT withaut th� prior
written consent of the other party.
F�. Irrierprefa�ion
Limitations on fiability and indemnities in this AGREEMENT are business
understandings betwe�en the parties and shal[ apply to all the differeni theories
of reco�ery, inclt�ding breach of cor�tract or warra�ty, tvrt inciuding negligence,
strict or statutary liability, or any other eause of action, except far willful
misconduct or gross negligence for limitations o# liability and s�le negligence #or
indemnification. Parties means the CITY and the ENGINEER, and their officers,
employees, agents, ar�d subcontracto�-s.

The law of t�e St�te of Texas shall govern the validity nf this AGREEM�NT, its
interpretatian and performance, and ar�y other claims related to it- The venu� for
any litigation related to this AGREE�ENT shall be Tarrant County, 7exas.

(1) AI� claims, disputes, and other matters in questio� bet+ween #he CITY and
EP�GIIVEER arisi�g out of, or in connecEion with this Agreement or the
PROJECT, ar any br�ach of any obligation or ciuty af CITY or
ENGfNEER hereunder, wifl be submitted to mediation. If inediation is
unsuccessful, the claim, dispu�e flr other matter in question shall be
submitted to arbitration if both parties acting reasanably agree #hat the
amount of the dispute is li�ely to be less than $50,OOa, exclusive of
aftorney's fees, costs and exper�s�s. Arbitratian shail be in accardance
writh #he Construciinn Industry Arbitration Ruies ' af th� American
Arbitration Assaciation or other applicable rules of the Association then
in e�fect Any award renc�ered by the arbitrators less than $50,DOD,
exc�usiue af attorney's fees, cos#s and expenses, wiil be #inai, juc�gment

subjeci to appeal or modifica#ion except to the extent permitted by

expenses, may be litigated by either party on a de no�o �asis. The

for any pUrpose in the litigation.

to be in�alid, illegal, or unenforceable in any respect, such invalidi#y, illegality, or
un�nforceability wiil not affect ar�y ather pra�ision, and #his AGREEMENT shall
be cor�strued as if such invalid, illegal, vr t�nenfarceable proVisian had never
laeen contained he�ein. Ar�icles V.F:, VI.B., VI.D., VI.H., Vi.l., and VLJ. shall
surv�ve terminatian af this AGREEMENT fc�r any cause.
�. Obser�re �nd Comply
ENGII�EER shall at atl times oi�serve and com�ly with all federal and Sta#e (aws
and regulations and with alf City ardinances and regulations which in any r�uay
affect this AGR�EMENT ar�d the wvrk hereunder, a�d shaal observe and comply
with all �rders, laws ordinances and regulations which may exist or may be
enacted later by ga�eming �odies having jurisdiction or authority for such
i�-
e�ac#ment. No plea of misunderstanding ar ignorance ther�o# shal� be
cor�sidered. ENGINEER agrees ta defend, indemnify and hold harmless CITY
and all of its officers, agents and employees fram and against all claims or
liability arising aut of the �iolation of any such order, law, ordinance, or

streets priar to channel o�erflow due ta the absence of Enlets to collect water
discharging off iNed'[na_ 5imilarly, the chanr�el has al�a o�erflowed the culvert at the
downs#ream end of Kellis Par�, inundating the intersec#ion at Trail Lake and Granbury-
Wabash on its way to Fos�er Park.
Scope of Work:
1. Perform a drair�age study to identify the five-year and 100-year storm water flows
and to defineate the project (problem) limits.
2. De�elop a conc�pt pian for proposed s#orm drain impro�ements, including size,
alignment, and total es#imated project costs ta carry the 'f 00-year starm
underground and to collecfi street flows on and abo�e Sou#hridge Terrace.

s#orm drain� wh�ch apparently were ne�er mapped. The downstream sys#em drains
West Seminary Dri�e at the Bf�SF Railroad underpass before draining into the An#hony
ChaRnel drainage culve�t underground at the Town Center Mall.
Scope of Work:
1. Pe�form a drainage study to identify firre-year and 100-year storm water flows
and to delineate the project (problem) limits.
�. AiYap the exis#ing sior`m drainag�: system from reeords, providing pipe sizes and
approximate alignment. Additional approximate mapping may be pro�ided based
on field observation of facilities. Na as-built surveys will be provided.
3. De�eiap a conc�:pt pian for proposed storm drain impro�ements, including size,
alignment, and tatal estimated project costs. Include consideration for expansio�

DeOtte, [nc. shall be paid on a manthly based upon percentage complete ofi a lump sum
amount. Additional servic�s shall be paid following writt�n agreement between the City
and the Engineer on an hourly basis. Inr�oices from the Engirteer for additional ser�ices
shall be submitted outlining the amount af hours works by each employee, the
employee's class�fication, and the bil�ing rate for each employee or classificatian as
shawn on Exhibit "B-1." All direct expenses incurr�d will be reimbursed at the actual
cost to Engineer plus ten pe�cent (1 Q%).
Paymertt to DeOtte, Inc. for a!I expenses, costs, and services described in Exhibit "B-1"
shall be a lump sum amount of $24,Q00.00.
Payment Schedule: �!a more than 80% of the tatal lump sum fee will be paid t�ntil after
�he Preliminary Re�iew meeting. All unpaid in�oices up to the total lump sum fee will be
