desires to make certain im�ro�ements ta Timberla�d Boulevar�, Phase I([H35W

WHEREAS, the said Developer has requested �he City ofi Fo� Worth, a
. municipa� corporation of Tarrar�t and Denton Counties, Texas, h�reinafter called
"City", to do c�rkain work in connectian with said improvements;
NOW, THEREFORE, KNO1N ALL BY THESE PRESENTS:
That said Developer, acting herein by and throu�fi� Mehrdad Moavedi; i�s
dufy authorized �Gene.ra! Partner and the Cify, acting herein by and fhrough Mike
Groomer, its duly authorized Assistan� City Manager, for and in consideration of

A. The Developer agrees #o install or to cause to ha�e installed, the street, storm
drainage, street l�ghting, street name sign and other community facilities
improuements shown as "current improvements" on the attached Exh�bits B, ��R, �.
B. The De�eloper agrees to comply with all c�ty aceepted practices, ordinances,
regulations, as well as pro�isions of the Ci#y Char�er, the City Subdi�ision
Ordinance, City Design Standards and the current Policy for Instalfatian of
Community Facilities in the design, contracting and installation of required "current
improvements".
C. The De�eloper agrees ta comply with the General Requ�rements contained herein
(Attachmeni A).
D. As shown on the attached "Summary of Cost", the De�elaper agrees to fund his
share of "current improvements" and to pay the City� for his share of the cost of
street, sform drainage, street lighting, sfree# name sign as shown on th� attached
Exhibits �, ��1, G.
E. The estimated �o#al cost of curren4 impro�emenfis and related suppart services
specified in this agreement, includin� desi�n, construc�ion and inspection is
estimated to be �1.631,a�9.
In accordance with the City's current Policy for Installation of Community Facilities
as shown in the Cost Summary on page 3.
The Deve[opers shall contribute �ollars $'i .37a,939 of tfi�e total amount.
The City shall cantribute Doll�rs $25�,3a0.00.

F. Develnper agrees to pro�ide, a# his expense, all necessary righis of way and
easements required to construct current and future improvemenfs provided for in this
agreement.

G. De�efoper agrees �o relie�e the City of any respons�bilifies for any irtadequacies in
ihe prefiminary plans, specifications and cost estimates supplied for the purpose of
this contract.
H. Developer also agrees to install or aeij�st all of the requ�red U�ilities to serve the
de�elapment or to construct fhe impro�emenfs required herein.

K. DeveEoper agrees to complete the impravements cover�d by this agr�ement within
90 caiendar days after having been instructed #o do so, in writing, by the Director of
Transportai�on and Pubfic works. It is understood that the developer wili initiate the
construetion of all impro�ements to conform with his own schedule, except for fhose
improvements which the Transpartatian and Public Works Director deems necessary
for the prop�r and orderiy de�elopment of the area. In the event Developer fails fo
carry out any such instructions within #he 90-day period, the De�eloper gives the City
the right to design and award a contract, and inspec# the impro�ements in question,
and agrees to pay to the City prior to tF�e award of the contract, #he amoun� of the
law bid.

7. Streat light�conduit and foo�ings s�iall be installed by the
de'�relaper's aontractor as part af and at the tima of street
construction. The city wi11. obtain electric service and comple�e tha
street light aonstruction in accordance with approved plans.
8. The developer or their cantractor shall contac� Ci�y's s�reet ]..ight
division 48 hours prior t,o starting any installation of conduit
and/or streetZights at (817) 871-8100 to insure proper inspection of
work.

GENERAL R�QUlRENfENTS
A. it is agreed and understoad by the parties hereto that the de�e{aper sha11
employ a. civil engineer, licensed to practice in the 5tate of Texas, f�r the
design and. preparation of plans and specifications far the canstruction of a!I
currer�t improvements co�ered l�y this contract, subject to Paragraph B.
B. For any project estimatecf ta cost less t�an $1 D,000 or for any project
desi.gned to serve a single lflt or tract� the devefo�er may at his optian request
the City ta provide the design engineering, a�d if such request is granted, the
developer shall pay to the City an amount equal to 10 percent- of the final
construction cost of sucn project fo� such er�ginearing ser�ices.
C. !n the event the dev�eloper emplays his awn engi�eer .to prepare plans and
specifications for any or all current impravements, the pfans and specif�cations
so prepared. shail be subject to ap�roval by the department ha�ing jurisdiction.
One {1 ] re�roduci6le set ofi plans with 15 prints and 35 specifications for each
. facility shalf be furnished the department having jurisdiction. {t is agreed and
understooci that in the event of any disagreement on th� pfans and
specifieations, the decision af the TransportationlPubli� Works Department
Directar, andfor Water Department Director will be final.
D. lt is further agreed and understood by the parties hereto that upon acceptance
by fihe City, title to all facilities and impro�ements mentioned hereinabove shail
be vested at all times in the City of Fort Warth, and dev�loper hereby
relinquishes any right, title, or interest in and to said facilities ar any part
hereof.
E. lt is further agre�d that the decision of the City to nat callect funds far "future
improv�ments" required in previous CFA agreements does not constitute an
obligatian on the part of the City �o construct such "future impra�eme�ts" at
its expense. �

F. Work hereunder sha11 be campleted within two (2} years fram date hereofi, and
it is unde�stooci that any obfigation on the part of the City ta make any refunds
with respect to wat�r andlor sanitary sewer facilities or street, storm drain,
s�reet light a�d street name sign shall cease upan the expi�atian of two (2)
years from date hereaf, except for refunds ciue from "frant foafi charges" on
water and sanitary sewer mains, whicn refiunds may cantinue to be made for a
period of ten (10) years commer�cing on the date tl�at approach mains are
accepted by the Dir�ctor. !f less than 7Q% of the eligible collections due to
the devefoper has been callected, th� Develflper may rec��est ir� wr�ting an
extension of up to an additional 10 years for collection of frant charges. If the
construction u�der the Cammunity Facilities Contract shall have start�d within
the �wo-year period, the life af the Cammt�nity Facilities Contract shall be
extended for an additianal one-year periad. Community Facifity Cantracts not
compieted within the time periods stated above w�il require renewal of the
contract with all updated agreements being in compliance with �he poVicies in
�fifect at the time of such renewal. Developers must recognize that City funds
may not be available to pay all ar a portion of th� normal Ci�ty shara for
renewa! contracts. lt must be understood by all parties to the Cammunity
Facilities Contract that any of the facilities ar requirements included in fhe
contract that are to be performed I�y the de�elape�, b�t not pe�formed by the
c��veloper within the time perEods stated abo�e, may be completed by the City
at th� d��eloper's expense.- Tne City of Fort 1North shall not be obligat�d to
make any re#unds due to the developer on a�y #acilities constructed under this
� agreement until all provisions of the agreement are fulfifleci.
G. P�R�ORMANCE AND F'AYMENT GUARANTEES

Per�formar�ce and� Payment bonds or cash deposits aeceptable to the Ci#y
are required to be furnished by tt�e efeveloper for the instalfation o#
streets, storm drains, street lights, and street name signs, on a non-
assessment basis, and must be furr�ished to t�e City prior to execution

of this cantract. The performarice and paym�nt bonds shall be in the
amoUnt flf on� hundred psrcent {100%1 af tF�e developer's estimated
share of the cost of th� streets, starm drains, �treet I�ghts, and streat
name signs. If the deposit is in the farm of cash, the cleposit sha11 be in
the amaunt of ane ht�ndred twenty five percent (125°.�0) of the
de�eloper's estimated cost of the streets, storm drains, street lights,
street r�ame signs, and change arders Sduring th� course of the project).
2. For Future lmpra�ement:
Perfiorman�c� and payment bands ar cash d�posits, acc�ptable ta the
City are required to be furnished hy the developer far one hundred
percent (100%� of the develaper's estimat�d cost resulting fram the
paving, cirainage, lighting and name signage of border streets on an
assessment pa�ing basis. (Reference Section V1, ltem 3, Developm�nt
Pracedures Manuaf,) Said psrformance and payment bonds or cash
df:pDS1'�5 must be furnished to the City prior to execution of this
contract.
Where the City lets the contract, performance and paymer�t bonds sF�all
b� deposited, in the amount of one hundred p�rcent (100°/a) of the
estimated cost of construc�tion as stated in the con�truction contract, is
required priar to issuance of a work order by the City.
° 3. Far Water and Sanitary Sewer Facilities;
Performance ar�d payment bonds, o� cash de�osits, acceptable to the
City are r�quired to be furnished by the de�elaper far the installation of
water and sanitary sewer facilities.

deposited, in the amount of ane hundred perce�t (100%} nf the
estimated cost of construction, cash deposited shall be in the

the construction contract, is raquired to be fur�ished simultaneous
with execut�on of the construction contract.

o# the estimated cast of construction as stated in the const�uction
contract, 9s required prior to issuance af a work order by the City.
4. Tvpes a# Guarantees:
a. Perfiormance and Pavment Bonds: Are reqwired for the
constructian of streets, storm drains, stre�t 9ights, and street
name signs, the fallowing terms and conditions shali apply:
(1 ? The bonds wilf be standard perfarmance and paym�nt boncis
provided by a licensed surety campany on farms furnished
by that surety campany.
(2) The bonds will be subject to the review arrd approval by the
City Attorney.
(3} The performance bond shall be payable to the City and shall
guarantee performance of the street, starm dra�n, street
light, and stree# name sign construction contemplated under
this contract. �
` (4) 7he Payment Bond shall guarar�tee �ayment for all labor,
materia�s and equipment furr�ished in connection with the
street, storm drair�, street light, anc� street name sign
construction contemplated under this contract.
(5) In order #ar a surety company ta be acceptable, ti�e name ofi
the surety shall be irtcludec{ on the currerrt U,S. Treasury list
of acceptable sureties, and the amount af bond written by
any one acceptable company shail nat exceed th� amaunt
shown on the TreasUry list for that company.
b. Cash Deposits: A cash deposit sha11 be acceptabie with
verification that an attempt to secure a band has been denisd,

such deposit sha11 be made in the Treasury of the City of Fort
War�h. The City of �art Worth wi11 r�ot pay interest on any such
cash deposit.
t1} At such time that the contract is bid for pr��ects other than
assessment projects, the cash depa�it shall be adjusted ta
one hundred twenty five percent (125%) of the actual bid
price. No contrac�t shaf{ be awarded and no work order shall
6e issued unti! such adjustment is made.
(2} Wh�n a cas� deposit is ma�e, the additional tw•enty-five
percent (25%) beyond the ons l�undred percent (100%y of
the estimated developer's share repres�nts adciitianal f�nds
for change orciers during the course of tha project, This
fwenty five percen�t (25%] shall be considered the
developer's change order fund.
(3) If the de�eloper makes a cash clepasit with the City, the
d��eloper rmay make timely withdrawals fram the cash
funds in arder to pay th� cantractar andlar subcontractor
based on amount af constructio� work campleted as �
appraved and. verified by fhe City Engineer or authorizec{ -
represen�tative. For prajects whose actual total contract
` cost is $40a,�OQ or greater, such rel�ase of s�curity shafl
equal th� percentage of work completed for that period .
multip(ied by ninety-five percent {95%}. This percentage
sha11 be app{ied to fihe actua! current total cantract cost to
determine the amaunt that may be reduced upon rec�uest af
developer. For projects whase actual total contract cost is
f�ss than �400,OQ0, such release of security shail equal the
percentage af worl� cam�leted for that period mult9plied by
ninety percer�t (9Q%}. This perce�tage shall tf�er� be applied
to the actual current tota{ contract cost to determine the
amoun�t of sec�rity that may l�e reduced upon request flf
deveEoper, The remaining security, five �ercant (5%? for
proj�cts ofi $400,�00 or greater and ten percent L� 0°!0) for

projects less than 5400,000 together with the remaining
funds firam the Developer's Change Order Fund, if a�y, wil.l
be re{eased to the developer after the project has been
accepted by the City. Partial release of funds shall be limited
to once per month. Th�re shall be no partial release of funds
for projects af fess than $25,00�. F'roof that t�e develaper
has �aid fihe contractor shall be required for partial releases.
5. Purnose, Term and Renewal of Guarantees:
a. Perfarmance and payment bonds, and cash deposits fumished
hereuncier shall be for the purpases of guaranteei�g satisfactary
compliance by the �ieveloper with all r�quiremen�s, terms ar�d
co�ditions of this agreement, inckuding, but not limited ta, the
satisfactory comP{et�art of the improvements prescribed herein,
and th�e making flf paym�nts ta any persan, firm, corporation or
atner entity with whom the cieveloper has a dir�ct cantractual
felationsh�p for the performance of work F�ereunder,
b. Developer shall keep saici perfarmance and payment l�ands, ar►dlar
cash deposits in full force and effect until such time as developer
has fuCly compVied with the terms and conditians of this
agreement, and failure to keep same in forc� and effect shall
�� constitute a defa�lt and br�ach af this agreemer�t.
H� The City snall as5�me its shar� of t�e cost of the improvemants ca�ered by
this agreement a{ong with the engineering fee only if funds are available for
such partieipation. In tf�e event that na funds are a�ailable for City
participation, the deveiaper sF�all award the contract and deposit with the City
a performanee and paymerit bonc�s ar cash for 140 percent of the estimafed
total construction cost of the improvemer�ts [plus ten percen�C (10%f far
engineering and miscellar�eous costs i# the City pr�pares the plans}.
I. Cln all facilities i�ciuded in this agreement for which the deveioper awards its
awn car�struction cantract, the cfeveloper agrees to follow the folfowing
procedures:

1. lf tFie City partici�ates in #he cost of the facili�ies, the construction
contract must be advertised, bid and awarde� in accardance with State
statutes prescribing the requirements far the letting of cantracts #ar the
cor�struction of pubiie work. This includes ad�ertising in s lacal
newspap.er at least twice in one or more newspapers of general
circulation in the county or counties in which th� work is to be
performeci. The secand pu6fication must be on or before the tenth
(� Othi day before the first date bids may be submitted, The bids mUst
be ape�ed by an officer or em�alayee of the City at of in an office of the
City.
2. To employ a construction contractor, whn is ap�roved by the Director of
the Department fi�aving jurisdiction aver the facility to be so canstructed,
said cantracfor to meet City's requirements for being insUred, licensed
and bond�c� to da work in p�blic right of way.
3. To require the contractar to furnish to the City paymen�, perforrnance
and maintenance bonds in the names af the City and the de�efoper for
one hundred �ercent 5100%) af tl�e co�tract price of the facility, said
bonds to be furnished before work is commence. Developer further
sha11 require the cantractor ta provide public liability insurance in the
� amounts fequired by the City's specifications covering that partic�lar
work.
4. To gi�e 48 hours notice t� the department having jurisciiction of intent
to commence construc�tion of the facili#y so that City inspection
personnel will be available; and ta req�ire the cantractor to allaw the
canstructia� to be subject to inspectian at any and all tim�s by City
inspection farces, and not to install ar�y paving, sanitary sewer, starm
drain, or water pipe unless a responsible City inspector is present and
gives his consent to proceed, and to make such laboratory �ests of
materials h�ing used as may }ae requir�d by the City,

of any anc! all partial and final payments to the cc�ntractor. Said
approval shal{ be subject to and in accordance with raquire�nents of this
agreement, and is not to constitute approval o# the quantities of which
payment is based. �
B. To delay cannections of bt�ildings ta service lines of sewer and water
mains co�structec! under tt�is contract untif said sawer a�d water mains
and service iines haue baen completed ta the satisfaction of the Water
Deparfiment.
7. lt.is expressly understood by and between the de�eloper and the City of
Fort Worth, that in th� event the deveEoper elects to award one si�gle
construction cantract for storm cirainage and pa�ement, said cantract
shalf be s�parated in the bidciit�g and City participation, if any, shall be
fimited to the lowest possible combination of bids as if each of �he
above w�re awarded as separate contracts.
J. Anything to the aontrary herai� notwithstandir�g, for and in consicieration of
the promises and the covenants herein macke �y the City, the de�eEoper
covenants and agrees as follows:
1. The de�eloper shall malce �separate electians with regard to water a�c�lor
sanitary sewer facilities, storm drainage, straet impravements and street
. lignts as to whether the worlc presc�i�ed �erein shall be perform�d
6y the City, or by its contractar, or by the develo�er, througf� its
cantractor. Eaci� separate election shall be made in writing and
delivered to City na later than s�x �6) months prior to #ne expiration af
ti�is agr�ement. ln the event any of such separate electic�ns has not
b�en made and delivered to City by such date, it shall be co�clusively
presumed that the developer has elected that such work t�e performed

2. Irrespecti�� af any such election and whether the wo�k is to �e
performed by ii�e City, or by its contrac#or or by the developer thraugh
its cantractor, the sieveloper covenants and agrees to deliver to the City

a performance and payment gua�antee in accortfance with the provisions
of Paragr�ph V-F of this agree�nent.
3. In addition to the guarantee requir�d in the preceding paragraph, in the
event deveiap�r elects that the wark be ��rformed by the City, or by the
City's contractor, or such electian is presumed as �rovided above, the
develaper covenants and agrees to pay to the City the develaper's share
of the estimated canstruction costs. . The amvu�t of such estimated
� payment shall be campu�ted as set aut on the Summary of Co$t hereof,
based upon the iowest responsive bid for such work, as determined by
City, or upon a cost estimated to be per#armed by City forces prepared
�y the City, as appropriate, and shalf be subject to adjustment ta actual
�osts u�on fiirtal completion of the subjeet wark. Such estimated
�ayment shall b� made pramptfy upon demand by City, it being
t�nderstoad that such payment will be made after the receipt of bids �€or
work, but iri every ca5e priar to the award of any canstruction contract,
unless otherwise specificafly set out herein.
4. Developer further covenants and agrees to, and by thes� presents doas
hereby fulfy indemnify, hold harmless ancf defenc{ the Ci�y, its officers,
agents anc� employees from and against ar�y and all claims, suits or
causes of actian of any nature whatsoever, whether real or
asserted, brought far ar on account of any injuries or damages to
�� persons or property, Encluding death, resulting fram, or ir� any way
connected with, this agreement, or th� constructian of the
im�ro�emer�ts ar facilities descri�a�d herein, whether or not caused, ir�

5. De�eloper covenants and agrees that it diseriminates against no
indi�idual irivolving employment as prohibited by the terms of Ordinance
No. 7278 Sas amended by Ordinance �la. 7400), an ardinanc� prahibiting
discrimination in emplayment practice beca�se o� race, creed, cola�,
religion, natiQnai origin (except for illegaE aliensi, sex ar age, unless sex or
age is a bo�afide oecugational qualifi�ation, subcantractor ar
employment ag�ncy, either furnishing or refierring appiicants to such
developer, nor any agent of deveioper is discriminating against any
individual involving employment as prahibited by the te�ms of such
Ordi�ance No. 7278 {as amended by Ordinance Na. 7400).

L. The City's Policy f�r the Ins�ailation of Community Facifities, as adopted by t�e
City CQuncil on September i 992, is her�by incor�a�rated herein by reference,

af this contract and as a condition to the platting of the subj�ct prop�tty.
M. T�e foliowing descriptions of work apply, as appropriate, to the areas included
�� in the Communi#y Facifities /�greement:
1. STREETS
Streets as shown ir� Exhibit B wiil be in accordance with plans an�
s�ecifications �repared by the Own�r's engineer and ap�roved by the
Director of Engine�ring.
2. STORM DRAINACE
Storm drain as shown in Exhibit B—� will be in accordance with plans and
specifications prepared by ihe Owner's enginear an� approved by tha
Director of Engineering.

3. STREET LIGHTING
a. The Develop�r shal! provide for the insiallation of streetlights by #he City
forces at the approximate lacations shown i� Exhibit G, immediately
after final acceptance of th� street co�struction, in accordance with
engir�eering plans and specifications approved by the Tfanspartat�on and
Public Works Department.
b. Streetlights on residential and 1 ar collector streets can be install.ed using
overhead or undergroun� canductors with the approva! of the streetlight
Engineer.
c. Streetlights an arterial streets sha[I be instalfed with undergro�nd conduit
�and conductors.
d. The Develaper shall provide for the installation of a 1'/d inch schedule 40
PVC conduit at the depth not iess than 30 inches and at least 18 inch
behind the curb, "clear fram al1 other util�ties".
e. The Developer shalf prov�de for fhe installation af a'I'/4 inch schedufe 40
PVC conduit �etween streetlighis proposed for installation and the pawer
. source ta hecome operational,
f. A 3 inch schedule 80 PVC conduit is required when crossing streets at
depth nat less than 30 inches, unless indicated otherwise on the plans.
Con�r�te p�ll boxes shall be p�ovided at the crassing points.
g. Luminaire ballast shafi !�e rat�d for m�ltitap operation and each luminaire
shaal have it's own phatac�ll.
4. TRA�FIC CONTROL DEVICES
a. The Devefop�r agrees to pay for the street name sign installations required
by this development to t�e extent of $80.00 per inspection. This t�nit cast
wiil be revis�d a�nually by the C)epartment of Transpor�ation an� Public
Warks to reflect prevailing costs of materials a�d labor.
b. This develapment creates the follawing n�tmbe�- i�tersections at a tota! cost
as shown to the Develaper.
c. The Developer may either elepasit cash funds wit� the City equal ta #he
following amount at the time of Cammunity F�cilities Agreement appraval
or wait untif the street name signs are ta be installed. If the Devefoper
elects io wait, the cosi of street name � signs will be ai the rate
prevailing when iF�e Develop�r de{�osits fi�nds wifh the �ity.

d. The City will install the street name signs upon final approval of the street
construction. The s�reet name signs will remain the property of, and will be
maintained by, the City.
5. OTHER WORKS

In fhe e�ent that ot}ier works is required it wiil be included as specific
requ�remen�s to Commur�ity �acilities Agr�ement.
N. De�eloper and City agree fihat this Agreement represents the cample�e and
exclusi�e statement of the mui�al understandings of the par�ies and that this
Agreement supersedes'and cancels and previous written and oral agreemenfis and
communications related to fhe subject matter af th�s Agreement.

RECOMMENDATION:
It is recommended that t�e City Council authflrize the City Manager to execute a Community Facil�ties
Agreement with One Prairie Meadaws, Ltd. for the Installa#ion of Communit� Facili#ies for Timberland
Boule�ard, Phase I.
D15CUSSI�N:
On Deeember 19, 2000, the City Counci[ adopted a resoEution autharizing #he issuance of $45 millian in
Certif`cates of Obligation to address critical capital �rojects which included $2.5 million in new
dev�[opment funds to supplement the 1998 Capital lmpro�emen� Program new d�velopme�t funds.
One Prairie Meadows, Ltd., the derr�lop�r of Timberland Boulevard, Phase I, has executed a�raposed
cantract for construction of Timberland B�ulevard, Phase 1, which extends fram 1H35W eas� to a point
just heyond Spotted Owl D�ive (see the attached map}.
The proposed Comm�nifiy Facilities Agreement (GFA) is in cvmpliance with #he City's policy for the
Enstallation of community facilities. Tim�erland Boule�ard, Phase I, will serve �atious residential
de�elopments and wi[I be constructed as a four-lane divided roadway with ttarn fanes and median
openings. Timberland Boule�ard, Phase II, from Spotted Owl Drive ta fi�� future North Beac� Street,
will be done after Phase I is completed and is nat included in this CFA.
The developer's share for street irr�provements and sidewalks along both sides is $830,746, plus
$�6,615 for construction inspection fees, The City's share for seven feet of pa�ement widfih and
mediar� openings �n� nirJa���.�ILn .,,.,,,n �th �� will be $212,888, plus construction inspection fees,
and $12,773 for engineering fees. The City's participation is based an the old policy whereby fhe City
participates for pa�em�nt width over 20 feet hecause the CFA was requested prior t� approval of the
new policy.
The develaper's estimated cost for storm drains is $430,429, plus $8,609 for construction inspection
fees. The C'rty's participation for over-sized storm drains is $30,810, and $1,8q�9 for engineering #ees.
Twenty�eight (28) street lights will be installed in this develc�pment at the developer's expense. The
cast tn the de��loper is $86,24a.
Three (3) street name signs wilf be installed i�n this development at the developer's expense. The cast
I� to the de�eloper is $300.
The total project cost for Timberiand Boulevard, Phase 1, is $1,631,259. The developer's participation
is $1,372,939, and the total City participatian is $258,32D, plus construct�on inspection fees.
