THIS coniract is rar�ade and entered into by and bet�veen the City vf Fort Worth ("City"), actin.g and
through Charl�s Boswejl, its duly authorized Assistant City Manager, and Citizens Concerned with Hliman
Dignity {"Cantractar"}, by andthrough Ms. Opal Lee, its duly authorized President. Contractor's business
address is 1115 Evans. Ave., Fort Worth, TX 76104.
WHEREA�, the City of Fort Worth has been notif ed tlaat it will receive grant monies from the United
States Departm.ent af Housing and Urban Deveiapment {"HUD"} through the Community Developrr�ent
Block Grant {"CDBG") for Year XXVIII; and,
WHEREAS, the primary purpose of t�.e CDSG Program is to benefit �ow and moderate income citizens
of Fort Worth; and,
WHEREAS, the �itizens of Fort i�V'orth, �he Coxx�rnunity Developme�t Council, and fhe City Council af
Fori Worth have determined tliat Public Service Programs are needed by low and �oderate income citizens
of Fort Worth;
NOi�V, THEREFORE, THIS AGREEMENT FURTHER WITNES�ETH:
THAT, the parties covenant and agree as follovvs:
1. Scope of Seruices
�
a. Contractor will adnainister Public Service �ervices to citizens of the City af Fort Worth under ihe
prograrn name Evans Ave. Computer Lab ("Program"), for the term January 1, 2002 to May 31, 20a3.
b. Contractor will provide the services and activities delineated in Exhibit A-Progratn Su�ntnary in
accardance with Exhibit B-Prograrn Ser�ices �chedule.
c. Contx'actor agrees to meet the National Objective af activities benefiting low and maderate income
individu�.is and to ma.intain full documentation support�ing fulfillrnent of this National Objective in its
files.
d. City tivill monaitor fi11e performance a�the Contractar against the goals and performance standards
required herein. Substandard perfarman.ce as determined by City will canstitute noiz-co�npliance with
this Agreament. If actian 1;o correct such substandard performance is not taken by Contractor within a
reasonable period of time after being notified in writing by City, contrac� suspension or termination
procedures will be initiated.
2. Cn�npensation and 1Ylethad of Payment
a. City will disburse CDBG Year XIV monies in an amount up to $23,�144 ta Contractor on a
reimburseinent o� expenses ba�is.

b. Payment will be processed by City follavving receipt from Contractor af fhe follawing monthly
financial documenis: (1) AttachmeXit I-Sub-Grantee's Rec�uest For F�nds, (�) At�achment II-Detail
Statement of Costs, and (3} Attachment TII-Expenditures Worksheet Report. Reimbursement for the
pa�ment of eligible expenses shall be made against the line item budget specifiad in E�chibit C-Pragrarn
C}perating Budget and in accordance with performance specified in Exhibit B-Program Sexvices
Schedule.
c. Contractor agrees to utili�e all disbursed CDBG fuxlds for the benefit of the Program. Contractar
agrees that funds will be expended in accardance with the Program Operating Budget. Coniractox may
not increase or decrease line-rtem amounts in the appro�ed CDBG Program �pera�ing Budget without
prior w�itten approval by the City.
d. It is understood t�at the total cast for aperaiion of this program is $29,938 and ihat Cantractor wzll
obtain the remaining funds in excess of the CDBG amount as detailed in the Pragrarn [)perating Budget.
Contracto�' will notify City promptly of any additiona� funding it receives for operation of the Program,
ai7d Cit� reserves t11e right to amend the Program Operating Budget in such instances.
E. Contractor agre�s to keep a11 CDBG monies on f�and in interesi bearing accounts. All interest earned
shall b� reported io City on a monthly basis, at the same time as submission of the monthly repo�-t
�ollowing the end o�the contract rnonth durin� which the interest was eanled. Interest in an amount of
$25.00 or less per month may he used foz' authorized program expenses. These amounts must be
reported an the monthly financial statements filed p�rsuani to this canixact. Tnt�rest earned in Excess of
$25.�4 per month is subject ta remittanc� to City as directed by City.
f. Contractor will not co�ningle CDBG monies with any ather funds in any marnner whieh would
preVent City from readily id�ntifying pragram expenditures far operatian of the Program.
3. Unifai�rn Admi�aist�ative Req�iremenis c�nd Program Managerneni Standards
a. Financial Management
i. Accaunting Standards
T�e Contractor agrees to comply with �MB Cireular A-110 and agrees to adhere to the accountin�
principles and pxocedures required therein, utilize adequate internal contxols, and maintai�l necessary
source dacumentation far all costs incurred.
ii. Cost Princip�es
Confix'actor shall administer the Program in conformartce �vith �MB Circular A-122, "Cost
Principles for Non-Profit Organizations" and aftachments and revi.sions thereto, regarding principles
£or determining costs for the Program.
b. Documentatian and Record Keeping
i. Req�irement
Contractor shall maintain all recards pertinent to the activities to be fianded under this Agreement
required by HTJD regulations specified in 24 CFR § 570. S 06. In additio�a, Contraetor agrees to keep
records to fully document aIl expendit�res charged to the CDBG program. The docum�ntatian nriust
support the amouilts charged to Program and demonstrate that the expendituxes were ap�opriate ta
the stated goals of the Program and allawable under applicabie federal, state and City guideiines.
ii. Retention
{1) A11 recards pertaining to Program shail be retaitied �or five {5) years follawin,g the date af
termination of this contract. Contractor �nay destroy Program records at the end of this five (S) year
period iFno outstar�ding audit fmding exists.
(2) Contraetor will retain Program loan reco�-ds until five (5) yaars after the expiration of the 1oan.

iii. Property Record�
The contractor shall maintain real pxoperty inventary records which cleaxly identify properties
purchased, i.mproved, or sold. Properties retained shall meet eligibility criteria and �hall confoxm
rvith 24 CFR § 570.505.
iv. Close Outs
The Coniractor's obligatian to City sha11 not end until all close-out requirements are completed.
Acti�ities during this close-out period shall include, but are not limited to: making final payments,
disposiz�g of program assets ( including the return of a11 unused materials, e�uipment, unspent cash
advances, program income balances, and accounts receivable to City), and de#ernvning t��
custodianship of xecords.
v. Audits and Inspections
(1) City, HUD, and the United States Comptzoller Genaral, or their representatives, shall have
access to any books, documents, records and papers relating to the operatiflns of Contractor under
ihis Agreement %r the purpase of audit, examina.�ion, exception and transcription at all reasanable
hours at all offices af Contractor.
{2) For all contract� in which Conirac%r is cumulatively receiving federal monies in the amount of
$300,Oa0 or rnore, Contractor must submit to City an annual audit prepared in accordanc� with 24
CFR Sections § 570.5fl2-57fl.5D3 generally, with specific r�ference to OMB Circulars (with
attaehments) A-122 and A�133 as appropriate. The audit may cover either Cc�ntractor's fiscal year
during which�. ihis contract is in force or cover the period of this Cantract. The audit must be prepared
by an independent c�rtified public accountant, be completed within twelve (I2} manths following
the end of the period being audited and be submitted to City wiihin thirty (34) days of its
cornpletion. Con�ractor's audit schedule is attached l�ereta as �xhibit D�- Audit Schedule. Costs of
pre�aration of this audit may be an allowable expenditure of CDBG funds in an arnount
proportional to that of the CDBG funds used in conYxactor's total agency aperating budget.
(3} City reserves the right ta perform an audit of Contractor's program operatians and finances at
a.ny time dwcing the term of this contract, if City deterntines that such audit is necessary far Ciiy's
compliaz�ce wiih OMB Circular A-128. Contractar agrees to allc�w access to all pertinent materials.
I� s�ch audit reveals a questioned practice or expenditure, such questions must be resolved within
fifteen (15) days after notice to Cantractor. I� questions are not r�solved within this period, Ciry
reserves the right to withhold further funding under this andlor future contract(s).
(4} I� as a result af any audit it is determined that Contractor has misused, r�aisapplied or
misappropriated all or any part of tl�a grant funds deseribed herein, Contractor agrees to reimburse
the City the amaunt af such monies so rnisused, misapplied or misappropriated, plus the amount of
any sanction, penalty or oiher charge levied against City because of such misuse, misapplication ar
misappropriation.
�. Reporting Pracedures
a. Prograrn Income
Cantractor will submit to Gity on a monthly basis: (1) Attaehment II, Detailed Statement of Costs; a,nd
(2} Attachment III, Expenditures Workslaeet Report, as applicable, far exp�nses incurred for services
and activi�ies accomplished by Cantractor in performance of t�iis Contract, and (3} Actual cash receipts
far clamed expez�ditures must be pro�ided at the iune the xequest for funds is presented. The reports
rnust be signed by a duly authorized age�t of Contractor and subrnitted by the 1 St'' of the month
£ollo'cuing the month being reported. TY�e City is under no obligation to authorize payments �ar
exp�nclitures which oecurred prior t� the first day of the rr�onth for which the report is submitted.

b. Progress Reports
i. Cantractar will submii to City Qn a monthly basis: {1)Attachrn�nt IV and {2) Attachment N(A)-
Prograrn Services Report tc� City for services and activiti�s undertaken by Contractar in
perforrnance of this contract. The report will be signed by a duly authorized agent of Con.tractor and
submitted by the 15t" of the month following the month which is reported. The City is under no
obligation to disbu�rse funds for expendituxes which occurred prior to the first day o�the month for
which the repart is submitted.
c. Pracurement
i. Com.pliatice
The Cont�actor shall cornply with City policy concerning the purchase of equipment and shall
maintain inventory records of a11 nan-expendable personal �roperty, as definad 1ay such policy ,
procured with funds provid�d herein.

The Cantractor shall procure all maierials, prQperty, or services in accordance �vith the requirerra.ents
of OMB circular A-1 l0, Proeurement Standards, and shall subsequently cvmply with A�tachment N,
Praper�y Management Standards as mvdified by 24 CFR 5?0.502(b}(6), cavering utilization and
disposal af property.
d. Program Income
i. Contxactor agrees that a11 program incozne form op�ration af the Pragram in proportian ta the
amount of CDBG funds received hereundex will be expended priar to expending CDBG monies and
th�t any such prr�gram incame is subject to the terms of this contract. CDBG monies may he
�xpended by the Contra�tor only if program incvme is sufficient ta meet a11 eligible program
activity expenses. Contractor agrees to return to City at the end of the contract any remaining
program inco�ne earned from opEration ofthe Program in propartion to the amount of CDBG fiu�ds
in the overall program budget.
S. Reversian ofAssets
a. Contractox agrees ta retu:rn to City any CDBG �unds remaining on hand at the end ofthe Contract.
b. AlI property purchased with CDBG funds under this contract will be used salely for operation of tk�e
Program. Cantra�tor agrees to obtain City approval prior io purchase of praperty. Contracior agrees ta
natify City upon r�ceipfi of property so that it may he praperly tagged and inventoried. Title to such
property will be vestec� �vvith the City, �d, at the ternur�ation of the Program for which CDBG funds
have been reeeived, Contractar will delzver all such property to Ciiy fox disposition at City'� sole
discretio�a.
6. �pplicable Laws
a. Federal
Contractor agrees to comply with the following laws and the regulaiions issued thereunder as they are
currently wriiten or are hereafter amended during pex�ormance of this contract:
• Title VI of the Ci�il Rights Act of 1964 (42 USC 2000d et seq)
� Title VITT of the Givil Rights Act of 19&S (42 USC 3601 et seq)

b. Other Lavvs
Contractar covenants and agxees that its officers, members, ag�nts, emplayees, program patticipanfs and
subcontractors shall abide by and comply with all otl�er laws, federal, state and local, relevant to the
perfozmance of this can,traet, including all ordinances, ru1e5 and regulations of the City of Fort Worth
and the Housing and Camznunity Development Act of 1974 (Pub. I,. 93-353, 8�5 S#at. 633,), as
arnended, and a.11 regulations pertaining thereto. Contractor further promises and agrees t.�at it has reac�,
and is familiar with, terms and condition�s c�f tlze Community Developm�nt Block Grant under r�vhich
funds are granted and that ii will fully comply with same. It is agreed and und�rstaod that, zf City calls
the attention af Contractor to any such violation on the part of Contrac�or ar any af its officers,
members, agents, err�ployees, pxogram participants or subcontractors, then Coniractor shall irnmediately
dEsist from and correct such violation.
7. Nandisc�inaination
a. Contractor, in the executivr�, perfarmance or attempted perforrnance af this contract and agreemer�t,
vwill not unlawfully discriminate againsi any persan or persons because of sex, race, religion, age,
disability, color or national origin, nor wili Contractor perzn'rt its officers, members, agents, employees,
subcontractars or program. par�eipants to engage in such discrirnination.
b. In accordance with the poiicy o� the Executive Bxaneh of the federal governn.aent, Contractor
cavenants that neither it nor any of its offcexs, members, age�ts, employees, pragrarsa participants ar
subcontractors, while engaged in performing this cantract, sha11, in con.nection with the employment,
advancement or discharge of �mployees or in connection wifh the terms, conditions or privilages of
their employment, discriminate against persons because of their age except on the basis of bona �de
occupational quali�ication., retirement plan or statutory requirement.
c. Contractar further cavenants that neither it nor its officers, members, agents, employees,
subcontractors, program participants, or pe�sons acting on their behalf, shall sp�cify, �n solicitatians or
advertisements for err�ploye�s to work an this contract, a maximum age limit far such employment
unless the specified maximum age limit is based upon a bona fide occupational quali�cation, retzremer�t
plan ox statutory requirement.
d. In aceoxdance with the provisians of the Americans With Disabilities Act of 1990 ("ADA"},
Contractor waixants that it and any and all of its subcontractors wiil nflt unlawfully discri�inate on tl�e
b�sis af disability in the pro�uision of services to the general public, nor in the availability, terms and/'ar
conditio�s of employment for applicants for employment v�ith Cantraetar, or �mplayees of Contractar
ar any of its subcontractors. Contractor warrants it will fully comply with ADA's provisions and any

other applicalale �ederal, s#ate and lacal laws concerning disability and will defend, indemnify and hold
City harmless against any claims ar allegatians asserted by thi�rd parties or subcontractors against City
arising aut of Contractor's and/or its subcontractars' alleged failure to comply with the above-referenced
la�vs concezning disability di�cximination in the performance of this agreement.
e. This agreemez�t is made and entered into wit.h reference specifically to the ordi�nances codified at
Chapter 17, Article TII, Division 3("Discrimination in �mployment Practices"), af the Cit3r Code of the
Gity of Fart Worth, and Contractox hereby covenants and agrees that Contractor, its officers, members,
agents, employees and subcontractors, have fully complied with all provisians of same and that no
employee, ernployee-applicant ar program participant has be�n discrimina.ted against by the terms of
such ordinances by eifher the Conti�actar or its officers, members, agenis, empiayees or subcantractors.
8. PYal�ibi�ion �tgc�inst Inierest
a. Na mernber, officer or employee of City or its desig�ees or agents; no mernber af the govern.Xng
body af the locality in which the Program is situated; and no other publxc afficial of such locality or
�ocalities, who exercises any functions or responsibilities with respect to the I'rogram funded hereunder
during his or her tenure or for ane year tlaereafter, shall have any interest, direct or indirect, in any
contract or subcontract, ar the proceeds thereof, far wark to be per%rmed hereunder. Contractor shall
incoz�porate, or cause to he incorporated, Iike language p�ohibiting sueh �nterest in all contracts and
subcan�racts hereunder.
b. No rnemher, officer, employee, or program participant of Contractor or its subcontractors sha11 have
a financial interest, direct or indirect, in this cantract or the monies transferred hereunder or be
financially intexested, dir�ctly or indirec#1y, in the sale to Contra�ctor of any land, materials, suppl�es or
services purchased with any funds transferred hereunder, except on behalf of Contractar, as an officer,
employee, member or program participanfi. Any w�llful violation of this paragraph with the knowledge,
expressed or implied, of Contractor or its subcantractars shall rendar this contract v�idable by the City
of Fort Worth.
9. Minority and Women Business Enter��ase Commitment
�ontractor agrees ta abide by the City of Fort Worth's policy ta involve Minarity and Women Business
Enterpxises (MWBEs) in all phases its procurement practiees and to pxovide them an equal oppo�tunity
to corr�p�te for contracts for construction, provision of professional services, purchase of equipment and
supplies and provision of other services required by City. Therefore, Contractor agrees to ineorpo�ate
City Ordinanc� No. 11923, and all axnendrr�ents or successor policies thereto, into �11 contracts and wi1X
further require all persons or entities with wham it contracts to comply with said Policy.
10. Nan-Assignnzent
Contractor will not a�sign an.y ar all of its rights or re�ponsibilities under this contz�act vvithout the priar
v�itten approval of �ity. A�y purported assignment wiihout such approval will be a bxeach of this
contract and void in aIl respects.
11. Independent Cont�actor

a. Contractar sha11 operate hereunder as an independent coutractar and not as an officer, agent, servant
or employee of City. Contractor shall have exclusive con�rol of, and the exclus�ive right to contral, the
details af th� �vark and services performed hezeunder, ax�d ail persons performing same, and shall be
solely responsible for the acts and omissions of its offic�rs, members, agents, servants, employees,
subcontractors, pragram participants, lieensees or invitee, The doctrine ofrespondeat superiox shall not
apply as betw�an City and Contractor, its officers, members, agents, servants, employees,
subcontractors, program parCicipants, licensees or invitees, and nofhing herein shall be construad a�
creating apartnership or joint enterprise between City and Contractor. It is expressly utlderstaod and
agreed that no officer, member, agent, employee, subcontractor, Iicensee or invxtee of tl�e Cani�acior,
nar any program participant hereunder, is in the �aid service of City and thai City does not have �he
legal right to control the details ofthe tasks performedhereuiader by Contractor, its officers, members,
agents, eznployee�, subcontractoxs, program participan�s, licensees or invitees.
b. Ciiy shall u� no way nar under any circumstan�es be responsible far any property belanging to
COl1tT�CtOT, 1�S O��IC�i'3, mem6ers, agents, eznployees, su'bcontractors, program participants, licensees ox
'rnvitees, whi�ll may be lost, stolen, destz'oyed or in aa�y way damageti; and Contracior hez'ehy
indernnifies and holds harmless Ciiy and its officers, agents, and empioyees from and against any and
a11 claims or suits.
12. Insu�u�ace and Bonding
a. Contractor covenants and agrees to indernmify, hold harnaless and defend, at its own expense, City
and its officers, agents, servants and employees from and against any and all claims or suits for propez ty
loss csr damage an�i/or personal injury, including death, to any and aIl persans, ofwh�atsoever kiud or
character, whether real or asserted, arising out of or in conneetion wit�i the execution, perFonnance,
attempted performance or nonperforman.ce of this contract and agreement and/ar the operations,
activit�es and services o:f the Program described herein, wheth�r or not caused, in whol� or in part, by
allegednegli�ence ofof�cers, agants, se�a�its, employees, contractors ar subcontraetors of City; and
Contractor hereby assumes all liability and responsibility of City and its officers, agents, servants, and
employees for any aud a11 ciaims or suits for p�roperly Ioss or damage andlor personal injuz-y, incluciing
death, to a�r�.y and a11 persons, of whatsoever kinds or character, whetlier real or asserted, arising out of
or ii� connection with tlae execution, perfarmance, attien�pted perfarmance or non-per£ormance of ihis
contract ar�d agreement andlor the operations, activities and services of the progra�ms described herein,
whether ar not caused in whole or in part, by alleged negligence of of�"icers, agents, ser�ants,
ernployees, contractar� oz subc�ntractors of City. Contractor likewise covenants and agrees t� and does
hereby uzdeznriify and hold haxmless Gity fram and against any axad all injury, damage or destructian of
property of City, arisin� out ar in corixiection with all acts or omissians of Cr�ntractor, its offic�rs,
ir�embers, agents, employees, subcontractors, invitees, licensees, or program participants, ar caused, in
wbole or in part, by alleged negligence o� officers, age�ts, servants, ernployees, contractors ar

b. Cantractor wi11 rxiaintain a blanket fidelity coverage in the forin of a bond in the amount of $23,d04,
to in.sure against loss from the fraud, theft or dishone�ty of any of Contractor's officers, agents, trustees,
directors ar empl�yees. The proceeds af` such bond shall be used fio reimburse City for any and a111c�ss
of CDBG monies occasianed 1�y such misconduct. To effectuate such reimbursement, such �ond shall

includc a rider stating that reimbursement for any loss or losses thereunder sha11 be made dzrectly to
Gity for the uses and benefit of Contractor.
c. Contractor sha.11 furnish certificates of insurance as proof that it has secured and paid for policies af
workers' compensation, publie liability and automobile 3iability insurance cov�ring a11 risks incident to
or in connectian. with the execution, performance, attempted performance ar nonp�rfarmance of fihis
cont�'act and agreernent. The amounts o� such insurance sha11 not be less than the maximurn liability
which can be imposed on City under the laws of the State af Texas. Contractor understands and agrees
t11at such insurance amounts rnay be revised upward at City's optian and that Contractor shall revise
such amounts within thirty (3fl) days following notice to Contractor of such reqnirements.
d. Contractor will submit documentation to City that it has obtained insurance coverage and has
e�ecuted bonds as required in this contract within thirty {30) days of the execution of this contract and
prior to payment of any manies hereunder.
13. Waive� of Imfn�nily
If Contractar, as a charitable ax nonprafit organization, has or claims an immunity or exemption
{statutory or otherwise} from and against liabiliiy for damag�s ar injury, including d�ath, to persons or
properiy; Contractor hexeby e�ressly wai.v�s its rights to plead defensively such immunity or
exemption as against City. This section shall not be construed to affect a governinental entity's
itnmLuuties under constitutional, statutory or cornmon law.
14. T�rmination
a. In addition to, and not in substiiution for, other provisions of this Agreement regarding the provision
of ptablic services with CDBG funds, pursuant to Ti�le I of the Housing and Community Development
Act of 1974, as amended, it is expressly understood and agreed by and between the parties hereto that
�his agreement is wholly conditioned upon the actual receipt by City of Federal CDBG Year XXIV
funds; that a11 rnorues distributed ta Contractor hereunder shall be exclusively from Federal monies
received under said grant and not from any monics of City; and that if such funds undar said grant are
i�o� timely forthcom.�ing, in whole or in part, City may, at its soie discretion, terminate this contract and
agreemant and City s1�a11 not he liable %r payment for any work or services perfarmed by Cont�ractor
under or in conrkection with this contract.
b. City may tenninate this contract r�henever such tennination is deternzined to be in ihe best interest of
City, in event of Cantractor's default, inability or failure to perforns or to comply wiih any of the terms
herein, or far other good cause.
c. The parties ackn.owl�dge ihat CDBG funds paid hereunder axe intended ta provida only paz�kial
funding far Confixactor's progranl operations. If non-CDB G funds included in the Operating Budget ax'e
nat �orthcoming to Contraciar during the contract t�rm, City may ternunate this contract.
d. CDBG funds provided hereunder may not be used as collateral for loans to Contractor to defray
program operation expenses, and any attempted use of CDBG fun.ds �or this purpose will result in
termination of this contraet by City.
e. Termination wi11 be effect�d by written n.atice to Contractor, speci �ying �11e portions of the cantract
affected and the effective date of tenmination. Upon Contractoz's receipt of such termination notice,
Cont�actar will:

b. The pro�isions of this ag�ree�nn.ent are severable, and, if �or any reason a clause, sentence, paragraph
ar other part of thzs agreement shall be determined ta be invaiid by a court or fedexa� or state agency,
board or commission having jurisdzction ovex the subj ect matter thereof, such invalidity shall not affect
ather provisions which can be given effect without �he invalid provisian.
c. The failure of t11e Ciiy to insist upon the performance af any term ar provision ofthis agreement or to
exercise any right herein conferred sha11 not be construed as a waiver ar relinquishment to any extent af
City's right to assert or rely upon any such term or right on any future occasion.
d. Should any action, whe�her real or asserted, at law or in equity, arise out of t1�e �xecution,
performance, attempted performance or nonperfarmance of this contract and agreement, venue for said
action sha11 lie in Tarrant County, Texas.
