City and Vendor shall be referred to individually as a Party and collectively as the Parties. WHEREAS, Parties previously entered into City Secretary Contract 41204 (the "Agreement") on November 16, 2010; WHEREAS, Agreement was executed for Vendor to provide the Fort Worth Public Library ("Library") access to Ancestry Library and was procured for an original amount of $4,515.00, in accordance with then current state and local laws; WHEREAS, Agreement was amended on May 8, 2018 to update the terms of Agreement and to continue to provide services more specifically described in Agreement (CSC 41204-A1); WHEREAS, Agreement was amended on January 15, 2020 to align the term of the Agreement and the subscription term to run from October 1 of each year to September 30 of the following year and to allow for a first renewal effective until September 30, 2020 (CSC 41204-R1A2); WHEREAS, Agreement was amended on September 24, 2020 to update the list of current Library locations and to allow for a second renewal effective until September 30, 2021 (CSC 41204-R2A3); WHEREAS, Agreement was amended on November 16, 2021 to update the list of current Library locations and to allow for a third renewal effective until September 30, 2022 (CSC 41204-R3A4); WHEREAS, Agreement was amended on August 16, 2022 to update the list of current Library locations and price schedule, and renew Agreement for a fourth term effective until September 30, 2023 (CSC 41204-R4A5); WHEREAS, Agreement may be renewed annually at the City's discretion (Renewal Term) for additional one-year renewal options; WHEREAS, Parties wish to amend Agreement to update the list of current Library locations as well as to amend the price schedule to increase the current rate to Ten Thousand One Hundred Twenty - Four Dollars and Fifteen Cents ($10,124.15); WHEREAS, Parties wish to renew Agreement for an additional term from October 1, 2023 to September 30, 2024. NOW, THEREFORE, Parties, acting herein by the through their duly -authorized representatives, enter into the following agreement: OFFICIAL RECORD 1. CITY SECRETARY AMENDMENTS FT. WORTH, Tx 1. Section 5. COMPENSATION AND INVOICING shall be amended and replaced in its entirety with the following: CSC 41204, Renewal S, Amendment 6 DocuSign Envelope ID: 6C95DD68-66AB-4C92-ACED-377D454F8E9C Page 1 of 6 City shall pay Vendor an annual amount in accordance with the provisions of this Agreement and the Service Pricing Schedule attached as Exhibit C. Annual price for the Service shall not increase by more than 2% for any Renewal Term unless both Parties agree in writing. Vendor must provide City at least 90 days' written notice if the Renewal Term price will increase by more than 2%. In no event will total annual compensation under this Agreement exceed FORTY-NINE THOUSAND DOLLARS ($49,000). For the 2023-2024 term, the agreed amount is Ten Thousand One Hundred Twenty -Four Dollars and Fifteen Cents ($10,124.15). Vendor shall not perform any additional services for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City shall not be liable for any additional expenses of Vendor not specified by this License unless City first approves such expenses in writing. Vendor shall not invoice City for Renewal Terms until both Parties have signed City' s Contract Renewal. 2. Exhibit A — DESCRIPTION OF SERVICE shall be amended and replaced in its entirety with the attached Exhibit A — DESCRIPTION OF SERVICE. 3. Exhibit C- SERVICE PRICING SCHEDULE shall be amended and replaced in its entirety with the attached Exhibit C- SERVICE PRICING SCHEDULE. 2. RENEWAL The term of the Agreement is hereby renewed for an additional year to begin on October 1, 2023 and to expire on September 30, 2024, unless terminated earlier in accordance with the Agreement. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Contract which are not expressly amended herein shall remain in full force and effect. 4. ELECTRONIC SIGNATURE This Amendment and Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument.
