Cvn�ractor's business address is 1440 North Main, Fort Wortl�, TX 76106. � WIIEREAS, the City of Fort Worth l�as been natified that it will receive grant manies from the United States Department of Housing and Urban Development ("HUD") through the Community Development Blocic Grant ("CDBG") for Year XXVIII; and, WI�REAS, the primazy pLupose of the CDBG Program is ta benefit lovv and moc�erate income citizens af Fort Worth; and, WHEREAS, the citizens of Fart Worth, the Community Development Council, and the City Council of Fort Warth have determined that Public Service Programs axe neec�ed by law and moderate income citizens of Fort Warth; NOW, THEREFORE, THIS AGREEMENT FURTHER WITNESSETH: THAT, the parties covenani and agree as follows: 1. 5cope of Se�vices a. Contractor will ad�nitlister After School setvices to citizens of the Caty of Fort V�orth under the program name Theater Skills Program {"Program"), for the term 3une 1, 2002 ta May 31, 2Q03. b. Contractar will provide the services and acfivities de�i�eafied in Exhibit A-Program Summary in accardance with E�ibit B-Program Services Schedule. c. Contraetar agrees to meet the National Objective of activities benefiting low and moderate incame individua.ls a.nd to maintain fiill docnrnentataon supporting ful�illment o�this National Objective in its files. d. City will xnanitox the performance of the Contractor against the gaals and per%rmance standards rec�uired herein. �ubstandard performance as determined by City will consiitute non-cornpliance with this Agreement. If action to correct such substandard performance is not taken by Cantracior withia� a reasonable periad of time after being notified in writing by City, �ontract suspension or te�mination procedures will be initia�ed. 2. Compen.satio�a and Method af Payment a. Payment will be processed by City following receipt fro�n Contractor of the f4llowing rnonthly financial documents: (1) Attachrnent I-Sub-Grantee's Requ�st For Funds, (2) Attachment II-Detaii Statement of Casts, and (3} Attaclunent III�Exp�nditures Worksheet Report. Reirnbursement for the payment of eligible expenses s�.all be rnade against the line item budget specified in Exhibit C-Program Operating Budget and in accordance with perfozinance specified in Exh.ibit B-Program �ervices Schedule. c. Contractor agrees to utilize all disbursed CDBG funds for the benefi# of tkxe Prograxx�.. Contract�r agrees that funds will be expended in accordance wrth the Program Operating Budget. Con.tractor rnay not i�lcr�a�e or decrea�e line-item amounts in the apgroved CDBG Program Operating Budgetwithout priar v�rx�itten approval by the City. d. It is understood that the total cost fflr operatio�� of this pragram is $29,357 and �hat Contractor will ol�tain the remaining funds in excess ofthe CDBG amount a� detailed in the Program �perating Budget. Contractor will no�ify City prox�npfily of any additional funding it receives for operaiion af the Program, and City reserves the right to amend the Pragram Operating Budget in such instances. e. Contractor agrees to keep all CDBG xxaorues an hand in interest bearing accounts. �.11 intarest earned shaIl be reported to Ci�y on a montb.ly basis, at the same time as submis�ian of the montllly report following the end of the cantract month duz-�ng which the interest was earned. Interest in an amount of $25.00 or less per month may be used for authorized program e�penses. These amout�ts must be reported on the mon�hly financial statements filed pursuant to this coz�tract. �nterest earned in excess of $25.00 per month is subject to remittance to Ciiy as directed by Gity. f. Contractor will not commingle CDBG monies with any ather �unds in any manner which wouId prevent City from readily identifying program ex�enditures for operation of the Pxogram. 3, Unifarm AdminisPrative Requi�ements ancl Prograrra Mar�c�gement StanclaYds a. Fiz�auczal Management i. Accounting Standazds The Cantractor agrees to comply with OMB Circular A-110 and agrees to adhere to the accounting principles and pracedures required therein, utilize adequate internal contxols, and mainf.ain necessary source documentation foz' aI1 costs incurred. ii. Cost Principles Contractor shail adrz�iz�ister the Prngram in confarmance with OMB Circular A-122, "Cost Principles forNon-Profit Organizations" and attachments andrevisions thez`eto, regardingprinciples for determining costs far the Prograrn. b. Documentation and Record Keeping i. R�quirement Contractar shall mainiain ail recoxds pertinent to the activities to be funded under this Agreerz�ent required by HUD re�ulatians specified in 24 CFR § 570.506. In addition, Contractor agrees to keep records to fully document a11 expenditures charged to �ie CDBG program. The documentation must support the ainounts charged io Prograaa� arkd demonstrate that the expenditures were appropriate to the stated goals af the Program and allowable under applicable federal, state and City guidelines. ii. Retention (1) A11 recards pertanung to Pragram shall be retained for five (5) years following the date of tennination of'this contract. Contractor may des#roy Pxogra� records at the end of this five (5) year pe�'iod if no outstanding audii finding exists. (2) Cantraetor wi11 reiain Program loan records until five (S} years after the expiration aithe loan. XXVIiI CDBGCNT lune l0, 2002 2 iii. Praperty Records Th� cantractor shall maintain real property inventory records which clearly identify properiies purchased, irnproved, or sold. Praperties reiained shall n�eet elig,ibility criteria arid shall conform with 24 CFR § 570.505. iv. Clase Outs The Contxactor's obligation to Cii�r shall not end until aIl close-out requirements are completed. Activities during this close-outpeziod shaIl include, but are not limited io: mal�ing finalpayments, disposing of program assets ( including the return of a11 unused materials, equipment, unspent cash advances, program income halances, az�.d accounts receivable to Ciiy}, and determining the custadianship of records. v. Audits and Inspactions (1) City, HUJ�, and the United States Comptroller General, or their z�epresentatives, sha11 have acces� to any baoks, docume�ats, records and papers relatin� to i�he operations of Con�'actor under this Agreement for the purpose a�'audit, examination, exception and transcription at a11 reasonabl� hours at all offices of Cantractor. (2) For all cantracts in wluch Contractor is cumulatively receiving federal rna�.i es in the arnaunt of $300,000 or mare, Coz�tracfor must subrnit to City an annual audit prepared iz� accordance vvith 2�4 CFR Sections § 570.502-570.503 generally, wiih specific reference to �MB Cixculars (with attachments) A-� 22 and A-133 as appxopriate. The audit may eover either Contractor's fiscal year during which this contract is in force or cover the period of this contract. The audit must be prepared by an independent certified public aceountant, be completed within twelve (12} rna�ths following the end of the period being audited and be submiited to City wit�in thirty (30) days of its completion. Contractar's audit schedule is attached hereto as Exhibit D- Audit Schedule. Costs of pre�aration of this audit may be ari allowable expenditure of CDBG funds iil an arnount proportianal to that o�the CDBG funds used zn corltractor's total agency operating budget. (3) City �eserves the right ta per�orrz� an audit of Contractor"s program operations and fnances at any tirne during i11e tenn of this contract, if Cxty determines that such audit is necessary for City's compliance with OMB Circular A-12$. Contractor agzees to allow access to allpertinent mat�rials. If such audit reveals a questioned practice az' expenditure, such questions must be resolved within fifteen (15} days after notice to Contractor. If question� are not resolved within this period, City reserves the right to withhold further funding under this a��d/ar future cantract(s). (�) If as a result of axiy audit it is determined that Cantractoz' has misused, misapplied or misapprapriated all or any part af the grant funds described herein, Cont�ractor agrees to reimburse the Ciiy th� amount of such manies so misused, misapplied or misapparapr�ated, plus the amount of any sanetion, penalty or other charge levied against City because vf such arnisuse, misapplication or misappropriatian. 4. Repor�iing Procec�u�es Financial Reports a. Coniractor will subXnit to City on a monthly basis: (1) Attaclunent I, Attachment II, Detailed Sia�ernent of costs, and (2) Attachment III, Expenditures worksheet as applicable, for e�enses incu�-red for services and activitics accornplished by Contractor in performance of t1�is contract, and (3} Act�aal cash receipts for clavned expenditures must be provided at the tiine the raqu�st far funds is present�d. The reports must be signed by a duly authorized agent of the Contractor suhmitted by the 15"' of the month failowing th� month being reported. The City is under no obligation to authoriz� payments for expenditures �vhich occurred prior to the first day of the inonfh for vvhich the report is submitted. XXVIII CDI3GCN1' ]une {0, 2002 3 b. Prog�ress Reports Contracfor will submit monthly Attachment IV- Program Services Report to City for services and actzvxties undertalcen by Contractor in performance of this contract. The report v�rill l�e signed by a duly authorized agent af Contractor and submitted by ihe 1 St�' of #he month following the montll �nrhich is reported. The City is under no obliga#ion to disburse funds for expenditures w'hich accurred prior to the first day of the month for rvhich the repart is submitted. c. Program Incame Contractor agrees that a11 progx'am incam� from operaiion of the Program in proportion to the amaunt of CDB G funds received hereunder will be expended prior to e�pending CDB G monies and that any such program income is subject to the terms of �his contract. CDBG monies may be expended by the Con�actor oniy if prograrn income is insufficient to meet al1 eligible program acti�ity expenses. Contractor agrees ta return to City at the end of the Contract any re�nnaining pragram income earned from operation of the Program in proportion to the amo�nt of CDBG funds in the overall operating budget. d. Procurement i. Compliance The Contractoz sk�all coYnply with City policy concerning the purchase of equipment and shall maintain invenfiory records of alI non-expendable per�oz�al property, as defined by such policy , procured wiih funds providad herein. ii. OMB Standaxds Th� Cantractor shall pz'acure aIl materials, property, or services in aecordance �viih the requiremen#s of OMB circular A-I 10, Procurement Standards, and shall subsequently comply wit11 AttachmentN, Propei-ty Management Standards as modi�'ied by 2�4 CFR 570.�02(b)(6), covening utilization and dispasal of pxoperly. S. Reve�sian afAssets a. Contractor agrees �o return to City any CDBG funds rem.aining on hand ai the end of the Contract. b. All property p�rchasec� with CDBG funds under this contract will be used solel�+ far operation of the Program. Contractor agrees to obtain City approval prior�o purchase ofproperly. Contractor agrees to notify City u}aon receipt of property so that if may be properly iagged and inventaried. Title to such property wiil be vested wiih the City, and, at the terminatzon of the Program for which CDBG funds I�ave been received, Contractar will deliver al1 such property to City far disposition at Ci1:y's sole discretiaii. L. 93-383, 885 Stat. 633,}, as am�nded, and all regulations pertaining thereto. Contractor further pramises and agrees that it has read, and is farniliar with, terms and conditions of the Community Development B1ack Grant under �vhich fimds are gxanted and that it will fully carz�.ply with same. It is agreed and understood that, if City calls the attention of Contractor io any such violation on the part of Contraetor or any of its officers, members, agents, employ�es, programparticipants or subcvntractors, then Contractor shall immediately dasist from and correct such violation. 7. NondiscYimination a. Cax�tractor, in the execution, per�formance ar attempted performance af this contract and agreement, will not unlawfully discriminate against any persan or persons because o� sex, race, religion, age, disability, color ar national origin, nor will Cont�actar permit its officers, memhers, agents, employees, subcoiztractors or pragram participants to engage zn such discrimination. b. In accordance with the policy of the Executive Branch of ihe federal ga�ernmenfi, Contractar co�enants that neithez' it nor any of its officers, members, agents, employees, program participants ar subcontractors, while engaged in performing this contract, shall, in cannection with the employment, advancement ar discharge af employ�es or in connection with the terms, conditions ar privileges of tl�eir emplayinent, discrinninate against persons because of khezr age except on the basis of bona fide accupational qualificatiQn, retiz'ement plan ar statutory requirement. c. In accordance with the provisions af the Americans With Disabilities Act of 1990 ("ADA"), Contractor warrants that it and any and all of its subcontractors will no� unlawfuily discrirninate on the basis of disability in the provision of services to the general public, nor in the availability, terms andlox conditians af einploy�nent %r applicants for employmenfi wrth Contractor, or employees of Contractar or any of its subcontractors. Contractar wanants it will fulIy comply with ADA's provisions and any othei• applicable fedezal, state and local laws concenung disability and will defend, indeinnify and hold City hai�nless against any claims ar alle�ations asserted by tkaird parties or subcontractors against City arising out of Contractor's and/ar its subcoz�tractors' alleged iailure to complywith the above-referenced laws concerning disability discriminatxon in the per%rmance of this agreemeni. This agreement is made and entered into with reference specif�cally to the �rdinances codified at Chapter 17, Article III, Divisian 3{"Discrimination in Employinent Practices"}, of the City Code of the City of Fort Worth, and Con�ractox hereby covenants and agrees that Contractor, its officers, members, agenfs, employees and subcontractors, have fully complied with all provisions of same and th.at no employee, employee-applicani or program. participant has be�n discrimiizated against by the terms af suEh ordii�an.ces by either the Contractor or its officers, members, agents, employees ar subcontractors. 8. P'�ohibition Against Inte�est a. No member, officer ar empXoyee of City ar its designees or agents; nn member af tbe governing body af tlie Iacaliry in which the P:rogram is situated; and no other public official a� s�xch locality or localities, who exercises any functions ar responsibilities with respect io the Program funded hereunder during his or her tenure or for one year thereafter, shall llave any interest, direCt ar indirect, in any contraci or subcan.tract, ar the proceeds thereof, for work to be perfonned hereunder. Con�:ractor sha11 incorporate, or cause to be incorparated, like language prohihiting such interest in all contracts and subcontracts hereunder. b. No nraember, officer, employee, orprogram participant of Cont�ractor or its subcontractors shall have a financial interest, direct or indirect, in this contract or the mo�ies transf�rred hereunder or be finaa�cially interested, directly o� indirectly, in the sale to Contractar of any land, maierials, supplies or services purchased with aiZy fi�nds transferred hereunder, except on behalf af Contractor, as an officer, emplayee, member orprograxn participa�it. Anywillful violatian o�this paragraphwith�he knowledge, expressed ar implied, of Contractor or its subcontractors shall xendex this contract voidable Uy the City of Fort Warth. 9. �Ylanorit� c�ncl Wamen Business Enterprise Commi�ment Confirac�or agrees to abide by th� City of Fort Worth's policy to invo�ve Minority and Women Business Enterprises (MWBEs} in all phases its procurement prac�ices and to pro�ide them an equal oppo�tunity to compete fox contracts for construction, provision of professional services, purchase of equipment and supplies and provision of other services required by City. Therefoare, Contractor agrees ta incorparate City Ordinance No, 11923, and a11 arnendments or successor palicies thereto, into all coniracts and will further require a1� persons or entities with wham it contracts to comply with said Policy. 10. No�x-Assignment Cont-r'actor will not assign any ar a11 of its rights or responsihilities und�r this contract without t��e prior writtexx approval of City. Any purported assignment without such approval will be a breac� of Yhis conttact and void in aIl respects. 11, Independent Contractor a. Contractor shall operate hereunder as an indeperadent contractor and not as an officer, agent, servant or emplayee of City. Contractor s11a11 have exclusive control of, and the exclusive right to control, the details of ihe work and services performed hereunder, and all pers�ns perfornling same, and s�iall be solely responsible for the acts and omissions of its officers, memb�rs, agents, servants, emplayees, subconiractors, progranr� participants, licensees or invitee. The doctrine of respondeat superior shall not X?CVIII CI]BGCNT June 10, 20Q2 apply as beiween City and Coniractor, its officers, members, agents, servants, employees, subcontractars, program participants, licensees or invitees, and nothing herein shall be construed as creating a parinersk�ip or joint �nterprise between City and Contractor. Tt is expressly understood and agreed that no officer, membez', agent, employee, subcontracto�, licensee or invitee of the Contractor, nor any program participant hereunder, is in the paid service of City and that City do�� not have the legal rigbi to control the details of the tasks performed hereunder by Coi�t�actor, its officers, members, agents, employees, subcontractors, program participants, licensees or in�vitees. b. City sha11 in no �vay nor under any czrcumstances be respansihle for any property belonging to Contractor, its officer�, members, agents, employees, subcontractors, program partici�ants, licensees or invitees, which may be lost, �tolen, destroyed or in any way damaged; and Contractor hereby indemnifi�s and holds harmless City and its officers, agents, and employees from and against any and all claims or suits. 12. I�asurance ancl Banding a. Contractor covenants and agre�s to indemnify, hold harmless and deFend, at its own expeilse, City and its officers, agenis, servants and employees from and against any and all claims or suits for property loss or damage and/or persanal injury, including deat�i, to any and all persons, of whatsoever kind or character, whether real or asserted, arising out of ar in connection with the e�ecution, performance, attempted performance or nonperiarmane� of ihis coniract and agreement and/or ihe operations, activitzes and services o#'the Pragxam described herein, whether ar not caused, in whole or in part, by alleged negiigence of officers, agents, servants, employees, contractors or subcontractors of City; and Contractor hereby assumes all liabiliiy and respansibility ot'City and iis officers, agents, servants, and emplay�es for any and all claims or suits far property loss or damage and/or personal injury, includin.g deatk�, ta any and aI1 persans, af whatsoever kinds or charactar, whe�ex real or asserted, ari�ing out of or ir� connection with �he execuiian, performance, attempted perfom�ance or non-performance af ihis contaract and agreement and/or the operations, activities and services o£the pro�rrams described herein, whether or not caused in whole or in part, by alleged negligence of officers, agents, servants, employees, contractors or subcontractors of City. Contractor likewise covenants and agrees io and daes l�er�hy indemnify and hold ha�nless City from and against any and ail injury, damage or desiruction of property o� City, arising out or in connection with all acts or oinissians of Contractor, its afficars, z�embers, agents, employees, subcontractors, invitees, licensees, or pragxam participants, or eaused, in v�hole or in part, by alleged negligence of officers, agents, servarzts, employees, contractors or subcontractors of City. b. Contractor will maintain blanket fidelity coverage in the form of a bond i.n the amount af $22,500, to insure against loss fram the fraud, thef� or dishanesty o�any of Contractor's officers, agents, trustees, directors or employees. The proceeds af such bond shall be used to reimburse City for any aa�d a111oss of CDB G monies occasioned by such misconduct. To effectuate such reimbursemeni, such bond sk�all incl�xde a rider stating t��at reimhursernent for any loss or losses thereunder shall be made directly fio City far ihe uses and benefit af Cantractor. c. Contractor sha11 fuz-nish certificates of insurance as proo�that it has secured and paid for pvlicies of workers' coinpensa�ian, public liability and automobile liability insurance coverin� all risks incident to or in connection wzth the execution, performance, attempted performanc� or nonperformance of �his contract and agreement. The amounts of such insurance shall not Ue less than the maximum liability which can be imposed oz� City under the laws ofthe S�a�e of Texas. Contractor understands and agrees that such iusurance am.ounts ma� be revised upward at City's option and that Cantrac�or shall revise such amounts within �lairty {30} days following notice to Contractor of sucl�. requixements. WaiveY of �inmuraiiy If Contractar, as a charitable or noz�profit arganization, has ar elaims an immunity or exemption (statutory or otherwise} from and against liability for damages or injury, including death, to person� ar property; �onfraetor hereby expressly waives its rights to plead de�e�sively such immunity or exe�nption as against City. This section shall not be construed to affecfi a governmental entity's immunities �der constitutional, staiutory or cammon law. 14. Termination a. In addition to, and nat in substitution for, other pro�isions of this Agr�em�nt regarding the provision of public services witl� CDBG funds, pursuant to Title I of the Housing and Community Development Act of 1974, as axnended, it is expressly unders�aod and agreed by and between the parties hereto �iiat tbis agreement is w1�olly conditioned upon the actual receipt by City of Federal CDBG Year XXVIII[ funds; that all monies distriUuted ta Contractor hereunder shail be exclusively from Federal monies received under said grant and not from any monies af City; and that if such fi�nds under said gran� are nat timely forihcoming, in �whole or in part, City m.ay, at its sole discretion, terrninate tlus contract and agreemeni and City shall not be liable for payment �or any work or services performed by Contractar under or u� connection with this contract. b. City may terminate thi� contract whenever such termination is determined to be in �he best interest of City, in event of Coniractor's default, inability or failure to perform or to comply with any of the terms herein, or for other good cause. c. The parties acic�or�ledge that CDBG funds paid llereunder are intended to provide only partial iunding far Contractor's prograrn aperations. I�'non�CDBG funds included in the Operating Budget are not forthcoming to Contractar during the contract term, City may ternninate this contract. d. CDBG funds pravided hereunder �nay not be usad as collateral for loans to Contractor to defray program operation expenses, and any attern.pted use of CDBG funds �ox this purpose will resul� in terrnination of this contract by City. e. Termination will be ef�ected by written notice �o Contractor, specifying the pa�tions of the contract affected and the effective date a�'termination. Upon Contractor's receipt of such terinination notice, Contractor wiil: � Stap warlc under the contract on the date and to fhe exten,t specified by Crty; � Cease expenditure� of CDBG mozues, except as necessazy �ar eampletion of the portion.s of the contract not terminated; and � Terminate all orders and contracts to the exient that they relate to terminated portions of the coniract. f. Contractar will return to City ar�y unused monies previously advanced by City under this contract wiihin thirty (30) days of the effective date af cantract terminatian. City will 11ave no responsibility or liability for Contractor's expenditures or actians occurring after tl�e effective dat� of contract termination. 15.
