A1 Ward, its duly autho�ized Agent, Cflntractor's business address is, 1855 East Lancaster, Fort Worth, TX 76103. WHEREA�, the Ciiy of Fort Worth has been notified that it will receive grant manies from the United States Department of Housing and Urban Developrnent ("IIiTD") thro�gh th� Emergency Sheltex Grant Pro�ram {"ESGP") contained in Title N of Stewart B. McKinney Hameless Assistaz�ce Aci (PL 100-77) for Year 2oo2-2ao3; and, WI�REAS, the purposes af the ESG Program are io provide fox the benefit of homeless citizens af Fart Worth; and, far the rehabilitation or conversion af buildings for use as emergency shelter for ihe homeless, £ar the payment of certain dperating and social service expenses in c�nnection with emergency shelter for the homeless, and for homeless prevention activities. The Emergency Sheltex Grants program authorized by the Homeiess Housing Acf of 1986 is contained in 24 CFR part 575. WHEREA�, the citizens of Fort Warth and t1�e City Council of Fort Worth have determined that homeiess assisiance services are needed in Fort Worth; NOW, THEREFORE, THIS AGREEMENT FURTHER WITNESSETH: THAT, the parties cavenant and agree as follows: 1. Scope of Ser�vices a. Contractar will administer services fio citxzens of the City of Fort Worth und�r the program name Homeless Service ("Progra�."}, for the term June 1, 2002 to May 31, 2003. b. Contraetor will provide the services and acti�i�ies �.elineated in Exhibit A, Program Summary in accoxdance with Exhibit S, Program Services Schedule. e. City uTiil manitor the performance of the Contractor agains� the goals and pe�f�rmancE standards required herein. Substandard performance as determined by Cify will constitu�e non-compliance vvith this Agreement. If action to carrect such subs�tandard perFormance is not faken by Cantractor within a reasonable periad o� time afier bei�ug natrfied in writing by Czty, cantract suspension or termination proceduxes �i11 be initiated. 2. Funds - Disbur.�ement City will disburse ESGP Year 2002-2003 rnonies in an amount up to $9,730 to Contraciar on a reimbursement of expenses basis. �C}CVI[I ESGC3�1T7ttly 10, zaoz �oa� Q����� �� e � ������� � a� � ,° - _� 3. Funcls - Requirements a. Payments will be processec� by City following receipi from Contractar of Attachtnent I, Sub- Grantees Request For Funds and applicable supporting documents described in paragraph 5. Reitnbursement for the payment of eligible expezases shall be made against the line itern budget specified in Exhibit C, Prograrn Operating Budget. b. Contractor must provide the matching fiinds speci�ied in Exhibit C in accordance vsrith 2A� �RQz V, §576.71. c, Cantractor agrees to utilize alI disbursed ESGP fiinds for the benefit of the Progranr�. Contraetor agrees that fiznds will be expended in accordance with the Pragram Operating Budget. Contractar may not zncrease or decrease line-ite�n arnounts in the approved ESGP Prograrn Operating Budget without priox written approval by the City. d. It is understood that the total cost �or operation of this program is $29�,912 and that Contractor will obtain the remaining funds in excess of the E5 GP amount as detailed in the Program Operating Budget. Contractor will notify City promptly af any additional funding it receives for operation of the Program, and City rese�ves the right to amend the Program Operating Budget iu� such instances. e. Cont�•actflr agrees ta keep a11 ESGP monies on hand in interest bearzng aceounts. A11 interest earned shall be reported to City on a monthly basis, at tha sarne time as submission of the monthly report following the end of tb.e contract monih during which the interest was earned. Interest in an amaunt of $25.00 or Iess per monik� may be used for anthorized program expenses. These amounts must be reported on the monthly financial statemenis filed pursuant to this contract. Interest earned in excess of $25.00 per month is subject to re�ittance to City as directed by City. f. Contractor will not commingle ESGP monies with any ofil�er funds in any manner whi.ch would prevent City from readily identifying prog�atn expenditures for operafion of the Program. g. Contractor agree� that a11 program incon:�e frorn operation of the Prbgram in proportion to the axn.ount o�E5GP funds received hereunder wi11 be expended prior to expending ESGP monies and that any s�xch program income is subj ect to the terms of this contract. ESGP monies may be expended by the Cont�actor anly if program incom�e is insiafficient ta meet all eligible p�-ogram activity expenses. Contractor agrees to return tfl City at ihe end of the Contract any remaining prog.ram i�come earned from operation of ihe Program. in proportion to the amount of E�GP funds in the aver�ll operating budge#. h. The Coz�tractor shall com.ply vvith City pvlicy �onceming the purchase of equipment and shall maintain ii�ventary records of a11 non-expendable perso�al property, as defined by such policy , procured with £unds provided herein. The Contractor shall pracure a11 rnaterials, property, or services in accordance with the requirements of OMB circular A-i 10, Pracurement Standards. 4. Uraifor�n Ad�ninistrative R�qui�ements and P�-ogram Manage�rtent Standards a. Financial Management i. Accounting Standards The Contractor agzees to comply with OMB Circular A-110 and agree� to adhare to the accounting prrnciples and pzocedures required therein, utilize adequate inteinal controls, at�d maintain necessary saurce documentation for all costs incurred. ii. Cost Principles Contractor shall adnrii�nister the Program in con.fartnance with OMB Circular A-122, "Cost Principles far Non�Profit �rganizations" and attachments a.nd revisions thereto, regarding principles for dete�-rnining costs far the Program. XXVIII ESGCNT .fune l4, 2002 2 b. Documentation and Rec�rd Ke�ping i. Cailtractor shall maintain aIl records periinent to the activities ta be funded under this Agreement as required by HUD regizlations specified in 24 GFR § 576.65 for four (4) years following the date of tennination of this contract. Contractor may destroy Prograxn records at the �nd of this four (4} year period if no outstanding audit finding exists. In addition, Contractar agrees to keep records to fully dvcum.ent all �xpenditures charged to the ESGP pragram. The documentation must support �he ainounts charged to Program and demonshate that the expenditures were appropriate to the stated goals of the Pragxam and ailowable under applicable federal, state and City guidelines. ii. Close Outs The Contractor's obligation to City shall not end until all clase-out xequ�'ements are completed. Activities during this close-out perzoc� shall include, but are not limited to: malcing final paymants, disposing of program assets { including the return of all unused materials, equipment, unspent cash adv�ces, prograrn income balances,. and a�counts r�ceivable to City), and determining the custodianship of records. iii. Audits and Inspections (1) City, I�UD, and the United States Comptro�ler General, or their representatives, shall have access to any baoks, documents, records and papers relating to the operations of Contractor under tk�is Agreement for the purpose of audit, examinatian, exception and tzanscription at all reasonable hours at all offices of Contractoz-. (2) For all canf,�acts in which Cantractor is cumulatively receiving federal monies in the amount af $300,000 or znare, Contractor rnust submit to City an annual audit prepared in accordance with 2� CFR Sections § 570.502-570.�03 generally, with speci�c reference io OMB Circulars (with attachments) A-122 ax�d A-133 as appropriate. The audit may cover either Cantractor's fiscal year during which this contxact is in farce ar cover the period af this contract. The audit inust be prepared by an independent certified publie accouniant, be completEd within twel�e (12} inonths following the end of the period being audited and be submitted ta City within thirty (30) days of its completion. Con.tractor's audit sched�ie is attached hereto as Exhibit D- Audit Schedule. Casts of preparation of this audit may be an allowable expenditure of ESGP iunds in an ainount propartionai t� that of the ESGP funds us�d in coniractor's total agency operating budget. (3) C�ty reserves the right fio perform an audit of Contractor's pragram operations and finances at any time during the term of this contract, if City determines that such audrt is nec�ssary far City's campliance with. OMB Circular A-128. City will perform six (6) month and year-end financial and programmatic audits withperiodic site visits as appropriate. Contractor agrees to allow access to all pertinent materials. If such audit reveals a questianed practice ar expenditure, such questians must b� rasolved witlun fi�teen (15) days after notice to Contractor. If questions are not resolved within this period, City rese�rves the right �o withhold further funding unc�er this and/or future contract(s}. (4) If, as a result of atiy audit, i� is de�erinined that Con�ractor has misused, misapplied or misappropriated all or any part af the gran� funds described herein, Contracior agrees to reimburse the City the amount of suchznanies so misused, misapplied ormisappropriated, plus the amount of axry sanctio�l, penalty or other charge Ievied against City because a£such misuse, misapplication or misapprQpri�tion. �. Repo�-ting Proceclu�es a.Financial Reports Contractar will subinit ta City on a monthlybasis: (1) Attachrnent II, Detailed Statement of Costs; and (2) Attachment TII, Expenditures Worlcsheet Report, as a}�plicable, for expenses incurred for services XXVIIi E5GC3�fT Juna lA, 2002 3 and activities accorrxpiished by Contractor in performance of this Contract. The reports must be signed by a duly authorized agent of Coniractor and submitted by tbe 15"' of the monih following the month being reported. The City is under no obligation to autho�ze pa�rments for expenditures which occurred prior to tlie first day oi the month for which the report is submit�ed. b. P�rformance Reports Coniraetor will submit to City on a manthly basis: (1) Attachment IV and (2) Attachment IV(A), Program Services Report to Cify �or services and activities accornplished by Can�ractarinperforrnance af this contract. T�e report will be signed by a duly authorized agent of Contracto�r and submitted by the 15"' of the month following the month which is reported. 6. Reversion af Assets a. Contractor agrees to return io City any ESGP funds remar.ning on hand at the end of the Contract. b. All property purcl�.ased with ESGP funds under this cantract will be used solely for operation o�the Program. Contractar ag�ees to obtain City approval prioz to purchase of praperty, Contractor agrees to nati�y City upon receipt of property so that it inay be properly �agged and inventoried. Title to such prapex-ty will be vested with the City, and, at the termination of ihe Program for which ESGP funds have been received, Contractoz will deliver all such property to City fbr disposition a� City's sale discretion. 7. Applicable Lnws a. L. 93-383�, 885 Stat. 633,), as atnended, arid all regulatzons pertaining thereto. Contractar further promises and agrees that it has read, and is familiar with, teims and condit�ons of the Emergency Sheltex Grants Program under which funds are granted and that it will fully comply with saxne. �t is agreed and understood that, if City ca11s the attention of Contractor to any such violation on the part of Cantractor or any of its officers, m�mbers, agents, emp�oyees, program parYicipants oz' subcantractors, thei� Contractor shall immediately desi�t frarn and correct suclz vialation. S. Nondiscriminatian a. Contractor, in the execution, performance vr attempted performance of this contract and agreement, will nat un]awfully discriminate against any person ar persons because of sex, race, religian, age, C�15�b111�j7, color or na�iional origin, nor will Contractorpermit its officers, members, agents, employees, subconiractars or program participants to engage in such discrirninatian. b. In accordance with the policy of the Executive Branch of �lie federal government, Contractor ca�enants ihat neither it nor any of it� officers, members, agents, employees, program participants o� subcontractors, while engaged in performing this contract, shall, in conneciioiz with the employment, ad�ancement or discharge of employaes or in connection wi�h the tarms, conditions or privileges of their employment, discriYninate against persons because of their age �xcept on the basis of bona fide occupational quaIif cation, retirement plan or sta#utory requirement. c. � Contractor fiarther covenaa�ts that neither it nor its officers, members, ag�nts, employees, subco�tractars, program participants, or persons ac�ing on iheir behalf, shall specify, in solicitations or advartisements for employees to work on this contxaet, a inaximum age limit for such employment unless the specif ed maxim�am age limit is based upon a bona �ide occupatianal qualification, retirement plali or statutory requiremeni. d. In accordance with th� provisions of the Americans wiY,h Disabilities Act of 1990 ("ADA"), Contractor warraaits that it and any and all of its subcontractors will not Lullawfully discriminate on the basis of disability m the provision of services to the general pub�ic, nor in �e availability, terms and/or conditions of employinent for applicanis for employment with Contractar, or employees of Contractor or any of its subcontracfiors. Con�'actor warrants i� will fully comply with ADA's provisions and any ofiher applicable federal, state and Iocal laws concerning disability and will defend, indemuu�y and hold City haiYnless aga�inst any claims or ailegations asserted by third parties or subcontractors against City arising out of Conhactor's andlar its subcontractors' alleged fazlure to comp�ywith�he above-referenced laws concerning disability discriinination in the performance of this agreement. e. This agreement i� znade and �ntered into with reference specifically to fhe ardinances codified at Chapter 17, Article III, Division 3("Discrimination in Emplayment Practices"), ofthe City Code of the City ofFort W�rth, and Contractor hereby covenants and agrees that Contractor, its off cers, members, agents, Employees and subcontractors, have fully complied with all provisions of same and that �n employee, employee-applicant or pzogram participant has been discriminated against by �lie te�nnas of such ordiizances hy either �he Contractar or its af�icers, members, age��s, employees or subcontractars. No member, officer or emplayee of Cify or its desigr�ees ar agents; no memt��r ofthe gaverning body of the locality in which the Program is situated; and na other public o�ficial of such lacality ar lacalities, who exercises any functions or responsibilities with respect to ihe Program funded hereunder during his or her tenure or for one yea�' thereafter, sha11 have any inierest, direct or indirecf, in any contract oz' subcontract, or the proceeds thereo£, �or work tQ be performed hereunder. Contractor sh�ll incarporate, or cause ta be incorporafed, like Ianguage prohibiting such interest in all contracts and subcontracts hereunder, b. No member, officer, emplo�ee, or program participant of Coni�actor or its subconiractors sha11 have a fmancial interest, direct ar indirect, in this contract or the rnonies transferred hereunder or be financially interested, directly or indirec�Iy, in ihe sale to Contractor of any Iand, materials, supplies or ser�vices purchased with any funds tra�sf�rr�d hereunder, except an behalf of Contractor, as an officer, employee, member or program pa�ticzpant. Any willful violation of this paragraph with the knowiedge, expressed or implied, of Contractor or its suhcontractors shall render this cantract voidable by fhe City of Fort Worth. 10. 1Vlinoriiy and Women Business Ente�pYise Comrr�it�nent Cantractor agrees to abide by the City of Fart Worth's policy to invoive Minority and �Vo�en Business Ea�terp�rises (MIWBE}in all phases its procurement practices and to provide them an equal opportunity to compete far confiracts for eonstruction, provision of professional services, purchase of equipment and supplies and pro�ision of other services required by City. Therefore, Contractor agrees to incorpoxate City Ordinance No.11923, and all amendments or successor policies ther�ta, into a11 coniracts and will further require all persons ar entities with whom it contracts ta comply wzth said Policy. 11. 11Ton Assignment Cantractor �vill not assign any or alI oif its rights or responsibilities under this contract without the prior writ�en approval of City. Any purported assignrnent without such approval will he a breach of this eontra.ct and void in all respects. �2. Tnclependent Contractor a. Coniractor shall aperate hereunder as an independent cantractor and not as an officer, agent, servant or amployee of City. Contractar shall have exclusive eantrol of, and the exciusive right to control, �he details of the work and services performed hereunder, atld alI pErsons performing same, and shall be solely responsihle �or the acts and omissions of its o�fiicers, rn�mbers, agents, servants, employees, subcontractars, prngram participants, licensees or invitee. The doctrine of respondeat superior shall not apply as betrWEen City and Contractor, its officers, merr�bErs, agents, servanis, ainployees, subcontractors, program participants, licensees or invitees, and nothing herein shall be cons�-ued as creating a partnership or joint enterprise between City and Contractor. It is expressly understood and agreed that no officer, member, agent, employee, subcontractor, licensee or invitee of the Contractor, nor any program participant hereunder, is in the paid serviee of City and that City does not have the legal right to control the details of the tasks perfo�nnned hereunder by Contractor, its officers, members, agents, employees, subcontractars, program participants,licensees or invitees. City shall in no way nor under any circumstances be responsible for any property belonging to Contractor, its afficers, members, agents, employees, subcontractors, pragrarn participants, licenseas or invitees, which may be lost, stolen, destroyed or in any way darnaged; and Contz'acior hereby indexnnifies and holds harmless Gity and its officers, agents, and employees from and against any and aIl claims or suits. 13. Insxs�-ance ar�d Banding a. Contractar covenant� and agrees to indemnify, hold hartnless and defend, at its own expense, City and its o�ficers, agents, servants and employees from and against any and a11 cla�ims or surts %r property loss or damage and/or personal injuzy, including death, to any and all persons, o�whatsaever kind or cha.racter, whexher real ar asserted, arising aut of or in connection with the execution, performance, attempted performance or nonperformance of this contract and agreement and/or the operations, aciivi�ies and services of the Prograrn described herein. Contractor likewise covenants and agrees to ajnd does hereUy indemnify and hold harmless City from and agai��st auy and aIl injury, damage or dest,ructian ofproperty of City, arising out or in cannectionwith all acts or ornissians oFCantractor, its officers, members, agents, emplayees, subcontraciors, inviiees, lice�xsees, or pragram particigants. b. Contractar will maintain blanket fidelity coverage i� the form of a bond in the amount of $9,730, to insure against Ioss from ihe fraud, thef� ar dishonesty af any af Cantaractor's offic�rs, agenis, trustees, directors or emplayees. The proceeds af suc1� hond shall be used to reimbuxse City for any and all Ioss af ESGP monies occasioned by such misconduct. Ta ef�ecivate such reimbursement, such band shall include a rider stating that reimbursemeni for any lo�s oz- losses thereunder shall be made directXy to City for the uses and benafit of Cantractor. c. C�ntracfiox shall furnish certificates of insurance as proof that it has secured and paid for policies oi worlcers' coznpensation, public liability and automobile liabi�ity insurance covaring all risk� incident to ar in cannection with the execu�ion, performance, attampted performance or nanperfortnance of this contract and agreement. The amounts of such insurance shall naf b� less than the maximum liabxlity which can be imposed on City unc�er the laws of ihe State of Texas. Contractar understands and agrees that such insurance amou�ts may bE revised upward at City's option and that Contractor shall zevise such atnounts wit�un thirly (30) days following notice to Contractor of such require7nents. d. Contractor will submit docurrxentation to City that it has obtained insurance cavera�e and has executed bonds as required in this contract within tbirty (30) days of the execuiion of this contract and priar to payment of any monies hereunder. lq�. Waiver ofbnrraunity If Cantractor, as a chaz'itable or nonprofit organizatzon, ha� or claims an immunity ox exemption (statutaty or otherwise) from and against liabili�y for damages or injury, including death, to persons or property; Contractor hereby expressly waives its rights ta plead defensively suc�i immuniiy or e�emption as against City such waiv�r being limited, however to City only. This section shall nrat be co��strued to affect a governmental entity`s immunities under canstitutianal, statutory or carnmon lavv. ].5. Termination a. In addition to, and not in substitution for, other provisions ofthis Agreement regarding the provision of public services with ESGP funds, pursuant to Title I oithe Housing and Community Develapment XXVIfI ESGCNT 3ime 14, 2002 7 Act of 1974, as amended, it is expressly understood azzd agreed by and between the paxties hereto that this agreem.ent is whally conditioned upon the actual receipt by City of Federal ESGP Year 2Q02-2003 funds; that all monies distribuied to Contractor hereunder sha11 be exclusively from Federal monies received under said grant and not from any monies of City; and that if such funds under said grant are not timely forthcoming, in whole or in part, City may, at its so�e discretion, tertninate this contract and agreement and City shall not be liable for payment for azry wark or services performed by Contractox under or in connection �ith this confract. b. City may terminaie this contract whenever such termina�ion is deter�itied to be in ihe best interest of City, in e��nt of Contractox's default, inabiliiy or failure to perform ox to comply with any of the tertns herein, or for other good cause. c. T�e pa.rties acknowledge that ESGP funds paid hereunder are intended to provide only partial fi�nding for Contractor's program opezations. If non�ESGP funds included iz�. the Operaiing Budget are nat forthcoming to Contractor during the cantract term, City may terminate this contxact. d. ESGP funds provided hereunder may not be used as collateral for loans to Cantrac�ox ta de�ray prograrn operation expens�s, and any attempted use of ESGP funds for this purpose will result in termination of this cantract by City. e. Terminatian will be e�fec�ed by written notice to Contractar, specifying the portions of the contract aifected and the effecfiive date of termination. Ci�y will have na responsibility vr liability for Contractor's e�penditures or actions occurring after the effective date of contract terFnination. 16. Certificatiorz Regarding Lobbying a. The undersigned representative of Contractor hereby certifies, to the best of his ar her knowledge and Uelief, that: Na federal appropriaied funds 11ave been paid or will be paid, by or on behalf of Contractor, to any person for influ�ncing or atte3npting to influence an officer or ermployee of any agency, a member of Congress, an afficer or employee of Congress or an employee of a member af Congr�ss in cannection with the awarding of any federal contract, the making of any federal �ra.nt, the making of any federal loan, the �ntering into of az�y cooperative agreement and tl�e extension, continuation, renewal, amendm�nt, ar modification of auy federal contract, grant, loan ar cnoperative agreement. Contractor shall require that the language af this certi�ication be included in all subcontracts or agreements involving the expenditure of federal funds. b. If any funds other than federal apprapxiated fiinds have been paid or will be paid to any p�rson for influencing ar attempting to influence an officer ar employee of any agency, a member of Co�gess, an ofiicer or employee oi Congress, ar an employee of a member of Con�ress in connection wit1� this federal contraci, graxxt, loan or cooperative agreement, Con�ractor shall complete and submit Sfiandard Form-LLL, Disclosure Form to Report Lobbying," in aecordance with its instructions. All terzns af this contract shall apply to any and all subcontractars of Contractor who at'e in any way pa.id wiih ESGP funds or who perform any worlc in connectzon with Contractor's pragram. b.
