CONTRACT FOR TOW TRUCK SERVICE
{TILT BEDIROLL BACK)
WHEREAS, the City of Fort Worth occasionally requires the service of
tow trucics; and
WHEREAS, such tow truck services are necessary to proiect the safety
of the citizens of the City of Fort Wort11,
NOW, THEREFORE, I�NO� ALL BY THESE PRESENTS:
The City of Fort Worth, I�ereinafter referred to as "City", acting herein
by and through Libby Wa�son, its duly authorized Assi�tant City Manager,
and Apache Towin� & TXanspoxt, Inc., hereinaftex re�ened to as
"Company", ac�ing herein by and through Sandra Garcia , its duly
authorized President, agree as follows:
1.
SERVICES
City hereby contracts with Company io provide police pull towing
service. As used herein, "police pu11" shall ineall fhat fhe Fort Worth P�olice
Department has called Company from the rotation list to either remove a
wreciced or disabled vehicle or to remove a vehicle in a s�fe driving condition,
but the owner is not present, able or pennitted ta drive or to n�ake
authorizaiioizs.
2.
TERM
The term of this contract shall be for a period of t-�velve (12} months
from the date of its ex�cution, with four options to ren�w for tern7s of one y�ar
each, unless earlier tenninated as hereinafter p��ovided. Renewal shall occLir
upon City includiilg in its budg�t for the options years sufficieni funds to pay
for its obligations hereunder and Company providing pronf of ii�surance to
City.
3.
GOMPENSATION
l. Conlpensa�ion, As compensation for providing the services
contemplated �y this Contract, City agrees io pay Company as follows:

a� Towa�e. A charge of eighty-five dotlars {$85.00) for #awing such �ehicle from
one point on a street to another locatior� within tl�e corgorate limits of the city
as direct�d by the po,ti�e officer at the �lace where the tow originated; st�ch
charge includes o�te hou,r of Exira Wark. In the ever�t Company responds to
the scene af a�police pul� with a ti!# bedlrall back truck when tf�e police p�!{
couid have been accomplished with a starrdard tow truck, Com�any sha11 b�
entitled to the reduced charge of sixty-five doliars ($65.0�). �
b� SBC�fld tOW VEil1Cl9. ln the �vent the police officer at th'e scene determines
that a standafd tow vehicl� is required in a�dition to the tilt bedlrol! L�ack
tr�ck, a charg� of fifty ($50.00) per hour, with a mi�mum char�e of one hour,
billed �in incremer�ts af fifteert (15j minutes while at the scene af the poiice
pulL The use of a s�cand tow truck shall be approved by a police s�penrisvr.

c) Exira work. An additional ci�arge of fifty dollars ($50.00) per ho�tr, with a
minimum charge of one hour, charged in increments of fifteen {15) mir�utes,
for removing veh�cles r,vhich are off ft�e street right-of-way, such charga to �e
made fram the t�me tne operator begins to remove the vehicle unti! it is�on t�e
trave(ed por�ion of the stree#. Even though t�ie �ehicie is wiihin the s#reet
right-of-way, an a�ditional charge may be ma�e if the vehicle is located in
some unusua! condition witi�in the rEght-af-way, such as, but not fimited to, a
river or a creek bed or a ditc� a# .greate� depth tha� fhe ord�nary bar ditch.
Extra work shall only be atlowe�i when au#hor�zed by a palice officer at the
scene of the pu{l. The charges for such extra work shalf be rev�ewed ar�d
appraved �y th� Auto Pounci Wrecker Aciminisirator. Extra work exc{udes
#ravel time, waiting tirr�e, and c{�an-up time.
d) Handiinc� hazardous materials. When the carga of any.rnotor vehicfe or
trai{er , includes explosiv�, nuclea�, radinactive, hazardous or corrosive
materials, as defi�ec� by the Environmenta{ Proteciio�i Agency, Texas
' Depar�men# of Transpartation, or the Texas Natural Resource Co�ser�atior�
Commission, a fee equal to one hundred-fifty (� �0� percent of the c�arges
permitted under subparagraph "a" above. ln addition, a charge may be made

any sums of money except for work actuaRy performed. Furiher, notning
containec� herein shall be construed so as to �uararitee that Ciiy wi[! contact
Company for any towing ser�ice contemplated by this Cor�tract,

requested to provi�� e�idence of the sen�ices �rovid�d #o th� City, which at a

at the scene of fhe poljce pull andfar personnel at fhe Fori Worth Auto Pound.
Such invaice snafl be sub�ect to the re�iew and a�proval of appro�riate City
personn�l. City shafl retr�it payment ta Company not rnore than thir�y (30) days
foilawing appro�a! vf i�voice.

VEHfCLE AND EQUfPMENT REQUIREMENTS
Company shafl maintain afi a11 times t�� #ollowing vehicles and equipment
in working condition:
a) A minimum of one (1} iilt bedlroEl back duai rear wheef wrecker rated.at not
less than j4,000 pounds grass vehicfe weight.

5.
INS�IRANC� REQUIREMENTS
Company shall maintain ir�surance of the following types and amounts firom

5.5 Warker's Comp�nsationlAccident {nsUrance
Cov�rage shall-meet the minimum requirements af state iaw as con-
tained in the Mo#ar Garrier R�sles and Regulations. �
�.6 Cur�ent insurance certificates shali remain on file with the Ciry ciur�ng the
temn of th�s Contract. Insurance coverages may, at tF�e sole discretion of the City,
be reuised upward upon �hirty (30) days prior written notice to Company. Policies
sl�all be endorsed as follows:
o fa provide the City witf� a manimum of th�rry (30) days notice of
� cancey[ation, n�n-payment of premium, or non-r�newal; ;
� tv co�er the Gity as an additionai insured on liabilitj/ insurance policies;
exce�t fo� employe�'s liability; and
� to include a waiver af subro�ation �n favor of the City.

SBiVIC� companies operating with�n #he State of Texas exce�d ins�rance
requirements specified here�n; suc� state or #eciera� law, rule or regulatian shail

�UTiES AND RESPaNSiB(LiTIES OF COMPANY
Cam�any, during the �erm�� of this contract, s�afl perform the iallow�ng duties
and have the followin� respor�si�ilities: .
a� Maintain as its primary �busiRess tne tawing af vehicles or trailers by
vureckers meeting the requ�r�rnents of paragraphs 4(a) and 4�b) a�ov�.
"Primary business" shall mean tnat Campany receives more than �ifty per-
ceni (50%j of it gross revenues #rom the towing of vehicles and trailers. All
of company's records sE�a(E be open ta reasonab{e inspectian, both at the
time of execution of t�is agreement and at any iime c�uring the term hereaf,
#a verity compliance with t3�is condiiion.
b} Maintain a currently license� vef�icie s�orage facility located within the
corp�rate limits of ihe City. "Uef�icfe starage faciiity" sFiaif inean a facility
operated by a per�on under Articfe 6�687-9a, Revised Stafutes.
c) Maintain business o�eraiion twenty-faur (24) �aurs a day, saver� cIays per
v�reek.
d) Respond to ali calls contemplated by #his contract withir� thirty (30) minutes
of notificatiot�, except �n extraordinary situations tnr�e�e delay is caused by
ice, sr�ow, or other weather r�Eate� conditions. In ii�e ever�t Gompany faifs io
respond as required, City may notify anoiher wrecker company and
�ampar�y shail not be entitled to the compensation to wl�ich it would �have
been entitled had ii arriv�d tim�fy.
e} Notify the City af any ehar�ge of ownership, president or chief executive
officer, or change of address wEthin five (5J business days of any s�ch
change.
f) D�fiver the motor �ehicle l�sir�g tov+red to the focation wi#hin the corporate
limits of City des�gnated by the police officer at #he scene af t�e �ufl.
D�fivery shall be made without delay or detour.

g� Fuf1y coo}�erate with any ir�vestigation c�n�ucted by the City regarding
complaints against Company, whether or not such complair�is arise out ot
services contemplateci by this Contract,

j) Sf�all not soEicit any wrecker business within the corporate iimits of City at
tF�e scene of a wreck�d or disaE�led vet�icle, re�arc�less of whether the
solEcitation is for the purpose of svliciting tl�e business of towing, repairing,
wrecki�g, sta�ng, trading, or purchasing the �ehici�.
k) Shafi only employ dri�ers of tow trucks authoriz�d to aperate same.
I) Pravide ihe Palic� Po�nd person�el tnr�th an irn/i-3ice at th� time the vehicle
is cielivere� to the Auto Pound together w�th the signed wrecker sefection
�orm to be provided.
7.
TERM[NATIC?N AND SUSPENS�ON
A. This cantract may be terrninated or suspended by the City tor any of the
�offowing causes;
1. Vialation o# any t�rm o� conc�ition specified in this cor�tract.
2. Faifure fo notify tl�� Comm�nicatians Divisia� af ti�e Police Department
within fifteen (15) minutes from tF�e time of noiification� if the Cc�mpany
w�ll be ��abi� �o respond within the t�irty {30) minutes a[lo�ted for a
respons� to a wrecker call.
3. Parmitti�g a tow truck fo be operat�d by anyan� while under ihe
in#luence o# alcoho{ an�lor drugs.
4. Permittir�g a tow truck to be operated by anyane whose operator's
license is suspended.

5. Transferring or assigr�ing a�y calt far ser�ics ta any o�her cvmpany
6. Any sustained complaint of theft by personn�f of Company while acting'
in their capacity as �mplay�es of Campany, whether occu�ring during a
palice pulf or atherwise.

9. Failure to comply with any state or federal law or city ordinance related
to ihe operation of a wrec�Cer company.
70. Five (�) pass�;s w�tt�in a thirty (30) day perir�d. Pass in this paragraph
shall mear� Company faifing to notify the City of its inability tv respond to
a r�qu�est far ser�ica as required by paragraph 2 abave.
11.Ten (10} passes within a thit�y (30} day period. Pass in this paragraph
shall mean a Gampany notifying the City �of its inability to respond to a
request for service as req�aired 6y paragraph 2 above. .

cause tw�nty (20) days prior to sUeh 5uspension or termination. Company shalf

regarding the �n#��t to terminate or sus�and for cause by req�es#ing a hearing in
writing within five (5j iausiness days after receipt of notrce of intent #o tem-Einate or
sUspend. A hearing shall be conducted witt�i� fifteen �i 5) days of the request for
hearing. The City, in its sofe discretion, may tempararily susper�d this cantract
during any appeals pracess.
C. In ihe �vent t{�is eontract is suspended for caus�, the suspensior� shai! be
for a period of #ame ofi not l�ss tl�an six (6} months nor more than twelve �12)
montt�s.

D. - In tF�e ev�nt City suspends ar ierminates this con#ract far cause, an� the
cause for such s�spension or terminaf�on is determined to be invaiid, Compa�ty's

iNOEMNlFIGATION
With regard to any liability which mig�t arise hereunder, Giiy ar�d Ct�stomer
agree that thay sfi�all be solely and exctusively liable for the negiigence vf its own
ager�ts, servants, s�bcontractors and em�loyees and that neither party shal[ [oak
to the ott�er party ta save ar f�old i� F�armless fort he consequences of any
neglige�ce on the part of one of its own agent, servant, sut�contractor or
emp�oyee. Nothing canfair�ec{ h�rein shaii be constru� to be a waiver by City af
any right of proiectiori wF�ich it enjoys under applEca�le State or Federal law.
3.
ASSIGNMENT
Company shall not assign, transfer or su�iet this Contract ar any �artion
hereof to any pat�y withau� the prior written cot�sent af City which shall not be
unreasor�alaly w�thhe�d. Any such assignment, transfer or subietting af tnis
Cot�tract shal( be Woid �nd st�all operate as a terminati�n hereof,

ZONES AND ROTAT{ON LIST
A. City sh�1i divide the eity into four {4) zor�es wnich shall correspand to the
p four (4) patra! cli�isians. Company sha11 be assigned to the zone or an adjacent
zone in which if maintains its pr�ncipal �iace o� business.
B. City shall create a rotatian list wEthin eact� of the four (4) zones that will
dictate the order in which wrecker companies are contacted.
C. Ciiy may request Campany to conduct a�olice pull withir� any zor�e, and
Company agrees #o use its best efforts to arrive ai the sc�ne of #he police pUll
within thirty (30j minutes.

' INDEPENDENT C4N�RACTOR
It is understood and agreed by the �arties hereta t�at Company shalf
perform ai{ work and services hereunder as a� independerit cantractor, and not as ��-

an officer, agent, ser�ant or employee of the City. Company sha11 hav�
exclusive control of and the exclusive right to control the details o� the worlc
or service fo be performed hereunder, and a11 persons performing same an
behalf of Company, and shall be solely responsible for the acts and omis�ions
af its offic�ers, agents, servants, employees, coniractars, subcontractors,
licensees, and invi�ees. The doctrine of respondent superior sha1l not apply as
between the City and Company, its officers, agents, servants, employees,
contractors and subcontraetors, and nothin� hereill sha11 be construed as
creating a partnership or joint venture between �he parties hereto.

' Disciplinary action may be d�[ermined by the pound supervisor or a higher
