CITY SECRETARY CONTRACT NO. STATE OF TEXAS § UNIFIED SIGN AGREEMENT § FOR COUNTY OF TARRA NT § MONTGOMERY PLAZA RETAIL PROJECT KNOW ALL PERSONS Y THESE PRESENTS that this Unified Sign Agreement is made and entered into this day of,3W(;2005, by Target Corporation, a Minnesota corporation located at 1000 Nicollet Mall, Minneapolis, Minnesota, 55403 and Kimco Montgomery Plaza, L.P., a Texas limited partnership, located at 16000 Dallas Parkway, Suite 300, Dallas, Texas 75248-6609 (hereinafter referred to collectively as the "Owners") upon the following terms,covenants and agreements: 1. This Unified Sign Agreement covers real property located more particularly described in Exhibit "A" attached hereto and made a part hereof for all purposes and comprised of a 12.6789 acre tract owned by Target Corporation and a 33.5122 acre tract owned by Kimco Montgomery Plaza, L.P. (collectively the "Property") 2. Kimco Montgomery Plaza, L.P. and Target Corporation, are the owners of all the Property subject to this Unified Sign Agreement. 3. Signs shall be constructed on the Property in accordance with the sign plan attached hereto as Exhibit `B" (the "Sign Plan"). No detached signs (other than warning, security, and directional signs for parking or vehicle access) shall be constructed on the Property or allowed to remain on the Property, except as reflected on the Sign Plan. 4. All parties hereto covenant and agree that the Property covered by this Unified Sign Agreement will be collectively treated as a single premises for the limited purpose of determining the number, size and location of on-premise signs Unified Sign Agreement Target and Kimco g 2005 Page 7 06-07-05A08 :40 RCVD permitted in accordance with Section 6.404(F) of the Comprehensive Zoning Ordinance of the City of Fort Worth,being Ordinance No. 13896, as amended. 5. The covenants, limitations and restrictions contained herein shall be covenants running with the land with respect to the Property and shall be binding on Owner and all parties having any right, title or interest in or to the Property, or any part thereof, and their heirs, successors and assigns. 6. Each Owner agrees, as to its respective portion of the Property, to defend, indemnify and hold harmless the City of Fort Worth from and against all claims or liabilities arising out of or in connection with this Unified Sign Agreement. 7. This Unified Sign Agreement will be governed by the laws of the State of Texas. 8. This Unified Sign Agreement may be amended or terminated only in accordance with Section 6.404 (F)(7)(b) of the Comprehensive Zoning Ordinance of the City of Fort Worth, Ordinance No. 13896, as amended, which reads as follows: (b) A Unified Sign Agreement may be amended or terminated as follows: i) The amendment or termination agreement shall be executed by all owners of the properties included in the Unified Sign Agreement, and all lien holders, other than a taxing entity, that have an interest in land covered by the agreement or an improvement on such land. ii) A termination agreement shall be approved by the City Council if all signs on the property governed by the agreement are in compliance with City sign regulations, as if no Unified Sign Agreement had been executed. Any signs that are not in compliance shall be removed or brought into compliance prior to approval of the agreement by the City Council. iii) In considering whether to approve an amendment to a Unified Sign Agreement, the City Council shall consider the criteria for approval of Unified Sign Agreements set out in Paragraph F.3. Each Owner represents, as to its portion of the Property, that there are no lien holders other than (i) taxing entities that have an interest in the Property or any improvements on the Property and (ii) Compass Bank, the holder of a deed of trust lien on the 33.5122 acre portion of the Property owned by Kimco Montgomery Plaza, L.P. RECOMMENDATION: It is recommended that the City Council consider approval of a Unified Sign Agreement for Montgomery Plaza, located at 2601 West 7th Street. DISCUSSION: Chapter 6, Section F of the Comprehensive Zoning Ordinance Number 13898 establishes a process for the creation of a Unified Sign Agreement whereby a sign plan approved by the City Council establishes the detached signs allowed in a unified commercial project. The agreement and proposed sign plan is an application for City Council approval under this ordinance. Criteria for Approval All areas included in the Unified Sign Agreement must be part of a clearly defined unified commercial or industrial development. The signage proposed on the sign plan must demonstrate an overall reduction on sign clutter as evidenced by a reduction in the number, size and height of detached signs that would be allowed in the absence of a Unified Sign Agreement. The applicant is proposing five detached signs of five types totaling 540 square feet. The maximum allowed could be 10 detached totaling 2217 square feet. The property must be located in E commercial or less restrictive district. The subject property is zoned PD MU-2 Commercial. The property can be subject to only one Unified Sign Agreement. This property complies. Allowed Signage The sign plan is in conformance with the requirements of the Unified Sign Agreement regulations. All detached signs must meet minimum spacing requirements of 300 feet unless a variance is obtained from the Board of Adjustments. This Unified Sign Agreement conforms to the 3.00-foot requirement.
