S'cope of Sepvices a. Contxactor will admini.ster Aft�r School Progxam services tv citiz�ns of the City of Fort Warth ur�der the program name After School Program ("Pragxam"), for the ierm June 1, 2002 to May 3�., 2003. b. Con�t-actor will provide the servtces and activities delineated in E�bit A--Prograxn Suurmary in accordance wiih Exhibit B-Prograxn Services Schedule, _ c. Contractox ag�rees to meet the Nationa.Z Obj ec�ive of activities benefitzng low and moderate inc��ne individuals and io rnaintain full dacumentatiozi supporting iulfillmenf of th�s Natzonal Obj ective in its files. d. City will manitor tk�e perforn�arice of��e Coniractar agai�.st -�.e goals and performance stanc�ards zequired herezn. Compensatzon and Method af I'ayment a. Payment will be processed by City folla�wing xeceipt from Co�tractor of the �allowing monthly financial documents: (1.} Attachffient Y S�b-Grantee's Request For Funds, �2} Attachment II-Detail Staiement of Costs, and (3) Attachment III-Expenc�itures Workshe�i Report. Reiznbursexnent for the payznant of eligible expenses shall be ma.de agazzzst the line item budget sp�cifiEd in E�hibit C-Pragram Opexati.ng Buc�get and in accordance with per�'orzn.ance specified in Exhibit B-Progra�n Services Schedul�. c. Coniractor agrees ta utilize all disbuxsed CDBG funds for the benefit of ihe Program. Cant�'actox agrees that funds will be expended in accordance wi.th the Program Operaiing Budget. Contractor may not increase or deczease Iiir�e-item amounts in the approved CDBG Program Operatin.g Budget wzthout prior �written approval by the Cxty. d, It is understood that the iotal cost fox apexation of this program is $4�,233 and that Contractor will obtain the remaining funds in excess ofihe CDBG axnount as detailed in the Program O�c�raiing Budgei. Contractor agrees to keep all CDBG rxaonies on hand in interest bearing accounts. A11 interest earned sha11 be repor�ed to City on a monthly basis, at the sa�n.e #inae as submission of the monthl� report following ihe end of the contract month during which the interest was earned. Int�rest in an amount oi $25.00 ar Iess pez month m�y be used �or authorized program ex�enses. These amounts must be reported on the �nonthiy financial statements filed pursuant to this coxatract. �xa.terest earned in excess of $25.00 per rrxonth is subject to remittance to City as d�racted by City. £ Contractor �v�ll nat commin.gle CDBG xz�onies with any ot�er funds in any maa�n.er which woiald prevent City from reaclily iden�ifyi�g program expendiiures for operation af the Progra�. 3. Unifor�n Administrative Requirement� and Program Managerazent Standapds a. Fina:n.cial Mar�agement i. Acco�nting Standards . The Contractor agrees to comply with OMB Circular A-110 aud agreas to adhare �o the accounting principles and procedures re�uixed therein, utilize adeq�ate internal controls, andmaintain necessary source documentatian for all costs i.z�cwrred. ii. Cost Principles Contractor sha11 administer �he Progra�n in conformanc� with OMB Circular A-122, "Cost Principles foz Non-P�rafit Organ.i.zatians" and atiachments and revisions thereto, regarding principles for determining costs for the Pragram. b. Documentation and Record Keeping i. Requirement , C�n�ractor shall rnaintain all recorc�s perfiinent to �he activities to be fun.ded under this Agreemeni required by HUD regulations specifi�d in 24 CFR § 57d.506. In addat�on, Contx`ac�oz agxees ta keep records to fully docwmen# a11 exp.enditures charged to the CDBG pragr�rn. The docum�ntation must support the amourits charged to Program and demonstrate that the e�penditures were appropziate to the stated gaals o�the Pxag�ra�aa. axzd allowable under applicable federal, state and City guidelines. ii. Retention (1) All z-ecards pertaix�ing ta Progratn shall l�e retained for five (5) years follovving the date o� tennination of this cantract. Contractor may �.esi�oy Program zecoxds at the end of ihis five (5} year period if no outsfiandiz�g aud.it finding exisis. (2} Contractor will retain Prograan lo a� xecozds uxztal five (5) years aft.er the expiration ofthe loan. A�ViTT CDBGCN'F Jvne 28, 2002 2 iii. Property Records The contractor shall maintain real property inventory records which clearly i.dentify properties purchased, im�roved, or sold. Properties retained shall meet eligibility cri�eria and shall con£az�m with 24 CFR § 570.SOS. , iv. Clase �uts The Contractor's obligaiion to City sha11 no� end until a.11 close-out requirements are can�pleted. Ac�vities during this close-out period shall include, but are not lirnited to: rr�aking �ila.al payments, disposing of program assets ( includix�.g �he refurn. of a11 utxused materials, equipm�nt, unspent cash advances, program u�com� ba,Iances, and accaunts receivable to City), and determining the cusfadianship of records. v. Audits and Inspections {1) City, H�[TD, and the Unite�. States Cazn.ptroller General, or iheir ;representatives, shall have access to any baaks, documents, records and papers relating to the operations af Contractor under this Agr�ement for the purpose°of audii, exatninatian, exception and transczi.ption at all reasanable hours at all offices of Con�ractar. (2) Foz all contracts in whi�h Contractar is curnulatively receiving federal monies in the amounf o� $300,0�0 ar more, Contraetor rnust submit to City an azazaua.l audit prepaxed in acco:rdance with 24 CFR Sect�ans § 570.502-57Q.S03 generally, with sp�cific reference to OMB Circulars {with attachmez�ts} A-122 and A-133 a,s appropriate. Tlae audit may.cover eiiher Contractor's fiscal year during which fhis cantract is in force or cover the period of this contzact. The audit must be prcpared by an independent certified p�blic accountant, be corr�pletedwithiu twelve (12) monilzs following the end of the period being audited and be subrnitted to City within t}iirty (30) days of its completion. Contractor's audit schedul.e is attached hereto as Exhibit D- Audit Schedule. Costs af preparation of this auclit may be an allovvable expenditnre of CDBG fiaxids zzz an amount piaportional to that of ihe CDBG funds used in contracior's total agency a�erating budget. (3) City reserves the rzght to per:fonr�. an audit o£ Coniractor's pxogram operatians and �.ances at any time during tise term o� this coniract, if City determinas that such audit is necessary �'or City's compliance with O1VIB CircularA-12$. Contractor agrees to alla�' access ta allpertinentma�erials. Tf such audit reveals a questioned pxactice ox expenditur�, such questions must be resolved within fifteen (15) days after notice to Cont�actor. If qu�stion.s are not resolved withzn this periad, City reserves the right to withhold further funding under tli�s ancUor futu�te cantrac�(s). (4) If as a result of any audit zt is detea.�.zned �hat Contractor ha� misused, rnisapplied or misappropriated all or any part of fihe grant funds describe� herein, Coniractor agrees �o reimburse the City the alnount of such monies so misused, misapplied or m.isappz-opriated, �lus th� amount of any sanct�on, penalty or other charge levied against City because of such misuse, misapplication or misappropri ation. 4. Repor�ting Pmcedure.s Financial Repox-�s � a. Cantractox will submit to Ci�ty on a monf.�ly basis: (1) Attachment �, Attachxz�enf II, De#ailed Statem�;nt of costs; and (2) Atiachmen� III, Expenclituxes warksheet as applieable, %r expenses incurred for services and activities accompiished by Contrac�oz in per%rma�ce of this contract, and (3) Actual cash recezpts for clainaed expendi�ux'es must be provided at ihe time the request for funds is pxesented. T�e reports mu�t be signed by a duly autborized agent of ihe Contractor submitted by �he i5�' of the month following the monih beirig reported. The Crty is under no obliga�ion to authorize payments for expendituzes which occutred prior to fhe first day o£fihe rnonth for which the report is subm.itted. XXVIIICDBGCNT 7une 28, 2002 3 b. Progress Reports Contractox will submit mc�nthly Attachmen� N Program Services Repart to City for services and activities undertaken by Cantractor in performance of �Ius contract. The report wi]1 be signed by a, duly authorized agent of Contractox and submitted by tlle 15`h of the month follovaing the month which is reparted. T�ae City is under no obligation to disburse funds for expenditu�es which occurred prior to the first day of the month for which �he report is submitted. c. Program 7ncome Contractoz agrees that aXl program income �ram op�ration of the Program in praportion to the amount of CDBG �un.ds received hereunder will be expended prior to expending CDBG monies and that az�.y such �rogram income is subj�ct io the terms of this coniract. CDBG monies m.ay' be e�pended by the Contractor only if program zncome is insufficient ta xneet a.11 �ligible program activity expenses. Confxactor agrees to retuxx� ta City at the end o�the Contract any remaining program income earned fram operation of�the Program in proportion io the amount of CDBG iunds in the overall operatixzg budget. d. Procurernent i. Compliance The Coni�`actor shall cornply with City palicy concerning the �urchase of equapz�a.enf and shall mairitain inventary records of all non-expendable personal property, as defined by such policy , procured with funds provided hareix�. ii. OME Staz�.dards , The Con1ractor sha11 pracure all materials, pro�erty, or services in accoxdaa�.ce vv�th the requir�ments of OMB circularA-110, Procuxezx�ent Staudards, and shall suhseqnen�lycomplywithAttachmen�N, Properiy Management �fandards as mo�ified by 24 CFR 570.502�b){6), cove�zng utalizat�on and disposal ofproperty. 5. Reversion of�lssets a. Confractor agzees ta return to City any CDBG fiztids remaining an hand ai the �nd of the Contract. b. A11 praperiy purchas�d with CDBG funds under this con�ract wi�l be used salely for opezation a�the Program. Contractar agrees to obtain City approval prior to puxchase o£property. Contractor agrees to notify Ciiy upon recezpt af pxoperiy sa th�t it znay be properly taggad and inventoried. Title to such property will be vested vvith the City; and, af the iermination of the Program for which CDBG funds have been received, Coniractor will deliver aI1 such properiy to City for disposition at City's sole discretion, � 6. Applicable Laws -a. It is agreed and undersfood that, if �ity calls the attexa.nan af Contractor to any �uch violation on the part of Contractor or any of its officers, members, agents, employees, program participants ar subcontractors, then Caz�tracto�r sk�a.t� immediately desist from and correct such violatian. 7. Nondiscrimination a. Caniractor, in the axecutzon, per�onmance or aitempted performanee of this contrac� and agreement, will not unlawfully discriminate aga�nst any person o:r persons, because o� se�, race, re�igion, age, disabili�y, colo�r ox national origin, nor will Contraetor permit its officers, m�mbers, agen�s, emplo�ees, s�xbcantractors or prograrn participa�fis to engage in such discri_mivation. b. In accordance with �he policy of th� Executive Branch of the federal govez-�ment, Contractor cavenants that neither it nor any o�' its officers, members, agents, employees, program participants or subcontractoxs, whzle engaged in performing this contract, shall, in connection with the emplayment, advancement or c�xscharge of employees or 'in connection �rith the terms, conclitions ar privileges of their employment, diseriminate aga�insf persons becaus.e of their age exce�t on the basis of bona fide occupational qualificaiion, raiirement plan or s�atutory requizement. c. Contractor warzants it wall fi�lly comply with ADA's provisions and any other applicab�e federal, sta�e and local laws concerning clisability a�d will defend, indemnify and hold City harmle�s against any claims or allegations asserted by t}�rd parties or subcontractors against City arising out of Contractar's and/or iis subcontractors' alleged faxlure to coz�piy wi.�h the above-referenced 1a�s concern�ng disability d'zscrizninat�an in ihe performance of this agreem�nt. e. S. Prohi�itia� Against �nterest a. Na member, afficer o� employee af City or its designees or agents; no mem�er of the governing body of the locality in which the Program is situated; and no oiher public official of such locality or Iacalihes, wha exercises any fiwctions or responsibi.Ii.t�es with zespect to �he Pzagzarx� fiinded hereunder during his oX hez' tenure or %r o�e year therea�er, shall have any interest, direct ox indirect, in any contract or subcontract, or the proceeds thereof, for work to be performed hereunder. Contractar shall incorporate, or cause to �e incoxpozated, like Ia.z�.guage prohibitin.g such interest in a�l cox�tracts and subcanfxacts hereunder. b. No mexnber, officer, employee, or program participant of Con#ractor or its subcontractars shall have a financial interest, dizect or inclirect, in �iis cflntract or the mnnies transferred hereunder or be financially interested, directly or indirectly, in the sale to Contractor of any land, materials, supplies or services purchas�;d wifili any funds �ransferred hereunder, except on behalf of Contractor, as ax� afficex, employee, member or program participan�. Non-Assigrarrzent Coniractor will not assign any or aI1 of its ri�hts or responsibilities un.der thzs contrac� withoui the prior written approval of Czty. ,A.�y purported assign�ent �nvithout such approval will be a breach of this �� aantract and void in all respects. 11. Independent Contractor a. Contractor shall operate hereunder as an indep�ndent contractor and nat as an o ffiic�r, agent, servas�t or employee of City. Contractor shall have exclusive control af, and the exclusive right tv cantrol, th� details of �he work arid senrices performed hereunder, and aIl persons perfoxzx�ing same, and shall be solely xesponsible �or the acts ar�:d o�issio�s o:f its officers, members, ag�nts, serva:n�s, employees, subcontractors, �]T�gTti].T1�7aI'CiC1�7�,t1�5, licensees orinvitee. Insurance and Bonding a. Gantractor cav�nants and agrees ta indemni�y, hold harmless and defend, ai its own expense, City and its o£ficers, agents, servan.ts ax�.d employees from and against any and all claims or surts �orproperiy loss ar damage and/or perso�a.I injury, irtclt�ding death, to an.y and all persons, of whatsoever kind or charact�r, whe�her xeal or ass�rted, arisitag out vf or in canr�.ection with the exec�.tion, performance, attempted per�'o�maazce or nonperfozxxzance af this contract and agreemen� andlo� the aperativns, act�vities and services of the Program described herein, whether or not caused, in w�ol� or in part, by alle�ed negligence o�' afficers, agents, servax�ts, emplO�eeS, contractors or subcontraciors of Ci.ty; and Coz�tractar hereby assumes alI liability and responsibility of City and its officers, agents, servants, and �mplayees for an.y and ail claims or suits for �roperry Ioss ar damage and/or personal injUry, including death, to aray and all persons, of whatsoever kinds or character, whether real or asserted, az-i sing aut of ar in conziectian with the execu�on, per�ormance, attempted per.�ormaa�ce ar non-performance af this ca�tract and agxeement and/orthe op�atians, activiiies and services ofthegrograms describedherein, whe�her or not caused in whole or in part, by alleged negligence of officers, agex�ts, servant�, emplayees, contractors or subcontractors of Ciiy. Contractar izkewise covenants and agrees to and does hez'eby indemnify and hold hanmless City from and agaiust any and all injuzy, damage or destruction a�properiy of City, ariszng out or in cox3nectaoz� with all acts ar c�missions of Contractor, its office�s, members, agez�ts, employees, subcon�iractors, invitees, licensees, arprbgramparticipants, ar caused, inwhole ozia� part, by alleged n.egligence of officers, agent�, servants, employees, contractors or subcon.iaractors of Ci�.y. b. Contractor wi11 mainta,in blanket fidelity caverage izi t1a.e �arm of a bond in the amount of $ I6,297, to i�nsure agaanst lass fram the fraud, theft or dishonesty of any of Cantxacfor's ofiicers, agents, txustces, directars o�r emplayees. The proceeds af such bond shall be used to xeamburse Ciiy for a�y and a111oss of CDBG r�onies flccasion.ed by such misconduct. Ta effectuate suchreimbursement, such bond shall i.nclude a rider stating that r�imbursement for an� loss or iosses thereunder sha�l be made directly to City for the uses and benefit of Cor�tzactar. c. Contractor sha11 furnish certificates of ins�zrance as proof that it has secuzed and paid for policies of workers' compensa�zon, public liability az�d automobile liability i.nsurance covering all risks incident to or i.� connection with the executzon, performance, attezx�pted performance or nonperformance of this cantract and agreemeni. The amount� af such insurance shall not be less than the maxim.uzn liability which can b� imposed on Caty under the laws of the State of Texas.
