L�CAL TRANS��RiAilOf� �R�J��T I�DVANC� �UNDINC AGR��I�11�Ni l�or a �ransporfiation �nhancem�nfi �roleci ihis Local Projec� Advance Funding Agreemen� (�PA�A) is made by and between the State of Texas, acting by and through the Texas Department of Transportation, hereinafter called the "Staie" and the Citv of Fort Wor�h, acting by and fhrough its duly authorized officials hereinafter called the "Local Government" l�Iif�ESSETFi 1dlsb���AS, a Master Agreement betr,veen the Local Government and fhe State has been adapted and states the general terms and conditions far transpartation projects de�eloped through ihis LPAFA; and, 1�I�HERi�AS, the L.ocal Go�ernm�nt prepared and submittec� to the Sta�e a nomination form for consideration under the Statewide Transportation Enhancemer�� Program for the project which is briefly described as the construction of improvements alonp Berry Sfreet from Universitv Drive to Forest Park Boule�ard, includinq sidewalk and crosswalk imqro�emenfs. landscaoinq and qedestrian ameniti�s, a distance of .83 miles (approximatelv 4,400 feet), hereinafter called the Proje.ct; and !�lH�R��S, the Texas Transportation Commission passed Minute Order 108766 awarding funding for projects in the 2001 Program Call of the Statewide Transportafion Enhancement Program, including the Project, and !{Vb�Rl�/�5, tne rufes and pracedures for the sefectian and administrat�on of the Statevvide Transportation Enhancement Program are established in 43 TAC Sections 11.200 et seq.; and �IIW€�RE�#S, the go�erning bady af the L.a al Government has appro�ed entering infio this LPAFA by resolution or ordinance dated �D� , which is attached hereto and made a part F�ereof as Attachmen# A; � i�OlAl, iH����O��, in consideration of the premises and of tt�e muival cavenants and agreements of the �arties hereto, io be by them respectively kept and performed as hereinafter set forth, it is agreed as follows: A����i1��IVT 1. The period of fhis LPAFA is as stated in the Mas#�r Agreement without exception, 2. The term�natior� of this LPAFA s�ai1 extinguish all rights, duties, obligations and liabilities of the State under this agreement. : C. If #he potential termination of fhe agreement is due to the fiailure af #he Local Government to fulfill its contract�a[ obligatians, the State wil[ natify the Local Government ihat possible breach of contract has occurred. The l.ocal Governm�nt should make every ef�ort to remedy the breach within a periad mutually agreed t�pon by both pariies. � If the Local Government withdraws from the Project after fhe a�reement is execu�ed, it shall be responsfble for all direct and indirect Project costs as identifed by the State's cost accounting system. A Project may be eliminat�d fram the program as ou#[ined below. If the Project is eliminated for any of these reasons, this LPA�A wiil be appropriately terminated. A Project may be elim�nated from the program i�': i. The �.ocal Governmen# fails to safiisfy any requiremenis of the program ruies cited as 43 TAC §� 9.200 ef seq. ii. The implementation of the Project would involve significar�t deviation from the activities as proposed in the nomir�atian form. iii. The Local Ga�ernmen# w[fhdraws from par�icipafion in the Project. iv. The Project is not impl�mented within a reasonabEe time, as determined by the State fn cor�sultation with the Local Go�ernment. In absenc� of information suggesting that a shorter or longer period is appropriate, three years or less fram the date af inclusion in the - Sta#ewide Transportation Improvement Plan (STiP) will be presumed ta be a reasonabfe #ime. � v. .The State determines that federal funding may be lost due to,the Project not being implemented and com�leted. 3. Amendme�ts of this LPAFA shall b� made as described in the Master Agreem�nt, withau� exception. 4. 5cope of Work. The scope of work for t�e Project, which is at the location shown in Attachment B, Projec# Locatian Map, as described in the namination form and as approved by the Texas Transportation Commissian, consists of the construction of imp�ovements along B�rry Street from University Driue to Forest Park Bou�evard including: • The construc�ion of a concre#e sidewafk with accents of stamped and colored concret� and pavers to an average width of 14 feet, including up to 10 block faces of sidewalk reconstruction. • The construc#ion of crosswal�s at intersectians with similar materials, including u� to 5 complete and 3 partial intersections. � InstaClation of new pedestrian lighting and wayfinding systems, benc�es, and trash receptacles. � Landscaping throughout the project . � Installation o�F �rrigatian. Right of Way and Real Prop�rty Acquisition shall b� the respansibility �f the LQc�I_ G�u�rn.m�nt, as stated in #he Master Agreement witi� the foIlowing additional requirements: A. The Local Go�ernment shall assume ali costs and perform necessary requirements to provide any necessary evi�ence of fitle or right ofi �tse in th� name of the Loca1 Goverr�ment to the real property required for de�elopment of the Projecf. The evidence of title or righfs shall be a.cceptabl� to the Sfate, and be free and clear of all encroachments. The Lacal Government shall secure and provide easements and any needed rights nf entry over any o#her 4and needed to de�elop the Projec# according ta the approved Project plans. The Local Go�ernmen# shall be responsible for secur�ng any additiona! real property �equired for completion of fihe Projec#. B. In the event real property is dona�ed to fhe Loca� Government after ihe�date of the State's authorizatian, the Loca! Go�ernment will prouide all documentation to the State regarding fair market vaf�e of the acq�ired propet'ty. The State will re�iew the Local Government's ap�raisai, determine fhe fair market �alue and cr�dit that amount fowards �he Locai Go�ernment's fiinancial share. If donate� property is to be used as a funding match, it must be p�ovided by a nan- governmental entity and cannot be danated by a fiederal, state or lacal government. The State will not reimburse the Local Go�ernment for any real property acquired before execution of �his agreement and the Sfate's issuance af a letter of funding au�hority. C. The Local Government shall p�-epare.real property maps, property descriptions, and other data as needed to properiy describe the real properly and submit #hem to the 5tate for approval prior #o the Loca� Go�ernment acquiring the real �roperly. Tracings of the maps shall be retained by the Local Government for a permanenfi recard. D. The Local Governmenf agrees to make a determination of properiy values for each reai property parcel by methods acceptable to tY�e State and to submit to the 5tate a tabu�ation af the �alues so de#erm�ned, signed by fhe ap�ropriate Loca! Governmeni representative. The tabufatEons shall list the parcel numbers, awnership, acreage ar�� recomm�nded compensation. Compensation shai! be shown in the com�onent parts o'f land taken, itemization of improvements taken, damages (if any) an� the amounts �y which the tatal campensation will �e reduced if t�e awner retains improvements. This tabulation shal! be accompanied by an explanation ta support #he determined vaiues, toge#her with a copy of �nformation or reports used i� calculating all determined values. Exp�nses incurred by the Local Government in �erfarming this wark may be aligible for reimbursement after.ihe Local Governmen� has received writien authofization by the State �a proceed with determination of real property vafues. Th� State will re�iew the data submitted and may base its reimbursemer�t for parcel acquis�tions on these vafues. E. Condemnation sha11 t�ot be used to acquire real properiy for this enhancement Project. F. Reimbursement for real pro�erty costs will be made to the Local Go�ernment for rea! p�oper�y purchased in an amouni not to exceed seventy percent {70%) af the cost of the real property �urchased in accordance with the terms and provisions ofi this agreement. Reimbursement will be in an amount not to exceed seventy percent {70%} of the State's predetermined �alue ofi each parcel, or the net cost ther�af, whichever is less. En addition, reimbursement will be made to the Local Go�ernment for necessary payments to appraisers, expenses incurred in order to assure good tit[e, and cos#s associated with the relocation of displaced persons and personal property as weli as incidental expenses. I� tF�e Project requires the use of real property to which fihe Local Go�ernmenf will not hold title, a separate agreement between the owners of the rea! property an� the Local Government must be executec� prior to execution of this LPAFA. The separate agreement must establish that �he Project wi11 �e dedicated �or public use far a periad of not less than 10 (ten) years after campletion. The separate agreement must define the responsibil�ties of the parties as to the use of the real property and operatio� and maintena�ce of the Project after completion. This � agreement must be appro�ed by the State prior io its execution. �► copy of the execut�d agreement shall be provided to the State. 6. Utility adjusfiments will be provided by the Locaf Government as required and as stated in t�� Master Agreement �nless atherwise specified in the namination form for the Project and appraved by the State, 7. En�ironmental ass�ssm�nt and mitigation wifl be carried out as stated in the Master Agreement without exceptian unless othefwise specified in the nominatian form for #he Project and approved by the Sta�e. These casts vuill not be reimbursed or credited towards the Local Government's financial share of tne Project unless specified in the nominating 'form ar�d approved by the State. 8. Certification. Forty five (45) days prior ta any construction cantract let date, the Local Government shall provide a certification to the 5tate fhat all real property has been acquired, a11 en�ironmental probEems have been remediated, and a11 conflictir�g �tilities have �een adjusted. 9. Archi�ecfural and engineering �ervices will be pro�ided by th� Local Government. Compliance with Texas Accessibility Standards and the Americans wiih Disabilities Act (ADA} will �e as stated i� the Masfier Agreemeni, without exception. � A. The archif�ctural contract documents shall be de�eloped in accordance with #he standards of the Amer[can Instifiute ofi Architects, #he U.S. Secretary of t�e Inferior's Sfandards for Nisforic Preservafion Projects, Standards and Guidelines forArcheology and Hisforic Pr�servaflon, fh� Na�iona! Regisfer Bcrllefin Number 36: Guidelines for Evaluafing and Regrsfering Hrstorical Archeological Sifes and ir� consuIfation with the State Historic Preservation Officer, as applicable. The engineering plans sha11 be develaped in accordance with the State"s applicable Sfandard Specifrcafrons for Consfrucfian and Malnfenance of Nighways, Sfreets and f3ridges and the two AASHTO publica�ions, "A Policy on .Geomefric Design of Highways and Sfreefs" and "Gurd� far ihe Development of Bicycle Facilifies,"as applicable, AI1 can#ract procurement procedures and documeRts must adhere to fih� applicable �equirements establis�ed in �he Sfandard 5pecifrcations for Consfrucfion and Mainfenance of Highways, Streefs and Bridges. The use of other systems of specificatians shall be approved by the State in writing in ad�ance. B, The Local Gavernment s�all submit any plans it has completed to ihe State for re�iew and appro�al. The Local Government may a[so submit the plans to the Sta#e for review anytime prior fo com�letion. The Local Government shall make the necessary revisior�s determined by t�e State. The Lacal Government will not let the consfruc#iar� contract until all required plans have received Sta�e approval. C. The Loca[ Gover�ment sha11 submit fo the State a!I documenfa#ion relating to actual costs inc�rred far pro�iding architectural and engineering services, Reasonable, a[lowable, and aflocable costs incurred by the Local Government, after t�e Local Governm�n# has obtained Revised Q4.09.01 Page 4 af 7 CSJ: 0902-48-490 Projec#: West Berry Street Beautific�tion 7Q%-Fed, 30%-L.ocal written authorization from the State to incur costs, will be eligible for reimbursement at an amoun# not to exceed se�enty percer�t (70%) af the eligible actuaf cos�s. 1�. Construction. The Local Gavernment wil� be responsible fior #he letting and award of the canstruction con�ract. Any field changes, sup�lemental agreements or re�isior�s to t�e design plans which may oecur after the cons#ruction contract is awarded wi11 be submitted to the State for re�iew and appro�af prEor to the Local Government authorizing the contractor to per�orm the work. Prior to completion of fihe Project, the L.ocal Government will notiiy the State Go�ernment of the anticipated completion da�e. The 5tate will be afFarded the opportunity to assist the Local Government in the final review of the canstr�ction services perFormed by the cantrac#or. 1�. Project Main�enance. Upan completion of the Project the Local Government wi11 be responsibie for maintaining the completed facility for pu�lic use fior a perio� of at least ten {1 Q) years. Any manufac�urer warranties extended to the Local Government as a resul� of the Project sha11 remain in t�e name of #he Local Government. The S�ate shall nat be responsibte for honoring any warranties under this agreement. 12. Loca1 Pro�ect So�rce� and Uses of Funds A. Project Cost Estimate: A Project Cost Estimate and Paym�nt Schedule is pro�ided in Attachment C, showing the to#al estimated develo�ment cos# of the Project. Ti�is estimate sF�ows the itemized cost of real property; utilities,�en�ironmental assessmen#s and remediatian, architectural and engineeri�g activities, construction, and any other substantial items of cast. To be eligible tor reimbursement, cos#s musf have b�en included in the itemized budget seciion of the nomination farm approved by the Texas Trans�ortafiian Commission, Costs may be shifted between work categories after receiving written approval from the State. B. A So�rce ofi Funds estimate is alsa provided �n Attachment C. Attachment C shows the percentage and absolute dollar amaunts to be contributed to the Projec# by federal, state, and local sou�ces. C. The Loca! Gover�ment wiil be responsibt� for all non-federal participation eosts associated with �he Project, including any overruns in excess of the Project cost estimate and any operating or maintenance expenses. Donations of real property, cas�, materials, and senrices required far the development af the Project may be eligible to count #owards the local funding share of a project as in-�Cind contributions. In arder to be considered as an eligible in-kind contribution, donations must be made by pub[ic, non-profit, governmental or non-go�ernmental organizations. Ti�e value of the donated con#ributions of real property, materials, or services wii! be based on,fair market valt�e. In-lcind donations of services are lim��ed to preparation of �lans, specifications and estimates, and may account for na more thara ten percent {10°fo) of the allowable Project's cosf. The remair�ing balance of the local contribution shal] be in cash, donated real pro�erky or materials. The L.ocal Go�ernment may also provide servEces or materials to reduce the o�erall cost of a Project, bu# it will not �e considered as ar� in��ind contribution. Donations of real property must be from pr��ate ownership to public ownership for Project p�rposes. � D. The State will be responsible for securing the federal s�are of fur�ding required for the development and constructian of tF�e Project, in an amount r�ot to exceed seventy percer�t 70% oi ihe actual cost of the worEc up to the amount of funds a�proved for the Project by Revised 04.09.01 Page 5 of 7 CSJ: 0902�48-490 Project: West Ber�ry Street Beauiific�tion � 70%-Fed, 30%-l.ocal the Texas Transportation Commission. Federal funds will be r�imbursed on a cost basis. Proj�c# cost incurred prior to Project selection by the Texas Transportation Commission and appro�al by the State ta proceed are not elig�ble for reimbursemen#. E. Following execution of this LPAFA, but prior to fhe performance of any review work by the Sta#e, the Local Ga�ernment will remi# a chec#c or warran� made payable to the "Texas Departmen# ofi Transporkation" to cover the estimated cost for the State's review of the preliminary plans, specification, and engineering (PS&E} work. The Local Government shall advance to the State a m�nimum ofi twenty percent (2Q°/a} of the Sta�e's PS&E re�iew cost. The esfimated amount af this ad�ance for this Prnject is $1 �,a0a, including cash and allowal�l� donations. F. Not Applicabl�. G. In the event the State determines fhat additianal fur�ding is required �y the Local Government at any time d�ring the developme�t of the Project, fhe State wilf notify the Loca! Go�ernment in writing. The Local Government wi�l make payment to the State within thirty (30) days from receip# of the State's wri�ten no�ification. H. �pon completion of the Project, the State will perform an audi# of tF�e Project costs. Any funds due to the Local Go�ernment, the S�ate, or the Federa! Gover�mertt will �e promptly p��d by the vwing party. I. Ir� �he event the Project is not comple�ed, the State may s�ek reimbursement fram the Local Gavernment of the expended federal funds. The Lacal Government will remit the required funds to the State within sixiy (60) days from receipt of the Sta�e's nofiifcation. J. If any existing or future local ordinances, inclu�ing, but not limited to, outd�aor ad�ertis�ng billboards or s#o�m water drainage facility requirem�nts, are mo�e restric�ive than State or Federal Regu[ations, or any other locally proposed changes, including, but nof fimited to pla�s or replats, result in increased costs, then, a�y increased costs associated wit� the ordinances or cnanges wili be paid by the Local Goverr�ment. The cost af pro�idir�g such right of way acquired by the 5tate sMa11 mean the total expenses in acquiring the property inieresfs either through negotiations or eminent domain proceedings, including expenses related to relocation, removal, or adjus#ment of eligible uti[i#ies. 13. Lobbying Certification. The parties to this LPAFA reaffirm ihat na federal funds were used to lobby for Project f�nds, but that if any lobbying occurre�, it has been reported to the State, pursuant to the requirements of the Master Agreement. 94. Document and Information Exchange. The Local Gavernment agrees to electronically deliver to the State al1 generai notes, specifications, contracf pravision req�iremenfs and related docum�ntat9on in a Microsoft0 Word or similar document. If requested by the Sta��, the Local Gav�rnment wiil use the State's dacument temp�ate. The Local �o�ernment shall also provide a detaiEed construction time estima#e including t�pes of acti�ities and mon#h in the format required by the State. This requirement applies wF�ether the Local Governmen# creates �h� documents with its own forces or by hiring a car�suftant or professional provider. 15. Incorporation. The Master Agreement is incorporated into �his agreement as if f�fly set forth herein. 16. Signatvry Warranty.
