SEgtVICES City hereby contracts witli CO11I]]�lly �0 provide palice pull tawin�; service. As used herein, "police pull" sha11 n�ean that the Fort Wor�h Police Deparhnent has called Con�pany from the rotation list ta either remove a }� wreciced or d�sabled vehicle or to reinove a vehicle in a safe driving condition, but the owner is not present, able or pennitted to drive or fo n7alce authorizatians, 2. TERM The term of this cont�act shall Ue for a period of ttivelve (12) xllonths from the date o� i�s executzo��, with fottr options ta renew for ferms of one year each, unless earlier t�rmirlafed as hereinafter provided. Renewal s11all occur upon City including in zts budget �or the aptions years sufficient fi�nds to pa� for its obligations hereunder and Conlpany providiu�g proo� of insurance to City. 3. COMPENSATTON 1. ComUensation. In the even# the �alice afficer at tt�'e scene d�termines tY�at a st�ndard tow �ehicle is required in additio� to the tilt becflroll back truck, a charge of fifty ($50.�0} per hour, with a mi�mum charg� of ane haur, billed in incremetits of fifteen {15) minuies whiie at the scene of the police puil. The use of a second tow truck shall be appra�ed by a police superyisar. Travel time is exc�udeci. c) Extra work. An adciitional charge of fifty dollars ($5�.00} per haur, with a minimum ct�arge af on� hour, charged in increments of fifteen (15) minutes, for remouing ve�icles which are off the streef right-of-way, such charge to be made from #he tima th� aperator begins to remove #he vehicle until it is� on the trave{ed portion of the street. Even ihough the vehicle is within the sireet right-of-way, an ad�itional charge may f�e made if the vehicfe is loca#ed in some unus�al condition within #he rigf�t-of-way, such as, but not lim[t�d to, a river Qr a creelc bed or a ditch of gr�ater dep#h than the ordinary bar ditch. The charges for such extra warEt sha11 be reviewed and approved by the Auto Pound Wrecker Administrator. When th� cargo af any motor vehicle or trailer includes explosive, nuclear, radioactive, hazardous or eorrasive materials, as defir�ed by the Environmentaf Protectiori Agency, Texas ` De�ar�mertt o� Transportatio�, or the Texas Natural Resource Conservation Cammission, a fee equal tfl one hundreci-ffty (150) percent af the charges permitted under sub�aragraph "a" abave. Company shail Invaice CitY once �er month. Company sY�all �nclude witF� the in�oice such documents as may be reasonably requssted fo provic�e evidence of the services provici�d to tf�e City, whicF� at a minimum sha11 include copies of the wrecker selectior� form signed by th� officer at tF�e scene of ihe pafice pull and/or personnei at the Fort Wort�t Auto Pound. Such invaice shaU be sufaj�ct to the raview and approval of appro�riafe City Personnel. Insurance coverages may, at the sale discr��ion of the City, b�e revised upward upon ihiriy {30} days p�iar written �otice to Company. Policies shafl be.endorsed as �al[ows: � to provide f�e City with a minimUm of thit#y (30) c4ays notice of cancellation, non-payment ot premium, or non-renewal; � to caver the Gify as ar� additior�al i�s�red on liability insura�ce polic�es; �xce�t for employe�s liability; and � to includ� a wai�er of subrogation in favor of the City. 5.7 fn the event a state or fed�ral law, rule or regulation periairting to wrecker ser�ice com�anies operating witk�in the State of Texas �xceed ir�surance requirements specifi�d herein, sucF� state or federai .law, ruie or regulation sha�l prevail #ar the respective typa of ir�surance coverage and/or iimit therEaf. � ;. � 5 i i : n � DU.TIES AND RESPONS181�ITIES OF C�illlPANY Campany, durir�g the ferm�of if�is contract, st�ail perform the fallowing duties anc� have ihe follawing responsibifit�es: a) Mair�tain as its primary bus�ness the towing of �eh�cles or trailers by wreckers me�ting the r�quirements of paragraphs 4(a) anci 4(b} above. "Pnmary business" si�ali mean that Company receives mare than fifty per- cent (5�%) of it grass re�enues from th� towing af vehicles and trailers. All of company's records shall be open ta reasonabfe inspection, both at the time of execution of this agreement and at any �i�ne during the term here�f, to verify com�liance with #his condition. !�} MaEntain a currently licensed vehicle storage facili#y looated wi#hin the corparate Iimi�s of the Cify. "Vehicl� storag� faciliiy" shaEl mean a#acility operat�d by a person under Article 6687-9a, Revised Stat�tes. c) Maintain busir�ess operation #went}r-four (24) hours a day, seven days per week. d) Res�and to al[ cails �on#em�lated by #his contract within thirty (30) minutes of nofification, except in extraordinary siivations wher�: delay is ca�sed by ice, snaw, or other weather reiated conditions. �n t�e svent CQmpany fails fo respond as required, City may notify anothe� wrec�ter company and Company sha!! not be enti#led to the comper�sation to v�rF�ictt it would have been �ntitled had it arrived timely. e) Notify the Giiy of any change of own�rship, pr�sident or chief executive officer, or chang� of address within five (5) bt�siness days of any suc� ct�ange. f) Deliver th� mator vehicle being towed to the facation within the corporate limits af City desig�ated by #h� palice officer at the scene af the pull. Deli�ery shafl be made wit�out defay or detour. TERM{NATtON AND SUSPENSION A. This contract may be terminated or suspended by the City for any af t�e fol[owing causes: 1. Vioiation of any term or car�dition sp�cEfied in this contract. � 2. Fail�tre ta notify the Communications Division of the Police Department within fifteen (� 5} minutes from the time of noti�ication- if ihe Company w�i� be unable to resp�nd within the #hirty (30) mir�utes allotted for a response to a wrecker ca�l. 3. Permitting a tow tr�ck to be operated �y anyone while under the inf�uence of alcohol an�lor drugs. 4. Permitting a tow tr�.jck ta be op�rated by anyone whose aperatar's license is suspended. 5. Transferring or assigning any cafl for ser�ice to any other company 6. Any s�stai�ed complaint of theft by personnel of Company while acting' in their capacity as employees of Company, wheiher occu�ring during a ' police pull or otherwise. 7 i 7 ! 7. Any sustair�ec� complaint af tf�r�ats made by personnef of the Company while acting in their capacity as emptoyees of Gompany�made against third parties during a pt�lice pull ar otherwise. � 8. Fai�ing to camply with alf directians ot police personne( at the scene of a police pull or civiiian or pofice personn�l at #he Police Auto Pound. Company may request a police s�pervisor to �aficfate any such directio� � give�. � 9. Failure to comply wiih any state or tedera! [aw or city ordinance related to the aperation of a wrecker company. � 0. Five (5) passes within a t�irty (3�) day p�Rbd. Pass iri this paragraph s�ral! mean Company fai[ing to notify the City of its inabi�ity to respon�i ta a r�c�uest for senrice as reqUir�d by paragraph 2 above. 11. Ten (� 0} passes wit�in a thirly (3�) day period. City shall notify Company in wr�tEng of Ets in#ent ta terminate ar susper�d far cause twenty (20) days priar to such susp�nsion or term�nation. Company shail have #f�� right ta request a hearing before t�ie Chief of Police or his design�ee regarding the intent to terminate or suspend for cause by requesting a hearing in writing within five {5) bi�siness days after rece�pf of notEce of intent #o terminate or suspend. A hea�ng shall be co�ducted witnin fifitesn (1�) days of th� request for hearing. The City, in its sole discretion, may temporarily suspend this contract during any appeals pracess. C. [n tt�e e�er�t this cantract is s�spended fo� ca�se, th� s�spension shali be far a period of time af not fess than six (6� months nor mare than #wefve {12) montf�s. ' D. In the event City susp�nds or terminaies �his contract for ca�se, ar�c� the cause far such susper�sion or tert�ir�ation �� de�ermined tv be invali�, Company's sole remedy shall be reinstatement of this contrac#. Notl�ing contained F�ereiri sY�alf be constru� to be a waiver by City of any right of protecti�n whic� it enjoys uncfer ap�l�cable State or Federal law. 9. ASSIGNME�lT Company shalf not assign, transfer or sublet this Contrac# ar any portion hereof to any party without the pr�or wriften conseni of City which shal� nat be unreasonabEy withheld. Any such assi�nment, transfer ar subletting af this Contract shali be vaid and shaf! opera#e as a terrrtination hereof. 1 D. ZONES AND ROTATION L�ST A. City shalE divide the city �nto foUr (4} zones which shail correspond to t#�e four {4) patrol c�ivisions. Com�any shal[ [�� assigr�ed ta the zone or an adjacent zon� in which it maintains its pri�cipal place of business. B. City shal[ create a rotatian ijst within each of fh� four (4) zcrnes that wil[ dictate the order in which wrecker companies are contacted, C. Authorize the coniracts to begin �ctober 16, 2004, and expire October 15, 20fl2, with options to renew for four suceessive one-year periods. DISCUSSION: City DrdEnance No. 12924 regulates non-consent towing wiihin the City requiring compani�s desiring to perform non-�onsent towing for the Police Depa�tment to execute a contract with the City. Th�re are three types vf contracts: those �or standard tow trucks, tift bedlrollback tow trucks, and tandem taw truclts. Participating wrecEcer companies are licensed und�r Article V, W�eckers, of Chapter 34, Vehicles far Hire, of the Code of the City ofi Fort Worth. The fees for services to be provided and assignment to or�e of four zones are tF�e sam� as contained in the ordinance. The esfimated expenditure for these services is $1,1QO,QOQ per year. Contracts wi11 be execuied with any vendor desiring to perfo�m non-consent towing tF�at meets the �ontract req��rements such as towing operations being a vendors primary business, equipment specifications, insurance, and a focal licensed storage facility. BID TABULATION � See attac�ed "Service Fee Schedule". MIWBE - A waiver of the goal for MIWBE subcontracting requirements was requested by #he Pu�chasing Division and approved by the MIWBE Office because the purchase of services is f�om sources where su�contract�ng or supplier opportuni�ies are n�gligible. F�ENE�WA� OPTIONS � These contracts may be renewed for up to four suceessive one-year terms at the City's aption.
