"De�eloper", desires to make certain improvements to the National Cnwgirl Museum
and Hall of Fame located or� 1T00 Gendy Street, Fort Worth, Texas; and
WHEREAS, the De�eloper has reques#eti the Cify of Fort Worth, a municipa!
corporation of Tarrant and Denton Caunties, Texa�, hereinafter called "City", to do
cer�ain work in con�ection with said improvements,
NOW, THEREFORE, KNO1N ALL BY THESE PRESENTS:
That said Developer, acting herein by and through Kit Moncrief, its duly
authorized President and the City, acting herein by and through Mike Groomer, its duly
autharized As�istant City Manager, far and in cons�deration of fhe co�enants and
conditions con#ained herein, do hereby agree as follaws:

A. The Deuefaper agrees to contribu#e the sum of $240,OOQ.00, such sum being
payable directly to Car�er and Burgess, Inc. for engineering work related specificaNy
�o the impro�ements to b� constructed under t�is agreement, for the constructian of
water, sanitary sewer, st�eet, storm drainage, parking lots and other community
facilities improvemenfs shown on the attacheci Exhibits A, A-1, B, and B-1, here-
inafter referred to as the "Public {nfrastructure" (including all sums previously paid by
tieve�oper to Garter & Bufgess, lnc. for engineering work r�lated specifically to the
public Infrastructure�.
B. It is agreed fhe De�eloper will manage the design anci consiruction of the Pubiic
Infrastructure. De�eloper shall award a�y professior�al services contract in
compliance with Chapter 2254, Texas Gavernment Code. It is understood and
agree� that the award ofi the professional services cantracf to Carter & Burgess, lnc.,
as contemplated herein, is deemed to be in compliance wit� Cha��er 2254, Texas
Government Co�e. Develo�er shall b� requir�d �o award any construction contracfis
hereunder in accardance wi�h the laws af the state of Texas, including but not limited
#o Chapter 252, Texas Local Goverr�menf Gode. �

E. The MIVIIBE parkicipation goal for the constructior� of the Public Inf�astructure is 10%
of the construction cost. De�elQper agrees to require its contractors to meet or to
exceed this parkicipation goai or to demonstrate thai a good faith effort was made to
do so. Develaper shall wark with the City's MinoritylWomen's Business Enterprise
office durir�g #he course of the co�struction of the Public Infras#ructure. Develop�r
sha11 also include in its construcfion cvntracts �or the Public Infrastructure the City
standa�d forms for MIWBE participation. Any c�ange order that exceeds ten percent
(10%) of the original contract amount requires an M1WBE gaal be estahlished for the
additional work included in such change order. The goal estabiis�ed herein does

not apply to the design services contract with Carter & Burgess, Inc., or any other
design, surveying ar inspection services.
F. Th� estimated toial cost of the Pu�lic Infrastr�cture and related suppnrt services
specified in this agreem�nt, including design, consiruc�ion and inspection is
estimated to be $3,9�40,OOO.QO. �
In accordance with this Cammunity Facilities Agreement as shown in #he Cost
5ummary and in accordance with a separate agreement befinreen the Developer and
Carter & Burgess, Inc., ihe De�eloper shall be r.esponsible for paying directly to
Car�er & Burgess, Inc, a sum not to exceed $240,000.00, far engineering work
related specrficalfy to the �esign of fhe Public Infrastructure to be constructed under
this agreement (including aN sums previously pa9d by Dev�loper to Carter &
Burgess, In�. for engineering work related specifically �o the Public Infrastruc#ure)
and �he City sha!! confribute the sum of $3,700,QOO.D�. Upon the execu#ion of #h�s
Comm�nity Faci{ities Agreement, City shall r�lease and return to Develaper its
Development Bond Guaranteeing Performance and Payment of Public
Improvemenfis, Ban� Number 25-Q�-32. No additional bonds will be required of
Developer.
Included in Ciiy's cantribution s#ated above is the sum of $60,0�O.OD ta be paid to
Deve{oper upon City's acceptance of the plans, specifications and construction
documents produced by Carter & Burgess, Inc., for Develaper to pay Carter &
Burgess, Inc. for engineering work related specifically ta the design ofi the Public
Infrastruc#ure to be constructed under this agreement �increasing the tofial paid to
Carter & Burgess, lnc. to $300,004.OQ).
G. City personnel shall be respvnsibfe for the inspection of the Pubfic Infrastr�cture as it
is being cons#ructed. The city ir�spector shall be responsible for the preparation of
ail payment documents. C9ty s�all also be responsi�fe fior making all payments
direc#iy to the construction contractars.
H. In the event any agreement entered into by the Developer related to �he .Public
Infras#ructure is assi�ned t4 the City, the City agrees to {'{} expressly assume all
responsibility of Developer under the assigned agreement and (2) to the extent
permitted by faw, 'rndemnify, defend and hold harmless Dev�ioper (and aH of
Deveioper's affifiated entities and individuals) for, from and against any and all
liabiiiiies, clairns, losses, staits, judgments, and expenses arising from the assigr�ed
agreement or the work �erformed thereunder. Nothing contained herein sha�l ev�r
be canstrued as requiring the City ta assess, levy, ar collect any #ax ta fund any
obliga�ion af the Gity contained in tf�is paragraph, Consen# oF the Cify Council of the
City of For� Worth is required far any assignment c�ntemplafied by this paragraph.
I. It is agreed and u�derstood by the parkies hereto that the Developer has employed
Carter & B�rgess, Inc. for the d�s9gn and preparation o�F plans and specifications for
the consfruction of a11 current improvements co�ered by this contract.

.f. One (1} reproduc�ble sefi of as-built record drawings and specifiications shall be
furnished to the City of Fort Warih upon campletion of the Pu�lic Infrastructure.
K. It is further agreed and understood by the parties hereto that upon acceptance by
the Ci#y, title to all faciiities and improvements mentioned hereinabove shall be
�ested at a11 times in the City o# Fort Worth, and Developer hereby relinquish�s any
righ#, title, or i�terest in and to said facilities or any part thereof.
M. For a11 Public Infrastructure included in this agreement for which the De�eloper
awards its own construction contract, De�elopef agre�s to foliow the following
procedures:
1. The construction contract must be advertised, bid and awarded in accnrdance
with State statutes prescribing �he requ9rements for the lettEng of contracts for t�e
construction of public wark. This includes ad�ertising in a�ocal newspaper at least
twice in one or more newspapers of general circulation in the counfiy or counties in
which the work is ta b� perFarmed. The first pubiication must be an or before ihe
fifteentri (15th) day before ti�e first date bids may be submifted. The bids shall be
opene� by an officer or employee of the City af or in an office of the City.
2. To employ a construction contractor who is appro�ed by the Director o� the
Department having jur�sdiction over the Public Infrastructure to be constructed, said
contractor to meet City's requirements for being insured, iicensed and bonded to do
work in public streets.
3. To require the contractor #o furnish to the City a payment and pefformanee bond
in the names of tF�e City and the Dev�loper and a maintenance bond in the name of
the City and the Developer for one hundr�d percent �10fl%) of the con�ract �rice of
the Public Infrastructure, said bonds fo be furnished befare vu�ork is commenc�d and
ta meet the requiremenfis of Cf�apter 2253, Texas Government Code. The surety
cvmpany on all bor�ds shall be reasonably aceep�able to fhe Ci�y.
4. Deve{oper further shalf require the contractor to pro�ide public liab�fity insurance
equal to ar in excess of the amoun#s required by fhe City's specifications covering
that particuiar work.
5. Develo�aer shall give 48 �aurs natice fo the C�ty's ❑epartmenfi of Engineering,
Constructian 5ervices Division of intent to commence construction so that City
inspection personnel will be available; and to r�quire the contractor to allow the
construction to be subject to inspection afi any and ail tim�s by City inspection
forces, and not to install any sanitary sewer, storm dra9n, or water pipe unless a
responsible City inspector is present and gives his consent to proceed, and ta make
such laboratory tests of materials being used as may be required by the City.

6. To delay� connections of buildings ta service lines of sewer and water mains
consfir�cted under this contract untii said sewer and wa#er mains and service lines
have been completed to the satisfacfion of the Water Department.
.N. Durfig t�e course of construction,. Developer fu�ther covenanfs and agre�s to, and
by these presents.do�s hereby fully indemnify, hold F�armless and defend the Cify,
its officers, agents, and employees f�om and against any and all claims, suits or
causes of action, of any nature whatsoever, brought for, or on account of any injuries
or damages to persons or property, including death, on account of any negligent act
or intentional misconduct of Develo�er.
O. De�elo�er wil! further require its con�racto�s (not including Carter & Burgess, lnc.) to
indemnify, hold harmless and defend the City, its officers, agents and employees
from and against any and a11 claims, suits or causes of action of any nature
whatsoever, whether real or asserted, brought for or on account af any injuries or
damages to persons or property, includ�ng death, resulting from, or in any way
co�nected wifh, the eonstruction of the Public Infras#ructure, whefher or nof
caused, in whole or in part, 6y fhe negligenc� of of,Fr"cers, agen�s, employees,
licensees, or invifees af fhe Cr�y.
P. De�eloper ca�enants and agrees �hat if discrimi�ates against na individuaf inval�ing
employment as prohibited by the terms of Ordinance No. 7278 (as amended hy
Ordinance No. 7400), an ordinance prohibiting discrimination in employment practice
because of race, creed, color, religion, natior�a! origin (except for illegal aliens�, sex
or age, untess sex or age is a bonafide occupational qualificat�on, and that any
subcon#ractar or employment agency, �ither furnishing or referring applicants to
Developer, and any agent of Developer, wilE also be prohibit�d from discriminating
against any individual in�olving employment as prahibited by the t�rms of such
Ordinance No. 7278 (as amended by Ordinance No. 7400).
Q. The plans, specifrcations arid construction documents for the Public Infras#ructure
produced pursuant to #he separate agreement between D��eloper and Carter &
Burgess, inc. are su�ject to the written appro�al of the City. Approval by the Gity
shall not constitute or be deemed tv be a release of #he responsibility and liability of
Carter & Burgess, fnc., its subconsultants and agents. Such approval shaN not be
deemed fo be an assumption of such responsibility and liabiiity by the City for any
defect in the designs, specificaiions and contract documents prepared by Carter &
Burgess, Inc., its subconsultants and agents, it beEng the intent of the parties that
appro�al by the City s9gnifies the City's approva! on oniy the general design concept
o�F the impro�ements ta be constructed. In this connection, the De�eloper will
include in its contract with Carter & Burgess, Inc. a requirerr�ent thaf Carter &
Burgess, Inc. will, for a period of five (5) years after the acceptance by the City of tl�e
completed �onstruction project indemnify and hold �he City and all af its officers,
agents, servants and employees harmless fram any loss, damage, liabifity or
expense, on accoun� of damage ta property and injuries, incfuding death, to al!
persons which may arise out of any defect, deficiency or negligence of the

er�gineer's designs arid specificatians incorparated into any improuements
consiruc�e� in accordanc� therewitl�, and further require Carter & Burgess, lnc. to
d�fend at i#s own expense any suits or other proceedings brought against the City
and its afficers, agents, servants and empioyees, or any of them an account thereof,
to pay ali expens�s and satisfy all judgments which may be incurred by ar rend�red
against them ar any of them in connectior� ther�with.

Texas.
S. The City's Po{icy for the Instalfation of Community Facilities, as adopted by ti�e City
Council on March 20, 2Q01, is hereby incorporated hereiri by ref�rence, and
Developer co�enants ar�d agrees fo comp{y with said Policy as a condition of this
con�ract.
T, The foflowing descripfions of work apply, as ap�ropriate, to tl�e areas included ir� the
Communiiy Facififies Agreement:

wil{ be in accar�ar�c� with plans ar�d specifcations prepared �ay the
De�eloper's engineer and approved by the 17�rector ofi Transpartation and
Public Wvrks.
4. STORM DRA(NAGE
S#orm drain improvem�nts as shown in Exhibit B-1 will be in accordance
with plans and specifcations prepar�d by the De�eloper's engineer and
a}apraved by fhe Director of Transporta#ion and Public Wor6cs.

RECOMMENDATION:
lt is recommended that th� City Co�ncil autharize the City Manager to execute a Community Facilities
Agreement with fhe National Cowgirl IUluseum and Hafl of �ame, Inc. for the installation af community
facilities for certain improvements to the National Cnwgirl Museum and Hall of �ame Iocated at 1700
Gendy Street.
DISCUSSION:
On September 1'f, 20�� (M&C G-13372}, �he City.Council approved fh� appropriativn of proceeds from
the sale af $3,70U,Q�Q Combination Tax and Revenue Certificates of Obiigafion, Series 2Q�1 B to be
used for infrastructure related ta the bpening af the Natianal Cowgirl Museum and Ha[I af Fame
(Museum).
National Cowgirf Museum and Hall of Fame, Inc. the developer of the Nafiional Cowgirl Museum and
Hall of Fame has executed a proposed con�ract for community facilities to make cer�ain improvements
to serve the Muse�m. The Museum is Iocated at 1700 Gendy Sfreet o� ihe sau�hwes# corner ofi
Burnett-Tandy Dri�e and Gendy Sfireet �s�e a�tached ma�).
lJnder fhe terms of this agreement, tt�e de�elaper will prepare the cor�trac� for the design, subject to the
City's rev�ew and appraval. The developer will also competitively bid and award the construc#ion
contracti and ihe City of For� Worfih will do the inspectian af the project during construction.
This development is lacated in C4UNCIL DfSTRICT 7.
This proj�ct would include �he fiollowing improvements:
� Reconstruction ofi Gendy Street from Lancasfer Avenue to Harfey Avenue to a 4�[ane divided
roadway; and
� Consiruction of a necessary starm drain system and tie-in into th� existing starm sy�tem En
Hariey Avenue; and
• Co�struction of r�ecessary water an� sanitary s�wer improvements; and
